Corporate brochure _ RHODIA 2006-2007
2006 WAS THE DATE SET IN 2003 FOR RHODIA’S
RECOVERY. WHERE ARE YOU NOW
> JPC 2006 marks the complete success of Rhodia’s
recovery plan. We have exceeded the ambitious objectives
we set at the end of 2003 and today we are happy to
show our first profits for six years. The Group has significantly
refocused its business portfolio, and today 80
percent of Rhodia’s sales are achieved in activities in which
the Group holds sustainable global leadership positions.
We are back among the global leaders in the chemical industry
and our organization is now in a fit state so that we can
start down the road to profitable growth and face tomorrow’s
challenges. All the Group’s employees can be proud of
the path taken during the last three years. Their professionalism,
motivation and confidence in the future of the company
have been the platform on which we have rebuilt Rhodia.
I must also extend very warm thanks to our customers and
suppliers who have remained supportive of us throughout
the last three years.
RHODIA HAS EMERGED FROM THE CRISIS AT THE COST
OF MAJOR RESTRUCTURING.
CAN YOU DESCRIBE RHODIA TO US TODAY
> JPC The crisis has made us stronger, and today Rhodia
has many assets. Our business portfolio is of high quality,
we have sound positions throughout the world, and have
in particular built strong bases in Asia, with industrial facilities,
teams of employees and expertise which are enabling
us to continue to gain shares in these fast-growing markets.
The management procedures in the Group’s Enterprises
have been rationalized. The culture of continuous improvement
and pursuit of operational excellence has been greatly
developed. We have also strengthened the effectiveness of
our R&D teams to enable us both to improve the competitiveness
of our manufacturing processes and develop new
products to serve our customers in the best possible manner.
Rhodia has also made a strong commitment to sustainable
development based on a pragmatic approach, which is
showing remarkable results. For the last three years we have
had one of the best safety levels in the business, with less
than one accident with lost working time per million hours
worked. Having been aware very early on of the importance
of combating climate change, Rhodia has become
resolutely committed to reducing its greenhouse gas emissions.
Between 1990 and 2010, Rhodia will have halved its
emissions despite the significant increase in our production
capacities in this period.
We were constructively involved at all stages in drawing up
the REACH regulations and today we are ready and in the best
position to apply them. Finally, the Group’s recovery was conducted
in dialog with the trade union organizations; we are
the only chemical group to have signed an agreement on a
worldwide basis with ICEM, the International Federation of
Chemical, Energy, Mine and General Workers’ Unions. These
elements in our assessment of the past three years can make
us all feel very proud.
TODAY SEES THE BEGINNING OF A NEW CHAPTER
IN RHODIA’S HISTORY.
IN WHAT DIRECTION WILL YOU TAKE IT
> JPC Rhodia has regained control of its destiny and is once
again in a position to build its future. We shall concentrate
our development in two major areas: Performance Materials,
focusing on growth, mainly in Asia, and Functional Chemicals,
where innovation constitutes an essential driving force for
development. For the latter area, we are consolidating our
positions in Europe and America while expanding our presence
in Asia, giving particular priority to China.
The good practices acquired over the last three years have
put us in a strong position and we are committed to a new
dynamic of controlled, profitable and sustainable growth.
Today Rhodia has its future in its hands and many opportunities
for expansion in front of it. We are ready to seize
every one of them!
A fresh identity,
a new ambition
AMBITION 2010
At the end of its successful recovery, Rhodia has regained control of its destiny and is once
again in a position to build its future. In order to give everyone a clear view of the Group’s
strategy, Rhodia undertook a project to define its ambition for the future, in line with its
identity and mission.
Manufacturer
Rhodia’s reaffirms its focus on its core business of responsible chemistry and its
manufacturing role.
Leader
Today, 80 percent of Rhodia’s portfolio consists of
activities in which the Group holds sound leadership
positions (see pages 18 to 21).
Worldwide presence
In 2006, more than half of all recruitments took
place in Brazil and China. Today, Asia and Latin
America account for 40 percent of the total
number of Rhodia employees compared with
27 percent in 2003.
High performance
The continuous search for improvement in our
operational performance is an essential driving
force for the competitiveness of an industrial
Group. This is highly motivating for everyone and
a force for attracting new talent to the company.
Rhodia is committed to develop and maintain professionalism
among all its employees.
Our identity
“Rhodia, a chemist, leader in its businesses,
is an international industrial
group resolutely committed to sustainable
development. People’s safety,
health and environmental protection
are our absolute priorities.”
Resolutely committed
to sustainable development
Responsibility is at the heart of Rhodia’s identity. Written into
its history for over 30 years, this commitment was demonstrated first
through the Health, Safety & Environment policy that has enabled the Group
to achieve a remarkable performance in these fields. Today, it is expressed through a committed
approach to sustainable development.

customers are manufacturers: our task is
to enable them to develop these applications
in the most competitive and most
responsible way possible.
Committed to responsible
Rhodia seeks to double consumption
of renewable raw materials in 10 years
or offer the market new generations of
non-toxic, biodegradable, recyclable and
low-volatility solvents, intended mainly
for paint manufacturers. These are just two
examples of how Rhodia applies responsible
chemistry, consistent with environmental
stewardship and consumers’ expectations.
PROTECTING THE ENVIRONMENT
The Eolys soluble catalyst plays an essential role in eliminating
particulates emitted by diesel engines, and today
is fitted to over 2.5 million vehicles worldwide. Recently,
Optalys® materials, which allow the reduction of toxic
emissions from gasoline powered vehicles, have been
adopted by the major catalytic converter manufacturers.
Zeosil high performance silicas reduce tire rolling
resistance and therefore fuel consumption. Technyl® engineering
plastics help to make vehicles lighter by replacing
metal. In the field of industrial paints, the Rhodocoat
range allows traditional solvents to be partly replaced by
water so that discharges of volatile organic compounds
are greatly reduced.
IMPROVING OUR CUSTOMERS’ PERFORMANCE
Oil and gas operating costs drive manufacturers to make
their wells as profitable as possible. In partnership with
the petroleum service companies, Rhodia provides tailormade
technological solutions based on controlling the
formulation of polymers and surfactants. These solutions
improve the performance of petroleum extraction and
inhibit corrosion in the recovery equipment, while taking
A RESPONSIBLE GROUP
An early commitment in favor
of sustainable development
Rhodia published its first sustainable development report as
early as 2000, drawing upon the Group’s long experience in
safety at work, protection of the environment and social dialog.
From the very beginning, it put forward a series of commitments
with matching indicators, in order to make this report
both an assessment and a spur for radical action.
These exacting requirements earned it awards on several
occasions for the quality of its information and documentation.
In 2006, PriceWaterhouseCoopers cited our report with
its highest valuation level for the quality of its reporting for
the fourth consecutive year. Rhodia was also singled out by
the auditors Deloitte as one of the three companies in the
SBF 120* to have opted for the broadest and most demanding
level of control.
A sustainable development reference
framework for structuring our progress
In 2006, Rhodia prepared for the launch of the
a responsibility reference framework which will enable each
entity in the Group to evaluate its behavior and performance
toward six stakeholders: shareholders, employees, customers,
suppliers, the environment and local communities.
About 200 people were involved during 2006 in defining
the principles, commitments and indicators and carrying
out the pilot phase.
Tested in an initial version in the Purchasing function and
the Engineering Plastics global business unit, this reference
framework is being deployed throughout the Group in 2007.
From now on, this sustainable development approach will be
incorporated into the Group’s managerial procedures and
written into each entity’s strategic plan.
Prioritizing safety at work
The effort applied over 30 years of company
history today enables Rhodia to be
among the leaders in safety at work on
a global level. With less than one accident
with lost working time per million
hours worked, the Group achieves one of
the best performances in the world for
the chemical industry. In 2006, Rhodia
invested 25 million euros for people’s
health and safety.
Providing better protection
for human health and the
environment
Rhodia was constructively involved
at all stages in drawing up the REACH
regulations and anticipated their implementation.
These regulations, which
concern the registration, evaluation
and authorization of chemical products,
take effect June 1, 2007 with a gradual
implementation over 11 years.
As early as 2003, Rhodia decided to start
a process of substituting its most sensitive
substances. In 2006, the Group
initiated a traceability plan for compositions
of raw materials it purchases,
in order to detect those not already
registered by its suppliers, as required
by January 1, 2009. The plan’s aim
is to make sure that all procurement
channels will conform to the REACH
requirements and to identify “critical”
suppliers, on behalf of which Rhodia
would have to carry out the statutory
registrations. REACH plans were also
launched in the Group’s Enterprises, and
the expert resources already available
internally were strengthened.
Putting REACH in place has thus led
Rhodia to work in collaboration with
other manufacturers by exchanging
information, and also with its suppliers
and customers to ensure use
of its products in accordance with its
recommendations.
REACH therefore opens up many opportunities
to improve all the procedures
for producing and using chemicals,
while forming the basis of open and
confident dialog with users.
GLOBAL CHARTER
Another expression of the
signature of the Responsible
Care Global Charter, underscoring
the principles of
“Responsible Care”, to which
Rhodia has been a signatory
since 1997.
In particular, the Charter
requires improvement of
product life cycle management,
greater transparency
and evaluation and publication
of environmental
performance.
“The commitment of Rhodia’s management team and how they work with
L’Oréal demonstrates they share our values and commitments: product
quality and safety, anticipation of problems, openness and dialog. In so
doing, we are working together on the registration of substances within
the context of REACH, and are going further by opening the registration
limits to substances which for the time being are exempted from the
regulations. In addition, Rhodia is one of the very first chemical companies
with which we have drawn up our new raw material qualification
reference framework. In this way we shall together succeed in restoring
a degree of distinction to the chemicals industry.”
A RESPONSIBLE GROUP
Global warming:
a pioneering commitment
Rhodia didn’t wait for ratification of
the Kyoto Protocol to limit its greenhouse
gas emissions. At the end of the
1990s, the Group became aware of
its position as a significant emitter of
one of the six industrial gases contributing
to global warming in the same
way as CO 2
. At that time, Rhodia made
significant investments to reduce the
emissions from its Chalampé (France)
site by more than 20 million tonnes of
CO 2
equivalent per year. This corresponds
to two-thirds of the increase
in greenhouse gas emissions from
the entire transport sector in France
between 1990 and 2005.
On a global level, in 2005 Rhodia initiated
two large-scale projects to reduce
greenhouse gas emissions at its production
facilities at Onsan (South
Korea) and Paulinia (Brazil). These rank
among the most important projects
recorded under the Kyoto Protocol’s
Clean Development Mechanism (CDM).
Between 1990 and 2010, Rhodia will
therefore have reduced its greenhouse
gas emissions worldwide by 56 percent
in total.
Social responsibility:
developing the culture
of dialog
Human values and social responsibility
are deeply rooted in the Group’s culture.
This sense of shared responsibility was
illustrated in particular in 2006 by the
signing in France of an agreement linking
pay increases to the success of the
Group’s recovery.
Rhodia’s responsibility is also expressed
in the Employees section of the
reference framework,
which will make it possible to guide
social policy in the field, taking account
of laws and regulations as well as the
cultural realities in each country.
CONTINUING DIALOG
AT THE GLOBAL LEVEL
Rhodia is the only chemical group to
have signed an agreement of global
social responsibility with ICEM, the
international federation for workers in
the sector, which has more than 20 million
members.
This three-year agreement commits
Rhodia to respect, throughout the world,
the fundamental social rights defined
by the International Labor Organization
conventions, as well as the principles of
the UN’s Global Compact. This agreement
also concerns commitments specific to
Rhodia regarding social responsibility,
especially in the areas of health and
safety at work, control of risks related
to its businesses and care of the environment.
Rhodia also reaffirms its rejection of
any form of discrimination and its commitment
to the pursuit of a full and
balanced social dialog. A first assessment
has established that the methods
of applying this agreement have been
observed. The agreement was presented
to the European Works Council and the
Group Works Council in 2006, translated
into the five main languages of
the Group and made available on the
Group’s website.
to differentiate
Rhodia conducts an active strategy of
investments centered upon the Asia
zone which today offers the greatest
potential for development. The growth
of our activities in Asia to match the
expansion of our major international
driving force for development of the
Group. Rhodia has major competitive
advantages, with products designed to
meet demand, and production plants
and processes with the highest level
of performance.
Rhodia Polyamide: developing
new production capacities
Rhodia Polyamide has been present in
Asia for many years and is continuously
expanding there. Following the opening
of engineering plastics production
units in Korea and Shanghai in February
2006, new demand for polymers led to
the decision to construct a polymerization
plant on the Onsan site in South
Korea. This unit, with an annual capacity
of 48,000 tonnes, will produce nylon
salt and polyamide 6.6 for the manufacture
of engineering plastics by the end
of 2007. In line with its development
strategy in Asia, Rhodia is also looking
to build a production unit in China for
HMD, another important intermediate
in the polyamide chain.
Rhodia Novecare: investing
in new markets
Rhodia Novecare anticipates new
opportunities for significant growth in
environmentally friendly solvents and
oil production and has a number of
projects under study. In addition, a surfactants
unit is planned on the Roha site,
close to Mumbai (India). Announced in
October 2006, this investment is designed
to meet the rapid growth in the personal
care and detergent markets in India, created
by the demands of a middle class
estimated at 150 million people. The
new unit will join the five surfactant and
specialties plants already operational in
China, Indonesia, Thailand and Japan.
Rhodia Silcea: responding to
the demand for “green” tires
To meet the demand of the global market,
and especially Asia, for tires with
low rolling resistance, a significant
investment is being made to upgrade
Today’s innovations to meet
tomorrow’s challenges
INNOVATION
Rhodia’s R&D employs more than 1,000 research staff in five international Research and
Technology centers in Aubervilliers and Lyon (France), Shanghai (China), Paulinia (Brazil)
and Bristol (USA). In 2006, Rhodia filed 127 patent applications resulting from its research
work.
Rhodia’s Research and Development
has two main objectives: in the shortand
medium-term it aims to contribute
toward improving the competitiveness of
existing processes and developing new
products anticipated by the market. In
the longer term, Rhodia is committing
some of its innovation and marketing
resources to “breakthrough” projects
associated with major challenges. To
support these programs, the Group is
strengthening its research capability by
creating “critical masses” of skills. In particular
it is developing partnerships with
public research bodies – notably with
France’s National Center for Scientific
Research (CNRS) with the creation of
combined laboratories.
Contributing to the
development of our product
ranges
In 2006, 18 percent of Rhodia’s sales
were generated by products less than
fi ve years old. Now launched on an
international basis, our Structured
Surfactant Liquid® technology is, for
example, revolutionizing the rules for
formulating shower gels by enabling
the incorporation of new active substances
and access to unique sensory
properties. In addition, the third generation
of viscoelastic surfactants will
be adapted to the extreme conditions
experienced in oil wells that operators
must exploit to meet the increasing
demand for energy.
The Group has also enhanced its automotive
offering with, in particular, the
TECHNYL® A 218 and TECHNYL A 548
grades, suitable for cooling systems and
automobile radiators and for extruded/
molded/blown parts of motorcycle
gasoline tanks. These new grades of
engineering plastics satisfy the environmental
challenges of performance and
reduction in weight and cost incorporated
by vehicle manufacturers.
Improving productivity
and capacities
In 2006, Rhodia’s global network of
experts, in collaboration with industrial
teams, expanded their work on continuously
improving process performance.
This resulted in significant improvement
of the polyamide polymerization technology
with a new catalysis which, through
shorter cycle times, frees up capacity on
previously full units.
Preparing for the future
Although 80 percent of R&D resources
have short- and medium-term objectives
(enhancing existing product ranges,
improving process productivity and
increasing capacity to respond to market
needs) the Group is investing 20 percent
of its research resources into ambitious
longer-term projects and the strengthening
of its technological skills.
Included in its main areas of research is
the “Process Intensification” program.
This is directed at developing more efficient
processes, requiring less investment
and in line with the environmental and
energy challenges of tomorrow. For this,
Rhodia is taking part in programs supported
by the European Community
and participates actively in the Axelera
Competitiveness Cluster. Bio-resources,
another major area of research, constitute
an opportunity to develop products
that are safer for the environment.
AXELERA
The Axelera Chemistry/Environment Competitiveness Cluster set up by Rhodia, Suez, Arkema,
CNRS and the French Petroleum Institute aims to accelerate the development of sustainable
chemistry at national and international levels. After the launch in 2005 of the “Process
Intensification” project, 2006 saw the initiation of Rhodanos, a major project devoted to
water treatment. The other projects set up and registered in 2006 were: “Bio-resources 2015”;
“Duramat” for eco-design of materials; “Valorsite” for phytoremediation of soils and “Force PA”
whose aim is to develop future generations of high performance PA (polyamide) polymers.

“Green” solvents
Rhodia is working on environmentally friendlier
“green” solvents suitable for industrial processes.
Using raw materials such as glycerol, widely
available on the market due to the increase
in bio-fuels or other substances derived from
renewable raw materials, Rhodia is developing
solvent substitution solutions that perform just
as well but are more environmentally sound.
Improving productivity
Diphenols
The Optalys® range to reduce polluting
gas emissions from gasoline
powered vehicles has been launched
on an international basis and
adopted by the five main catalytic
converter manufacturers
in the world.
Considerable improvements have been
developed for the finished product purification
steps and the treatment of effluents from the
production process. These will be included in
the new 12,000 tonnes/year diphenols unit at
Zhenjiang (China), starting up in 2007, which
will become the benchmark for product
quality, cost control and sustainability.
Substantial economic and environmental
challenges
Meeting these challenges involves a range of different
approaches, which need to be implemented in parallel:
❚ Reducing overall weight and tires’ rolling resistance
to save fuel.
❚ Optimizing drive mechanisms and fuel.
❚ Improving the performance and service life of catalytic
converters.
❚ Enabling parts and vehicle manufacturers to make productivity
gains.
Recognized skills
In both Europe and Asia, Rhodia is working in close
partnership with the key automotive parts and vehicle
manufacturers on a number of specific areas of concern.
In 2006, Cataler, a subsidiary of Toyota and catalytic converter
manufacturer, cited Rhodia with its “best supplier
of the year” award.

Rhodia: expertise that can make the difference today
Rhodia’s response to the challenges of the automotive sector is based on three major
areas of expertise: thermoplastic and rubber reinforcement science, directed synthesis
of active mineral substances and knowledge of the behavior and formulation of
aqueous fluids. Through these skills, Rhodia occupies leading positions in:
❚ Engineering plastics, increasingly used by the automotive industry instead of steel
or aluminum, allowing vehicle weight to be reduced;
❚ High performance silicas for tires, invented by Rhodia, which make it possible
to reduce a vehicle’s fuel consumption and improve their adhesion on wet
ground;
❚ Rare earth-based formulations for automobile catalysis, which improve the
performance and reliability of pollution-control systems while reducing their
cost to the end user.
Research areas to anticipate challenges:
❚ Developing processes for reducing NO x
, to meet European standards (Euro 5 and
Euro 6), and for adapting pollution-control systems to future “bio” fuels;
❚ Crossing technological barriers to extend the use of low rolling resistance tires to
heavy vehicles (trucks, buses, etc.);
❚ Developing engineering plastics responding to the changes in vehicle bodywork for protecting
pedestrians, impact resistance, design and aerodynamic shape;
❚ Developing recyclable plastics complying with future regulations;
❚ Perfecting materials whose temperature behavior and mechanical performance are suited to the
constraints of future internal combustion engines.
INSIGHT > Michel ROLLIER,
Managing Partner, Michelin Group
“The relationship between Michelin
and Rhodia goes back to the beginning
of the 1980s and the development
of highly dispersible silica (HDS) which
has properties that are highly advantageous
for reinforcing rubber. Rhodia’s
contribution has been essential to the
development of “green tires”, which
fall within the scope of our sustainable
mobility strategy. Michelin appreciates
the skill of Rhodia’s teams and our
two companies are currently involved
in studying new products.
Today our partnership is extended to
Challenge Bibendum, which covers
all dimensions of sustainable road
mobility: fuels, propulsion systems,
alternative energies, exhaust systems,
new materials, increased safety,
etc. As shown by Rhodia during the
2006 Challenge Bibendum, the chemicals
industry is capable of providing,
without exception, elements of solutions
in all these areas, in collaboration
with many other partners.
Rhodia is therefore a fully-fledged
player in road mobility and a longterm
partner of Michelin, by our side
in all our markets, including China
which we both consider to be a strategic
challenge.”
Corporate governance:
in line with best practices
RHODIA’S CORPORATE GOVERNANCE
Rhodia is committed to observing the strictest rules and principles of corporate governance
and promoting transparency and rigor.
Rhodia’s Board of Directors implements a
governance policy that incorporates the
recommendations of the AFEP-MEDEF
consolidated report of October 2003,
as well as the current American rules
or recommendations. Rhodia places
great importance on the observance
of these rules pertaining to the independence
of members of the board of
directors and its committees.
In order to satisfy the requirements
of the Financial Security Act and the
Sarbanes-Oxley Act, which are aimed
at demonstrating the effectiveness
of internal control, a specific analysis
was carried out to identify procedures
impacting financial information, list
the specific risks associated with these
procedures and define checks allowing
their control. The effectiveness
of the Group’s internal controls was
recorded over the 2006 financial year,
thus marking the success of Rhodia’s
Sarbanes-Oxley project.
The Board of Directors and
its Committees
The Board of Directors determines the
company’s main strategic, economic,
financial and technological policy guidelines.
Seven of the eleven board members
are classed as independent, according to
criteria published in the Bouton report*.
Three consultative committees, composed
solely of independent board members,
assist the Board of Directors.
AUDIT COMMITTEE
❚ 3 independent members
❚ 8 meetings in 2006
allocations. Its work also concerns any
capital increases reserved for employees,
replacement plans for members of
the Executive Committee and initiatives
for significant organizational changes
to Group management.
STRATEGY COMMITTEE
❚ 3 independent members
❚ 2 meetings in 2006
❚ 100 percent attendance rate
The main role of the strategy committee
is to make the necessary preparations
for the Board’s decisions relating to the
Group’s strategy, examining portfolio,
investment and alliance operations in
INSIGHT > Aldo CARDOSO, Member of Rhodia‘s Board
of Directors - Chairman of the Audit Committee
“Rhodia was able to take the many requirements laid down by the
Sarbanes-Oxley Act and, closely monitored by the Audit Committee
and the Board of Directors, redefine its procedures and thus transform
requirements into opportunities. Having come to the end of its
recovery period, the Group now has streamlined procedures in place
that enable tight and effective controls. These guarantee the reliability
of the data used for decision making as well as the quality of information
for investors.”
Transparency
and credibility
RHODIA’S SHAREHOLDERS
To regain and retain the trust of investors requires both showing operational performance
that matches expectations and putting into practice a policy of transparency and dialog
with all shareholders, both institutional and individual.
1 Annual General Meeting of the Group.
2 Letters to shareholders.
Rhodia maintains a continuous dialog
with the financial community and,
especially during 2006, made every
effort to give all its shareholders the
means for a fuller and more immediate
understanding of the company’s
overall situation.
Giving everyone concerned
the same information at the
same time
To do this, a new format for publishing
results, clearer and more complete, was
launched in 2006.
Rhodia is also careful to maintain continuity
of information among its various
financial communication media.
In addition, press releases sent to institutional
shareholders are also sent
by electronic mail to members of the
Shareholders Club, on request.
Face-to-face meetings
In 2006, Rhodia continued its policy of
meetings with individual shareholders by
attending, as every year, the Actionaria
investor fair in Paris and organizing
regional meetings, which were held in
Nice, Toulouse and Strasbourg. Further
meetings will be organized in 2007.
Institutional shareholders:
the change reflects market
confidence
During 2006, Rhodia noted a change in
the profile of its shareholders with an
increase in the number of “long-term”
institutional investors.
In addition, Rhodia also noted a return
of French institutional investors.
EMPLOYEE SHARE OFFER
In the summer of 2006, 28 million
shares, out of a total of 1.2
billion, were created and fully
subscribed by 5,000 employees
who are now in a position to
share in the Group’s success.
This commitment by employees,
who now represent almost four
percent of Rhodia’s capital, is an
important sign of confidence in
the future of the Group.
