2.4. Responsibilities of the Customer (Cont’d)
2.4.5. The Carrier Customer agrees, except where the events, incidents or eventualities set forth
in this sentence are the result of the Company’s gross negligence or willful misconduct,
to release, indemnify and hold harmless the Company against any and all loss, claims,
demands, suits or other action or any liability whatsoever, whether suffered, made,
instituted or asserted by the Carrier Customer or by any other party or person, for any
personal injury to or death of any person or persons, or for any loss of or damage to any
property, whether owned by the Carrier Customer or others. The Carrier Customer shall
reimburse the Company for all costs, expenses and fees (including reasonable attorneys’
fees and costs) incurred by the Company in its defense against such actions.
