Bendix remanufactured air and hydraulic brake parts are the same high technology, high quality and superior performance parts supplied in their original equipment lines. These parts are made available to retail outlets through the service organizations of the original equipment manufacturers (OES) and through authorized independent aftermarket distribution channels (IAM). PROGRAM OVERVIEW BENDIX CORE PROGRAM HANDBOOK AIR AND HYDRAULIC BRAKE COMPONENTS OUTRIGHT CORE EXCHANGE PROGRAM GENERAL The price of Bendix remanufactured air, hydraulic brake, and Bendix Truck Products components is based on the assumption that a used component or “Core” will be returned to Bendix for each remanufactured component purchased. Customers have 12 months from the end of the month in which their order is shipped to return a core to Bendix. Bendix maintains detailed records of units shipped, cores returned and cores eligible for return for credit against future purchases. An account statement itemizing core status is prepared monthly and sent to each customer. This statement is called a "Bendix Core Activity Report". These reports are subject to the terms and conditions set forth in this handbook, and are available for viewing on bendix.biz with proper authorization and use of a designated password. HOW CORE ACCOUNTS WORK When a remanufactured exchange order is shipped from Bendix, the customer is billed at the remanufactured exchange price and a core allowance for each unit shipped is debited to the customer's core account. When eligible cores are returned to Bendix, credits are issued to the customer's relevant open core accounts. The credit is applied against the oldest outstanding exchange purchase. A customer core account has no independent value other than as a potential credit against a future product purchase from Bendix. At no time, and under no circumstances, shall Bendix be required to issue any cash payment to a customer with respect to a core account, even upon the termination of Bendix's core program or termination of customer's distributorship agreement with Bendix, and regardless as to whether a customer has a positive or negative core account balance. A core account is not a customer security deposit, nor other type of customer asset. Bendix reserves the right at all times to set off a customer's core bank value against any customer accounts receivable. HOW CORE GROUPS WORK Bendix air and hydraulic brake components are divided into product groups that are established by similarity of design features. Bendix Truck Products components are divided into compressor and valve product groups. Customer core accounts will be set up and tracked for each separate core group. CORES PURCHASED AND RETURNED APPLY ONLY TO SPECIFIC CORE GROUPS AND CANNOT BE TRANSFERRED BETWEEN GROUPS (see specifi c transfer rights under Policy section). In the event Core Groups are changed by Bendix, impacted customers will be notifi ed. BW1020A 2 November 2009
