NOTICE OF Annual General Meeting NOTICE IS HEREBY GIVEN that the 44th Annual General Meeting of Kian Joo Can Factory Berhad will be held at the Conference Room, Lot 6, Jalan Perusahaan 1, 68100 Batu Caves, Selangor on Wednesday, 19 June 2002 at 3.00 p.m. for the following purposes - AGENDA 1. To receive and adopt the audited financial statements for year ended 31 December 2001 together with the Directors and Auditors’ Reports thereon. 2. To approve a Final Dividend of 10% tax exempt in respect of financial yearended 31 December 2001. 3. To approve Directors’ Fees of RM205,000 for the financial year ended 31 December 2001. To re-elect the following directors retiring by rotation in accordance with Article 104 of the Company’s Articles of Association Dato’ See Teow Chuan See Teow Koon See Tiau Kee 5. A member of the Company entitled to attend and vote at the Meeting may appoint a proxy to attend and vote in his stead. A proxy may but need not be a member of the Company and the provisoins of Section 149(1)(a) and (b) of the Companies Act, 1965 shall not apply to the Company. 2. The instrument appointing a proxy shall be in writing under the hand of the appointor or his attorney duly authorised in writingor, if such appointor is a corporation, under its common seal or the hands of its attorney. 3. All forms of proxy should be deposited at the Registered Office of the Company situated at Lot 10, Jalan Perusahaan 1, 68100 Batu Caves, Selangor Darul Ehsan not less than 48 hours before the time appointed for holding the meeting or any adjournment thereof, failing which the instrument appointing a proxy shall not be treated as valid. 02 .
