Dear Sir,<br />

1.0 Introduction:<br />

Rajkot, an important Urban Centre located in Saurashtra region. It is fast emerging as a<br />

center of trade and commerce, serving the state in general and the region in particular.<br />

The increased intensity of traffic is due to rapid industrial and commercial development<br />

which has resulted in manifestation of problems like traffic congestions, delays,<br />

accidents, pollution etc.<br />

Rajkot city is spread over 104.86 sq.kms and having population of 1.43 million. The<br />

population growth rate is noted as 4% per annum, which is comparatively higher than<br />

Indian city of similar size.<br />

Description of Mavdi road junction:<br />

A major area surrounding Mavdi main road is developed. Around 50,000 residents are<br />

having only connecting city road. People using this road are facing sever traffic<br />

congestion and traffic jam problem. 150 ring road being bye-pass road in city of Rajkot<br />

for people traveling Gondal, Shapar-Veraval Industrial Area, Veraval Porbandar etc. to<br />

Kalawad, Metoda Industrial area, Morbi, Jamnagar, etc. heavy traffic passes on the road.<br />

On construction of fly over on Mavdi road, traffic of city people will be reduced resulting<br />

in easy passing of heavy vehicle and minimization of accident.<br />

Therefore, you are invited to submit a technical and financial proposal for consultancy<br />

services required for the assignment named above and referred to in the data sheet<br />

attached.<br />

2.0 Preparation of offers:<br />

2.1 You are requested to submit a technical and a financial offer. Your offer must be<br />

written in English. All pages of your offer must be properly numbered and initialed<br />

by you or your authorized officer.<br />

2.2 Along with the technical bid the Earnest Money Deposit amounting to Rs.50,000/-<br />

shall have to be paid either in cash or in form of Demand Draft of any Schedule Bank<br />

except Co-operative Bank. DD shall be in favour of "Municipal Commissioner,<br />

Rajkot Municipal Corporation, Rajkot"<br />

3.0 Technical offers :<br />

3.1 You are expected to examine all terms and instructions contained in these<br />

documents. Failure to provide all requested information will be at your risk<br />

and may result in rejection of your offer.<br />

3.2 During the preparation of the technical offer, you must give particular attention to<br />

the following:<br />

i. If you consider that your firm does not have all the expertise for the<br />

assignment, you are requested to not to quote.<br />

ii. Your offers should be based on a number of key professional staff –<br />

months substantially in accordance with the requirement of the<br />

consultancy services required for the project. The consultant may provide<br />

for support staff as deemed necessary.<br />

The majority of the key professional staff proposed must be either<br />

permanent employees of the firm, or should be associated with the firm on<br />

a long-term basis unless otherwise as indicated in the data sheet.<br />

A good working knowledge of Gujarati is essential for key professional<br />

staff of this assignment. Study reports must be in the English language.<br />

3.3 Your technical offer must provide following information using, but not limited to,<br />

the formats attached in appendixes- A to N.<br />

i. A brief description of the consultant’s organization and an outline of<br />

recent experience on assignments of a similar nature. The information you<br />

will provide on each assignment should indicate, inter-alia, the profiles of<br />

the staff provided, duration, contract amount and firm involvements;<br />

Any comments or suggestions on the TOR’s and a description of the<br />

methodology(work plan) which the consultants propose to execute the<br />

services, if require, illustrated figure/graph/drawing<br />

The consultant’s comments, if any, on the data, services and facilities to<br />

be provided by client and those indicated in the TOR’s.<br />

3.4 The Technical offer must not include any financial information.<br />

3.5 FINANCIAL OFFERS<br />

The Financial Offer should list the costs associated with the assignment. The<br />

consultant shall work out the estimated cost on lump sum basis for consultancy<br />

service for for detailed project report of Flyover at Mavdi Road<br />

crossing 150' Ring Road junction, Rajkot along with draft tender<br />

documents.<br />

4.0 OFFER EVALUATION<br />

4.1 A two-stage procedure will be adopted in evaluating the offers for minimum<br />

technical qualified consultant as explained below will be evaluated as per<br />

Appendix-F<br />

i. Technical evaluation: which will be carried out prior to opening any<br />

Financial Offer; For minimum qualification, in last five year ending<br />

31.06.2013, Consultant must have completed for Govt. / Semi Govt. /<br />

Public Sector, as prime consultant to end user / client up to physical<br />

completion of the project for:-<br />

a. One major Bridge – Flyover / ROB / River bridge project with each<br />

valuing not less than Rs 20.00 Crores<br />

. Three bridge projects with span not less than 30.0 m, which should be of<br />

PSC, Steel or composite girders.<br />

ii. Financial evaluation: The price proposal of only responsive offer will be<br />

opened.<br />

5.0 NEGOTIATIONS<br />

5.1 Prior to the expiration period of offer validity, Client will notify the<br />

successful consultant whose offer is lowest.<br />

5.2 Negotiations will be held at the date and address indicated in the Data Sheet. The<br />

invited Consultant will, as a pre-requisite for attendance at the negotiations,<br />

confirm availability of all Professional staff. Failure in satisfying such<br />

requirements may result in the Client proceeding to negotiate with the Consultant<br />

whose Financial Proposal is second lowest. Representatives conducting<br />

negotiations on behalf of the Consultant must have written authority to negotiate<br />

and conclude a Contract.<br />

5.3 Negotiations will include a discussion of the Technical Proposal, the proposed<br />

technical approach and methodology, work plan, and organization and staffing,<br />

and any suggestions made by the Consultant. The Client and the Consultants will<br />

finalize staffing schedule, work schedule, logistics, and reporting. The Client shall<br />

prepare minutes of negotiations which will be signed by the Client and the<br />

Consultant. Special attention will be paid to optimise the required outputs<br />

from the Consultants within the available budget and to define clearly the<br />

inputs required from Client to ensure satisfactory implementation of the<br />

Assignment;<br />

5.4 Charges agreed upon will then be reflected in the Financial Offer as final offer.<br />

6.0 AWARD OF CONTRACT<br />

6.1 The contract will be awarded after successful Negotiations with the successful<br />

Consultants.<br />

6.2 The selected Consultant is expected to commence the Assignment on the date and<br />

at the location specified in the Data Sheet.<br />

AGREEMENT<br />

Municipal Corporation, Rajkot , (hereinafter called “the Client”) of the one part and<br />

CONDITIONS OF CLIENT /CONSULTANT SERVICES AGREEMENT<br />

GENERAL CONDITIONS<br />

1.0 Definitions and Interpretation<br />

1.1 Definition:<br />

The following words and expressions shall have the meanings assigned to them except<br />

where the context otherwise requires :<br />

• “Project” means the project for which the works are to be provided as described in<br />

Appendix-A.<br />

• “Services” means the services to be performed by the Consultant in accordance with<br />

the Agreement as specified under the Scope of Services and Detailed Terms of<br />

Reference given at Appendix B & C, and comprise Normal services, Additional<br />

Services and Exceptional Services.<br />

• “Client” means the party named in the Agreement, who employs the consultant, and<br />

legal successors to the Client and permitted assignees.<br />

• “Consultant” means the party named in the Agreement, who is employed as an<br />

independent firm by the Client to perform the services, and legal successors to the<br />

Consultant and permitted assignees.<br />

• “Party” and “Parties” mean the Client and the Consultant and “Third Party” means<br />

any other person or entity as the context requires.<br />

• “Agreement” means the conditions comprising the conditions of the<br />

Client/Consultant Services Contract.<br />

• “Month” means the period of one month according to the Gregarioan Calendar<br />

commencing with any day of the month.<br />

• “Contractor” means any person or persons, firm or company under contract to the<br />

Client to perform work and/or supply goods in connection with project/Consultants<br />

Agreement.<br />

• “Day” means the period of twenty-four hours commencing with the midnight of any<br />

one day.<br />

• “Fees” means the amount of money to be paid to the Consultant by the Client for<br />

services rendered by the Consultant to the Client.<br />

1.2 Relationship between parties<br />

Nothing contained herein shall be construed as establishing a relation of master and<br />

servants or of agent or principal between the client and the consultants. The consultants,<br />

subject to this agreement, have complete charge of Personnel performing the services and<br />

shall be fully responsible for the services performed by them on their behalf hereunder.<br />

1.3 Interpretations<br />

1.3.1 The headings shall not limit, alter or affect the meaning of the agreement.<br />

1.3.2 The singular includes the plural, the masculine includes the feminine, and viceversa,<br />

where the context so requires.<br />

1.3.3 If there is conflict between provisions of the Agreement, the last to be written<br />

chronologically shall prevail.<br />

1.4 Consultant’s Personnel<br />

i) General<br />

The Consultants shall employ and provide such qualified and experienced<br />

personnel as are required to carry out the Services.<br />

ii)<br />

Description of Personnel<br />

a) The title, agreed job description, minimum qualification in the carrying out of the<br />

Services of each of the Consultants’ Key Personnel is described in Appendix-J.<br />

b) The consultant hereby agrees to engage the personnel and sub consultants listed<br />

by Title as well as by Name in the Appendix-J in order to fulfill the contractual<br />

obligation under the contract.<br />

iii)<br />

Changes in personnel<br />

a) Except as otherwise agreed by the client, no changes shall be made in the Key<br />

Personnel. If for any reason beyond the control of the consultants, it becomes<br />

necessary to replace any of the personnel, then the consultants shall forthwith<br />

provide as a replacement a person of equivalent or better qualification and<br />

experience.<br />

) If the consultant finds (i) that any of the Consultant’s Personnel has committed<br />

serious misconduct or has been charged with having committed a criminal action,<br />

or (ii) has reasonable cause to be dissatisfied with the performance of any of the<br />

personnel, then the consultants shall at the client’s written request specifying the<br />

grounds therefore, forthwith provide as a replacement a person with equivalent<br />

qualifications and experience acceptable to the client.<br />

1.5 Commencement, completion, alteration and termination of the agreement.<br />

1.5.1 Agreement Effective.<br />

The Agreement is effective from the date of receipt by the Consultant of the Client’s<br />

Letter of Acceptance of the Consultant’s offer.<br />

1.5.2 Commencement and Completion<br />

The services shall be commenced and completed at the times or within the periods stated<br />

in Part-II subject top extensions in accordance with the Agreement.<br />

1.5.3. Modification to Agreement<br />

Should circumstances arise which call for modification of the Agreement, these may be<br />

made by mutual consent given in writing. Offer in this respect from one party shall be<br />

given due consideration by the other party.<br />

1.5.4. Delays<br />

If the services are impeded or delayed by the client or his agents so as to increase the<br />

quantum or duration of the services;<br />

i) The consultant shall inform the Client of the circumstances and probable effects<br />

including increase in his fees;<br />

ii)<br />

iii)<br />

The increase shall be regarded as Additional Services and the fee will be<br />

enhanced at the rate of maximum 10% of consultancy fees;<br />

The time for completion of the services shall be increased accordingly.<br />

1.5.5 Changed Circumstances<br />

a) If circumstances arise for which the Consultant is not responsible and which make it<br />

impossible for him to perform in whole or in part the services in accordance with the<br />

Agreement he shall promptly notify the Client in writing.<br />

b) In these circumstances, if certain services have to be suspended, the time for their<br />

completion shall be extended until the circumstances no longer apply plus a reasonable<br />

period not exceeding 30 days for resumption of these services.<br />

c) If the speed of performing certain services has to be reduced, the time for their<br />

completion shall be extended as may be made necessary by the circumstances.<br />

1.5.6 Abandonment, Suspension or Termination<br />

a) Failure to become effective:<br />

If this agreement has not become effective within such time period after the date of the<br />

contract signed by the parties as shall be specified in part-II, either party, may by not less<br />

than four (4) weeks notice to the other party, declare this agreement to be null and void,<br />

and in the event of such a declaration by the either party, neither party shall have any<br />

claim against the other party with respect hereto;<br />

b) By notice of the Client:<br />

i) The Client may suspend all or part of the services or terminate the agreement by<br />

giving notice, in writing of at least 60 days to the consultant who shall<br />

immediately make arrangements to stop the services and minimize expenditure.<br />

ii)<br />

If the Client considers that the Consultant is without good reason not discharging<br />

his obligations under this agreement, the Client shall give a notice stating the<br />

grounds for the notice. If a satisfactory reply is not received within 30 days the<br />

Client can by a further notice, in writing, terminate the Agreement provided that<br />

such further notice is given within 45 days of the Client’s earlier notice.<br />

c) Force Majeure<br />

Neither the Client nor the Consultant shall be considered in default in performance of the<br />

obligations under this Agreement if such performance is prevented or delayed by events<br />

such as, but not limited to, war, hostilities, revolution, riots, civil commotion, strikes,<br />

lock-outs, conflagrations, epidemics, accident, fire, wind, flood, drought, earthquake or<br />

ordinance of any Government or of any sub-division there of, or because of any act of<br />

God, or for any other cause beyond the reasonable control of the party affected, provided<br />

notice in writing of any such cause with necessary evidence that the obligation under the<br />

agreement is thereby affected or prevented or delayed is given within 10(ten) days from<br />

the happening of the event and in case it is not possible to serve the notice within the said<br />

ten days period, then within the shortest possible period without delays. As soon as the<br />

cause of force majeure has been removed, the party whose ability to perform its<br />

obligation has been affected shall notify the other of such cessation and of the actual<br />

delay incurred in such affected activity adducing necessary evidence in support thereof.<br />

From the date of the occurrence of a case of force majeure, the obligations of the party<br />

affected shall be suspended during the continuance of any inability so caused until the<br />

cause itself and the inability results the respective obligations under the agreement shall<br />

stand extended by a period equal to the period of delay occasioned by such events.<br />

d) Default by the Client<br />

The Consultant may by written notice to the Client terminate this Agreement.<br />

i) If he has not received payment of that of any invoice which is not contested<br />

within sixty(60) days of submission thereof;<br />

ii)<br />

If the services have been postponed as provided for in Clause 1.5.6(b) and the<br />

period of postponement has exceeded six(6) months.<br />

e) Entitlement of Consultant upon postponement or Termination<br />

Upon postponement of the Services or termination of this Agreement under clause<br />

1.5.6(b), (c) or (d) and subject to the obligation of the Consultant to reduce expenditure to<br />

a minimum as stated in clause1.5.6(b) the Consultant shall be entitled to receive the<br />

remuneration due up to the effective date of postponement or termination and<br />

reimbursement in full for such of the costs specified in Schedule-I, in proportion and<br />

equivalent to the actual expenditure have been incurred prior to the effective date of such<br />

postponement or termination and for all costs incidental to the orderly termination of the<br />

services, including return travel of the Consultant’s personnel.<br />

f) Claims for Default<br />

Any claim for damages arising out of default and termination shall be agreed by and<br />

between the Client and the Consultant or, failing agreement , shall be referred to<br />

arbitration in accordance with clause 1.5.6(g) of this Agreement.<br />

g) Arbitration<br />

Any dispute or difference arising out of this Agreement which cannot be amicably settled<br />

within thirty days(30) including those considered as such by only one of the parties, shall<br />

be finally settled under the provisions of the Indian Arbitration and Conciliation Act 1996<br />

and the rules made there under, as amended from time to time. The decision of the<br />

Arbitrator shall be final and binding on both parties. The resulting award shall be in lieu<br />

of any other remedy.<br />

1.5.7. Exceptional Services<br />

a) Upon the occurrence of circumstances described in clause 1.5.6 or abandonment<br />

or suspension or resumption of services or upon termination of the Agreement<br />

otherwise than under the provisions of Clause 1.5.6(b) any necessary work or<br />

expense by the Consultant extra to the Normal and Additional Services shall be<br />

regarded as Exceptional Services.<br />

b) The performance of Exceptional Services shall entitle the Consultant to extra time<br />

necessary for their performance and to payment for performing them.<br />

1.5.8 Rights and Liabilities of parties<br />

Termination of the Agreement shall not prejudice or affect the accrued rights or<br />

claims and liabilities of the parties.<br />

1.5.9 Assignment<br />

a) The Consultant shall not, without the written consent of the Client, assign the<br />

benefits, other than the assignment of any monies due, or to become due under<br />

this Agreement.<br />

b) The Consultant shall not without the written consent of the Client, in any way<br />

assign or transfer the obligations of this Agreement or any part thereof.<br />

1.5.10 Cessation of Rights and Obligations<br />

Upon termination of this agreement pursuant to the provisions of this agreement<br />

or upon expiration of the agreement, all rights and obligations of the parties<br />

hereunder shall cease, except<br />

i. Such rights and obligations as may have accrued on the date of termination<br />

or expiration;<br />

ii. The obligation of secrecy of service and confidentiality;<br />

iii. Any right which a party may have under the Applicable Law.<br />

1.6 Fee & Terms of Payment<br />

1.6.1 The Client shall pay the Consultant for the Consultancy Services in accordance with the<br />

conditions and details stated in Schedule-I and in accordance with clause 1.6.3 as agreed<br />

while signing the agreement for the scope of work contained in the Scope of Services and<br />

TOR.<br />

1.6.2 Unless otherwise agreed in writing the client shall pay the Consultant in respect of<br />

additional services not covered in the Scope of Services and TOR.<br />

a) as for additional services for extra time spent by the Consultant’s personnel in the<br />

performance of the services.<br />

b) The net cost of all other expense incurred by the Consultant. The additional payments<br />

shall be decided on a mutually agreed basis.<br />

1.6.3 Payments<br />

a) Contract Amount<br />

An all inclusive cost of the services payable in Local currency is set forth in Schedule-I<br />

b) Currency of payment<br />

All payments shall be made in Indian rupees<br />

c) Mode of Billing and Payments<br />

i. Payments will be made by the client to the consultant as per Appendix - D<br />

ii.<br />

The consultant shall submit the invoices in duplicate to the client on firms printed<br />

bill forms indicating the work done by him during the period for which payment<br />

is sought<br />

The client shall cause the payment of the consultant periodically as given in the<br />

Break up of Fee Payment Schedule (Appendix – D) within thirty(30) days after<br />

the receipt by the client of invoices with supporting documents. If the progress is<br />

not satisfactory and according to the agreed work program/schedule the<br />

payment may be withheld until such times the consultant rectifies the<br />

required shortfall. Interest at the rate specified in the part-II shall become<br />

payable to the Consultant as from the above due date on any amount due by but<br />

not paid on such due date.<br />

The final payment under this Clause shall be made only after the final report and a<br />

final statement, identified as such shall have been submitted by the Consultants<br />

and approved as satisfactory by the client. The services shall be deemed<br />

completed and finally accepted by the Client and the final report and final<br />

statement shall be deemed approved by the client satisfactory ninety(90) calendar<br />

days after receipt of the final report and final statement by the client unless the<br />

client within such ninety(90) day period, gives written notice to the Consultants<br />

specifying in detail deficiencies in the services, the final report or final statement.<br />

v. The consultants shall thereupon promptly make any necessary corrections, and<br />

upon completion of such correction, the foregoing process shall be repeated. Any<br />

amount which the client has paid or caused to be paid in accordance with<br />

this clause in excess of the amounts actually payable in accordance with the<br />

provisions of this contract shall be reimbursed by the Consultants to the<br />

client within thirty(30) days after receipt by the consultants of notice thereof.<br />

Any such claim by the client for reimbursement must be made within twelve(12)<br />

calendar months after receipt by the Client of a final report and a final statement<br />

approved by the Client in accordance with the above.<br />

vi.<br />

All payments under this contract shall be made to the accounts of the consultants<br />

with the Consultants Banker specified in part-II.<br />

1.7 General Provisions<br />

1.7.1 Documents prepared by the Consultants to be the property of the Client.<br />

All plans, drawings, specifications, designs, reports, other documents prepared by the<br />

consultants in performing the services for the client under this contract shall become and<br />

remain the property of the Client and the Consultants shall not later than 30 days upon<br />

termination or expiration of this contract, deliver all such documents to the client together<br />

with a detailed inventory thereof. The Consultants may retain a copy of such documents.<br />

1.7.2 Copyright<br />

The client retains copyright of all documents prepared by consultants. The client shall be<br />

entitled to use them or copy them only for the work and the purpose for which they are<br />

intended, and need not obtain the consultant’s permission to copy for such use. The<br />

consultant shall express permission from the client for copying the documents for the<br />

purpose for which they are intended.<br />

1.7.3 Conflict of interest<br />

a) Unless otherwise agreed in writing by the Client, the Consultant and his personnel<br />

shall have no interest in or receive remuneration in connection with the project<br />

except as provided for in the Agreement<br />

b) The Consultant shall not engage in any activity which might conflict with the<br />

interests of the Client under the Agreement.<br />

1.7.4 Notices<br />

Notices under the Agreement shall be in writing and will take effect from receipt at the<br />

address stated in Part-II. Delivery can be by hand or facsimile message against written<br />

confirmation of receipt or by registered letter or by telex subsequently confirmed by<br />

letter.<br />

1.7.5 Publication<br />

Unless otherwise specified the Consultant, either alone or jointly with other, can publish<br />

material relating to the works and services. Publication shall be subject to approval of the<br />

client if it is within two years of completion or termination of the services.<br />

1.7.6 No patented or patent pending articles, methods, or devices shall be used or supplied in<br />

connection with the work or incorporated in the work without the prior written approval<br />

of the client, if the terms of purchase involve or require the payment of any license fee or<br />

royalty in addition to the purchase price, and do not contain patent identification in a form<br />

satisfactory to the client.<br />

1.7.7 Secrecy<br />

The Consultant shall use all the documents, drawings and other data and information of a<br />

proprietary nature received from the client, solely for the purpose of performing and<br />

carrying out the obligations on his part under the agreement and shall not disclose the<br />

same to any other person except to the extent required, in the performance of the work for<br />

the project and shall maintain the utmost secrecy. The consultant shall bind his employees<br />

who are involved in engineering of the project by a suitable secrecy agreement. The<br />

documents, drawings and other data and information received from the client shall not be<br />

used by the consultant for any other purpose.<br />

1.7.8 Applicable Laws<br />

The rights and obligations of the client and the consultant under this agreement will be<br />

<strong>gov</strong>erned by the laws of the land.<br />

2.0 Obligations of the Consultant<br />

2.1 Scope of Services<br />

The Consultant shall perform services relating to the project. The scope of the services is<br />

stated in Appendix-B.<br />

2.2 Normal, Additional & Exceptional Services<br />

2.2.1 Normal services are those described as such in Appendix-B and Appendix-C<br />

2.2.2 Additional services are those described as such in Appendix-B & Appendix-C or<br />

which by written agreement of the parties are otherwise additional to normal<br />

services.<br />

2.2.3 Exceptional services are those which are not normal or additional services but<br />

which are necessarily performed by the Consultant consequent to such changed<br />

circumstances for which consultant is not responsible and in accordance with the<br />

agreement or arising out of abandonment or suspension or resumption or services.<br />

2.3 Care and Exercise of Authority<br />

2.3.1 The Consultant shall exercise reasonable skill, care and diligence in the<br />

performance of his obligations under the agreement.<br />

2.3.2 Where the services include the exercise of powers or performance of duties<br />

authorized or required by the terms of the agreement between the client and any<br />

third party, the Consultant shall;<br />

a) act in accordance with the agreement provided that the details of such<br />

powers and duties are acceptable to him where they are not described in<br />

Appendix-B<br />

b) if so authorized, certify, decide or exercise his discretion fairly between<br />

the client and third party not as an arbitrator but as an independent<br />

professional by his skill and judgment.<br />

2.4 Performance Guarantee<br />

2.4.1 The Consultant shall carry out the services in conformity with generally accepted<br />

norms as have been recommended IRC/BIS/MOST and sound standards of<br />

engineering and be responsible for the technical soundness of the services<br />

rendered. In the event of any deficiency in services, the consultant shall<br />

promptly redo such design and engineering, at no additional fees to the<br />

client.<br />

2.4.2 The consultant shall guarantee the performance of the works as per designs and<br />

specifications prepared by him. In the event of the failure to achieve the<br />

guaranteed performance as laid down in the agreement due to reasons directly<br />

attributed to the consultant, he shall be liable for such failure and the liability shall<br />

be limited to a maximum on all accounts up to 10% of the fees received by the<br />

consultant<br />

2.4.2 The consultant shall be responsible for obtaining final approval of Competent<br />

authority of Govt of India/ Govt of Gujarat as case may be.<br />

2.5 Fairness and Good faith<br />

2.5.1 Good Faith<br />

The parties undertake to act in good faith with respect to each other’s rights under<br />

this contract and to adopt all reasonable measures to ensure the realization of the<br />

objectives of this contract.<br />

2.5.2 Operation of the Contract<br />

The parties recognize that it is impractical in this contract to provide for every<br />

contingency which may arise during the life of the contract, and the parties hereby<br />

agree that it is their intention that this contract shall operate fairly as between<br />

them, and without detriment to the interest of either of them, and that, if during<br />

the term of this contract either Party believes that this contract is operating<br />

unfairly, the Parties will use their best efforts to agree on such action as may be<br />

necessary to remove the cause or causes of such unfairness, but no failure to agree<br />

on any action pursuant to this clause shall give rise to dispute subject to<br />

arbitration.<br />

3.0 Prints, Drawings & Specifications<br />

The consultant will furnish free of cost to the client fifteen sets of project reports,<br />

estimates, drawings, design reports, tender documents, specifications, schedules, etc. soft<br />

copy of final drawings in Autocad format in CD or DVD. Additional copies required by<br />

the client will be furnished by the consultant on payment. The consultant shall also<br />

make available two nos. of computer compact discs (CD) and one set of DVD of all<br />

documentation including power point presentation of the project and all drawings in<br />

Autocad format as described in details at Para titled as deliverable.<br />

4.0 Obligation of the client<br />

4.1 Survey and past report / study Data<br />

The client shall provide information regarding past report like City<br />

development Plan, City Mobility plan, BRTS plan etc., etc.,.<br />

4.2 The client shall, so as not to delay the services and within a reasonable time, give<br />

to the consultant free of cost all information which is in his power to obtain and<br />

which may pertain to the services.<br />

5.0 Decisions<br />

On all matters properly referred to him in writing by the consultant, the client shall give<br />

his decision in writing within a reasonable time so as not to delay the consultant’s<br />

services.<br />

APPENDIX-A<br />

OBJECTIVES AND DESCRIPTION OF THE PROJECT<br />

1.0 Preamble:<br />

Rajkot, an important Urban Centre located in Saurashtra region. It is fast emerging as a<br />

center of trade and commerce, serving the state in general and the region in particular.<br />

The increased intensity of traffic is due to rapid industrial and commercial development<br />

which has resulted in manifestation of problems like traffic congestions, delays,<br />

accidents, pollution etc.<br />

Rajkot city is spread over 104.86 sq.kms and having population of 1.43 million. The<br />

population growth rate is noted as 4% per annum, which is comparatively higher than<br />

Indian city of similar size.<br />

Description of Mavdi road crossing 150' Ring Road junction:<br />

A major area surrounding Mavdi main road is developed. Around 50,000 residents are<br />

having only connecting city road. People using this road are facing sever traffic<br />

congestion and traffic jam problem. 150 ring road being bye-pass road in city of Rajkot<br />

for people traveling Gondal, Shapar-Veraval Industrial Area, Veraval Porbandar etc. to<br />

Kalawad, Metoda Industrial area, Morbi, Jamnagar, etc. heavy traffic passes on the road.<br />

On construction of fly over on Mavdi road, traffic of city people will be reduced resulting<br />

in easy passing of heavy vehicle and minimization of accident.<br />

2.0 Terms of References for the Consultant:<br />

The Terms of References for the consultant can be list in broad way as under:<br />

1) Detailed field survey (Topographic survey) with road junction square at proposed site<br />

2) Required Geo technical investigations as per codal provisions (at least at five locations<br />

for this Flyover at required depth as per IRC guidelines )<br />

3) Traffic study – at least consecutive 3 days 24 hours<br />

4) Preparation of General arrangement drawing for proposed Flyover (as per guideline of<br />

IRC/MORTH) as well as getting approval with cost estimates<br />

5) Detail design & drawings of Substructure & superstructure including good for<br />

construction drawings<br />

6) Bridge under space design development for parking, vendor platforms, land scaping,<br />

seating, public toilets … … as necessary & deemed fit to the particular location<br />

APPENDIX – B<br />

SCOPE OF CONSULTANCY SERVICES<br />

Rajkot Municipal Corporation invites proposals for providing consultancy services for which<br />

the scope are as described below:<br />

Scope of Consultancy Services shall include:<br />

1. Review of all the available reports, drawings, and information, site details<br />

already available and consider the same while planning of the work.<br />

2. Consultant shall discuss and understand from RMC the requirement of the project and the<br />

data available and if necessary suggest collecting further data required for the project. TO<br />

perform – topo survey, traffic survey & to carry out the soil investigation.<br />

3. Consultant has to suggest various options for flyover including suitability for 2-lanes, 3-<br />

lanes, 4 –lanes for the work based on collected data. RMC may, if desired, present the<br />

feasibility report to lending agencies and Consultant shall make necessary documentation<br />

for the submission and carry out the modification as may be suggested.<br />

4. In order to visualize the project the feasibility report considering the data available with<br />

block estimate shall be prepared and submitted to RMC for suggestion if any and then<br />

finalizing the proposal incorporating the suggestion. The feasibility report shall be<br />

submitted within one month from the date of issue of work order.<br />

5. Consultant shall submit a detailed value engineering report clearly indicating<br />

various options of proposed flyover with the recommendation on most<br />

economical, technically feasible and constructible designs.<br />

6. Consultant shall submit a detailed design basis report clearly highlighting<br />

the proposed design methodology, codal provisions and loading requirements<br />

etc. for all the components of the proposed flyover.<br />

7. Consultant shall get the design and working/detailed drawings proof checked from<br />

any of the Indian Institute of Technology (IITs)/NIT at his own cost. The<br />

consultants shall also modify/revise the designs and drawings on the basis<br />

changes/modifications suggested by the proof consultant or Employer without any<br />

additional payment.<br />

8. Feasibility checking of General Arrangement Drawing (GAD) for the flyover<br />

and do necessary correction, if required. The traffic bypass arrangement/diversion<br />

to be used during the construction period should be prepared. The planning as a<br />

whole should be functional and aesthetically appealing and complying with<br />

all requirements of State Govt., Local Authorities, IRC and MOST.. In case of<br />

of


any modification in GAD consultant shall submit corrected copy of GAD in hard<br />

as well as in soft copy (in CDs)..<br />

9. Consultant shall submit the proposed land acquisition plans and detail Plan for<br />

proposed relocation of Overhead/Underground utilities.<br />

10. Based on the approved GAD, preliminary design, surveys and Geotechnical<br />

investigation, the consultant shall prepare detailed layout plans showing<br />

approach roads, bridge etc., prepare detailed engineering design, design calculations<br />

and drawings including detailed construction working drawings for all items of<br />

works. The drawings shall be prepared on computer in standard CAD formats. The<br />

entire final approved designs and estimates shall be submitted duly signed in<br />

original in 6 copies along with CDs.<br />

11. Consultant shall submit preliminary engineering design and drawings for all<br />

items of works along with Bill of Quantities with calculations for all quantities,<br />

cost estimate, analysis of rates and detailed specifications for all the items<br />

of the work for invitation of tenders for fixing executing agencies. The cost<br />

estimate is to prepare based on latest RMC’s SOR/ PWD’s SOR or Market Rate as case<br />

may be with updated escalation and as per instruction of Engineer.<br />

12. Consultant shall also submit and assist in getting the approval of detailed estimate<br />

from the client along with Bill of Quantities with Calculations for all the<br />

quantities, analysis of rates and detailed specifications for all the items of the work<br />

13. After the approval of estimate by client, the consultant shall submit detailed<br />

design delivery program with proposed flyover in consultation with RMC to<br />

match the construction program at site.<br />

14. Carry out investigations as may be required for the purpose of formulation<br />

of an effective cross Drainage system and design the drainage system for both<br />

surface and subsurface, if applicable in project stretch.<br />

15. On approval of the feasibility report selection of the alternative to be adopted. Consultant<br />

shall prepare detailed design for this approved flyover and submit necessary documents<br />

for tendering purpose including bridge underspace design developments as per TOR.<br />

16. Consultant shall technically scrutinize the various offers thus received from the bidders<br />

and submit the report for the final selection of agency. Based on the above documents,<br />

RMC shall call for the bids for construction of the flyover from the qualified and capable<br />

contractors.<br />

17. Once the agency for the construction of the work is finalized, consultant shall release<br />

detailed working drawings 'good for construction' as per mutually agreed work schedule<br />

so as to match the construction programme of the flyover reviewed from time to time by<br />

the contractor and approved by RMC. This includes plans with 3D, Auto Cad Drawings<br />

based upon the analysis with the required systems. Extensive three dimensional<br />

inference management, with low and high existing structures is required to be<br />

seen before finalizing any plans.<br />

18. Consultant shall supply free of cost all drawings (Hard copies and softcopy) of<br />

appropriate size in sufficient copies as directed by the Engineer.<br />

19. Consultant shall provide complete design support during construction stage<br />

including temporary works design submitted by contractor, road diversions, checking<br />

of executing agencies scaffolding/shuttering arrangements etc.<br />

20. Consultant shall visit the site during the contract period, without any extra cost,<br />

as directed by the Engineer in case of any problem relating to<br />

design/drawings. Total 12 site visits shall be considered by the Consultant during the<br />

execution of the bridge & for further visits the related expenses shall be mutually agreed<br />

upon with RMC officials.<br />

21. The consultant shall ensure that the work is executed conforming to the<br />

approved design, drawings and specifications. The period for execution of each<br />

bridge has been proposed as 24 months including monsoon. The consultant shall<br />

prepare and submit a detailed Quality Assurance Plan before execution of work.<br />

22. To work as representative of RMC at various levels for seeking appraisal and approvals<br />

from GOG / GOI & from nodal agency and as per the process prescribed under JNNURM<br />

/ SJMMSVY guidelines<br />

DETAILED TERMS OF REFERENCE<br />

1.0 Terms Of Reference:<br />

The scope of the work shall consist of carrying out the following activities in<br />

connection with the flyover proposed to be constructed at Mavdi road juction, Rajkot.<br />

The scope described hereunder Appendix B is only indicative in nature and shall not be<br />

limited to the same<br />

2.0 Study:<br />

This shall consist of preparation of a detailed Project Report containing:<br />

a) Technical Feasibility; various option and alternatives<br />

b) Preliminary Designs and Cost estimation;<br />

c) Financial projections for Project Finance, phasing of costs and Financing Plan for<br />

Financial Feasibility; (not applicable)<br />

d) Operational costs projection and analysis; (not applicable)<br />

3.0 Detailed Project Report:<br />

This consists of services to establish design parameters/equipment/machineries as per<br />

IRC/MOST/BIS norms include the following:<br />

3.1 Analysis of several alternatives.<br />

The alternatives should be complete in all respects including owning and<br />

operating costs and financial implications. Such analysis shall also include<br />

various structures with its advantages, disadvantages and suitability for the<br />

project, and consultant’s recommendations for selection of suitable structure. This<br />

category includes the preparation of conceptual and preliminary design and<br />

drawings including the following:<br />

a) Designing and documenting the works based on the guidelines contained<br />

in IRC/BIS/MOST for specifications, and normal design engineering<br />

practices;<br />

b) Recommending the most suitable alternatives with option of 2-lanes, 3-<br />

lane, 4-lanes with or without cycle track/ pedestrian facilities suggesting<br />

its merits/demerits to facilitate RMC official to take appropriate decision<br />

3.2 Design Norms:<br />

1. The design shall be carried out in terms of specifications of latest<br />

editions(and up-to-date correction/amendment/errata) of IRC (Indian<br />

Road Congress) and ISI (Indian Standard Institution) now BIS (Bureau<br />

of Indian Standards), international codes wherever applicable and as desired<br />

by the Client/Employer.<br />

2. Vertical Clearance as desired shall be provided.<br />

3. The girder may be of Precast pre-stressed concrete (Post tensioned),<br />

steel or composite or R.C.C/PSC Beams/Slabs etc. depending upon the<br />

field conditions and economy. End launching/crane erection of Girders<br />

from the approach road may be preferred.<br />

4. The approaches of the bridges may be Reinforced earth work or earth<br />

slopes or viaduct depending upon the site conditions and requirements of the<br />

Client. The decision of the Engineer-in-charge shall be final in this<br />

regard. The consultant shall provide alternatives with cost benefit<br />

analysis and full justification for the proposed alternatives.<br />

3.3 Detailed Project Report:<br />

a) Project report, preliminary plans and estimates and project implementation<br />

schedules<br />

b) The consultants shall carry out the conceptual and detailed engineering design,<br />

prepare engineering drawings and cost estimates for all project components.<br />

c) The consultants shall submit the following as the outcome of their services:<br />

2. Draft Project Report<br />

3. Final Detailed Project Report (DPR).<br />

4. Draft tender document.<br />

4.0 Deliverable<br />

1. The time period of consultancy service for the Detailed Project Report, preliminary<br />

engineering design shall be six months. The time shall start running from the date of<br />

acceptance order from the client.<br />

2. All design and drawing drafting, BOQ shall be carried out by computer aided design<br />

and drafting systems, including optimization and least cost analysis adopting latest<br />

and appropriate technology options.<br />

3. Detailed item rate estimates based on market rate analysis shall be prepared for each<br />

of the work. Estimate shall be framed for material and labour separately for each<br />

component of the project<br />

4. All designs, project reports and other reports as may be required shall have to be<br />

prepared and processed on computer using Microsoft Office 2003 & later version and<br />

AutoCAD 12 & later version. In each of the above case the consultant shall make<br />

available computer compact disk in two copies. All drawing must be provided in<br />

Auto CAD format and all reports/details in MS Office format except the design<br />

calculations. (design calculations submission can be allowed in PDF format)<br />

THE EVALUATION PROCEDURE<br />

Proposal fulfilling the MINIMUM REQUIREMENT OF PERSONNEL<br />

NUMBERS,QUALIFICATION AND EXPERIENCE IN RESPECTIVE CATEGORIES WITH<br />

THE FIRM as per Appendix requirements of T.O.R. only shall be evaluated on the basis of<br />

responsiveness to the Terms of Reference, applying the evaluation criteria, sub criteria and point<br />

system specified in the Data Sheet. A proposal shall be rejected at this stage if it does not respond<br />

to requirement of T.O.R. and also it shall be declared fail, if does not achieve the Minimum<br />

Technical Score indicated in the Data Sheet.<br />

The Consultant shall submit supporting authenticated / certified documents with his Technical<br />

proposal. The Client will verify submitted documents on the basis of their responsiveness to the<br />

Terms of Reference. If there is any anomaly between physical submitted supporting documents<br />

and original documents at this stage the Client shall reject the Consultant’s Proposal.<br />
