136 consolidated subsidiaries as listed in Note 30 to the<br />

consolidated financial statements for the year ended December 31,<br />

2010 (“List of the main consolidated companies by country”).<br />

The Group’s policy is not to own its business premises.<br />

Consequently, the Group’s sole real estate assets at December 31,<br />

2010 consisted of a building, held by S.C.I. Paris Etoile, where<br />

Cap Gemini S.A.’s headquarters are located, the Group’s<br />

University in Gouvieux, and approximately one-third of the office<br />

space used by the Group in India.<br />

The vast majority of the Group’s subsidiaries rent their business<br />

premises from third-party lessors. There is no relationship<br />

between these lessors and the Group and its senior executive<br />

management.<br />

SIMPLIFIED ORGANIZATION CHART FOR <strong>THE</strong> <strong>GROUP</strong><br />

The Group is composed of seven Strategic Business Units:<br />

� 4 global strategic business units:<br />

- Consulting<br />

- Infrastructure Services, i.e. the design, installation and<br />

maintenance of client infrastructures<br />

- BPO (business process outsourcing)<br />

- Local Professional Services, provided by the SOGETI subgroup<br />

and its subsidiaries<br />

� 2 systems integration and applicative maintenance strategic<br />

business units (generally known as “APP.S” for “Application<br />

Services”) in the following regions and countries:<br />

- APP.S 1: North America, UK and the Asia/Pacific region<br />

(excluding China), including global responsibility for the<br />

Financial Services sector<br />

- APP.S 2: France, Benelux, the Nordic countries, Germany<br />

and Central Europe, Southern European and Latin America<br />

(excluding Brazil)<br />

emerging countries (currently Brazil and China) and new<br />

business models.<br />

Cap Gemini S.A holds:<br />

�� a 99.99% stake in S.C.I. Paris Etoile, which owns a building<br />

located in Paris (Place de l’Etoile, 75017 Paris), rented out to<br />

Capgemini Service S.A.S. and Cap Gemini S.A.;<br />

�� the entire capital of a limited liability company (S.A.R.L.), which<br />

provides the premises, via a real estate leasing contract, for<br />

the Group’s University, an international training center located<br />

in Gouvieux, 40 km (25 miles) north of Paris, which opened at<br />

the beginning of 2003;<br />

�� the entire capital of an inter-company service company known<br />

as Capgemini Service S.A.S.<br />

The parent company, Cap Gemini S.A., defines the strategic<br />

objectives for the Group via its Board of Directors, and ensures<br />

their implementation. In its role as a shareholder, Cap Gemini<br />

S.A. contributes, in particular, to the financing of its subsidiaries,<br />

either in the form of equity or loans, or by providing security<br />

and guarantees. Finally, it allows its subsidiaries to use the<br />

trademarks and methodologies that it owns, notably “Deliver”,<br />

and receives royalties in this respect.<br />

The Group is also present in around thirty countries, which are<br />

in turn grouped into eight geographic areas:<br />

�� North America: USA, Canada<br />

�� the United Kingdom and Ireland<br />

�� France, to which our branch in Morocco is associated<br />

�� Benelux<br />

�� Nordic countries: Denmark, Norway, Sweden, Finland<br />

�� Germany and Central European countries: Switzerland,<br />

Austria, Poland, Czech Republic, Romania, Hungary, etc.<br />

�� Southern Europe (Italy, Spain, Portugal) to which Latin<br />

America is associated: Mexico, Brazil, Argentina, Chile, etc.<br />

�� and finally the Asia/Pacific region: India, China, Singapore,<br />

Hong-Kong, Australia.
