Our client
CFE is a multidisciplinary group active in the PPP, construction, real estate,
multitechnical, and marine engineering sectors. The group is listed in Euronext Brussels
and has activities all over the world.
The PPP division of CFE is specialized in DBFM (Design, Build, Finance and Maintain)
projects at small and large scales and project financing.
The PPP division of CFE currently holds participations in the following companies:

Coentunnel Company BV (18%), the company in charge of the project relating to
the design, the building, the financing and the maintenance of the second
Coentunnel in the Netherlands;
Locorail NV (25%), the company in charge of the project relating to the design,
the building, the financing and the maintenance of the Liefkenshoek rail link;
PPP Schulen Eupen NV (19%), the company in charge of the project relating to
the design, the building, the financing and the maintenance of seven schools of
the German-speaking Community located in Eupen;
Turnhout Parking NV (50%), the company in charge of the project relating to the
management and the exploitation of a parking located in Turnhout.
Our client is looking for a legal counsel.
Your function
As project finance legal counsel, you will provide legal support to CFE in relation to
DBFM projects.
You will report to the Head of the PPP division.
You will work in close collaboration with the financiers and the other members of the
PPP team of CFE.

Your scope of works shall include:
(a)
(b)
the selection of the outside counsels and the supervision of the work of the
outside counsels;
the drafting and the negotiation of the partnership agreement setting out the
principles applicable to the cooperation between CFE and its partners
(construction companies, investors, etc.) on a specific project;
(c) the review of the project documentation and the drafting of explanation requests /
questions to the client;

the drafting of a risk allocation matrix based on the project documentation;
the structuring of the legal aspects of the DBFM projects;
the drafting and the negotiation of the heads of terms of the contracts relating to
the project, including, but not limited to, the heads of terms of (i) the design and
construction subcontract, (ii) the maintenance subcontract, (iii) the interface
agreement, (iv) the shareholders agreement in relation to the project company
and (v) the financing term sheet;
the supervision of the legal aspects of the incorporation of the project company
and the maintenance company;
the participation to legal meetings with the client, the partners and/or the
financiers;
the provision of legal support to CFE (as shareholder of the project company)
during the operational phase of the DBFM project.
Your Profile
You obtained a Belgian Master in law.
You have 3 to 7 years of relevant experience, with at least 3 years in an international law
firm.
You have strong communication and interpersonal skills.
You like to work in a team but you are able to work independently.
You are fluent in Dutch, French and English, both written and orally.
