<strong>Legal</strong> <strong>counsel</strong> <strong>corporate</strong> <strong>law</strong> (m/f)<strong>Bpost</strong> (<strong>Brussels</strong>)Our ClientOur client is a large public enterprise (50 – 1 shares held by private partners) facing a rapid marketevolution in a highly regulated environment.A series of large-scale projects provide challenging new opportunities, for example marketliberalisation and new legislative initiatives in the field of <strong>corporate</strong> social responsibility, dataprotection, consumer protection, financial regulations.The <strong>Legal</strong> & Regulatory Department of bpost provides legal and regulatory services, legal riskmanagement and control, and aims to be fully integrated in the business and the <strong>corporate</strong> goals ofthe company.Constantly adapting to fast-changing business circumstances, the department carefully watches thechanging legal trends that affect the business and recommends timely alterations in <strong>corporate</strong>compliance. The legal solutions are built on the knowledge of the people that are part of thedepartment, their collaboration with their clients and their understanding of the market as well astheir clients’ needs.Currently, our client is looking for a <strong>Legal</strong> Counsel with specialisation in <strong>corporate</strong> <strong>law</strong> and <strong>corporate</strong>governance.Your FunctionYou will report to a Senior <strong>Legal</strong> Counsel.You will provide the necessary legal support within your team in terms of compliance and development ofthe legal and regulatory frame applicable to the company and its subsidiaries, mainly from a <strong>corporate</strong>and <strong>corporate</strong> governance perspective. You will ensure that such frame is correctly applied taking intoaccount the specific status of bpost as a public enterprise and the specific regulation and governanceapplicable to bpost.You will anticipate any regulatory evolution by staying up to date with recent developments and trends.You will follow the evolutions of applicable rules, jurisdiction and legal doctrine.You will keep your documentation up to date and you will proactively communicate these updatesto your colleagues. You will perform legal research and provide legal advice to internal clients, forinstance you will prepare the information and decision files treated by the board of directors and itscommittees and you will advice on questions related to the regulatory and specific governanceapplicable to bpost. You will develop and implement adequate processes in order to ensurealignment of manuals, governance codes and reports within your area of expertise.Where appropriate, you will, coordinate the administration of (i) stock option plans and (ii) anyconsequential change to the share register.


You will coordinate and manage the <strong>corporate</strong> records of bpost and its subsidiaries (<strong>corporate</strong>housekeeping) including the share register or any other register or list that needs to be kept up todate. You will assist in the preparation of the shareholders’ meeting, the meetings of the Board ofDirectors and its Committees and the Management Committee, including the drafting of minutesand answers to questions raised.Furthermore you will coordinate and manage any relevant <strong>corporate</strong> information on the website ofbpost.Your ProfileYou have obtained a Belgian master in Law with excellent academic results.You have at least 5 years experience, as an attorney and/or in-house <strong>counsel</strong> within a listedcompany, in <strong>corporate</strong> <strong>law</strong> and <strong>corporate</strong> housekeeping and more specifically in the management oflisted companies.You have a thorough knowledge of English and you are fluent in French or Dutch with a goodknowledge of the other language.You have excellent spoken and written communication skills.You are able to think analytically and conceptually and you know how to draw practical conclusions.You work in a planned and organized way, you are a problem solver and you are result oriented.You are able to work autonomously but you are also a strong team player.OfferOur client offers you a dynamic and rapidly developing working environment where competencespredominate and where diversity is welcomed.Extensive training opportunities and career development will allow you to accomplish your personalcareer goals.Our client offers you a competitive salary and a full benefits package.Interested?If you are interested in this function, please send your curriculum vitae to careers@usglegal.be,attn.
