Balk<strong>an</strong> exp<strong>an</strong>sion<br />

Kar<strong>an</strong>ovic is pl<strong>an</strong>ning a new office in Cro<strong>at</strong>ia<br />

The majority of Balk<strong>an</strong> firms<br />

are content to work within their<br />

own jurisdiction, using referral<br />

rel<strong>at</strong>ionships with other domestic<br />

firms for cross-border work. But<br />

this belies the fact th<strong>at</strong> work<br />

sp<strong>an</strong>ning several countries in<br />

the region is increasing; as the<br />

Balk<strong>an</strong>s continue to pull together,<br />

cooper<strong>at</strong>ion between st<strong>at</strong>es is<br />

increasingly common.<br />

Belgrade-headquartered<br />

Kar<strong>an</strong>ovic & Nikolic has the<br />

broadest geographical coverage<br />

of <strong>an</strong>y firm in the region, with<br />

offices in Serbia, both the Muslim-<br />

Cro<strong>at</strong> <strong>an</strong>d Serbi<strong>an</strong> parts of Bosnia<br />

<strong>an</strong>d Herzegovina, Macedonia <strong>an</strong>d<br />

Montenegro. The firm is shortly<br />

opening up its sixth office in<br />

Cro<strong>at</strong>ia, hiring a team including<br />

DLA Piper senior associ<strong>at</strong>e Josip<br />

Marohnic <strong>an</strong>d Wolf Theiss’s<br />

Aleks<strong>an</strong>dra Raach.<br />

G<strong>an</strong>non says competition in<br />

Cro<strong>at</strong>ia is fierce, with the top-tier<br />

domestic firms domin<strong>at</strong>ing the<br />

market <strong>an</strong>d doing good work for<br />

good clients.<br />

“In m<strong>an</strong>y ways the legal market<br />

is more m<strong>at</strong>ure [th<strong>an</strong> Serbia’s],”<br />

she says, explaining th<strong>at</strong> Cro<strong>at</strong>i<strong>an</strong><br />

law allows mech<strong>an</strong>isms such as a<br />

sale <strong>an</strong>d leaseback on property<br />

th<strong>at</strong> c<strong>an</strong>not be done in Serbia.<br />

G<strong>an</strong>non says Kar<strong>an</strong>ovic &<br />

Nikolic’s move into Cro<strong>at</strong>ia is in<br />

response to the increasing trend<br />

for regional work. She believes<br />

th<strong>at</strong> in a few years, the Balk<strong>an</strong>s<br />

may resemble the Baltic st<strong>at</strong>es<br />

of Estonia, L<strong>at</strong>via <strong>an</strong>d Lithu<strong>an</strong>ia,<br />

where cross-border work has driven<br />

m<strong>an</strong>y of the largest law firms to<br />

p<strong>an</strong>-jurisdictional mergers.<br />

“I’m hoping th<strong>at</strong> in the next five<br />

years 40 per cent of my business<br />

will be p<strong>an</strong>-jurisdictional,” G<strong>an</strong>non<br />

says, reporting success with the<br />

firm’s model over the past few<br />

years. “It surprised us how quickly<br />

the market has responded to th<strong>at</strong><br />

<strong>an</strong>d how well th<strong>at</strong>’s gone down as<br />

a product.”<br />

Br<strong>an</strong>islav Maric agrees th<strong>at</strong><br />

cross-border, involving several<br />

jurisdictions.<br />

But the concept of a p<strong>an</strong>-Balk<strong>an</strong><br />

firm is still not something th<strong>at</strong> has<br />

taken off in the market more<br />

generally.<br />

“We believe th<strong>at</strong> lawyers should<br />

be engaged in the jurisdictions<br />

where their origin is <strong>an</strong>d there’s no<br />

way to go into foreign jurisdictions<br />

without having really good local<br />

people <strong>an</strong>d th<strong>at</strong> isn’t always easy,<br />

particularly in the Balk<strong>an</strong>s,” argues<br />

J<strong>an</strong>kovic Popovic & Mitic senior<br />

partner Nikola J<strong>an</strong>kovic. He says<br />

his firm prefers to build solid<br />

referral rel<strong>at</strong>ionships with leading<br />

firms in the other jurisdictions,<br />

which are often smaller th<strong>an</strong><br />

Serbia.<br />

Me<strong>an</strong>while, Bojovic Dasic<br />

Kojovic (<strong>BDK</strong>) partner Tij<strong>an</strong>a<br />

Kojovic believes her firm’s<br />

membership of the p<strong>an</strong>-regional<br />

South East Europe (SEE) Legal<br />

Group fulfils all its regional needs.<br />

The alli<strong>an</strong>ce has members in all<br />

the former Yugoslav countries,<br />

although it is not present in the<br />

Republika Srpska – the Serbi<strong>an</strong><br />

half of Bosnia.<br />

Kojovic reveals th<strong>at</strong> <strong>BDK</strong> has<br />

examined the prospect of opening<br />

up in Republika Srpska’s capital<br />

B<strong>an</strong>ja Luka, but for the moment<br />

thinks the level of tr<strong>an</strong>sactions is<br />

too low to warr<strong>an</strong>t a presence on<br />

the ground. Harrison is more<br />

enthusiastic, noting th<strong>at</strong> “B<strong>an</strong>ja<br />

Luka is the next n<strong>at</strong>ural port for<br />

us”, although <strong>an</strong> opening would<br />

not be immedi<strong>at</strong>e. He adds th<strong>at</strong><br />

Republika Srpska is <strong>an</strong> easier place<br />

to move into for a Serbi<strong>an</strong> firm,<br />

as there are none of the cultural<br />

issues involved with launching<br />

in Muslim-Cro<strong>at</strong> Sarajevo.<br />

In the me<strong>an</strong>time, both Harrison<br />

<strong>an</strong>d G<strong>an</strong>non say the future of the<br />

Balk<strong>an</strong>s as a region will lie in<br />

<strong>at</strong>tracting fin<strong>an</strong>ce from western<br />

Europe. Harrisons has <strong>an</strong> office in<br />

the City for this purpose, “to suck<br />

work back from the investment<br />

b<strong>an</strong>ks <strong>an</strong>d the big law firms to the<br />

Balk<strong>an</strong>s”, says Harrison.<br />

G<strong>an</strong>non, me<strong>an</strong>while, reports<br />

several recent meetings with UK<br />

investment b<strong>an</strong>ks looking <strong>at</strong> the<br />

region.<br />

“The deal size is too small for<br />

them today, but they’re developing<br />

rel<strong>at</strong>ionships,” she says.<br />

Opportunity across the Balk<strong>an</strong>s<br />

may not always be obvious, but it<br />

is certainly there.<br />

J<strong>an</strong>kovic.<br />

P<strong>at</strong>ricia G<strong>an</strong>non is more cautious<br />

in her assessment of the results.<br />

“In a nutshell, we’re surprised <strong>at</strong><br />

the result <strong>an</strong>d believe it’ll have <strong>an</strong><br />

impact on investment in the country<br />

as it spells instability. We are, however,<br />

hopeful th<strong>at</strong> it also presents<br />

new opportunities as yet unclear <strong>an</strong>d<br />

are positively using this moment to<br />

focus on local business in need of<br />

exp<strong>an</strong>sion capital,” she says.<br />

An economy in need<br />

Maric says the election results set the<br />

stage for import<strong>an</strong>t work to be done.<br />

Serbia is struggling economically,<br />

with its currency falling to a 10-year<br />

low against the euro in May.<br />

The jurisdiction had agreed a<br />

$1.3bn (£822m) precautionary lo<strong>an</strong><br />

with the Intern<strong>at</strong>ional Monetary<br />

Fund (IMF) in September 2011, but<br />

the lo<strong>an</strong> programme was frozen in<br />

February.<br />

In mid-May the Serbi<strong>an</strong> Fin<strong>an</strong>ce<br />

Ministry confirmed th<strong>at</strong> the country<br />

had missed public debt <strong>an</strong>d budget<br />

deficit targets. Its budget deficit for<br />

the first quarter of 2012 was<br />

RSD52.7bn (£374m), double th<strong>at</strong><br />

agreed with the IMF, while public<br />

debt equalled 46.8 per cent of economic<br />

output against a limit of 45 per<br />

cent set by the government.<br />

“I think the political elite is aware<br />

of the fact th<strong>at</strong> the situ<strong>at</strong>ion is such<br />

th<strong>at</strong> they should continue with the<br />

regul<strong>at</strong>ory work of the government as<br />

soon as possible,” says Maric. “All in<br />

all, there are a lot of things on the<br />

economic agenda th<strong>at</strong> need to be<br />

addressed as soon as the new government<br />

is formed.”<br />

Although he welcomes the election<br />

results, J<strong>an</strong>kovic is concerned th<strong>at</strong><br />

the rel<strong>at</strong>ively weak majority of the<br />

reformed coalition will prevent <strong>an</strong>y<br />

major ch<strong>an</strong>ges to legisl<strong>at</strong>ion or the<br />

economy.<br />

Tij<strong>an</strong>a Kojovic, a partner <strong>at</strong> Bojovic<br />

Dasic Kojovic, also thinks th<strong>at</strong><br />

ch<strong>an</strong>ge might not happen to the<br />

extent th<strong>at</strong> it is needed.<br />

“There’s predictability but, on the<br />

other h<strong>an</strong>d, we as a country need<br />

some major ch<strong>an</strong>ges <strong>an</strong>d they probably<br />

aren’t going to happen – or they<br />

aren’t going to happen <strong>at</strong> the pace<br />

th<strong>at</strong> is actually necessary,” she says.<br />

However, something is required to<br />

kickstart Serbia’s economy. For law<br />

firms, 2011 was a quiet year <strong>an</strong>d the<br />

general lack of activity has persisted<br />

into 2012, exacerb<strong>at</strong>ed by the election<br />

campaign <strong>an</strong>d its effect on business.
