NCSP NOTICE OF AGM, EGM AND DIVIDEND
The Summa Group’s NCSP’s Board of Directors announced the following company updates as of
the 12 th of May 2015:
• The Annual General Shareholders Meeting will be held on the 30 th June 2015.
• Shareholders wanting to participate need to register on 24 th of May 2015.
The following tasks will need to be approved:
• annual report
• financial accounts
• distribution of profits for 2014
• remuneration to members of board
(non-government employees)
• NCSP’s Board of Directors
• NCSP’s General Director
• NCSP Management Board
• Amendments of PJSC NCSP
Elections of:
• board of directors
• audit commission
• auditor

NCSP NOTICE OF AGM, EGM AND DIVIDEND
The meeting will address the following distribution of profit matters:
• Dividends of retained earnings (4,499,092,877.44 rubes @ 0.2336 rubes).
• Establishing the record date for registering eligible shareholders by 13 th July 2015.
• Pay dividends to nominal holders from 14 th July to 27 th July 2015.
• Pay dividends to other shareholders from 14 th July to 17 th August 2015.
And confirm the following meeting dates:
• PJSC NCSP’s Extraordinary Meeting of Shareholders on 12 th August 2015.
• Eligible shareholders must register by 24 th May 2015.
Approve the Extraordinary Meeting of Shareholders in:
• Early termination of powers of the Board of Directors (supervisory board)
• Election of the Board of Directors (supervisory board)
Establish the deadline for shareholders to nominate Board of Directors as of the 13 th of July 2015.

FESCO’S TENDER OFFER: FINAL RESULTS
FESCO, subsidiary of the Summa Group, has announced it’s final results for the recent tender offer
regarding the Senior Secured Notes that are due in 2018 and 2020.
On the 8 th of May 2015 at 22:00 (GMT), the aggregated principal amount for the 2018 notes and
2020 notes to be tendered and accepted for purchase was US$128,903,000 and US$ 91,154,000
respectively. Details include:
• FESCO Dry Bulk Carriers Limited has been recognised at the sole Purchaser of the Notes.
• The Clearing Premiums of the 2018 and 2020 notes is US$1000.
• The Total Consideration for the $1000 2018 notes is US$510 and US$500 for the 2020 notes.
• The Tender Offer Consideration for the $1000 2015 notes is US$460 and US$450 for 2020 notes.
• The 2018 and 2020 Notes have been accepted in full without pro-rata allocation.
The 14 th of May was the settlement date for the offer.
