The Region 14 ESC/NCPAMaster Agreement represents a significant opportunity for us to provide added convenience to ourcustomers to save them staff time and expedite the purchasing process.Our website is one of our primary channels of advertising. We will feature this collaboration on ourwebsite, linking to the NCPA website or other resources where our clients can learn more. We willalso freshen our content to better serve the kinds of buyers that will be using this channel to workwith our company. Until that time, we will train our current sales andpurchasing staff as soon as this arrangement becomes available, as well as integrate it into our trainingprogram for new staff. Typically during systems implementation, our project managementteam is on the ground at the installation site to configure and commission the system. We can alsoprovide training to our clients’ staff members. Our training program is designed to meet the specificneeds of parking program staff. Sessions focus on system components and how they relate toparticular job duties, ensuring thorough yet efficient data transfer sessions.Once the system is in place, Duncan provides customer service through our Milwaukee, Wisconsinand Carlsbad, California service centers. We understand our clients’ parking programs do not limittheir operations to traditional business hours, and so neither do we. Our product experts provideworld class technical support 24 hours a day, 7 days a week. Additional post-implementation on-sitesupport is also available as needed.4.14 Green InitiativesEnvironmental responsibility is an issue important to our company and our clients alike. We believe satisfaction is borne from the basic principles ofdelivering and sustaining a reliable solution with consistent results. As such, we have outlined awarranty program that we feel will meet or exceed Buyer requirements.5.5.1 Statement of Hardware Warranty and ServiceDuncan Parking Technologies, Inc. (DPTI) warrants its products will be free of defects in material andworkmanship and will function substantially in compliance with relevant specifications for one (1) yearfrom date of shipment when used for intended purpose and under normal operating conditions(“Warranty”). Included are mechanical and electronic meters, meter components and accessories,and support equipment (collectively “Parts”). Non-compliance with local, state or federal rules, ordinances, directives, regulations, lawsor other agency requirements is excluded from Warranty. Hardware such as meter housings andhandheld citation units are moisture resistant, but NOT WATERPROOF. Water damage is excludedfrom warranty.Provided that Parts are returned in compliance with the Return Instructions below, DPTI will inspectParts returned under a warranty claim and determine applicability of Warranty, all at DPTI’s solediscretion. Where DPTI accepts a claim under Warranty, DPTI will repair or replace defective Parts.5.5.2 Return InstructionsIn the event the Customer needs to return hardware for warranty repair, the Customer will leveragethe following approach:a) Call the DPTI service center at (760) 945-9893 to report a warranty claim.b) If the service center determines a Part must be returned for inspection, a Return MaterialAuthorization (RMA) number will be issued.c) Include the RMA number and all paperwork as instructed by the service center.d) Package the Part appropriately for safe shipment to the service center.e) Mark the RMA number clearly the outside of the package.f) Ship the Part via reputable carrier shipping pre-paid to:Duncan Parking Technologies, Inc.Engineering Service Center5924 Balfour Court Suite 102Carlsbad, California 92008Telephone (760) 945-9893Customer is responsible for all shipping costs to the Duncan Engineering Service Center. Failure tocomply with all Return Instructions may cause delays in processing or refusal of shipment.The following exclusions apply to Warranty;a) Parts that have been altered by Customer or any third party.b) Parts that have been misused or abused.c) Parts that have been operated under other than normal operating conditions.d) Parts that have not been maintained in compliance with instructions, manuals, relatedspecifications and industry-accepted standards.e) Parts that are damaged or recovered after being lost or stolen.f) Changes, repairs or replacement of Parts due to changes in Customer operatingenvironment, operating system, hardware, software or other Customer-initiated changes.g) Parts used in conjunction with non-DPTI or non-standard or incompatible systems or parts.This Warranty is the entire Warranty, express or implied and DPTI is not liable for anyconsequential, indirect, special, incidental or punitive damages, lost profits or goodwill, regardless ofthe form of action, whether in agreement, tort, strict product liability or otherwise, even if advised ofsuch possibility. The provisions and conditions of our Extended Warranty are detailed below.They are in effect each subsequent year based on Duncan’s receipt of payment in advance for theExtended Warranty period. The cost of this Extended Warranty as well as the agreed upon coverageperiod varies for each product and can be provided upon request.This extended standard warranty provides repaired or replacement parts or modular components tothe customer for parts determined by Duncan to be defective or faulty in material or workmanshipunder normal use and service. The following conditions apply to this warranty:This warranty does not cover parts replacement required as a result of vandalism, misuse,third-party or accidental damage, improper handling, improper maintenance, normal wearand tear, shipment damage, extreme environmental conditions, “Acts of God” or otherforms of non-material or non-workmanship.The warranty does not cover consumables or batteries, unless proven to be defective uponsupply.No shipping fees will be applied to repairs/replacement under our standard warrantyagreement; the customer is responsible for freight charges to the Duncan Repair Center.The warranty is restricted to the products and the performance defined within the proposaland/or contract and the relevant Duncan product specifications.Duncan agrees to provide the Customer with software releases that are deemed mandatoryupgrades for the warranty period. Duncan has created a streamlined ordering process to provide an easy requisition processfor our customers and a next day turnaround to receive parts. Buyers can either request a quote forparts and then sign off on the quote to place the order, or simply complete a purchase order for theparts.For those parts that are being returned under warranty, a Buyer would only need to call the servicecenter, get an RMA number, and ship the part to the Duncan service center as described above.Maintaining a healthy inventory of spare parts reduces meter downtime and promotes fastmaintenance.5.5.5 Technical SupportDuncan understands how essential follow-up technical support is when implementing a parkingprogram with the technological advances as outlined herein. Though thorough staff training iscertainly the first step in ensuring consistent meter operations, we endeavor to provide the bestcustomer support available to make the parking program a success.Duncan will assist buyers staff by providing technical expertise and assistance through the process ofestablishing the initial meter program.
