4.6 RouteMatch Standard Terms of PaymentLicensee shall pay to RouteMatch those fees and reimburse RouteMatch <strong>for</strong> those expenses as and whenset <strong>for</strong>th in the Agreement. In the event that there is no due date set <strong>for</strong>th in the Agreement, all invoiceswill be due and owing within ten (10) days of the date of the invoice. In the event that Licensee fails topay any amounts owed to RouteMatch hereunder on or be<strong>for</strong>e the due date there<strong>for</strong>e, all unpaidamounts will accrue interest at the rate of 1.5% per month thereafter until paid, and Licensee shallreimburse RouteMatch <strong>for</strong> all costs and reasonable attorneys fees incurred by RouteMatch by reasonthereof.(a)All fees and charges are exclusive of all taxes. Except and to the extent that Licensee has taxexempt status and is not subject to the payment of taxes, Licensee is solely responsible <strong>for</strong>payment of any and all taxes, including sales or use taxes, intangible taxes, and property taxesresulting from Licensee’s purchase or acceptance of the license granted herein, Licensee’spossession and use of the Software, or from any of the services that RouteMatch may provide toLicensee under and pursuant to this Agreement, exclusive of taxes based on RouteMatch’sincome. If Licensee is exempt from the obligation to pay taxes Licensee shall provideRouteMatch with evidence of such tax exempt status as reasonably required by RouteMatch.4.7 RouteMatch Software Market CompetitionRouteMatch Software competes in several markets and has many competitors. For the GPS tracking andmanagement systems <strong>for</strong> transportation and public transportation agencies, our competition includesseveral different size companies based domestically and internationally.
