CRIMINAL CODE ACT 1907(i)(ii)(iii)destroys, alters, mutilates, or falsifies any book,document, valuable security, or account, whichbelongs to the corporation or company, or anyentry in any such book, document, or account,or is privy to any such act; ormakes, or is privy to making, any false entry inany such book, document, or account; oromits, or is privy to omitting, any materialparticular from any such book, document, oraccount,is guilty of a misdemeanour, and is liable on conviction by a court ofsummary jurisdiction to imprisonment for twelve months and onconviction on indictment to imprisonment for two years.(2) It is a defence to a charge of any of the offences constitutedby subsection (1) to prove that the accused person, before being chargedwith the offence, and in consequence of the compulsory process of acourt in an action or proceeding instituted in good faith by a partyaggrieved, or in a compulsory examination or deposition before a court,disclosed on oath the act alleged to constitute the offence.(3) A person is not entitled to refuse to answer any question orinterrogatory in any civil proceeding in any court on the ground that hisso doing might tend to show that he had committed any offenceconstituted by subsection (1).(4) No conviction for any offence constituted by subsection (1)shall be received in evidence against the person convicted in any civilcause or matter.False statements by officials of corporations and companies396 (1) Any person who, being a promoter, director, officer, orauditor of a corporation or company, either existing or intended to beformed, makes, circulates, or publishes, or concurs in making,circulating or publishing, any written statement or account which, in anymaterial particular, is to his knowledge false, with intent thereby to effectany of the following purposes—(a) to deceive or defraud any member, shareholder, orcreditor, of the corporation or company, whether aparticular person or not;(b) to induce any person, whether a particular person ornot, to become a member of, or to intrust or advance anyproperty to, the corporation or company, or to enter intoany security for the benefit thereof,212
