Table 3 (b) –Qualitative evaluation in Annex II.A. – Technical Table of Answers:• APC• Apple• Cisco• Dell• Ebeam• HP• Logitech• Nokia• Polycom• Samsung• HTC• Sony6 General Requirements6.1 Security requirements – Access to <strong>GSA</strong> premisesThe tasks assigned to the <strong>GSA</strong> concern security sensitive areas. It is there<strong>for</strong>e mandatory even <strong>for</strong>the supply of <strong>IT</strong> equipment and related services which may involve access to the <strong>GSA</strong> premises thatthe Tenderer is ready to fulfil certain necessary security requirements.Access to <strong>GSA</strong> premises implies the acceptance by the successful Tenderer (Contractor) or any subcontractorto comply with the <strong>GSA</strong>’s internal security and safety rules.6.2 System DocumentationAny documentation related to the supply and related services procured by the <strong>GSA</strong> under theframework contract and any specific contract/order <strong>for</strong>m there under will be identified as a deliverableand will become property of the <strong>GSA</strong> after <strong>for</strong>mal acceptance of it.All documentation shall be delivered in the English language.Missing documentation on termination of the contract by the Contractor may be reconstructed atthe expense of the Contractor.6.3 Service Level AgreementThe <strong>GSA</strong> requires from the Contractor a high quality of service. To this end a Service Level Agreement(SLA) will be implemented between the Contractor and the <strong>GSA</strong> as part of the contract award.Reference: <strong>GSA</strong>/OP/01/12 Page 12 of 28Issue: 2.0

EachTenderer MUST fill in the areas indicated in the draft SLA based on the offered respective qualitativeevaluation criteria according to Point 3 – of Annex II.A. – Technical Tables of answers.The signed SLA MUST be returned to the <strong>GSA</strong> as part of the tender.Tenders submitted with missing or incomplete or non-compliant SLA will be outright rejected fromthe tender process.With submission of the SLA, tenderers commit themselves to fulfilling, in case of award of theFramework Contract, the stated service levels and per<strong>for</strong>m the service as described in the SLA, includingacceptance of the penalty clauses.6.4 Service DeskThe Tenderer is expected to propose an enterprise level support with a single point of contact <strong>for</strong>problem solving, see Point 3 – of Annex II.A. – Technical Tables of answers and draft SLA attached asAnnex IX to the Invitation to Tender.6.5 Invoicing and reportingThe Tenderer MUST describe their invoicing policy (ref. Annex II.A to the Invitation to Tender—Technical Table of Answers) which must be compliant with the procedures laid down in the draftFramework Supply Contract – Annex III of the Invitation to Tender. The <strong>GSA</strong> requires invoicing onpaper, however, details maybe sent or stored centrally and electronically.6.6 Language skillsInteraction with the <strong>GSA</strong> and the Contractor will be carried out in English. It is there<strong>for</strong>e necessarythat the tenderer confirms that he provides the in house capacity to fluently communicate with the<strong>GSA</strong> in English in all matters which may be required within the scope of the Framework Supply Contractor any specific contract there under. This requirement is to be confirmed under section 9.2.2.1on Technical and Professional Capacity.6.7 DeliverablesAll documents related to matters within the scope of the Framework Supply Contract or any order<strong>for</strong>m/specific contract there under shall be supplied if not in paper <strong>for</strong>m then in electronic <strong>for</strong>mateitherin MS Word (Version 2003 and above), PowerPoint (Version 2003 and above), Excel (Version2003 and above), PDF (readable with Adobe Reader Version 8 and above) or HTML <strong>for</strong>mat.6.8 MeetingsShould meetings be required in the per<strong>for</strong>mance of the tasks of this Framework Supply Contract andany specific contracts/order <strong>for</strong>ms there under they shall take place in the <strong>GSA</strong> premises in Brusselsor Prague as requested by the <strong>GSA</strong>, unless otherwise agreed (e.g. an audio conference can be organizedif convenient).Reference: <strong>GSA</strong>/OP/01/12 Page 13 of 28Issue: 2.0


6.9 Variants<strong>IT</strong> HARDWARE ACQUIS<strong>IT</strong>ION CHANNELVariants are not authorised.7 Volume of the contract7.1 PriceThe indicative budget estimated <strong>for</strong> the Framework Supply Contract is 300.000 (two-hundred andfifty thousand) EUR <strong>for</strong> the supply of the equipment and related services, over the maximum durationof 4 years.The indicative budget <strong>for</strong> the initial period of two years is estimated at EUR 150.000, while the indicativebudget <strong>for</strong> any renewal period of 1 year is estimated at EUR 75.000.7.2 Indexations of pricesThe indexation of prices may occur according to the Article I.3.3 of the draft Framework Supply Contract(Annex III to Invitation to Tender).7.3 Product price adjustmentAs a rule, both the Contractor and the <strong>GSA</strong> may request a negotiation resulting in a contractamendment.Regarding price adjustment, the following rules shall apply:Contractor’s catalogue prices and prices indicated in Annex II.B. - Financial Table of Answers initiallyindicated with its tender are fixed prices during the contract period.Contractor shall, if market-prices decline during the contract period, adjust its prices promptly afterthe price decline has occurred. <strong>GSA</strong> has the right to ask Contractor to disclose his price tables andcalculation.Moreover, <strong>GSA</strong> will scrutinize the current market-prices every mid-year term and at the end-yearterm, respectively and as the case may be negotiate a price adjustment with the Contractor. If thesenegotiations will not come to a mutual conclusion, <strong>GSA</strong> has the right to purchase the respectiveproduct(s) with another supplier.Contractor can ask <strong>for</strong> a price increase only if he can prove that the initial price offered in the Tenderhas increased by more than 15 %.During the contract period, all products will be subject to a dynamic change-process regarding therespective state of art. Any new product made thus available shall be deemed automatically includedwithin the scope of the basic service coverage. Equally, if a product becomes unavailable onthe market, the Contractor shall offer to <strong>GSA</strong> a respective secondary product to the same price. <strong>IT</strong> HARDWARE ACQUIS<strong>IT</strong>ION CHANNELsecondary product shall be technically at least equivalent to the original product and shall be absolutecompatible with all of the other offered products.In the case of such product changes, the Contractor may only ask <strong>for</strong> an increase of the price if thereplacing product is of considerable higher quality compared to the replaced product. A product isdeemed to be of considerable higher quality if, with regard to the state-of-the-art, it is more efficientor has a better equipment than the replaced product at its time. If the Parties cannot agree on a newprice, <strong>GSA</strong> has the right to purchase the product or an equivalent product with another supplier.The amendment of the contract and any negotiation to this purpose is subject to the applicable provisionsof the Financial Regulation and its Implementing Rules.8 Contractual conditions and guarantees8.1 Framework supply contractA Framework Supply Contract will be signed with the successful tenderer.Note: the prices submitted in the tender will be binding.In drawing up its offer, the Tenderer should bear in mind that the provisions herein and of theFramework Supply Contract will govern the contractual relationship between the <strong>GSA</strong> and the Contractor.Any limitation, amendment or denial of the terms of the Framework Supply Contract will lead tooutright rejection of the tender.Signature of the framework contract imposes no obligation on the <strong>GSA</strong> to purchase. Only implementationof the Framework Supply Contract through order <strong>for</strong>ms/specific contracts is binding on the<strong>GSA</strong>.The <strong>GSA</strong> may, be<strong>for</strong>e the contract is concluded, either abandon the procurement procedure or cancelthe award procedure without the Tenderers being entitled to any indemnification or compensation.8.2 Implementation of the Framework Supply ContractThe Framework Supply Contract will be implemented through order <strong>for</strong>ms and/or specific contracts.For each order a separate order <strong>for</strong>m will be issued. 8.3 Duration<strong>IT</strong> HARDWARE ACQUIS<strong>IT</strong>ION CHANNELThe expected duration of the Framework Contract is 2 years with the possibility of being renewed 2(two) times, each time <strong>for</strong> an additional period of 1 (one) year. The maximum duration of theFramework Contract is there<strong>for</strong>e 4 (four) years.8.4 Language of the contractThe language <strong>for</strong> execution of the Framework Supply Contract and order <strong>for</strong>m there under, as wellas of all communication, deliverables and documentations in connection therewith shall be English.8.5 Terms of paymentPayments shall be made in accordance with the provisions of the order <strong>for</strong>ms, as specified in theFramework Supply Contract in Annex III of the Invitation to Tender.Unless otherwise agreed, the order <strong>for</strong>ms shall be invoiced after supply and acceptance of the ordereditems and per<strong>for</strong>mance of the related services requested.8.6 SubcontractingThe Contractor will be able to call on subcontractors. However, the Contractor will remain the solepartner and person legally and financially responsible vis-à-vis the <strong>GSA</strong>.Particular attention will be paid to the approach proposed by the Tenderer <strong>for</strong> the management ofhis subcontractors. The subcontracting arrangement between the contractor and his subcontractoris supposed to render directly applicable all those contractual obligations with regard to the <strong>GSA</strong>to the subcontractor.Consequently, the tender MUST clearly identify the subcontractor(s) and document their willingnessto accept the tasks and their acceptance of the terms and conditions set out in the Framework SupplyContract. To this end each subcontractor planned to per<strong>for</strong>m work under the Framework SupplyContract and any order <strong>for</strong>m thereto MUST return with the tender to the <strong>GSA</strong> duly signed (i) theLegal Entity Form (Annex IV to the Invitation to Tender— Legal Identification Form) and (ii) themodel Subcontractor / Letter of Intent (Annex VII. to the Invitation to Tender— Model Letter ofIntent).The subcontractors identified MUST be able to guarantee the application of the same quality standardsand quality assurance as applied by the Contractor. The criteria and rationale <strong>for</strong> the choosingthe subcontractors identified on the lists MUST be explained and justified.Tenderers will have to indicate the types of work they plan to/might subcontract (if known), theextent (%) planned and the names, contact details and references of the companies to which theyalready intend to subcontract to.The Contractor will be responsible <strong>for</strong> the quality of the work provided by the subcontractors. Thework of the subcontractors will in no way change the Contractor's responsibility to the <strong>GSA</strong>.Reference: <strong>GSA</strong>/OP/01/12 Page 16 of 28Issue: 2.0


<strong>IT</strong> HARDWARE ACQUIS<strong>IT</strong>ION CHANNELThe Contractor will obtain the <strong>GSA</strong>'s prior approval be<strong>for</strong>e it engages any new subcontractor duringthe contract. It will be at the discretion of <strong>GSA</strong> to accept or reject a given subcontractor.Once the Framework Supply Contract has been concluded, Article II.6 of the Framework Contractshall govern the subcontracting.8.7 Joint tendersA joint tender is a situation where an offer is submitted by a group of tenderers (consortium).If awarded the contract, the tenderers of the group will have an equal standing towards the<strong>GSA</strong> in executing the Framework Supply Contract.Consortia, irrespective of their legal <strong>for</strong>m, may submit a joint bid on condition that it complies withthe rules of competition.The <strong>GSA</strong> will not request consortia to have a given legal <strong>for</strong>m in order to be allowed to submita tender, but reserves the right to require a consortium to adopt a given legal <strong>for</strong>m be<strong>for</strong>e theFramework Supply Contract is signed if this change is necessary <strong>for</strong> proper per<strong>for</strong>mance of thecontract. This can take the <strong>for</strong>m of an entity with or without legal personality but offering sufficientprotection of the <strong>GSA</strong>’s contractual interests (depending on the Member State concerned, thismay be, <strong>for</strong> example, a consortium or a temporary association).Consortia MUST nominate one party to be responsible <strong>for</strong> the receipt and processing of payments<strong>for</strong> members of the consortium, <strong>for</strong> managing the service administration, and <strong>for</strong> coordination. Thedocuments required and listed in the present specifications MUST be supplied by every member ofthe consortium; the checklist in Section 11 will help verifying the level of in<strong>for</strong>mation to be providedaccording to the role of each entity in the tender.Each member of the consortium assumes joint and several liability towards the <strong>GSA</strong>. The tender hasto be signed by all members of the consortium. However, the members of the consortium maygrant an authorisation to one of them, in which case they should attach to the tender a power ofattorney (Annex VI. to the Invitation to Tender— Power of Attorney). For consortia not having<strong>for</strong>med a common legal entity, model 1 should be used, and <strong>for</strong> consortia with a legal entity inplace model 2.The Framework Supply Contract and all order <strong>for</strong>ms there under will have to be signed by allmembers of the consortium. The members of the consortium may grant authorisation to one oftheir members by signing a power of attorney. The same model as above duly signed and returnedtogether with the offer is valid also <strong>for</strong> signature of the Framework Supply Contract and all order<strong>for</strong>ms there under.Partners in a joint tender assume joint and several liability towards the <strong>GSA</strong> <strong>for</strong> the per<strong>for</strong>mance ofthe Framework Supply Contract and all order <strong>for</strong>ms there under as a whole.Statements, saying <strong>for</strong> instance: “that one of the partners of the joint tender will be responsible<strong>for</strong> part of the contract and another one <strong>for</strong> the rest”, or “that more than one contract shouldbe signed if the joint tender is successful”, are incompatible with the principle of joint and severalReference: <strong>GSA</strong>/OP/01/12 Page 17 of 28Issue: 2.0

The <strong>GSA</strong> will disregard any such statement contained in a joint tender, and reserves theright to reject such tenders without further evaluation, on the grounds that they do not complywith the tendering specifications.An economic operator can only participate once as a Tenderer, whether as single tenderer, leadorganisation in a consortium/joint bid or partner in a consortium. The economic operator mayhowever agree to act as a subcontractor in a distinct bid from which it is participating as either ofthe a<strong>for</strong>ementioned options. Nevertheless, such a situation is not advisable <strong>for</strong> the high potential ofconflicts of interest it may generate.9 Assessment and award of the contractAll admissible tenders will be assessed. See the admissibility criteria from the Invitation to Tender.All tenders will be assessed in the light of the criteria set out in these specifications.The assessment of the tenders will be carried out in three successive stages.The aim of each of these three stages is:1) Exclusion stage- to check, on the basis of the exclusion criteria, whether Tenderers can takepart in the tendering procedure;2) Selection stage- to check, on the basis of the selection criteria, the technical and professionalcapacity and economic and financial capacity of each Tenderer;3) Award stage- to assess, on the basis of the award criteria, each bid that has passed the exclusionand selection stages.A single Framework Supply Contract will be concluded with the Tenderer ranked best as the result ofthe evaluation of admissible tenders.9.1 Exclusion stage9.1.1 Exclusion CriteriaTo be eligible <strong>for</strong> participating in this contract award procedure, Tenderers (and any member of aconsortium/grouping as may be the case) and subcontractors envisaged to per<strong>for</strong>m tasks under theFramework Supply Contract and any order <strong>for</strong>m there under MUST NOT be in any of the followingexclusion grounds 1 :a) they are not bankrupt or being wound up, is not having its affairs administered by thecourts, have not entered into an arrangement with creditors, have not suspended businessactivities, are not the subject of proceedings concerning those matters, and are not in any1Article 93 of Council Regulation (EC, Euratom) No 1605/2002 of 25 June 2002 on the Financial Regulation applicable to the general budgetof the <strong>European</strong> Communities (OJ L 248 of 16.9.2002).Reference: <strong>GSA</strong>/OP/01/12 Page 18 of 28Issue: 2.0

Without prejudice to the application of penalties laid down in the draft Framework Service Contractand the SLA, Tenderers who have been guilty of making false declarations or have beenfound to have seriously failed to meet their contractual obligations in an earlier procedure willbe excluded from all contracts and grants financed by the Union (including the <strong>GSA</strong>) budget <strong>for</strong>a maximum of two years from the time when the infringement is established, as confirmed afteran adversarial procedure with the Contractor.That period may be extended to three years in the event of a repeat offence within five years ofthe first infringement.Tenderers who have been guilty of making false declarations will also incur financial penaltiesrepresenting 2% to 10% of the total value of the grant being awarded.Tenderers who have been found to have seriously failed to meet their contractual obligationswill incur financial penalties representing 2% to 10% of the value of the grant in question.This rate may be increased to 4% to 20% in the event of a repeat offence within five years of thefirst infringement.1. In the cases referred to in Section 9.1.1 a), c), d), the Tenderers will be excluded from all contractsand grants <strong>for</strong> a maximum of two years from the time when the infringement is established,as confirmed after an adversarial procedure with the Contractor.In the cases referred to in points 9.1.1 b) and e), the Tenderers will be excluded from all contractsand grants <strong>for</strong> a minimum of one year and a maximum of four years from the date of notificationof the judgment. Those periods may be extended to five years in the event of a repeatoffence within five years of the first infringement or the first judgment.3. Failure to do so will lead to exclusionfrom further participation in the selection procedure.In addition to the Legal Identification Form provided in Annex II.A to the Invitation to Tender—Technical Tables of Answers Tenderers MUST submit the Financial Identification Form (Annex V tothe Invitation to Tender).9.2.1 Economic and financial capacity criteriaTenderers MUST provide evidence of their economic and financial competence by submitting thein<strong>for</strong>mation requested under Section 2 (a) of Annex II.A to the Invitation to Tender—Technical Tablesof Answers.All tenderers (including any members of their consortium and any subcontractors planned to per<strong>for</strong>mmore that 20% of the estimated total contract value of 300,000 (three hundred thousand) EURand/or referred to by the tenderer as proof of his/her economic and financial capacity, as the casemay be) MUST provide proof of their economic and financial capacity by submitting the followingdocuments:• Balance sheets or extracts from balance sheets <strong>for</strong> the last three financial years• Statement(s) of overall turnover <strong>for</strong> the last three financial years• Statement of turnover relating to the supply of the relevant products (i.e. hardware and <strong>IT</strong>Equipment) <strong>for</strong> the last three financial years (s. In any case, the <strong>GSA</strong> must at least benotified of the exceptional reason and its justification in the tender. The <strong>GSA</strong> reserves the right torequest any other document enabling it to verify the tenderer's economic and financial capacity.9.2.2 Technical and professional capacity criteriaOnly Tenderers fulfilling all of the requested technical and professional capacity criteria shall be admittedto the award stage.Tenderers MUST clearly identify any subcontracting they require <strong>for</strong> being able to per<strong>for</strong>m the contract,in particular any of the following capacity requirements. For details of the required identificationrefer to Section 2 (b) under Annex II.A to the Invitation to Tender-Technical Tables of Answers).9.2.2.1 Language capacityTenderers MUST provide evidence of their technical and professional competence by fulfilling therequirements set below by filling in respective Table 2(b) 1 Technical and professional capacity underAnnex II.A to the Invitation to Tender—Technical Tables of Answers. Accordingly Tenderer MUSTconfirm that he provides the available in-house capacity to fluently communicate with the <strong>GSA</strong> inEnglish in all matters which may be required within the scope of the Framework Supply Contract orany order <strong>for</strong>m there under.9.2.2.2 Past projects experienceThe Tenderer MUST provide a written evidence of realized contracts of similar size;The requirements are to be fulfilled by submitting filled in Table 2(b) 2 Technical and professionalcapacity under Annex II.A to the Invitation to Tender—Technical Tables of Answers and the thereunder requested additional documents and in<strong>for</strong>mation.9.3 Award stageTo be assessed in the award stage, the Tenderer must have passed the selection stage described inSection 9.1 and 9.2 above.9.3.1 Con<strong>for</strong>mity assessmentTenders shall be fully compliant to the tender specifications. Be<strong>for</strong>e processing with the evaluationof the tenders under the award criteria described below, the Evaluation Committee will assess complianceto all aspects of the tender specifications. Special attention is drawn to the requirement that all items of the required cataloguehave to be provided. Tenderers shall note that the compliance checks shall not be limited to theitems listed in Table 3(a). However, those items are of particular importance <strong>for</strong> the <strong>GSA</strong>. There<strong>for</strong>e,any tender which does not meet the con<strong>for</strong>mity requirements of Table 3(a) to the fullest extentand/or fails to submit any additional in<strong>for</strong>mation requested will be outright rejected from the selectionprocess.The framework contract will be awarded to the one Tenderer who achieves the highest score in thefinal evaluation under Section 9.3.3 according to the criteria set below to determine the economicallymost advantageous tender.9.3.2 Qualitative evaluation criteriaThe technical quality of the tender will be assessed on the basis of the Tenderer's technical bid,Following the fulfilment of the exclusion and selection criteria the technical quality of the tender willbe assessed on the following basis:• For the evaluation purposes the Tenderer has to submit, at minimum, the documentationlisted in the Table 3 (b) – Qualitative evaluation criteria under Annex II.A to the Invitation toTender—Technical Tables of Answers.• Tenders may reach a maximum total score of 50 regarding the qualitative evaluation criteria.• Tenders receiving a score of fewer than 20 points in sum of the qualitative evaluation criteriain this Table 3(b) will be outright rejected.• Furthermore, if applicable, any tender which receives a score in any single of the qualitativeevaluation criteria of less than the minimum requirement indicated in the table will be outrightrejected from the award process.• The qualitative evaluation criteria will be weighted 40% of the total score.9.3.3 Financial evaluation criteriaFollowing the appraisal of the qualitative award criteria the tender will be evaluated with regard tothe financial evaluation criteria as provided within Table 1 – Financial evaluation criteria <strong>for</strong> productsunder Annex II.B to the Invitation to Tender—Financial Tables of Answers.The Price total resulting from the financial evaluation criteria of a tender will be weighted 60% ofthe total score in the final evaluation.Please note that the provision of in<strong>for</strong>mation on the price requested in the Table is compulsory.Tenders failing to submit all of the requested price in<strong>for</strong>mation to the Table will be outright rejectedfrom further evaluation. <strong>IT</strong> HARDWARE ACQUIS<strong>IT</strong>ION CHANNEL10 Form and content of the tender10.1 GeneralThe tender may be drafted in any of the official languages of the <strong>European</strong> Union.The bid must be accompanied by a cover letter, dated and signed by the Tenderer or by any otherduly appointed representative, declaring acceptance of the conditions in this invitation to tenderand the Tenderer's undertaking to provide the services proposed in the tender. If the tender is presentedby a consortium or group, it MUST be accompanied by a letter signed by each member undertakingto provide the tasks proposed in the tender and specifying each member's own role andqualifications.Tenders MUST be clear and concise, with continuous page numbering, and assembled in a coherentfashion (e.g. bound or stapled). Since Tenderers will be evaluated on the content of their submittedbids, they MUST make it clear that they are able to meet the requirements of the specifications.Where appropriate, standard <strong>for</strong>ms <strong>for</strong> tender submissions MUST be duly filled in and sent to the<strong>GSA</strong>.The <strong>GSA</strong> reserves the right to request additional evidence in relation to the bid submitted <strong>for</strong> evaluationor verification purposes within a time-limit stipulated in its request.10.2 Structure of the tenderTenders MUST be presented in three parts as follows:10.2.1 Technical proposalThis Section is of great importance in the assessment of the tenders, the award of the FrameworkSupply Contracts and the future execution of any resulting contract.Some guidelines are given below, but attention is also drawn to the award criteria, which definethose parts of the technical proposal to which the Tenderers should pay particular attention. Thetechnical proposal should address all matters laid down in the specifications.
