<strong>Constitution</strong><strong>of</strong> <strong>the</strong><strong>Tillsonburg</strong> <strong>Duplicate</strong> <strong>Bridge</strong> <strong>Club</strong>Revised: June, 2009Article 1 AME<strong>Tillsonburg</strong> <strong>Duplicate</strong> <strong>Bridge</strong> <strong>Club</strong> (hereinafter in this document known as <strong>the</strong> <strong>Club</strong>).Article 2 PURPOSE(a) To preserve and promote <strong>the</strong> playing <strong>of</strong> duplicate bridge under <strong>the</strong> jurisdiction <strong>of</strong> <strong>the</strong> AmericanContract <strong>Bridge</strong> League (ACBL).(b) To encourage membership in <strong>the</strong> <strong>Club</strong>.(c) To encourage <strong>the</strong> highest standard <strong>of</strong> bridge playing conduct and ethics by <strong>the</strong> members, and toenforce such standards.(d) Subject to agreement by <strong>the</strong> Executive, to cooperate with <strong>the</strong> ACBL Unit in <strong>the</strong> promotion andorganization <strong>of</strong> an annual sectional bridge tournament.(e) To cooperate in <strong>the</strong> ACBL Charity Programme and to sponsor and conduct charity events with<strong>the</strong> object <strong>of</strong> realizing funds to be donated to worthy humanitarian causes.(f) To promote enjoyment <strong>of</strong> <strong>the</strong> game <strong>of</strong> bridge in an environment conducive to <strong>the</strong> social as wellas <strong>the</strong> competitive aspects <strong>of</strong> <strong>the</strong> game.Article 3 EXECUTIVEThe Executive is comprised <strong>of</strong> <strong>the</strong> Executive Officers, <strong>the</strong> Chairpersons <strong>of</strong> <strong>the</strong> Standing Committees,and <strong>the</strong> Executive Consultant(s).The Executive Officers shall consist <strong>of</strong>:a) Presidentb) Past Presidentc) 1st Vice-Presidentd) 2nd Vice-Presidente) Treasurerf) Assistant Treasurerg) Secretaryh) <strong>Club</strong> ManagerThe Chairpersons <strong>of</strong> <strong>the</strong> following Standing Committees are voting Board members:i) Membershipj) Socialk) Tournamentl) Publicitym) Partnershipn) Nominationo) Ethics & Conductp) WebsiteThe Executive Consultant(s) is a voting Board members.Where appropriate, <strong>the</strong> President may allow two or more <strong>of</strong> <strong>the</strong>se positions to be held by <strong>the</strong> sameperson.The Chairpersons <strong>of</strong> Standing Committees are appointed by <strong>the</strong> President.The Executive Consultant(s) is appointed by <strong>the</strong> PresidentArticle 4 QUORUMThe President or designate and five o<strong>the</strong>r members <strong>of</strong> <strong>the</strong> Executive shall constitute a quorum thatwhen duly assembled is legally competent to transact business or hold a meeting.Article 5 DUTIES <strong>of</strong> <strong>the</strong> EXECUTIVE OFFICERS, STADIG COMMITTEE CHAIRPERSOS,and EXECUTIVE COSULTAT(S):The major duties <strong>of</strong> <strong>the</strong> Executive Officers, and Standing Committee Chairpersons, and ExecutiveConsultant(s) are as follows. <strong>Constitution</strong><strong>of</strong> <strong>the</strong><strong>Tillsonburg</strong> <strong>Duplicate</strong> <strong>Bridge</strong> <strong>Club</strong>Revised: June, 2009p) Website Administrator: Maintains <strong>the</strong> <strong>Club</strong>’s website: liaise with <strong>the</strong> internet service provider(ISP), design, update, and edit <strong>the</strong> web pagesq) Executive ConsultantArticle 6 EXECUTIVE TERM <strong>of</strong> OFFICEThe term <strong>of</strong> <strong>of</strong>fice for <strong>the</strong> Executive, except <strong>the</strong> <strong>Club</strong> Manager, shall start at <strong>the</strong> adjournment <strong>of</strong> <strong>the</strong>Annual General Meeting in which elected and run to <strong>the</strong> adjournment <strong>of</strong> <strong>the</strong> Annual General Meetingtwo years later. If elected, a candidate on <strong>the</strong> Executive may serve more than one term or serve in adifferent executive capacity.In <strong>the</strong> event that <strong>the</strong> position <strong>of</strong> President is vacated prior to <strong>the</strong> completion <strong>of</strong> <strong>the</strong> prescribed term <strong>of</strong><strong>of</strong>fice, <strong>the</strong> 1st Vice-President will assume <strong>the</strong> role <strong>of</strong> President for <strong>the</strong> balance <strong>of</strong> <strong>the</strong> term <strong>of</strong> <strong>of</strong>fice.In <strong>the</strong> event that <strong>the</strong> position <strong>of</strong> 1st Vice-President is vacated prior to <strong>the</strong> completion <strong>of</strong> <strong>the</strong> prescribedterm <strong>of</strong> <strong>of</strong>fice, <strong>the</strong> 2nd Vice-President will assume <strong>the</strong> role <strong>of</strong> 1st Vice-President for <strong>the</strong> balance <strong>of</strong> <strong>the</strong>term <strong>of</strong> <strong>of</strong>fice.If an Executive position o<strong>the</strong>r than <strong>the</strong> President, or 1st Vice-President becomes vacant during <strong>the</strong> term<strong>of</strong> <strong>of</strong>fice <strong>the</strong> remaining members <strong>of</strong> <strong>the</strong> executive may, by majority vote, appoint a replacement tocomplete <strong>the</strong> term <strong>of</strong> <strong>of</strong>fice <strong>of</strong> <strong>the</strong> vacant position.Article 7 MEMBERSHIP PERIODThe membership period shall be on a yearly basis. Membership renewals and new memberships will beaccepted by <strong>the</strong> Membership Chairperson. After memberships are closed new memberships may onlybe issued to players who: haven’t had <strong>the</strong> opportunity in <strong>the</strong> renewal period to renew <strong>the</strong>ir membership,are new to <strong>the</strong> area, or by Executive approval on recommendation from <strong>the</strong> Membership Chairperson.Article 8 AUAL GEERAL MEETIG (AGM)Once a year on <strong>the</strong> 1st Monday <strong>of</strong> June, a members' meeting shall be held ei<strong>the</strong>r before or after <strong>the</strong>regularly scheduled bridge game. The President shall conduct <strong>the</strong> meeting for <strong>the</strong> purpose <strong>of</strong> informing<strong>the</strong> membership <strong>of</strong> <strong>the</strong> year's activities and financial position. Suggestions and comments from <strong>the</strong>floor shall be considered by <strong>the</strong> executive for future action.With <strong>the</strong> exception <strong>of</strong> <strong>the</strong> <strong>Club</strong> Manager, every two years <strong>the</strong> term <strong>of</strong> <strong>the</strong> <strong>of</strong>fice expires for <strong>the</strong>Executive. At <strong>the</strong> Annual General Meeting coinciding with <strong>the</strong> expiry <strong>of</strong> <strong>the</strong> Executive’s term <strong>of</strong> <strong>of</strong>fice,<strong>the</strong> proposed new slate <strong>of</strong> Executive Officers will be presented to <strong>the</strong> membership for approval by <strong>the</strong>Nominating Chairperson. Following <strong>the</strong> presentation <strong>of</strong> <strong>the</strong> proposed new slate <strong>of</strong> Executive Officersfur<strong>the</strong>r nominations from <strong>the</strong> floor will be accepted. Standard democratic voting procedures shall beused to validate <strong>the</strong> selection <strong>of</strong> Officers.Article 9 By LawsSubject to <strong>the</strong> constitution <strong>the</strong> Executive may pass such By Laws as may be required to ensure <strong>the</strong>efficient and proper running <strong>of</strong> <strong>the</strong> club.SIGATURESPassed by <strong>the</strong> <strong>Tillsonburg</strong> <strong>Duplicate</strong> <strong>Bridge</strong> <strong>Club</strong> Executive this ____ day <strong>of</strong> __________________, 2009.____________________________PRESIDENT______________________________SECRETARYPage 4 <strong>of</strong> 4
