SECTION 1CONDITIONS OF TENDER2


TENDER FOR THE OPERATION OF AN ENTERTAINMENTATTRACTION AT THE BOURNEMOUTH AIR FESTIVAL 19 th – 22 ndAUGUST 20101. INVITATION TO TENDER1.1 The Council <strong>of</strong> <strong>the</strong> Borough <strong>of</strong> Bournemouth (<strong>the</strong> Council) invites Tenders <strong>for</strong><strong>the</strong> <strong>operation</strong> <strong>of</strong> <strong>an</strong> <strong>entertainment</strong> <strong>attraction</strong> during <strong>the</strong> Bournemouth AirFestival 19 th – 22 nd August 2010.1.2 In <strong>the</strong>se Conditions <strong>of</strong> Tender, words <strong>an</strong>d expressions shall have <strong>the</strong> sameme<strong>an</strong>ings as are respectively assigned to <strong>the</strong>m in <strong>the</strong> Licence.1.3 In <strong>the</strong>se Conditions <strong>of</strong> Tender unless contrary intention appears:1.3.1. Words importing <strong>the</strong> masculine gender include <strong>the</strong> feminine;1.3.2. Words in <strong>the</strong> singular include <strong>the</strong> plural <strong>an</strong>d vice versa;1.3.3. References to staff shall be construed as including all employees,agents, consult<strong>an</strong>ts that are directly or indirectly employed by <strong>the</strong>Tenderers.1.4 Tenderers should seek to clarify in writing <strong>an</strong>y points <strong>of</strong> doubt or difficulty as to<strong>the</strong> interpretation <strong>of</strong> <strong>an</strong>y part <strong>of</strong> <strong>the</strong> <strong>tender</strong> documents with <strong>the</strong> Council be<strong>for</strong>esubmitting a Tender.1.5 The appointment <strong>of</strong> <strong>the</strong> successful Tenderer shall be a submission <strong>of</strong> <strong>the</strong>proposal by written <strong>tender</strong>.2. TERMS AND CONDITIONSEvery Tender received by <strong>the</strong> Council shall be deemed to have been madesubject to <strong>the</strong>se Conditions unless <strong>the</strong> Council shall previously have expresslyagreed in writing to <strong>the</strong> contrary. Any alternative terms <strong>an</strong>d conditions <strong>of</strong>feredon behalf <strong>of</strong> <strong>the</strong> Tenderer shall, if inconsistent with <strong>the</strong>se Conditions, berejected by <strong>the</strong> Council unless expressly accepted in writing.3. PREPARATION OF TENDER3.1 Tenderers must obtain <strong>for</strong> <strong>the</strong>mselves as <strong>the</strong>ir own responsibility <strong>an</strong>d at <strong>the</strong>irown expense all in<strong>for</strong>mation necessary <strong>for</strong> <strong>the</strong> preparation <strong>of</strong> <strong>the</strong>ir Tenders.3


3.2 In<strong>for</strong>mation supplied to Tenderers by <strong>the</strong> Council <strong>an</strong>d its Officers is only <strong>for</strong>general guid<strong>an</strong>ce in <strong>the</strong> preparation <strong>of</strong> <strong>the</strong> Tender. Tenderers must satisfy<strong>the</strong>mselves by <strong>the</strong>ir own investigations with regard to <strong>the</strong> accuracy <strong>of</strong> <strong>an</strong>yin<strong>for</strong>mation given <strong>an</strong>d no responsibility is accepted by <strong>the</strong> Council <strong>for</strong> <strong>an</strong>y lossor damage <strong>of</strong> whatever kind or howsoever caused arising from <strong>the</strong> use byTenderers <strong>of</strong> such in<strong>for</strong>mation.3.3 The Tenderer is required to complete <strong>an</strong>d provide all in<strong>for</strong>mation requested by<strong>the</strong> Council in accord<strong>an</strong>ce with <strong>the</strong>se Conditions <strong>of</strong> <strong>tender</strong>. Failure to do so willlead <strong>the</strong> Council to reject <strong>the</strong> Tender unless <strong>the</strong> omissions have been previouslyagreed by <strong>the</strong> Council in writing.3.4 A Tenderer shall be deemed <strong>for</strong> all purposes connected with <strong>the</strong> Tender <strong>an</strong>d<strong>the</strong> Conditions <strong>of</strong> <strong>the</strong> Licence to have visited <strong>an</strong>d satisfied <strong>the</strong>mselves as to <strong>the</strong>area that is to be used <strong>for</strong> <strong>an</strong> <strong>entertainment</strong> <strong>attraction</strong>, access to, <strong>an</strong>d <strong>the</strong>accessibility <strong>of</strong> <strong>the</strong> area <strong>an</strong>d/or <strong>an</strong>y <strong>of</strong> its parts. Accordingly <strong>the</strong> Council willnei<strong>the</strong>r consider <strong>an</strong>y dem<strong>an</strong>d by <strong>the</strong> successful Tenderer <strong>for</strong> <strong>an</strong>y payment by<strong>the</strong> Council or <strong>an</strong>y reduction in <strong>the</strong> Licence fee by reason <strong>of</strong> <strong>an</strong>y such mattersnor accept <strong>an</strong>y such matter as excusing <strong>the</strong> successful Tenderer from properlyproviding <strong>an</strong> <strong>entertainment</strong> <strong>attraction</strong> in accord<strong>an</strong>ce with <strong>the</strong> Specification.4. BASIS OF TENDER4.1 In consideration <strong>of</strong> being gr<strong>an</strong>ted <strong>the</strong> Licence <strong>an</strong>d <strong>of</strong> <strong>the</strong> Licence fee to be paidto <strong>the</strong> Council, <strong>the</strong> Tenderer shall collect <strong>an</strong>d retain all <strong>the</strong> income derivedfrom <strong>the</strong> provision <strong>of</strong> <strong>an</strong> <strong>entertainment</strong> <strong>attraction</strong>.4.2 The said Licence fee to be paid to <strong>the</strong> Council by <strong>the</strong> Tenderer shall be enteredon its Form <strong>of</strong> Tender.4.3 Tenders <strong>for</strong> <strong>the</strong> provision <strong>of</strong> <strong>an</strong> <strong>entertainment</strong> <strong>attraction</strong> must be on <strong>the</strong> terms<strong>an</strong>d conditions <strong>of</strong> <strong>the</strong> specification <strong>an</strong>d licence.5. THE TENDER SUBMISSION5.1 Tenders must be submitted on <strong>the</strong> attached Form <strong>of</strong> Tender.5.2 Tenders must be accomp<strong>an</strong>ied by:5.2.1. Brief biographical details <strong>of</strong> <strong>the</strong> Tenderer;5.2.2. A brief summary <strong>of</strong> <strong>the</strong> Tenderer’s trading history <strong>an</strong>d present tradingcircumst<strong>an</strong>ces;5.2.3. Photographs <strong>of</strong> <strong>the</strong> <strong>entertainment</strong> <strong>attraction</strong> <strong>an</strong>d activities, wherepossible;5.2.4. Any proposals or thoughts on designs <strong>of</strong> <strong>the</strong> <strong>entertainment</strong> <strong>attraction</strong>;4


5.2.5. The name <strong>of</strong> two trading referees, one <strong>of</strong> which must be a localauthority.5.2.6. A B<strong>an</strong>ker’s Reference. If <strong>the</strong> Council wishes to take up a B<strong>an</strong>ker’sCustomer Reference, <strong>the</strong> Council will write to <strong>the</strong> Tendererrequesting it to obtain <strong>the</strong> Reference directly from its B<strong>an</strong>k, who will<strong>the</strong>n <strong>for</strong>ward <strong>the</strong> reference to <strong>the</strong> Council. Any fee that <strong>the</strong> B<strong>an</strong>kmay charge <strong>for</strong> such a service will be at <strong>the</strong> expense <strong>of</strong> <strong>the</strong> Tenderer.5.3 All documents requiring a signature must be signed:5.3.1. Where <strong>the</strong> Tenderer is <strong>an</strong> individual, by that individual;5.3.2. Where <strong>the</strong> Tenderer is a partnership, by two duly authorisedpartners;5.3.3. Where <strong>the</strong> Tenderer is a comp<strong>an</strong>y, by two directors (at least one <strong>of</strong>whom should be <strong>an</strong> executive director) or by a director <strong>an</strong>d <strong>the</strong>secretary <strong>of</strong> <strong>the</strong> comp<strong>an</strong>y, such persons being duly authorised <strong>for</strong> <strong>the</strong>purpose.6. DELIVERY OF TENDER6.1 The <strong>for</strong>m <strong>of</strong> <strong>tender</strong> <strong>an</strong>d accomp<strong>an</strong>ying documents, all duly completed, must bedelivered to <strong>the</strong> Events Department, Visitor In<strong>for</strong>mation Bureau, WestoverRoad, Bournemouth, BH1 2BU, to arrive no later th<strong>an</strong> Friday 19 th March 2010 at4pm.6.2 No <strong>tender</strong> will be considered it if reaches <strong>the</strong> Council after <strong>the</strong> date <strong>an</strong>d timespecified at 6.1 above.6.3 The envelope shall in no circumst<strong>an</strong>ces bear <strong>an</strong>y name or mark indicating <strong>the</strong>identity <strong>of</strong> <strong>the</strong> Tenderer.7. PERIOD OF VALIDITYTenders shall remain open <strong>for</strong> accept<strong>an</strong>ce <strong>for</strong> a period <strong>of</strong> 28 days from <strong>the</strong>closing date.8. EVALUATION AND ACCEPTANCE8.1 The Council is not bound to accept <strong>the</strong> highest bid in terms <strong>of</strong> monetaryconsiderations to <strong>the</strong> Council or <strong>an</strong>y Tender. Any accept<strong>an</strong>ce shall be <strong>of</strong> <strong>the</strong>Tender most adv<strong>an</strong>tageous to <strong>the</strong> Council according to returns to <strong>the</strong> Council<strong>an</strong>d ability to provide a suitable <strong>entertainment</strong> <strong>attraction</strong>.8.2 The Council shall not be under liability in respect <strong>of</strong> <strong>an</strong>y expenses <strong>of</strong> loss thatmay be suffered or incurred by a Tenderer in <strong>the</strong> preparation <strong>of</strong> its Tender.5


9. FORM OF AGREEMENT9.1 The successful Tenderer will be required to execute a Licence in <strong>the</strong> <strong>for</strong>mattached.9.2 Until execution <strong>of</strong> <strong>the</strong> Licence, <strong>the</strong> successful Tender, toge<strong>the</strong>r with <strong>the</strong>Council’s written accept<strong>an</strong>ce <strong>the</strong>re<strong>of</strong>, will <strong>for</strong>m a binding agreement between<strong>the</strong> Council <strong>an</strong>d <strong>the</strong> successful Tenderer upon <strong>the</strong> terms <strong>an</strong>d conditions <strong>of</strong> <strong>the</strong>said Specification <strong>an</strong>d Agreement.10. CONFIDENTIALITY OF TENDER INFORMATION AND DOCUMENTS10.1 All in<strong>for</strong>mation supplied by <strong>the</strong> Council or in connection with this invitation to<strong>tender</strong> shall be regarded as confidential to <strong>the</strong> Council.10.2 This invitation to <strong>tender</strong> <strong>an</strong>d its accomp<strong>an</strong>ying documents <strong>an</strong>d publications are<strong>an</strong>d shall remain <strong>the</strong> property <strong>of</strong> <strong>the</strong> Council. They shall be treated as private<strong>an</strong>d confidential <strong>for</strong> use only in connection with <strong>the</strong> <strong>tender</strong> <strong>an</strong>d <strong>an</strong>y resultingContract <strong>an</strong>d must be returned upon dem<strong>an</strong>d.11. COLLUSIVE TENDERINGAny Tenderer who:11.1 fixes or adjusts <strong>the</strong> amount <strong>of</strong> <strong>the</strong> Tender by, or in accord<strong>an</strong>ce with <strong>an</strong>yagreement or arr<strong>an</strong>gement with <strong>an</strong>y o<strong>the</strong>r person; or11.2 communicates to <strong>an</strong>y person o<strong>the</strong>r th<strong>an</strong> <strong>the</strong> Council <strong>the</strong> amount or approximateamount <strong>of</strong> <strong>the</strong> Proposed <strong>tender</strong> (except where such disclosure is made inconfidence in order to obtain quotations necessary <strong>for</strong> <strong>the</strong> preparation <strong>of</strong> <strong>the</strong><strong>tender</strong> or insur<strong>an</strong>ce); or11.3 enters into agreement with <strong>an</strong>y o<strong>the</strong>r person that he shall refrain from<strong>tender</strong>ing or as to <strong>the</strong> amount <strong>of</strong> <strong>an</strong>y Tender to be submitted; or11.4 <strong>of</strong>fers or agrees to pay or to give or does pay or gives, <strong>an</strong>y sum <strong>of</strong> money,inducement, or valuable consideration, directly or indirectly to <strong>an</strong>y person, <strong>for</strong>doing or having done or causing to have caused to be done in relation to <strong>an</strong>yo<strong>the</strong>r Tender or proposed Tender, <strong>an</strong>y act or omission; or11.5 in connection with <strong>the</strong> gr<strong>an</strong>ting <strong>of</strong> <strong>the</strong> Licence, commits <strong>an</strong> <strong>of</strong>fence under <strong>the</strong>Prevention <strong>of</strong> Corruption Acts 1889 to 1916 or gives a fee or reward, <strong>the</strong>receipt <strong>of</strong> which is <strong>an</strong> <strong>of</strong>fence under Sub-Section (2) <strong>of</strong> Section 117 <strong>of</strong> <strong>the</strong> LocalGovernment Act 1972;shall be disqualified without prejudice to <strong>an</strong>y civil remedies available to <strong>the</strong>Council <strong>an</strong>d without prejudice to <strong>an</strong>y criminal liability which such conduct by aTenderer may attract.6


12. CANVASSINGAny Tenderer who directly or indirectly c<strong>an</strong>vasses <strong>an</strong>y member or <strong>of</strong>ficer <strong>of</strong> <strong>the</strong>Council concerning <strong>the</strong> gr<strong>an</strong>ting <strong>of</strong> <strong>the</strong> Licence <strong>for</strong> <strong>the</strong> provision <strong>of</strong> <strong>an</strong><strong>entertainment</strong> <strong>attraction</strong> or who directly or indirectly obtains or attempts toobtain in<strong>for</strong>mation from <strong>an</strong>y such <strong>of</strong>ficer or member concerning <strong>an</strong>y o<strong>the</strong>r<strong>tender</strong> or proposed <strong>tender</strong> <strong>for</strong> <strong>an</strong> <strong>entertainment</strong> <strong>attraction</strong> Contract shall bedisqualified.7

EVENT INFORMATIONAfter two successful events in 2008 <strong>an</strong>d 2009, <strong>the</strong> 2010 Bournemouth Air Festival willtake place in Bournemouth from Thursday 19 th – Sunday 22 nd August. Org<strong>an</strong>ised by <strong>the</strong>Bournemouth Tourism Events Team (part <strong>of</strong> Bournemouth Borough Council) <strong>the</strong> eventdetails are as follows:• The Bournemouth Air Festival will take place along Bournemouth Seafront <strong>an</strong>dwill be centred on <strong>the</strong> length <strong>of</strong> beach from Bournemouth to Boscombe Pier.• The event will be free to <strong>the</strong> general public <strong>an</strong>d it is <strong>an</strong>ticipated that <strong>the</strong>Festival will attract over 1 million visitors during <strong>the</strong> four days r<strong>an</strong>ging fromfamilies to aviation enthusiasts. An estimated 1.3 million people attended <strong>the</strong>Bournemouth Air Festival in 2009 <strong>an</strong>d over 750,000 in its first year 2008.• The flying display’s will take place over 2 – 4 hours on <strong>the</strong> afternoon <strong>of</strong> eachday, <strong>an</strong>d will include both military <strong>an</strong>d civili<strong>an</strong> content.• There will be a ‘Night Air’ evening <strong>entertainment</strong> programme from Thursday toSaturday.• There will be a r<strong>an</strong>ge <strong>of</strong> ground <strong>attraction</strong>s along <strong>the</strong> seafront to includeexhibition <strong>an</strong>d promotional space, trading stalls, funfair rides, catering,military displays, family <strong>entertainment</strong> <strong>an</strong>d music.• The event appeals to <strong>the</strong> young <strong>an</strong>d old, both families <strong>an</strong>d friends• The Festival is <strong>the</strong> biggest free aviation event <strong>of</strong> its kind.• Fur<strong>the</strong>r in<strong>for</strong>mation about <strong>the</strong> Bournemouth Air Festival is available on-line atwww.bournemouthair.co.uk.11


SECTION 4SPECIFICATION12


TENDER FOR THE OPERATION OF AN ENTERTAINMENTATTRACTION AT THE BOURNEMOUTH AIR FESTIVAL19 TH – 22 ND AUGUST 2010SPECIFICATION1. The <strong>entertainment</strong> <strong>attraction</strong> will operate on Bath Road South car park,Bournemouth as indicated on <strong>the</strong> site pl<strong>an</strong>s enclosed.2. The space available is approximately 3,000m 2 . The <strong>entertainment</strong> <strong>attraction</strong>must fit into this area <strong>an</strong>d also allow <strong>for</strong> pedestri<strong>an</strong>s <strong>an</strong>d emergency vehicleaccess.3. The <strong>entertainment</strong> <strong>attraction</strong> must operate throughout <strong>the</strong> Bournemouth AirFestival 2010 which will be held from Thursday 19 th – Sunday 22 nd August 2010.4. The minimum amount <strong>the</strong> Org<strong>an</strong>iser will accept <strong>for</strong> this Tender is £18,000 dueto <strong>the</strong> loss <strong>of</strong> parking revenue.5. Minimum trading hours will be from 10am – 6pm on each <strong>of</strong> <strong>the</strong> four days.Maximum trading hours will be 10am – 10pm which will be subject to eveningevents. Exact operating times will be confirmed by <strong>the</strong> Council two monthsprior to <strong>the</strong> event.6. The <strong>tender</strong> is <strong>for</strong> <strong>the</strong> 2010 Air Festival only.7. A funfair will not be accepted as part <strong>of</strong> this <strong>tender</strong>. The provision <strong>of</strong> a funfairhas been procured under a separate <strong>tender</strong>.8. No catering units will be allowed as part <strong>of</strong> <strong>the</strong> <strong>attraction</strong>. Catering has beenprocured under a separate <strong>tender</strong>. The Contractor is prohibited from sellingfood <strong>an</strong>d drink. Sweet units (pick <strong>an</strong>d mix) are also not allowed.9. The Council does not recognise Showm<strong>an</strong>’s Rights.10. A contract will be drawn up between <strong>the</strong> Contractor <strong>an</strong>d <strong>the</strong> Council detailingall <strong>of</strong> <strong>the</strong> requirements. The Contractor will be required to pay a nonrefundable50% deposit to <strong>the</strong> Council on signing <strong>of</strong> <strong>the</strong> Contract. Theremaining rental will be due by Tuesday 1 st June 2010. If <strong>the</strong> rental is not paidby this date <strong>the</strong> contract will be c<strong>an</strong>celled.11. The Contractor will be responsible <strong>for</strong> <strong>the</strong> cost <strong>of</strong> <strong>an</strong>y reinstatement necessaryto <strong>the</strong> site used <strong>an</strong>d pay in adv<strong>an</strong>ce a deposit <strong>of</strong> £2,000.00. This will be13


invoiced to <strong>the</strong> Contractor on Tuesday 1 st June 2010. The deposit will berepaid to <strong>the</strong> Contractor on completion <strong>of</strong> <strong>the</strong> event subject to <strong>an</strong>y deductions.12. The Contractor will be responsible <strong>for</strong> providing <strong>an</strong> overall m<strong>an</strong>ager who will be<strong>the</strong> main point <strong>of</strong> contact <strong>for</strong> <strong>the</strong> org<strong>an</strong>isers. The m<strong>an</strong>ager will be responsible<strong>for</strong> actioning <strong>an</strong>y requests made by <strong>the</strong> org<strong>an</strong>iser.13. The Contractor c<strong>an</strong> provide a mixture <strong>of</strong> <strong>attraction</strong>s as part <strong>of</strong> <strong>the</strong> <strong>tender</strong>.14. The <strong>attraction</strong> must be orientated towards a family / community market.15. One day is permitted <strong>for</strong> setting up which will be Wednesday 18 th August 2010.The site must be ready <strong>for</strong> inspection by <strong>the</strong> org<strong>an</strong>iser at 1700hrs on this day.Breakdown will be from 1800hrs on Sunday 22 nd August <strong>an</strong>d all equipment mustbe cleared by 2300hrs on Sunday 22 nd August 2010.16. The Contractor is responsible <strong>for</strong> <strong>the</strong> siteing <strong>an</strong>d removal <strong>of</strong> <strong>the</strong> <strong>attraction</strong>subject to <strong>the</strong> direction <strong>of</strong> <strong>the</strong> event staff. A site pl<strong>an</strong> to include <strong>the</strong>dimensions <strong>an</strong>d location <strong>of</strong> <strong>the</strong> <strong>attraction</strong> must be submitted to <strong>the</strong> org<strong>an</strong>iserstwo months be<strong>for</strong>e <strong>the</strong> start <strong>of</strong> <strong>the</strong> event.17. The decoration <strong>of</strong> <strong>the</strong> <strong>attraction</strong> must be <strong>of</strong> a good st<strong>an</strong>dard <strong>an</strong>d <strong>the</strong> Councilreserves <strong>the</strong> right to remove <strong>an</strong> <strong>attraction</strong> if it is not up to st<strong>an</strong>dard or does notresemble <strong>the</strong> pictures provided as part <strong>of</strong> <strong>the</strong> <strong>tender</strong> submission.18. No gambling machines are to be installed on site.19. There will be no roving advertising or fly posting allowed. Any advertising willbe in conjunction with <strong>the</strong> overall advertising <strong>of</strong> <strong>the</strong> Air Festival.20. Roaming overnight security will be on site 24 hours a day however all<strong>attraction</strong>s <strong>an</strong>d equipment are left at <strong>the</strong> owner’s risk. Extra security c<strong>an</strong> beorg<strong>an</strong>ised at <strong>an</strong> additional cost to <strong>the</strong> Contractor through <strong>the</strong> <strong>of</strong>ficial eventsecurity comp<strong>an</strong>y.21. Camping / overnight stays are not permitted on site.22. No balloons are to be sold, given away or used to decorate <strong>attraction</strong>s.23. There will be no movement <strong>of</strong> vehicles on or <strong>of</strong>f <strong>of</strong> <strong>the</strong> site between operatinghours.24. The org<strong>an</strong>isers <strong>of</strong> <strong>the</strong> event shall not be held liable or responsible <strong>for</strong> <strong>an</strong>y injuryto <strong>the</strong> Contractor or <strong>the</strong>ir employees, agents, guests or visitors while within <strong>the</strong>confines <strong>of</strong> <strong>the</strong> space allocated to <strong>the</strong> Contractor. Nor shall <strong>the</strong> org<strong>an</strong>iser beliable <strong>for</strong> <strong>an</strong>y loss or damage to <strong>an</strong>y goods from <strong>an</strong>y cause whatsoever while <strong>the</strong>same are in tr<strong>an</strong>sit to or from <strong>the</strong> event or while <strong>the</strong>y are in <strong>the</strong> allocated<strong>attraction</strong> area <strong>of</strong> Bath Road south car park.14


25. The Contractor will provide confirmation <strong>of</strong> third party public liability <strong>an</strong>demployer’s liability insur<strong>an</strong>ce to a value <strong>of</strong> £10 million, ADIPS certification,appropriate procedure m<strong>an</strong>uals, risk assessments <strong>an</strong>d o<strong>the</strong>r health <strong>an</strong>d safetydocumentation as appropriate, to Bournemouth Borough Council.26. Noise disruption will be kept to a minimum <strong>an</strong>d levels to <strong>the</strong> satisfaction <strong>of</strong> <strong>the</strong>Environmental Health Officers.27. The use <strong>of</strong> public address microphones is prohibited.28. The <strong>attraction</strong> must be adequately lit <strong>an</strong>d con<strong>for</strong>m to all UK health & safety,licensing, fire <strong>an</strong>d o<strong>the</strong>r statutory requirements to <strong>the</strong> satisfaction <strong>of</strong> relev<strong>an</strong>tBournemouth Borough Council Officers.29. The Contractor is responsible <strong>for</strong> <strong>the</strong> removal <strong>an</strong>d disposal <strong>of</strong> <strong>an</strong>y grey waterwhich must not be discharged into <strong>the</strong> surface water drains.30. The Contractor is responsible <strong>for</strong> all equipment brought onto site <strong>an</strong>d <strong>for</strong>ensuring all insur<strong>an</strong>ces are obtained <strong>an</strong>d contractual obligations are met.31. The Contractor will provide all energy supplies <strong>for</strong> <strong>the</strong>ir <strong>attraction</strong> which shouldbe a super silent diesel generator. Any generator that is not fully soundpro<strong>of</strong>edshall be boxed to reduce noise levels. All generators must be switched<strong>of</strong>f within 15 minutes <strong>of</strong> <strong>the</strong> <strong>attraction</strong> closure time.32. The Contractor is responsible <strong>for</strong> <strong>the</strong> safe removal <strong>an</strong>d disposal <strong>of</strong> allflammable subst<strong>an</strong>ces such as diesel from <strong>the</strong> site.33. All cables must be suitably ramped or safely attached at height.34. The Contractor must arr<strong>an</strong>ge <strong>for</strong> refuse / litter disposal to <strong>the</strong> satisfaction <strong>of</strong>Bournemouth Borough Council. All costs incurred <strong>for</strong> this will be met in full by<strong>the</strong> Contractor.35. Environmental Health, Licensing <strong>an</strong>d Trading St<strong>an</strong>dards Officers will be on sitebe<strong>for</strong>e <strong>an</strong>d during <strong>the</strong> event <strong>an</strong>d will inspect <strong>the</strong> area regularly.36. The Contractor is responsible <strong>for</strong> all staff conduct, public h<strong>an</strong>dling <strong>of</strong> exhibits,consequential <strong>an</strong>d injury loss.37. An <strong>of</strong>fsite car park is available <strong>for</strong> exhibitor vehicles <strong>an</strong>d a shuttle bus providedto <strong>an</strong>d from <strong>the</strong> site. No vehicles may remain onsite during <strong>the</strong> event times.38. Vehicle passes will be provided <strong>for</strong> all vehicles entering <strong>the</strong> event site <strong>an</strong>dexhibitor passes <strong>for</strong> all exhibitors working on site. These must be visible at alltimes.15


39. If <strong>an</strong>y <strong>of</strong> <strong>the</strong> conditions included in this specification are breached during <strong>the</strong>event <strong>the</strong> org<strong>an</strong>iser or <strong>the</strong>ir representative will have <strong>the</strong> authority to ei<strong>the</strong>rdeduct money from <strong>the</strong> reinstatement deposit <strong>an</strong>d/or close down <strong>the</strong> <strong>attraction</strong><strong>for</strong> <strong>the</strong> remainder <strong>of</strong> <strong>the</strong> event.16

(1) THE COUNCIL OF THE BOROUGH OF BOURNEMOUTH <strong>of</strong> <strong>the</strong> Town Hall BournemouthDorset BH2 6DY ("Council") <strong>an</strong>d(2) [ ] (comp<strong>an</strong>y registration number) [ ] whose registered <strong>of</strong>fice is at [] ("Licensee")WHEREBY IT IS MUTUALLY AGREED by <strong>an</strong>d between <strong>the</strong> parties as follows:-1.1 In consideration <strong>of</strong> payment to be made by <strong>the</strong> Licensee <strong>an</strong>d <strong>of</strong> <strong>the</strong> Licensee’sagreement to <strong>the</strong> obligations <strong>an</strong>d conditions in this Licence, <strong>the</strong> Council gr<strong>an</strong>ts <strong>the</strong>following rights to <strong>the</strong> Licensee:1.1.1 <strong>the</strong> right to use l<strong>an</strong>d at Bath Road south car park in <strong>the</strong> Borough <strong>of</strong>Bournemouth [as shown on <strong>the</strong> pl<strong>an</strong> <strong>an</strong>nexed at Appendix 1 (“Site”) fromThursday 19 th August 2010 to Sunday 22 nd August 2010 inclusive, a maximum <strong>of</strong>four days, <strong>for</strong> <strong>the</strong> purposes <strong>of</strong> holding <strong>an</strong> Entertainment Attraction (“Event”);1.1.2 <strong>the</strong> right to have access to <strong>the</strong> Site from 0800 on Wednesday 18 th August 2010 inorder to make <strong>the</strong> necessary preparations <strong>for</strong> <strong>the</strong> Event <strong>an</strong>d until 2300 onSunday 22 nd August 2010 <strong>for</strong> <strong>the</strong> purpose <strong>of</strong> clear<strong>an</strong>ce <strong>an</strong>d reinstatement <strong>of</strong> <strong>the</strong>Site.1.2 The term “Licensee” shall include <strong>the</strong> Licensee’s employees, agents <strong>an</strong>d subcontractorsincluding org<strong>an</strong>isers <strong>of</strong> Events.2. PAYMENT2. The Licensee shall pay to <strong>the</strong> Council in respect <strong>of</strong> <strong>the</strong> rights gr<strong>an</strong>ted by this Licence50% <strong>of</strong> <strong>the</strong> licence fee on <strong>the</strong> signing <strong>of</strong> <strong>the</strong> contract <strong>the</strong> remainder <strong>of</strong> <strong>the</strong> followingamount no later th<strong>an</strong> Tuesday 1 st June 2010:-2.1 a licence fee <strong>of</strong> [ ] (£ );2.2 a deposit <strong>of</strong> Two Thous<strong>an</strong>d Pounds (£2,000.00) which will be refunded in fullto <strong>the</strong> Licensee, provided <strong>the</strong> Licensee carries out in a satisfactory m<strong>an</strong>ner itsobligations under clause 3.5. If <strong>the</strong> Licensee does not fulfil its obligations <strong>the</strong>deposit shall be used by <strong>the</strong> Council in accord<strong>an</strong>ce with clause 3.6.3. THE LICENSEE’S OBLIGATIONS3. The Licensee hereby agrees with <strong>the</strong> Council as follows:-3.1 to pay <strong>the</strong> Licence fee <strong>an</strong>d <strong>the</strong> deposit in accord<strong>an</strong>ce with <strong>the</strong> above provisions;3.2 that <strong>the</strong> Event will operate <strong>for</strong> a maximum <strong>of</strong> four days <strong>an</strong>d that <strong>the</strong> Attractionwill run from [ ] to [ ] each day. Any ch<strong>an</strong>ges in operating hours must beagreed in writing by <strong>the</strong> Council <strong>an</strong>d will be subject to <strong>the</strong> Council having <strong>the</strong>right to request <strong>the</strong> Licensee to operate <strong>the</strong> Event <strong>for</strong> <strong>the</strong> maximum orminimum operating hours at <strong>the</strong> Council’s discretion;21


Noise <strong>an</strong>d Nuis<strong>an</strong>ce3.3 that it will not do or permit or suffer <strong>an</strong>ything to be done on <strong>the</strong> Site whichshall be or may become a nuis<strong>an</strong>ce, damage, <strong>an</strong>noy<strong>an</strong>ce or inconvenience topersons using <strong>the</strong> Site or to occupiers <strong>of</strong> adjoining l<strong>an</strong>d or neighbouringpremises <strong>an</strong>d in particular shall ensure:3.4.1 that all generators shall be switched <strong>of</strong>f within 15 minutes <strong>of</strong> <strong>the</strong>closure <strong>of</strong> <strong>the</strong> <strong>attraction</strong> on each evening;3.4.2 that generators which are not fully sound pro<strong>of</strong>ed shall be boxed toreduce noise levels;3.4.3 that <strong>the</strong> licensee will provide all energy supplies <strong>for</strong> <strong>the</strong>ir <strong>attraction</strong>which will be in <strong>the</strong> <strong>for</strong>m <strong>of</strong> super silent diesel generators;3.4.4 that <strong>the</strong>re will be no use <strong>of</strong> <strong>an</strong>y public address microphones;3.4.5 that suitable arr<strong>an</strong>gements are made to <strong>the</strong> satisfaction <strong>of</strong> <strong>the</strong> Council<strong>for</strong> <strong>the</strong> collection <strong>an</strong>d disposal <strong>of</strong> refuse generated by <strong>the</strong> Licensee;3.4.6 that background noise levels will be set by <strong>the</strong> Council’s Head <strong>of</strong> PublicProtection prior to operating <strong>the</strong> <strong>attraction</strong> <strong>an</strong>d that <strong>the</strong>se noise levelswill be monitored <strong>the</strong> day be<strong>for</strong>e opening with <strong>the</strong> full co-<strong>operation</strong> <strong>of</strong><strong>the</strong> Licensee <strong>an</strong>d that <strong>the</strong>se noise levels must be adhered to from <strong>the</strong>non at all times that <strong>the</strong> <strong>attraction</strong> is on <strong>the</strong> site;3.4.7 that it will liaise with <strong>the</strong> Council at all times regarding <strong>the</strong> Event Site<strong>an</strong>d noise <strong>an</strong>d close down immediately <strong>an</strong>y equipment that in <strong>the</strong>opinion <strong>of</strong> <strong>the</strong> Head <strong>of</strong> Public Protection constitutes a noise nuis<strong>an</strong>ce;3.4.8 that no loudspeaker shall be used by or on behalf <strong>of</strong> <strong>the</strong> Licensee <strong>for</strong><strong>the</strong> purpose <strong>of</strong> advertising <strong>the</strong> Event in <strong>an</strong>y street or public placewithin <strong>the</strong> Borough <strong>of</strong> Bournemouth or from <strong>an</strong>y aircraft, boat or o<strong>the</strong>rcraft;3.4.9 that no music <strong>of</strong> <strong>an</strong>y kind whatsoever shall be allowed be<strong>for</strong>e 1000hrsor after 2200hrs on <strong>an</strong>y day PROVIDED ALSO that no music shall beplayed so loudly as to be unnecessarily audible beyond <strong>the</strong> confines <strong>of</strong><strong>the</strong> site on <strong>an</strong>y day;3.4.10 that all generators <strong>an</strong>d o<strong>the</strong>r equipment that may cause noise nuis<strong>an</strong>ceare situated as far away as possible from local residents’ property;3.4.11 that <strong>the</strong>re will be no movement <strong>of</strong> vehicles on or <strong>of</strong>f <strong>the</strong> site betweenoperating hours.Leaving <strong>the</strong> Site after <strong>the</strong> Event22


3.5 that it will, at <strong>the</strong> expiration or sooner termination <strong>of</strong> <strong>the</strong> operating hours,leave <strong>the</strong> Site <strong>an</strong>d <strong>the</strong> vicinity <strong>the</strong>re<strong>of</strong> as far as practicable in a cle<strong>an</strong> <strong>an</strong>d tidycondition free from all litter <strong>an</strong>d refuse arising from <strong>the</strong> holding <strong>of</strong> <strong>the</strong> Event,make all necessary arr<strong>an</strong>gements to remove all litter <strong>an</strong>d refuse, <strong>an</strong>d makegood <strong>an</strong>y damage caused to <strong>the</strong> property <strong>of</strong> <strong>the</strong> Council, to <strong>the</strong> reasonablesatisfaction <strong>of</strong> <strong>the</strong> Director <strong>of</strong> Tourism & Corporate Communications;3.6. that in <strong>the</strong> event <strong>of</strong> <strong>the</strong> Licensee failing to comply with <strong>the</strong> terms <strong>of</strong> clause 3.5<strong>the</strong> Council shall carry out <strong>the</strong> necessary works <strong>an</strong>d that <strong>the</strong> deposit specified inclause 2.2 shall be used to cover <strong>the</strong> costs incurred by <strong>the</strong> Council, providedthat where <strong>the</strong> Council’s costs exceed <strong>the</strong> deposit <strong>the</strong> Licensee shall be liable<strong>for</strong> <strong>the</strong> difference <strong>an</strong>d where <strong>the</strong> Council’s costs are less th<strong>an</strong> <strong>the</strong> deposit <strong>the</strong>bal<strong>an</strong>ce shall be refunded to <strong>the</strong> Licensee;General Obligations3.7. that no gambling machines or similar devices will be permitted on <strong>an</strong>y part <strong>of</strong><strong>the</strong> Site;3.8. that <strong>the</strong> Licensee will at its own expense make all necessary arr<strong>an</strong>gements:3.8.1 with <strong>the</strong> Bournemouth <strong>an</strong>d District Water Comp<strong>an</strong>y <strong>for</strong> <strong>the</strong> supply <strong>of</strong>water to be provided on <strong>the</strong> Site to <strong>the</strong> satisfaction <strong>of</strong> <strong>the</strong> Council;3.8.2 <strong>for</strong> <strong>the</strong> disposal <strong>of</strong> sewage on <strong>the</strong> Site to <strong>the</strong> satisfaction <strong>of</strong> <strong>the</strong>Council’s Head <strong>of</strong> Public Protection <strong>an</strong>d that no foul water shall bedischarged into <strong>the</strong> surface water drains at <strong>the</strong> Site or <strong>an</strong>y adjacentl<strong>an</strong>d;3.8.3 <strong>for</strong> payment <strong>of</strong> <strong>an</strong>y charges that may apply to traders <strong>for</strong> parking inlocal car parks;3.8.4 <strong>for</strong> <strong>the</strong> safe removal <strong>an</strong>d disposal <strong>of</strong> all flammable subst<strong>an</strong>ces such asdiesel from <strong>the</strong> site.3.9 that <strong>the</strong> Council may in its absolute discretion prohibit <strong>the</strong> use on <strong>the</strong> Site <strong>of</strong><strong>an</strong>y device, apparatus or exhibit <strong>an</strong>d may stop <strong>an</strong>y activities being undertakenon <strong>the</strong> Site within reason <strong>an</strong>d <strong>the</strong> Licensee shall <strong>for</strong>thwith at its own expenseremove <strong>an</strong>y such thing to which objection may be so taken;3.10 that it will comply with all statutory authorities <strong>an</strong>d Health & Safety regulationsas <strong>the</strong> Council <strong>an</strong>d Fire Authority may require, including all guidelines as set outin <strong>the</strong> HSE Event Safety ‘Purple Guide’;3.12 that a full safety pl<strong>an</strong> <strong>an</strong>d evacuation procedure will be provided to <strong>the</strong> Councilat least four weeks prior to <strong>the</strong> event;23


3.14 that if it is deemed necessary by <strong>the</strong> Council, a Safety Advisory Group (SAG)meeting will be held involving <strong>the</strong> Licensee, Police, Ambul<strong>an</strong>ce <strong>an</strong>d o<strong>the</strong>rappropriate bodies;3.15 that all electrical installations <strong>an</strong>d equipment shall comply with <strong>the</strong>requirements <strong>of</strong> <strong>the</strong> Electricity at Work Regulations (1989) <strong>an</strong>d <strong>the</strong> Licensee willprovide <strong>the</strong> Council with <strong>an</strong> electrical certificate supplied by <strong>an</strong> independentauthorised contractor following installation;3.16 that a completion certificate will be provided to <strong>the</strong> Council <strong>for</strong> all temporarystructures prior to <strong>the</strong> Event <strong>an</strong>d this certificate must be issued by <strong>an</strong>appropriately qualified <strong>an</strong>d competent person;3.17 that <strong>an</strong>y cables installed where vehicular access is required should be installedat a minimum height <strong>of</strong> 5.8m;3.18 that cables installed at ground level should have cable protection, <strong>an</strong>d whereaccessible by members <strong>of</strong> <strong>the</strong> public, e.g. walk through, should have <strong>the</strong>appropriate cable ramps installed;3.19 that distribution p<strong>an</strong>els should be appropriately positioned <strong>an</strong>d protected sothat <strong>the</strong>y are unable to be accessed by unauthorised persons but still allowingemergency isolation in <strong>the</strong> event <strong>of</strong> <strong>an</strong> emergency by authorised persons;3.20 that a suitably qualified person will test <strong>the</strong> total electrical installation <strong>of</strong> <strong>the</strong><strong>attraction</strong>, <strong>an</strong>d <strong>the</strong> required test certificates issued to show compli<strong>an</strong>ce;3.21 that <strong>the</strong>y will permit <strong>the</strong> Chief Constable <strong>of</strong> <strong>the</strong> Dorset <strong>an</strong>d BournemouthConstabulary, <strong>the</strong> Chief Fire Officer <strong>of</strong> <strong>the</strong> Dorset Fire Service <strong>an</strong>d <strong>the</strong> Council’sHead <strong>of</strong> Public Protection <strong>an</strong>d Director <strong>of</strong> Tourism <strong>an</strong>d CorporateCommunications, or such persons as are duly authorised by <strong>the</strong>m, to enter upon<strong>the</strong> Site at all times during <strong>the</strong> Event;3.22 that <strong>the</strong>y will liaise with <strong>the</strong> Fire Authority <strong>an</strong>d <strong>the</strong> Police Authority on allaspects <strong>of</strong> crowd <strong>an</strong>d traffic m<strong>an</strong>agement <strong>an</strong>d comply with such conditionsrelating to public health <strong>an</strong>d safety fire prevention providing adequate me<strong>an</strong>s<strong>of</strong> escape in case <strong>of</strong> fire <strong>an</strong>d first aid as <strong>the</strong> Council, <strong>the</strong> Fire Authority <strong>an</strong>d <strong>the</strong>Police Authority may require;3.23 that <strong>the</strong>y will at <strong>the</strong>ir own expense provide <strong>an</strong>d maintain adequate safe <strong>an</strong>dsecure lighting during <strong>the</strong> times <strong>the</strong> <strong>attraction</strong> is open to <strong>the</strong> public;3.24 that no touting <strong>of</strong> <strong>an</strong>y kind shall be permitted;3.25 that no car parking shall be permitted on <strong>the</strong> Site;3.26 that no balloons are to be sold, given away or used to decorate <strong>attraction</strong>s on<strong>the</strong> Site;24


3.27 that no posters or o<strong>the</strong>r advertisements in connection with <strong>the</strong> <strong>attraction</strong> shallbe affixed in <strong>an</strong>y part <strong>of</strong> <strong>the</strong> said Borough except upon authorised bill boards orhoardings <strong>an</strong>d subject to <strong>the</strong> consent <strong>of</strong> <strong>the</strong> owners <strong>the</strong>re<strong>of</strong>;3.28 that <strong>the</strong>re will be no roving advertising or fly posting allowed. Any advertisingwill be in conjunction with <strong>the</strong> overall advertising <strong>of</strong> <strong>the</strong> Air Festival;3.29 that <strong>the</strong>y will produce to <strong>the</strong> Director <strong>of</strong> Tourism & Corporate Communications<strong>for</strong> inspection no later th<strong>an</strong> one month prior to <strong>the</strong> first day <strong>of</strong> <strong>operation</strong>certificates <strong>of</strong> fitness relating to every <strong>attraction</strong> to be used by <strong>the</strong> Licenseeson <strong>the</strong> site;3.30 that <strong>the</strong> decoration <strong>of</strong> <strong>the</strong> <strong>attraction</strong> must be <strong>of</strong> a good st<strong>an</strong>dard <strong>an</strong>d <strong>the</strong>Council reserves <strong>the</strong> right to remove <strong>an</strong> <strong>attraction</strong> if it is not up to st<strong>an</strong>dard ordoes not resemble <strong>the</strong> pictures provided as part <strong>of</strong> <strong>the</strong> <strong>tender</strong> submission;3.31 that <strong>the</strong> Licensee is responsible <strong>for</strong> <strong>the</strong> siteing <strong>an</strong>d removal <strong>of</strong> <strong>the</strong> <strong>attraction</strong>subject to <strong>the</strong> direction <strong>of</strong> <strong>the</strong> event staff;3.32 that a site pl<strong>an</strong> to include <strong>the</strong> dimensions <strong>an</strong>d location <strong>of</strong> <strong>the</strong> <strong>attraction</strong> mustbe submitted to <strong>the</strong> Council two months be<strong>for</strong>e <strong>the</strong> start <strong>of</strong> <strong>the</strong> Event;3.33 that a funfair will not be accepted as <strong>the</strong> <strong>attraction</strong> under this contract;3.34 that <strong>the</strong> Council does not recognise Showm<strong>an</strong>’s Rights;3.35 that <strong>the</strong> Licensee will be responsible <strong>for</strong> providing <strong>an</strong> overall m<strong>an</strong>ager who willbe <strong>the</strong> main point <strong>of</strong> contact <strong>for</strong> <strong>the</strong> org<strong>an</strong>iser. The m<strong>an</strong>ager will beresponsible <strong>for</strong> actioning <strong>an</strong>y requests made by <strong>the</strong> org<strong>an</strong>iser;3.36 that <strong>the</strong> <strong>attraction</strong> must be orientated towards a family / community market;3.37 that camping / overnight stays are not permitted on site;3.38 that roaming overnight security will be onsite 24 hours a day however all<strong>attraction</strong>s <strong>an</strong>d equipment is left at <strong>the</strong> owners risk;3.39 that <strong>the</strong> Licensee c<strong>an</strong> org<strong>an</strong>ise at a cost to <strong>the</strong>m additional security through <strong>the</strong><strong>of</strong>ficial event security comp<strong>an</strong>y;3.40 that <strong>the</strong> <strong>entertainment</strong> <strong>attraction</strong>, pedestri<strong>an</strong>s <strong>an</strong>d emergency vehicle accessmust fit into <strong>the</strong> area known as <strong>the</strong> Site as shown in appendix 1;3.41 that no catering outlets are allowed as part <strong>of</strong> <strong>the</strong> <strong>attraction</strong> or on <strong>the</strong>contracted Site. The Licensee is prohibited from selling <strong>an</strong>y food, sweets, icecream or drinks;3.42 that no alcohol will be sold on site;3.43 that <strong>the</strong> <strong>attraction</strong> must be adequately lit by <strong>the</strong> Licensee <strong>an</strong>d con<strong>for</strong>m to allUK health & safety, licensing, fire <strong>an</strong>d o<strong>the</strong>r statutory requirements to <strong>the</strong>satisfaction <strong>of</strong> relev<strong>an</strong>t Bournemouth Borough Council <strong>of</strong>ficers;25


3.44 that <strong>the</strong> Licensee is responsible <strong>for</strong> all staff conduct, public h<strong>an</strong>dling orexhibits, consequential <strong>an</strong>d injury loss;3.45 that <strong>the</strong> Licensee is responsible <strong>for</strong> all equipment brought onto site <strong>an</strong>d <strong>for</strong>ensuring all insur<strong>an</strong>ces are obtained <strong>an</strong>d contractual obligations are met;3.46 that <strong>an</strong> <strong>of</strong>fsite car park is available <strong>for</strong> exhibitor vehicles <strong>an</strong>d a shuttle busprovided to <strong>an</strong>d from <strong>the</strong> site;3.47 that vehicle passes will be provided <strong>for</strong> all vehicles entering <strong>the</strong> event site <strong>an</strong>dexhibitor passes <strong>for</strong> all exhibitors working on site. These must be visible at alltimes;3.48 that if <strong>an</strong>y <strong>of</strong> <strong>the</strong> conditions included in this contract are breached during <strong>the</strong>event <strong>the</strong> Director <strong>of</strong> Tourism <strong>an</strong>d Corporate Communications, or such personsas are duly authorised by <strong>the</strong>m will have <strong>the</strong> authority to ei<strong>the</strong>r deduct moneyfrom <strong>the</strong> reinstatement deposit <strong>an</strong>d / or close down <strong>the</strong> <strong>attraction</strong> <strong>for</strong> <strong>the</strong>remainder <strong>of</strong> <strong>the</strong> event;Premise <strong>an</strong>d o<strong>the</strong>r Licences3.49 that <strong>the</strong> Licensee will comply with <strong>the</strong> conditions relating to licensing inrelation to <strong>the</strong> provision <strong>of</strong> licensable <strong>entertainment</strong> activities as well as <strong>an</strong>ypolicies implemented by <strong>the</strong> Council <strong>the</strong>reunder, at <strong>the</strong> expense <strong>of</strong> <strong>the</strong>Licensee;3.50 that <strong>the</strong> Licensee will proved a detailed pl<strong>an</strong> <strong>of</strong> <strong>the</strong> how <strong>the</strong>y will deal withcrowd m<strong>an</strong>agement <strong>an</strong>d health & safety issues two months prior to <strong>the</strong> eventstart. This will work in conjunction with <strong>the</strong> overall event pl<strong>an</strong> compiled by <strong>the</strong>org<strong>an</strong>iser;3.51 that where <strong>the</strong>re are supervised activities <strong>for</strong> children with or withoutparental/guardi<strong>an</strong> supervision <strong>the</strong> providers <strong>of</strong> <strong>the</strong>se activities are CriminalRecord Bureau (CRB) checked <strong>an</strong>d confirmation <strong>of</strong> checks are provided to <strong>the</strong>Council at least 48 hours prior to <strong>the</strong> Event start;3.52 that where children under <strong>the</strong> age <strong>of</strong> 8 are left at a supervised activity withoutparent or guardi<strong>an</strong>, <strong>the</strong> org<strong>an</strong>iser will comply with <strong>the</strong> requirements <strong>of</strong> <strong>the</strong>Children’s Act 2004;3.53 that if lifting equipment is used on site, <strong>the</strong> Licensee must provide <strong>the</strong> Councilwith appropriate written physical evidence as specified under The LiftingOperations <strong>an</strong>d Lifting Equipment regulations (LOLER) (1998);3.54 that <strong>for</strong> <strong>an</strong>y Charity collections a valid Street Collection Licence is held <strong>an</strong>dshown to <strong>the</strong> Council on request;26


3.55 that no leafleting will be undertaken in <strong>the</strong> Borough to promote <strong>the</strong> <strong>attraction</strong>except <strong>for</strong> in <strong>the</strong> Town Centre <strong>an</strong>d only if a permit has been obtained from <strong>the</strong>Council’s Town Centre M<strong>an</strong>ager.4. INDEMNITY AND INSURANCE4.1 The Licensee shall indemnify <strong>the</strong> Council in full from <strong>an</strong>d against all actionsproceedings claims <strong>an</strong>d dem<strong>an</strong>ds <strong>for</strong> or in respect <strong>of</strong> <strong>an</strong>y damage or injury to <strong>an</strong>yperson or persons <strong>an</strong>d to <strong>the</strong> property <strong>of</strong> <strong>an</strong>y such person or persons, or <strong>an</strong>y o<strong>the</strong>ractions proceedings claims <strong>an</strong>d dem<strong>an</strong>ds arising directly or indirectly through <strong>the</strong>carrying on <strong>of</strong> <strong>the</strong> business <strong>of</strong> <strong>the</strong> Licensees or howsoever o<strong>the</strong>rwise arising out <strong>of</strong> byreason <strong>of</strong> or on account <strong>of</strong> <strong>the</strong> gr<strong>an</strong>t <strong>of</strong> this Licence by <strong>the</strong> Council or <strong>the</strong> exercise(whe<strong>the</strong>r negligent or not) <strong>of</strong> <strong>the</strong> rights gr<strong>an</strong>ted to <strong>the</strong> Licensees by this Licence.4.2 Notwithst<strong>an</strong>ding Clauses 3.5 <strong>an</strong>d 3.6 here<strong>of</strong> <strong>the</strong> Licensee shall be responsible <strong>for</strong> <strong>an</strong>dkeep <strong>the</strong> Council indemnified against all damage <strong>of</strong> <strong>an</strong>y description which may occur to<strong>the</strong> Site or <strong>an</strong>y part <strong>the</strong>re<strong>of</strong> or to o<strong>the</strong>r property <strong>of</strong> <strong>the</strong> Council arising directly orindirectly out <strong>of</strong> or on account <strong>of</strong> <strong>the</strong> gr<strong>an</strong>t <strong>of</strong> this Licence by <strong>the</strong> Council or <strong>the</strong>exercise (whe<strong>the</strong>r negligent or not) <strong>of</strong> <strong>the</strong> rights gr<strong>an</strong>ted to <strong>the</strong> Licensee or <strong>an</strong>y personemployed by <strong>the</strong> Licensee.4.3 Without prejudice to <strong>the</strong> Licensees’ liability under Clauses 4.1 <strong>an</strong>d 4.2 here<strong>of</strong> <strong>the</strong>Licensee shall effect <strong>an</strong>d maintain <strong>an</strong> insur<strong>an</strong>ce policy against all risks including PublicLiability in <strong>an</strong> amount not less th<strong>an</strong> Ten Million Pounds (£10,000,000) in respect <strong>of</strong><strong>an</strong>y one event or series <strong>of</strong> events arising from <strong>an</strong>y one event, unlimited during <strong>the</strong>periods <strong>of</strong> <strong>the</strong> Event <strong>an</strong>d in terms to be approved by <strong>the</strong> Council with <strong>an</strong> Insurer <strong>of</strong>repute AND effect <strong>an</strong>d maintain <strong>an</strong> adequate policy <strong>of</strong> Employers Liability Insur<strong>an</strong>ce<strong>an</strong>d that such policies <strong>of</strong> insur<strong>an</strong>ce to be submitted to <strong>an</strong>d approved by <strong>the</strong> Council atleast one month be<strong>for</strong>e <strong>the</strong> commencement date <strong>of</strong> <strong>the</strong> Event.5. PERFORMANCE LICENCES AND COPYRIGHT5.2 The Licensee is responsible <strong>for</strong> obtaining a Licence from <strong>the</strong> Per<strong>for</strong>m<strong>an</strong>ce Right SocietyLimited to cover <strong>the</strong> per<strong>for</strong>m<strong>an</strong>ce <strong>of</strong> all musical work in <strong>the</strong> repertoire <strong>of</strong> that Society.5.3 The Licensee is responsible <strong>for</strong> ensuring that it does not infringe a copyright or <strong>an</strong>yo<strong>the</strong>r intellectual property right effective during <strong>the</strong> Event. The Council shall not have<strong>an</strong>y liability <strong>for</strong> <strong>an</strong>y such infringement by <strong>the</strong> Licensee.5.4 The Licensee shall at all times whe<strong>the</strong>r during or after termination or expiry <strong>of</strong> thisLicence indemnify <strong>an</strong>d keep indemnified <strong>the</strong> Council against all losses, damages, costs,expenses <strong>an</strong>d liabilities (including legal fees) incurred by or awarded against <strong>the</strong>Council or <strong>the</strong>ir <strong>of</strong>ficers, agents, employees, members <strong>an</strong>d successors in interest in27


connection with <strong>an</strong>y proceedings, claim or action against <strong>the</strong> Council as a result <strong>of</strong> <strong>an</strong>yfailure by <strong>the</strong> Licensee to comply with its obligations under this clause.5.5 The Licensee shall at all times whe<strong>the</strong>r during or after termination or expiry <strong>of</strong> thisLicence indemnify <strong>an</strong>d keep indemnified <strong>the</strong> Council against <strong>an</strong>y material adversereputational damage as a result <strong>of</strong> <strong>an</strong>y failure by <strong>the</strong> Licensee to comply with itsobligations under this clause.5.6 If <strong>the</strong> Event includes child per<strong>for</strong>mers <strong>of</strong> statutory school age a letter <strong>of</strong> exemptionmust be produced from <strong>the</strong> child’s home local authority stating a child per<strong>for</strong>m<strong>an</strong>celicence is not required; o<strong>the</strong>rwise each child must have a copy <strong>of</strong> <strong>the</strong>ir per<strong>for</strong>m<strong>an</strong>celicence. Chaperones looking after <strong>the</strong> children should also produce a copy <strong>of</strong> <strong>the</strong>irregistration; <strong>the</strong>y must not look after more th<strong>an</strong> 12 children each or have <strong>an</strong>y o<strong>the</strong>rduties. All documentation must be obtained by <strong>the</strong> Licensee <strong>an</strong>d produced to <strong>the</strong>Council at least 14 days be<strong>for</strong>e <strong>the</strong> Event commences.6. TERMINATION6.1 If <strong>the</strong> Licensee:-6.1.1 shall fail to observe or per<strong>for</strong>m <strong>an</strong>y <strong>of</strong> its obligations under this Licence <strong>the</strong>Council shall be at liberty to terminate this Licence immediately by givingnotice in writing to <strong>the</strong> Licensee in which event <strong>the</strong> apparatus devices property<strong>an</strong>d vehicles belonging to <strong>the</strong> Licensee shall <strong>for</strong>thwith be removed from <strong>the</strong>Site but without prejudice to <strong>an</strong>y claim which <strong>the</strong> Council may have against <strong>the</strong>Licensee in respect <strong>of</strong> <strong>an</strong>y <strong>an</strong>tecedent breach <strong>of</strong> <strong>an</strong>y <strong>of</strong> <strong>the</strong> conditions <strong>of</strong> thisLicence;6.1.2 has <strong>of</strong>fered or given or agreed to give <strong>an</strong>y person <strong>an</strong>y gift or consideration <strong>of</strong><strong>an</strong>y kind as <strong>an</strong> inducement or reward <strong>for</strong> doing or <strong>for</strong>bearing to do or <strong>for</strong> havingdone or <strong>for</strong>borne to do <strong>an</strong>y action in relation to <strong>the</strong> obtaining or execution <strong>of</strong>this licence or <strong>an</strong>y o<strong>the</strong>r Licence or Licence with <strong>the</strong> Council or <strong>for</strong> showing or<strong>for</strong>bearing to show favour or disfavour to <strong>an</strong>y person in relation to <strong>the</strong> licenceor <strong>an</strong>y o<strong>the</strong>r licence or Licence with <strong>the</strong> Council, or if in relation to <strong>an</strong>y licenceor Licence with <strong>the</strong> Council <strong>the</strong> Licensee or <strong>an</strong>y person employed by <strong>the</strong>m oracting on <strong>the</strong>ir behalf shall have committed <strong>an</strong>y <strong>of</strong>fence under <strong>the</strong> Prevention<strong>of</strong> Corruption Acts 1889 to 1916 or shall have given <strong>an</strong>y fee or reward <strong>the</strong>receipt <strong>of</strong> which is <strong>an</strong> <strong>of</strong>fence under Sub-Section (2) <strong>of</strong> Section 117 <strong>of</strong> <strong>the</strong> LocalGovernment Act 1972, <strong>the</strong> Council shall be at liberty to terminate this Licenceimmediately by giving notice in writing to <strong>the</strong> Licensee.7. FREEDOM OF INFORMATION AND OTHER LEGISLATION28


7.1 The Licensee shall note <strong>the</strong> Council's current <strong>an</strong>d future obligations under <strong>the</strong> SexDiscrimination Act 1975, Race Relations Act 1976, Disability Discrimination Act 1995,Hum<strong>an</strong> Rights Act 1998, Data Protection Act 1998, Freedom <strong>of</strong> In<strong>for</strong>mation Act 2000,Employment Equality (Sexual Orientation) Regulations 2003, Employment Equality(Religion or Belief) Regulations 2003, Employment Equality (Age) Regulations 2006 (allas amended from time to time) <strong>an</strong>d <strong>an</strong>y codes <strong>of</strong> practice <strong>an</strong>d best practice guid<strong>an</strong>ceissued by <strong>the</strong> Government <strong>an</strong>d <strong>the</strong> appropriate en<strong>for</strong>cement agencies.7.2 The Licensee shall comply with <strong>the</strong> above legislation in so far as it places obligationsupon <strong>the</strong> Licensee in <strong>the</strong> per<strong>for</strong>m<strong>an</strong>ce <strong>of</strong> its obligations under this Licence <strong>an</strong>d incarrying out <strong>the</strong> Event.7.3 The Licensee shall facilitate <strong>the</strong> Council’s compli<strong>an</strong>ce with <strong>the</strong> Council’s obligationsunder <strong>the</strong>se provisions <strong>an</strong>d comply with <strong>an</strong>y reasonable request <strong>for</strong>m <strong>the</strong> Council <strong>for</strong>that purpose.7.4 The Licensee shall note particularly that <strong>the</strong> Council may be required to providein<strong>for</strong>mation relating to this Licence or <strong>the</strong> Licensee to a person in order to comply withits obligations under <strong>the</strong>se provisions.8. DISPUTE RESOLUTION8.1 A dispute relating to <strong>the</strong> provisions <strong>of</strong> this Licence which c<strong>an</strong>not be resolved in <strong>the</strong>first inst<strong>an</strong>ce between <strong>the</strong> Licensee’s representative <strong>an</strong>d <strong>the</strong> Council’s representativewithin a month shall be referred to <strong>the</strong> Council’s Director <strong>of</strong> Tourism <strong>an</strong>d CorporateCommunications.8.2 Nothing in this clause shall prejudice <strong>the</strong> right <strong>of</strong> ei<strong>the</strong>r party to apply to <strong>the</strong> court <strong>for</strong>interim relief to prevent <strong>the</strong> violation by <strong>the</strong> o<strong>the</strong>r party <strong>of</strong> <strong>an</strong>y proprietary interest or<strong>an</strong>y breach <strong>of</strong> that party’s obligations.8.3 If <strong>an</strong>y dispute c<strong>an</strong>not be resolved between <strong>the</strong> Licensee <strong>an</strong>d <strong>the</strong> Council within amonth <strong>of</strong> referral as set out in clause 8.1 <strong>the</strong>n at <strong>the</strong> inst<strong>an</strong>ce <strong>of</strong> <strong>the</strong> Licensee or <strong>the</strong>Council it will be referred to mediation in accord<strong>an</strong>ce with <strong>the</strong> Centre <strong>for</strong> EffectiveDispute Resolution’s (“CEDR”) Model Mediation Procedure.8.4 To initiate <strong>the</strong> mediation, ei<strong>the</strong>r party may give notice in writing to <strong>the</strong> o<strong>the</strong>rrequesting mediation in accord<strong>an</strong>ce with this clause. The initiating party shall send acopy <strong>of</strong> such request to CEDR.8.5 If <strong>the</strong>re is <strong>an</strong>y issue on <strong>the</strong> conduct <strong>of</strong> <strong>the</strong> mediation (including as to <strong>the</strong> nomination <strong>of</strong><strong>the</strong> mediator) upon which <strong>the</strong> parties c<strong>an</strong>not agree within a reasonable time, CEDRwill, at <strong>the</strong> request <strong>of</strong> ei<strong>the</strong>r party, decide <strong>the</strong> issue.29


8.6 If <strong>the</strong> dispute is not resolved within 90 days <strong>of</strong> <strong>the</strong> initiation <strong>of</strong> <strong>the</strong> mediation, or ifei<strong>the</strong>r party will not participate in <strong>the</strong> mediation ei<strong>the</strong>r party may commenceproceedings.9. ASSIGNMENT AND SUB-CONTRACTING9.1 The Licensee shall not assign <strong>the</strong> benefit or adv<strong>an</strong>tage <strong>of</strong> <strong>the</strong> Licence in whole or inpart.9.2 The Licensee shall not use <strong>the</strong> services <strong>of</strong> self-employed individuals without <strong>the</strong>Council’s prior written agreement.10. ENTIRE AGREEMENT10.1 This Licence constitutes <strong>the</strong> Entire Agreement between <strong>the</strong> parties relating to <strong>the</strong>subject matter <strong>of</strong> <strong>the</strong> Licence. The Licence supersedes all prior negotiations,representations <strong>an</strong>d undertakings, whe<strong>the</strong>r written or oral, except that this clauseshall not exclude liability in respect <strong>of</strong> <strong>an</strong>y fraudulent misrepresentation.11. FORCE MAJEURE11.1 Nei<strong>the</strong>r party shall be liable <strong>for</strong> breach <strong>of</strong> its obligations under <strong>the</strong> Licence to <strong>the</strong>extent that <strong>an</strong>y such breach is caused by <strong>an</strong>y act <strong>of</strong> God, natural flood, fire (savewhere such fire is due to <strong>the</strong> negligence or fault <strong>of</strong> <strong>the</strong> party), lightning strike,earthquake, p<strong>an</strong>demic outbreak <strong>of</strong> infectious virus, war, military <strong>operation</strong>s, act <strong>of</strong>terrorism or riot, but none<strong>the</strong>less each party shall use all reasonable endeavours toper<strong>for</strong>m its obligations under <strong>the</strong> Contract.12. NOTICES12.1 Except as o<strong>the</strong>rwise expressly provided within <strong>the</strong> Agreement, no notice or o<strong>the</strong>rcommunication from one Party to <strong>the</strong> o<strong>the</strong>r shall have <strong>an</strong>y validity under <strong>the</strong>Agreement unless made in writing by or on behalf <strong>of</strong> <strong>the</strong> Party concerned.12.2 Any notice or o<strong>the</strong>r communication which is to be given by ei<strong>the</strong>r Party to <strong>the</strong> o<strong>the</strong>rshall be given by letter (delivered by h<strong>an</strong>d, post, registered post or by <strong>the</strong> recordeddelivery service), by facsimile tr<strong>an</strong>smission or electronic mail (confirmed in ei<strong>the</strong>r caseby letter).12.3 Provided <strong>the</strong> relev<strong>an</strong>t communication is not returned as undelivered, <strong>the</strong> notice orcommunication shall be deemed to have been given 2 Working Days after <strong>the</strong> day onwhich <strong>the</strong> letter was posted, or four hours, in <strong>the</strong> case <strong>of</strong> electronic mail or facsimiletr<strong>an</strong>smission or sooner where <strong>the</strong> o<strong>the</strong>r Party acknowledges receipt <strong>of</strong> such letters,facsimile tr<strong>an</strong>smission or item <strong>of</strong> electronic mail.13. SEVERANCE30


13.1 If <strong>an</strong>y provision <strong>of</strong> <strong>the</strong> Licence is held invalid, illegal or unen<strong>for</strong>ceable <strong>for</strong> <strong>an</strong>y reasonby <strong>an</strong>y court <strong>of</strong> competent jurisdiction, such provision shall be severed <strong>an</strong>d <strong>the</strong>remainder <strong>of</strong> <strong>the</strong> provisions <strong>of</strong> <strong>the</strong> Licence shall continue in full <strong>for</strong>ce <strong>an</strong>d effect.14. THIRD PARTIES14.1 Pursu<strong>an</strong>t to <strong>the</strong> Contracts (Rights <strong>of</strong> Third Parties) Act 1999 <strong>the</strong> parties agree that aperson who is not a party to this Licence may not en<strong>for</strong>ce <strong>an</strong>y <strong>of</strong> its terms.15. VARIATION15.1 The terms <strong>of</strong> <strong>the</strong> Licence may be varied by written agreement between <strong>the</strong> parties.15.2 In <strong>the</strong> event <strong>of</strong> a Variation <strong>the</strong> price may also be varied. Such Variation in <strong>the</strong> priceshall be calculated <strong>an</strong>d agreed in writing between <strong>the</strong> parties <strong>an</strong>d shall be suchamount as properly <strong>an</strong>d fairly reflects <strong>the</strong> nature <strong>an</strong>d extent <strong>of</strong> <strong>the</strong> Variation in all <strong>the</strong>circumst<strong>an</strong>ces Failing agreement <strong>the</strong> matter shall be determined in accord<strong>an</strong>ce with<strong>the</strong> provisions <strong>of</strong> clause 8.16. WAIVER16.1 The failure <strong>of</strong> ei<strong>the</strong>r Party to insist upon strict per<strong>for</strong>m<strong>an</strong>ce <strong>of</strong> <strong>an</strong>y provision <strong>of</strong> <strong>the</strong>Agreement or <strong>the</strong> failure <strong>of</strong> ei<strong>the</strong>r Party to exercise <strong>an</strong>y right or remedy shall notconstitute a waiver <strong>of</strong> that right or remedy <strong>an</strong>d shall not cause a diminution <strong>of</strong> <strong>the</strong>obligations established by <strong>the</strong> Agreement.16.2 No waiver shall be effective unless it is expressly stated to be a waiver <strong>an</strong>dcommunicated to <strong>the</strong> o<strong>the</strong>r Party in writing in accord<strong>an</strong>ce with <strong>the</strong> provisions <strong>of</strong> clause12.16.3 A waiver <strong>of</strong> <strong>an</strong>y right or remedy arising from a breach <strong>of</strong> <strong>the</strong> Agreement shall notconstitute a waiver <strong>of</strong> <strong>an</strong>y right or remedy arising from <strong>an</strong>y o<strong>the</strong>r or subsequent breach<strong>of</strong> <strong>the</strong> Agreement.17. PREVENTION OF CORRUPTION17.1 The Council may terminate this Licence <strong>an</strong>d recover all its loss if <strong>the</strong> Licensee shoulddo <strong>an</strong>y <strong>of</strong> <strong>the</strong> following things:17.1.1 <strong>of</strong>fer, give or agree to give to <strong>an</strong>yone <strong>an</strong>y inducement or reward in respect <strong>of</strong>this or <strong>an</strong>y o<strong>the</strong>r Council contract (even if <strong>the</strong> Licensee does not know what hasbeen done); or17.1.2 commit <strong>an</strong> <strong>of</strong>fence under <strong>the</strong> Prevention <strong>of</strong> Corruption Acts 1889 to 1916 orSection 117(2) <strong>of</strong> <strong>the</strong> Local Government Act 1972; or17.1.3 commit <strong>an</strong>y fraud in connection with this or <strong>an</strong>y o<strong>the</strong>r Council contract whe<strong>the</strong>ralone or in conjunction with Council Members, contractors, suppliers, or31


employees. Any clause limiting <strong>the</strong> Licensee’s liability shall not apply to thisclause.18. GOVERNING LAW18.1 The Agreement shall be governed by <strong>an</strong>d interpreted in accord<strong>an</strong>ce with English law<strong>an</strong>d <strong>the</strong> Parties submit to <strong>the</strong> exclusive jurisdiction <strong>of</strong> <strong>the</strong> courts <strong>of</strong> Engl<strong>an</strong>d.19.
