Chapter V: Access to Information1 Key Legal DocumentsIn principle, the statutory rights to information and inspection ofshareholders and board members represent a minimum standard. 2215 Due toits one-sided mandatory nature, 2216 the respective rights can be amendedonly for the PEMI’s benefit. 2217 Shareholders’ information rights can bebroadened via the articles of association. At all times, however, the board ofdirectors, due to the principle of parity and the directors’ personalliability, 2218 must maintain its authority to reject requests that could breachbusiness secrets or where the information requested could be used to thedetriment of the company. 2219 The later withdrawal of enhanced informationrights requires an amendment of the articles of association, which is, bydefault, approved by the absolute majority of the votes allocated to theshares represented at the general meeting. 2220Pursuant to prevailing expert opinion, 2221 board members’ informationrights are broadened via the organizational resolutions or board resolutions,but not via the articles of association due to the principles of parity 2222 andof the board’s self-organization 2223 .
