72009 KT – KTF MergerWe successfully advised KT Freetel Co., Ltd. throughout its mergerwith KT Corp., a leading communications service provider in Korea.The merger resulted in a telecommunications giant with US$17 billionin assets and thus involved very complex competition law issues. Thisdeal was the largest non-financial sector merger in Korean history.2009 Samsung Mobile Display Joint VentureWe represented all of the parties in this deal. Samsung SDI spun offits AMOLED division, while Samsung Electronics made an in-kindcontribution of its small- and mid-sized LCD business divisions alongwith its own AMOLED division to the new joint venture. The resultingcompany, Samsung Mobile Display, strengthens the SamsungGroup’s competitiveness in the AMOLED market. The value of thisdeal was US$520 million.2009 Doosan Corporation’s Sale of Three Affiliates and KAIStakeWe successfully advised Doosan Corporation in selling off threeDoosan affiliates (Doosan DST, SRS Korea, and Samhwa Crown) and a20.54 percent stake in Korea Aerospace Industries (KAI), a key defensecontractor that manufactures the T-50 Golden Eagle jet trainer.2008 Eugene’s Acquisition of Hi-MartWe represented Eugene Corporation in its acquisition of Hi-Mart, thelargest retailer of electronic goods in Korea, for approximately US$2 billion.This transaction was carried out through leveraged buyout financinginvolving complicated financing structures and procedures, as wellas sophisticated legal issues, including, among other things, issues relatedto directors’ criminal breach of fiduciary duty.2008 Prime View International’s Acquisition of BOE HydisTechnologyWe represented Prime View International Co., Ltd. and its affiliates inthe acquisition of BOE Hydis Technology Co., Ltd. a company in rehabilitation,for approximately US$250 million. The transaction involved theacquisition of a company in rehabilitation by a consortium composedsolely of foreign companies. Special issues were raised regarding mergercontrol, foreign exchange regulation, and foreign investment law.2008 Lotte Confectionary’s Acquisition of GuylianWe represented Lotte Confectionary Co., Ltd. in its acquisition ofGuylian, a premium boxed chocolate maker and distributor based inBelgium for approximately US$166 million.This acquisition wasmade through a competitive bidding process and was the first crossborderacquisition by Lotte of a European company with strongbrand name recognition.2008 Lotte’s Acquisition of Daehan Fire & Marine InsuranceWe represented Lotte in its purchase of approximately 57% sharesof Daehan Fire & Marine Insurance for approximately US$380 million.2008 Kookmin Bank’s Acquisition of Hannuri SecuritiesWe represented Kookmin Bank in its acquisition of HannuriSecurities for approximately US$280 million. We successfully andeffectively advised Kookmin Bank on various difficult regulatoryissues that arose in relation to the obtainment of approval from theFinancial Supervisory Commission.2007 Lotte Shopping’s Acquisition of Woori HomeshoppingWe represented Lotte Shopping in its acquisition of WooriHomeshopping, the fourth largest home shopping company, fromKyungbang Ltd. Through this transaction, the largest M&A deal inthe Korean broadcasting industry, Lotte increased its shareholding to53%.2007 Woongjin’s Acquisition of Kukdong Engineering &ConstructionWe represented Woongjin in its acquisition of KukdongEngineering & Construction from Lone Star for approximatelyUS$710 million.2006 Hostile Takeover Attempt of KT&G by Carl Icahn / SteelPartnersWe advised Goldman Sachs, a financial advisor to KT&G, in a hostiletakeover attempt of KT&G by Carl Icahn and Steel Partners.2006 RealNetworks’ Acquisition of WiderThanWe advised RealNetworks on its acquisition of WiderThan, aKorean company whose ADSs were listed on the Nasdaq GlobalMarket, by conducting tender offers in Korea and the U.S. simultaneously.This marked the first time that a tender offer was launchedin both Korea and the U.S. for a Korean company listed on theNasdaq Global Market. Along the way, we had to overcome manynovel legal issues. The value of this transaction amounted to roughlyUS$340 million.


92006 Shinsegae’s Acquisition of Wal-Mart KoreaWe advised Shinsegae on its acquisition of Wal-Mart Korea from Wal-Mart of the U.S. Although this was a share deal involving more than adozen stores in Korea, it was extremely efficiently negotiated and executedwithout any disruption. The cash price was US$880 million.2005 Sale of Jinro Corp. to Hite ConsortiumBEST M&A DEAL - FINANCE ASIA ACHIEVEMENT AWARD 2005We represented Merrill Lynch, the financial advisor to Jinro Corp.,the largest Korean spirit distiller in Korea, in the sale of Jinro to theHite consortium for approximately US$3.4 billion. This was the largesttransaction in Korean history involving a company undergoing reorganizationproceedings and set new standards for subsequent internationalauction sales. It was the first transaction where a Korean courtallowed amendments to its standard auction procedures to solicit bidsfrom outside of Korea. It was a daunting task to coordinate more thanten bidders, the Korean court, creditors, such as Goldman Sachs andHK Hong Kong, and the management.2005 Purchase of Korea First Bank by Standard Chartered BankDEAL OF THE YEAR - ASIAN COUNSELAlong with Allen & Overy, we represented Standard Chartered Bankin its acquisition of Korea First Bank for approximately US$3.4 billion.This was the largest cross-border bank acquisition in Korean history.We:■ conducted due diligence on Korea First Bank;■ advised on the transaction documents;■ assisted Standard Chartered Bank in obtaining necessary regulatoryapprovals from Korean financial regulators; and■ advised Korea First Bank in its de-listing from the Korean Stock Exchange.2005 POSCO’s Acquisition of Korea Independent Energy CorporationWe advised POSCO on several transactions leading to its acquisition ofKIECO and the subsequent merger of POSCO POWER (valued at morethan US$400 million). The acquisition of the remaining 50% stake inKIECO from Macquarie was complicated as it involved an acquisitionvehicle with several financial investors in Korea. We evaluated severaloptions in light of potential liabilities and tax consequences.
