The management and supervisory boards of <strong>Praktiker</strong> <strong>Holding</strong> <strong>AG</strong> propose paying a dividend of<br />
€ 0.45 per share (previous year: € 0.45 per share) of the balance sheet profit after appropriation to or<br />
transfer from reserves of € 30.995 m to the company’s shareholders and to carry forward the remaining<br />
amount of € 4.895 m to new account. The sum totals of both the dividend and the amount carried<br />
forward as profit are each based on the company’s share capital, currently amounting to € 58,000,000<br />
and divided into 58,000,000 individual bearer-denominated shares, that has vote and dividend entitlements<br />
on the date that the annual general shareholders’ meeting for 2008 is convened. To the extent<br />
that the number of shares with dividend entitlements changes during the period up until the date of the<br />
annual general shareholders’ meeting, the proposed resolution concerning the appropriation of the<br />
balance sheet profit is to be modified such that the dividend amount per share remains unchanged<br />
while the amount carried forward as profit is to be adjusted accordingly.<br />
Personnel<br />
With effect of October 1, 2007, <strong>Praktiker</strong> <strong>Bau</strong>- <strong>und</strong> Heimwerkermärkte <strong>Holding</strong> <strong>AG</strong> took over <strong>Praktiker</strong><br />
<strong>Bau</strong>- <strong>und</strong> Heimwerkermärkte <strong>AG</strong>’s legal, investor relations and finance departments as well as the<br />
staff employed there. With effect of January 1, 2008, <strong>Praktiker</strong> <strong>Bau</strong>- <strong>und</strong> Heimwerkermärkte <strong>Holding</strong><br />
<strong>AG</strong> also took over <strong>Praktiker</strong> <strong>Bau</strong>- <strong>und</strong> Heimwerkermärkte <strong>AG</strong>’s internal audit department and the staff<br />
employed there. As of December 31, 2007, <strong>Praktiker</strong> <strong>Bau</strong>- <strong>und</strong> Heimwerkermärkte <strong>AG</strong> employed a<br />
total of 28 staff.<br />
With effect of March 21, 2008, Karl-Heinz Stroh took over the duties of the board member with responsibility<br />
for personnel and labor director, Michael Arnold, who in future will be devoting his exclusive<br />
attention to heading up the group’s fast-growing foreign business and international expansion divisions.<br />
Up until now, he had been in charge of both areas.<br />
Value-orientation via EVA<br />
<strong>Praktiker</strong> Group focuses on the goals of value-oriented corporate management based on economic<br />
value added (EVA). EVA is an internationally proven control and management system to value and<br />
align all strategic, operating and investment activities and decisions within the group in accordance<br />
with their contribution to enterprise value enhancement.<br />
Key to the evaluation of entrepreneurial success is the Delta-EVA, i.e. the difference between the current<br />
EVA and that of the previous year, irrespective of whether the EVA level is positive or negative.<br />
The development of the Delta-EVA is the key element in the variable management remuneration system<br />
practised by <strong>Praktiker</strong>. From the management board of <strong>Praktiker</strong> <strong>Holding</strong> <strong>AG</strong> through to store<br />
managers, in excess of 450 senior staff are measured against delta EVA. The incentive system is thus
