5|Page<strong>Minutes</strong> of the 27 th Annual General MeetingHeld on Saturday, 10 th March, <strong>2012</strong>The Annual General Meeting was convened as per the Notice to General Membership signed by theHonorary Secretary dated 24 th February, <strong>2012</strong>.The meeting started at 10:05a.m with prayers by led DanielWangeka from University of Maryland.1.1. by the Managing Director, Kenya Union of Savings and Credit Co-operative Societies Ltd(KUSCCO)MIN1/<strong>AGM</strong>/<strong>2012</strong>–RemarksfromDistinguishedGuestsThe remarks by the Managing Director for KUSCCO, Mr. George Ototo, were givenon his behalf by VeronicaMuchiri, Manager - Central Finance Fund, KUSCCO.Mrs Muchiri celebrated Board for steering the <strong>Sacco</strong> to grow. She remarked that strong <strong>Sacco</strong>s have apositive impact on the strength of apex bodies such as KUSCCO. She noted that KIMISITU <strong>Sacco</strong> membershad patronized KUSCCO products such as housing, education and training.<strong>Sacco</strong>s are currently giving the lowest loan interest rates in the market at 12% per annum compared to otherfinancial institutions which do not lend below the base rate, currently pegged at 18% per annum.She appreciated that the <strong>Sacco</strong> is working with national organizations such as Co-operative InsuranceCompany Ltd (CIC), KUSCCO and Co-operative Bank of Kenya. She enquired whether the <strong>Sacco</strong> wasworking with the National Co-operative Housing Union (NACHU).She encouraged members to patronize the <strong>Sacco</strong>’s loan products and communicate to Board members on newloan products they require. She wished the members well in their deliberations.1.2. Remarks from District Cooperative Officer (DCO), Ministry of Co-operative Development andMarketingNancy Murda, from the DCO’s office, gave remarks on behalf of the DCO. She encouraged members to takeadvantage of the <strong>Sacco</strong> loans which are the cheapest in the market. The surplus made by the <strong>Sacco</strong> is latershared with members as dividends and interests on deposits.1.3. Remarks from on behalf of the Provincial Co-operative Office (PCO), Ministry of Co-operativeDevelopment and MarketingMr. Joseph Maiko from the PCO’s office informed members that the by-laws do not need to enumerate alldetails concerning the <strong>Sacco</strong> as they are drawn up in reference to other Acts such as The Co-operativeSocieties Act (Amended ) 2004. Upgrade of <strong>Sacco</strong> Office PremisesMemberComment:With reference to the audited financial statements, Duncan Mjomba from Save theChildren– Sweden commented about the accessibility of the office and the need to invest additional funds forsprucing up the premises.MemberComment:A member asked about the upgrading of assets at KIMISITU <strong>Sacco</strong> and the legal status ofthe investment company.Thestatements.BoardResponse:Board asked Duncan to hold the discussion until the agenda item on audited financial

PerformanceBoaz Waruku from Shelter Forum commended the Board for steering the <strong>Sacco</strong> to greatergrowth. He sought clarification regarding the difference between dividends and interests on deposits.MemberComment:a member joins the <strong>Sacco</strong>, they buy mandatory shares worth Ksh.2,000 on whichdividends are earned. Human Resources ManagementMemberComment:Kepta OmbatiBoardResponse:The details from Akiba Uhaki Foundation enquired on the type of staff training anddevelopment in place so as to ensure staff are retained.on the staff training and development will be discussed within the agenda on thebudget. Alongside this, staff have a good working environment within the new offices purchased two yearsago. They are also equipped with the latest <strong>Sacco</strong> software to ensure they have the best resources to carry outtheir work. The Chief Executive Officer (CEO)should not be member of Finance and Management Committee as an ex-officio member.Its good practice to have a person who has financial background in thiscommittee.o Article 71: How effective will it to have the CEO as the Secretary to the Board if s(he) isexpected to present office reports as well as take meeting minutes? Response:The Honorary Secretary is ceremonial and the trend is to move away fromBoard Members being operative members to policy makers.• Kepta Ombati from Akiba Uhaki Foundation:o Kepta appreciated the consultant’s work and commended him for the significantimprovement in the by-laws.o He suggested harmonize Article7(d) and Article 8(k) as well as the repealing of Section 8(a)and the merger Section 8(l) and (k). Response:This will be taken into consideration.o Article 20(d):questioned the subjection of a member to psychiatric tests and proposed thephrase to read “medical doctor”. Response:This article takes care of member’s interests because loaning a person ofunsound mind can be an issue. It is a rare occurrence but it protects the <strong>Sacco</strong> fromfuture occurrences.o Article 21(a): Some member organizations are activists and therefore being imprisoned is areality. This section should be amended to read criminal offence that is not politicallymotivated.This will be re-worded in the spirit of the new constitution.o Article 22(f): The decision to expel a member as indicated in this article should not be final asthere is room for appealThe appeal gives an opportunity for an expelled member to be heard.o Article 74(d)(ii): Regarding security for loans some members cannot get guarantors in casesdue to the amounts they want to borrow. He proposed a provision that security for loans toinclude, “guarantors, title deeds and any other collateral as may be determined by the creditcommittee”. Some <strong>Sacco</strong>s have this type of provision.Response:This will be re-worded as re-stated.• Peter Mogere from PIPS Thika commented as follows:o Article 20(d): This should be qualified to be a “duly qualified medical doctor”.ThisResponse:will be provided as requested.• Patrick Shazala from Afralti:o Article 17: Considering loans are already insured, he sought clarification to the statement“after deducting such sums as may be due by the member to the Society”. Response:This was clarified to apply in a case where the member has defaulted.• Pius Masiga from Uraia Trust:o He recommended that gender is streamlined throughout the document e.g. in constitution ofthe Board and employment of staff. Use of words like Chairman should be neutral.Page 7 has a sentence that states, “Where the masculine is applied in theseBy-Laws, it shall be read to include the feminine gender.”• Judy Ogallo from Partners in Prevention Study Kenyatta (PPSK):o The member asked for the duties of the Board to be outlined.The responsibilities of the Board are already outlined in the Co-operativeSocieties Act (Amended) 2004.• Boaz Waruku from Shelter Forumo Article 8(a): Add “will accept to be guaranteed.”Response:Response:

Response:Suspension is temporary and expulsion is permanent.o Article 24: Entrance fee should have been put under Article 8o Article 27: The phrase “liable to the debts of society” should be changed to read “debts owedto the society”. Response:These have been marked for re-wording as it is a matter of semantics.o Article 39: Revise use of the word “elected”.o Article 42: Should be deleted as it is taken care of in Article 35.o Article 44: Should read “presiding over meetings” and not “chairman at meetings”.o Article 51(e)(ii): Should be amended to read “18 years of age” and not “21 years of age”. Response:This will be amended.Members were asked to put any other feedback they may have in writing and to email it to the office forcollation. Members were thanked for adding value to the By-Laws. The corrections will be posted on the<strong>Sacco</strong> website for re-confirmation.The 2011 Audited were presented by Mr. Makeni from the <strong>Sacco</strong>’s current Auditors,MIN8/<strong>AGM</strong>/<strong>2012</strong>-Presentationofthe2011AuditedFinancialStatementsMakeni Mutua and Associates. He informed members that the format has changed as per SASRA rules. TheAudited Financial Statements (AFS) were proposed by Alfred Ameyo Pathfinder International and secondedby Martin Maina from Network of Aids Researchers in East and Southern Africa (NARESA).feedbackreceived.ThiswasproposedbyBoazWarukufromShelterForumandsecondedbyJohnsonBor fromAGRA. Decision:Therevisedby-lawswereadoptedbytheGeneralMembershipsubjecttoincorporationofJoshua Kamwere enquired the reason for the increase in the suspense account and if theitems relating to this account can be designated.ItemsAuditor’sResponse: MemberComment:in the suspense account will be reconciled and looked at afresh. Designation ofcomponents of the suspense account can only be done during an <strong>AGM</strong>.Gatoru from ICRAF enquired for clarification the number of members in the <strong>Sacco</strong>.The Chairman’s report showed 4,697, while the AFS reflected 6,241 members.ErnestAuditor’sResponse:The membershipMemberComment:is detailed in page 5 of the AFS to show there are a total of 6,241 membersof which 4,697 are active members and 1,544 are non-active members.Nicholas Odhiambo from International Organization for Migration (IOM) enquired whythe defaulted amount was increasing yet the loans are guarantee.MemberComment:

We are also putting inour best efforts to recover the amounts through the engagement of debt collectors.Bernard Siro from AGRA commented that it appeared the <strong>Sacco</strong> has given more than itreceived.
