<strong>Annexure</strong> - <strong>II</strong><strong>TERMS</strong> <strong>AND</strong> <strong>CONDITIONS</strong><strong>1.</strong> <strong>The</strong> <strong>MANPOWER</strong> PROVIDING AGENCY should be registered with the concernedGovt. Authorities under the Companies Act, 1956 or any other equivalent Statute/ PFAct/ ESI Act Service Tax under relevant Act and Contract Labour (R & A) and a copyof the registration certificates may be submitted. <strong>The</strong> Agency should provide anundertaking that they will comply with all relevant statutory requirements, concerning thesupply of manpower.2. <strong>The</strong> successful bidders shall furnish a security deposit of Rs,.25.000/- (Rupees twentyfive thousand only) before awarding of the contract. <strong>The</strong> Security Deposit shall be liableto be forfeited in case the Agency fails to sign the Agreement or fails to comply with theterms and conditions of the contract or the supply of manpower is delayed beyond thestipulated period or frequent absence from duty/misconduct on the part of manpowersupplied by the <strong>MANPOWER</strong> PROVIDING AGENCY. <strong>The</strong> Security deposit isrefundable on successful completion of the contract. No interest shall accrue on suchsecurity deposit.3. <strong>The</strong> tenure of contract is initially for a period of one year with a provision of extensionfor another two years on year to year basis provided the services of the <strong>MANPOWER</strong>PROVIDING AGENCY are found to be satisfactory. However, the contract is liable tobe terminated at the discretion of the competent authority at <strong>SFCI</strong> with one month’snotice in case the agency fails to comply with any of the terms & conditions or itsservices are found to be not satisfactory.4. <strong>The</strong> <strong>MANPOWER</strong> PROVIDING AGENCY has to provide Photo Identity Cards tothe persons employed by him/ her for carrying out the work at duty place. <strong>The</strong>se cardsare to be constantly displayed & their loss reported immediately.5. <strong>The</strong> <strong>MANPOWER</strong> PROVIDING AGENCY shall replace immediately any of itspersonnel, if they are unacceptable to <strong>SFCI</strong> because of security risk, incompetence,


conflict of interest and breach of confidentiality or improper conduct upon receivingwritten notice from Office.6. <strong>SFCI</strong> shall not be liable for any loss, damage, theft, burglary or robbery or anypersonal belongings, equipment or vehicles of the personnel of the <strong>MANPOWER</strong>PROVIDING AGENCY.7. <strong>The</strong> <strong>MANPOWER</strong> PROVIDING AGENCY’S personnel working at the dutyplace should be polite, cordial, positive and efficient, while handling the assigned workand their actions shall promote goodwill and enhance the image of this Corporation. <strong>The</strong><strong>MANPOWER</strong> PROVIDING AGENCY shall be responsible for any act of indiscipline onthe part of persons deployed by him.8. <strong>The</strong> <strong>MANPOWER</strong> PROVIDING AGENCY shall not assign, transfer, pledge orsub contract the performance of services without the prior written consent of <strong>SFCI</strong>.9. <strong>The</strong> MANPOWR PROVIDING AGENCY’S personnel shall not divulge ordisclose to any person, any details of office, operational process, technical know-how,security arrangements and administrative/ organizational matters as all are ofconfidential/ secret nature.10. <strong>The</strong> <strong>MANPOWER</strong> PROVIDING AGENCY shall be solely responsible forcompliance with statutory obligations like provisions of Industrial Disputes Act, 1947,Contract Labour (Regulation & Abolition) Act, 1970, Min. Wages Act, WorkmanCompensation Act, PF & ESI Act/ Shops & Establishments Act and other applicableLaws, Rules and Regulations from time to time. All claims arising from the personneldeployed by the service provider under any existing Act/ Rules/ Regulation shall besettled by the service provider without any implication to <strong>SFCI</strong>.1<strong>1.</strong> <strong>The</strong> person deployed shall not claim any employee- employer relationship orpermanent employment against <strong>SFCI</strong> on undertaking to this effect shall be obtained fromeach person deployed with us..12. <strong>The</strong> <strong>MANPOWER</strong> PROVIDING AGENCY shall ensure deployment of suitablepeople from proper background after character verification by the local police, collectingproofs of identity like driving licence, bank account details, previous work experience,proof of residence and recent photograph and send certified copies of the same to <strong>SFCI</strong>.<strong>The</strong> <strong>MANPOWER</strong> PROVIDING AGENCY may withdraw such employees who are not


found suitable by the Corporation for any reasons immediately on receipt of such arequest.13. <strong>The</strong> <strong>MANPOWER</strong> PROVIDING AGENCY shall ensure proper conduct of itspersonnel in office premises and enforce prohibition of consumption of alcoholic drinks,chewing of tobacco paan, smoking, loitering without work etc.14. <strong>The</strong> <strong>MANPOWER</strong> PROVIDING AGENCY shall engage the necessary personsas required by <strong>SFCI</strong> from time to time in their establishment on their rolls. <strong>The</strong> saidpersons engaged by the <strong>MANPOWER</strong> PROVIDING AGENCY shall be the employeesof the <strong>MANPOWER</strong> PROVIDING AGENCY and it shall be the duty of the<strong>MANPOWER</strong> PROVIDING AGENCY to pay their salary every month and remitstatutory dues to the authorities concerned in respect of personnel deputed to <strong>SFCI</strong>. <strong>The</strong>ywill remain fully under the administrative control of the <strong>MANPOWER</strong> PROVIDINGAGENCY for all purposes of employment, terms and conditions, leave, disciplinarymatter etc.15. Working hours would be normally 8 ½ hours per day between 9.15 A.M. to 5.45P.M. during working days including half hour lunch break. Those asked to work beyondoffice hours or on off days shall be compensated as per rules by the <strong>MANPOWER</strong>PROVIDING AGENCY and claim raised.16. Agency will pay the wages to its employees deployed with <strong>SFCI</strong> by 7 th of everymonth and there will be no change of rates during the tenure of contract unlessspecifically agreed upon. It shall be duty of the Contractor to ensure the disbursement ofwages in the presence of the authorized representative of the Corporation.17. <strong>The</strong> <strong>SFCI</strong> will not bear any expenses/ liabilities incurred in connection with food,transportation, medical or any other statutory requirement in respect of any personnel ofthe <strong>MANPOWER</strong> PROVIDING AGENCY and such liabilities will be the responsibilityof the <strong>MANPOWER</strong> PROVIDING AGENCY only.18. <strong>The</strong> number of staff required for each category shown in the quotation will be onneed based basis, may be increased or decreased as per the requirement of theCorporation at any point of time.19. It shall be the responsibility of the MANPOWR PROVIDING AGENCY to verifythe qualification and experience of the personnel deployed. If during the course of


engagement of any hired staff, it comes to notice that he/ she has misrepresented the factabout his/ her qualification/ experience, the concerned hired staff shall be immediatelytaken back by the <strong>MANPOWER</strong> PROVIDING AGENCY and suitable replacement shallbe provided within 3 days time.20. It is obligatory on the part of <strong>MANPOWER</strong> PROVIDING AGENCY to ensurethat wages paid should not be less than the minimum rates fixed by the AppropriateGovernment, from time to time and all statutory requirements such as PF, ESI etc. mustbe incorporated in salary.2<strong>1.</strong> <strong>The</strong> <strong>MANPOWER</strong> PROVIDING AGENCY will provide the required number ofpersonnel for a shorter period also, in case of any exigencies as per the requirement of<strong>SFCI</strong>.22. <strong>The</strong> <strong>MANPOWER</strong> PROVIDING AGENCY shall provide a substitute well inadvance if there is any probability of the persons leaving the job due to his/ her ownpersonal reason. <strong>The</strong> payment in respect of the overlapping period of the substitute shallbe responsibility of the service provider.23. <strong>The</strong> successful bidder will enter into an Agreement with this office for supply ofsuitable manpower on these terms and conditions or any other condition mutually agreedupon later. <strong>The</strong> Agreement will be valid for a period of 6 months commencing from thedate of signing of the agreement and shall continue to be in force in the same manner,unless terminated in writing. <strong>The</strong> service charges/ rates quoted by the <strong>MANPOWER</strong>PROVIDING AGENCY shall be fixed during the period of contract and no request forany change/ modification shall be entertained during currency of the Contract. <strong>The</strong>contract/ agreement is extendable by one year subject to satisfactory performance of the<strong>MANPOWER</strong> PROVIDING AGENCY with such amendments as mutually agreed to.24. On expiry of the Contract/ Agreement, as mentioned above, the agency willwithdraw all its personnel and clear their accounts by paying them all their legal dues. Incase of any dispute on account of termination of employment or non-employment by thepersonnel of the <strong>MANPOWER</strong> PROVIDING AGENCY deployed with <strong>SFCI</strong>, it shall bethe entire responsibility of the <strong>MANPOWER</strong> PROVIDING AGENCY to pay and settlethe same without any involvement of <strong>SFCI</strong>.


25. If due to failure of manpower agency in payment of salary and statutory dues ofstaff deployed by them in <strong>SFCI</strong>, any liability is devolved on <strong>SFCI</strong>, the same shall becompensated by the said Agency to <strong>SFCI</strong> along with interest @ 12% and cost.
