Our <strong>Code</strong><strong>of</strong> <strong>Ethics</strong>Our<strong>Code</strong> <strong>of</strong> <strong>Ethics</strong> <strong>and</strong> Business Conduct(“<strong>Code</strong>”) sets forth the principles <strong>and</strong>behaviors that are expected <strong>of</strong> <strong>General</strong><strong>Cable</strong> employees in our performancedrivenculture. These principles, combinedwith our values, guide us in how to operateas One Company. And as One Company,we are each expected to conduct our businessin accordance with the principles <strong>and</strong>behaviors set forth in our <strong>Code</strong>, including:At <strong>General</strong> <strong>Cable</strong>, we have one <strong>Code</strong><strong>of</strong> <strong>Ethics</strong> that applies to all employees,<strong>of</strong>ficers <strong>and</strong> directors in North America,Latin America, Europe, Africa <strong>and</strong> Asia-Pacific. Our <strong>Code</strong>is designed to provide guidance, but byits very nature, it cannot address everypossible situation that may arise. When our<strong>Code</strong> does not address a concern, or if it isnot clear how a particular situation shouldbe h<strong>and</strong>led, then we should always seekguidance from Company resources, whichinclude:• Local leadersOur <strong>Ethics</strong> Hotline is a 24-hour phoneline <strong>and</strong> website maintained by ourGlobal Legal Team <strong>and</strong> administered byan independent third-party provider. It isavailable to all <strong>General</strong> <strong>Cable</strong> employees,suppliers, customers, contractors<strong>and</strong> agents to seek guidance or raiseconcerns about potential violations <strong>of</strong>our <strong>Code</strong>, as permitted under local laws.Reports may be made anonymously inthe United States <strong>and</strong> wherever local lawsallow. Calls to the <strong>Ethics</strong> Hotline are nottraced or recorded, <strong>and</strong> all reports will bekept confidential to the maximum extentpossible, consistent with local law.Non-RetaliationPolicyWe should each feel comfortable seekingguidance <strong>and</strong> reporting potential violations<strong>of</strong> our <strong>Code</strong>. Retaliation for reportingconcerns in good faith is against ourvalues <strong>and</strong> will not be tolerated. The local HR Manager investigated her complaint,<strong>and</strong> while the VP’s behavior was not harassment under the law, his behavior was inappropriate under Company policy, <strong>and</strong> he wasdisciplined. Prior to the investigation, Lin’s male supervisor, the Plant Controller, would have private lunches with each <strong>of</strong> his direct reports.After the investigation, Lin’s supervisor decided to only go to lunch with two or more direct reports at a time to avoid the appearance <strong>of</strong>inappropriate behavior. Is this retaliation?A. Yes, the supervisor has changed his lunch meetings as a result <strong>of</strong> Lin’s complaint <strong>and</strong> decreased their interactions due to her report.B. No, the supervisor can change his lunch habits provided he is not discriminating against Lin for filing a complaint.6Answer: B. In this case, the supervisor changed his behavior to prevent the appearance <strong>of</strong> inappropriate behavior, <strong>and</strong> such changeimpacts all employees equally.7


IntegrityWe work together with integrity <strong>and</strong> speak with truth <strong>and</strong> c<strong>and</strong>or. We demonstrate teamwork<strong>and</strong> collaboration, <strong>and</strong> encourage the sharing <strong>of</strong> diverse opinions, ideas <strong>and</strong> views. We takepersonal responsibility to act with integrity, inspire trust with our colleagues, <strong>and</strong> exhibit thecourage to speak up <strong>and</strong> do the right thing.Conflicts <strong>of</strong> InterestAs <strong>General</strong> <strong>Cable</strong> employees, we owe aduty <strong>of</strong> loyalty to <strong>General</strong> <strong>Cable</strong> <strong>and</strong> mustact in the best interest <strong>of</strong> our Companywithout having any improper conflicts<strong>of</strong> interest. A conflict <strong>of</strong> interest occurswhen our personal interest interferes – orappears to interfere – in any way with theinterests <strong>of</strong> the Company as a whole orwith our ability to perform our jobs withoutbias. For example, conflicts <strong>of</strong> interestarise when an employee, director, or amember <strong>of</strong> his or her family receives animproper personal benefit as a result <strong>of</strong>such employee’s or director’s positionwith the Company. Conflicts <strong>of</strong> interestalso may arise when an employee ordirector takes action or has interests thatmay make it difficult to make objectivedecisions on behalf <strong>of</strong> the Company or toperform his or her duties objectively <strong>and</strong>effectively.to possible conflicts <strong>of</strong> interest, somecommon areas where conflicts <strong>of</strong> interestoccur are set forth below.Gifts <strong>and</strong> EntertainmentAt <strong>General</strong> <strong>Cable</strong>, we have strongrelationships with our business partners,<strong>and</strong> business courtesies such as gifts,favors <strong>and</strong> entertainment are commonamong some <strong>of</strong> our business partners.However, giving <strong>and</strong> receiving businesscourtesies can raise the appearance, if notthe reality, <strong>of</strong> a conflict <strong>of</strong> interest. It mayalso present concerns under anti-bribery<strong>and</strong> corruption laws. We must alwaysexercise good judgment, modesty <strong>and</strong>discretion when giving <strong>and</strong> receiving gifts.As a general rule, we must not accept,directly or indirectly, or solicit for ourbenefit or the benefit <strong>of</strong> a colleague, familymember or friend any <strong>of</strong> the following, all<strong>of</strong> which are treated as “gifts” under this<strong>General</strong>ly, “token value” means anaggregate value less than $200 (orsmaller, depending on what is customaryin the local community where the giftis given) from the same person orbusiness entity in any year. “Excessiveentertainment or travel opportunities”means travel, hospitality, <strong>and</strong> meals orentertainment which cannot be viewed asreasonable <strong>and</strong> customary in a businesscontext. When in doubt about a gift orwhether proposed travel or entertainmentis excessive, or upon the receipt <strong>of</strong> a gift<strong>of</strong> more than token value, please ask ourGlobal Legal Team for guidance.This general rule is applicable to all <strong>of</strong>our business relationships, whetherwith private entities or with governmentbodies or <strong>of</strong>ficials. In certain limitedcircumstances, exceptions to our gift <strong>and</strong>entertainment rules may be granted bythe Global Legal Team, provided thereBeing involved in a potential conflict <strong>of</strong>interest does not violate our <strong>Code</strong>, butfailing to disclose it or delaying disclosureis a serious violation. When a potentialconflict <strong>of</strong> interest arises, it is importantthat we immediately disclose all facts <strong>and</strong>circumstances <strong>of</strong> the potential conflict toour manager <strong>and</strong> our Global Legal Team.Our Global Legal Team will evaluate thepotential conflict <strong>of</strong> interest <strong>and</strong> advisehow to manage the conflict.policy:• Gifts <strong>of</strong> more than token value• Excessive entertainment or travelopportunities• Loans (other than from establishedfinancial institutions on the same termsthat are currently available to othercustomers similarly situated)• Other substantial favors for personalbenefit from any business that doesor is seeking to do business with ouris a legitimate business reason for theexception <strong>and</strong> the Regional LeadershipTeam supports such exception. It isimportant to note that there are stricterrules regarding the giving <strong>of</strong> or <strong>of</strong>fering togive gifts, favors <strong>and</strong> entertainment to anypublic government <strong>of</strong>ficial or their familiesas well as state-owned or -controlledcompanies. Refer to the Anti-Corruption<strong>and</strong> Government Customers sections <strong>of</strong>our <strong>Code</strong> for more information.While it is impossible to describeevery circumstance that may give riseCompany or is a competitor <strong>of</strong> ourCompany1011


IntegrityAn example <strong>of</strong> asignificant potentialconflict is when thespouse <strong>of</strong> the plant’sfinancial controlleris being consideredfor an accountingposition at thesame plant.Related EmployeesEmployee referrals <strong>of</strong> former colleagues,friends <strong>and</strong> family members are welcome<strong>and</strong> appreciated at <strong>General</strong> <strong>Cable</strong>.However, due to the appearance <strong>of</strong> aconflict <strong>of</strong> interest, or more specificallyfavoritism, the proposed hiring <strong>of</strong> a familymember must be proactively discussedwith local HR <strong>and</strong> approved by theRegional Chief Executive Officer in charge<strong>of</strong> the business function for which theperson is being hired.To avoid any conflict <strong>of</strong> interest, <strong>General</strong><strong>Cable</strong> prohibits the employment <strong>of</strong>family members in all circumstanceswhere one family member is under thedirect or indirect supervision <strong>of</strong> anotherfamily member, or where one familymember would have direct influenceover the conditions <strong>of</strong> the employmentrelationship with the other family member.This includes, but is not limited to,hiring, promotion, performance reviews,compensation, benefits, training <strong>and</strong>career opportunities.Under our <strong>Code</strong>, the term “familymember” includes, but is not limited to:• Spouse, registered partner, domesticpartner, unmarried couple, romanticrelationship• Child, stepchild, gr<strong>and</strong>child, nieceor nephew• Parent, stepparent, gr<strong>and</strong>parent, auntor uncle• Siblings (brother or sister) or cousins(first or second)• In-laws (father, mother, sister, brother,son, daughter)• Other relationships established byblood, marriage or legal actionIn certain situations, due to thesignificance <strong>of</strong> the potential conflict,approval from our Global Legal Team willalso be required.Outside Employment, FinancialInterest <strong>and</strong> DirectorshipsAs <strong>General</strong> <strong>Cable</strong> employees, we areeach expected to devote our full workingtime to the duties <strong>of</strong> our positions withthe Company <strong>and</strong> not to have any outsidefinancial or employment interests thatinterfere with our work responsibilitiesor <strong>General</strong> <strong>Cable</strong>’s best interests. Thismeans that we must not:• Work for another employer that in anyway limits our ability to fulfill the duties<strong>of</strong> our <strong>General</strong> <strong>Cable</strong> position• Own a substantial financial interest inany business that we know or havereason to believe may have a currentor future business relationship with, oris a competitor <strong>of</strong>, our Company• Own or engage in business activitiesthat compete with, sell or buy from<strong>General</strong> <strong>Cable</strong>• Use <strong>General</strong> <strong>Cable</strong> tangible orintangible property, know-how,information technology assets,facilities or intellectual property toconduct non-<strong>General</strong> <strong>Cable</strong> business• Serve as a director in for-pr<strong>of</strong>itcompanies unrelated to <strong>General</strong><strong>Cable</strong> or trade organizations unlessapprovedin advance by our GlobalLegal Team <strong>and</strong> the Regional ChiefExecutive OfficerA substantial financial interest is whenthe value <strong>of</strong> the beneficial ownership <strong>of</strong>any class <strong>of</strong> stock or securities (besidesour Company stock) is more than 25%<strong>of</strong> your annual salary. The ownershiprestrictions do not prohibit the acquisitionor ownership <strong>of</strong> less than 1% <strong>of</strong> anycorporation’s equity securities traded on anational securities exchange or the NYSEor quoted on the NASDAQ.Exceptions to these restrictions, otherthan those permitted by local law, mustbe discussed with a member <strong>of</strong> yourleadership team <strong>and</strong> approved in advanceby our Global Legal Team <strong>and</strong> theRegional Chief Executive Officer or theirlocal designee.As employees committed to the success<strong>of</strong> <strong>General</strong> <strong>Cable</strong>, we should never takefor ourselves any business or investmentopportunity that we learn <strong>of</strong> through ourrelationship with our Company. In addition,we must never help anyone else, includingfamily <strong>and</strong> friends, take such business orinvestment opportunity for personal gain.Personal Loans<strong>General</strong> <strong>Cable</strong> does not provide personalloans, guarantees or other extensions<strong>of</strong> credit to any director or executive<strong>of</strong>ficer, regardless <strong>of</strong> whether doing so ispermitted by local law.Confidentiality <strong>and</strong>Public DisclosureWe must always protect Companyconfidential information <strong>and</strong> may neverreveal such information to any outsideparties unless properly authorized orlegally required to do so. Disclosureor unauthorized use <strong>of</strong> our Company’sconfidential information concerningany aspect <strong>of</strong> our business, finances,operations or intellectual property <strong>of</strong>the Company such as business plans orstrategies, new product developmentplans or drawings, price <strong>and</strong> cost dataor costs <strong>of</strong> doing business is prohibited.Similarly, disclosure or use <strong>of</strong> confidentialinformation obtained about companiesthat <strong>General</strong> <strong>Cable</strong> is or is consideringdoing business with is prohibited. Thisinformation remains confidential until theCompany has disclosed it or made itotherwise generally available to the publicthrough the press, periodicals, financial orbusiness publications or similar sources.We are expected to take all appropriateprecautions to safeguard confidential <strong>and</strong>proprietary information under our control.For example, we must keep it in a securelocation <strong>and</strong> limit disclosure to only thoseemployees with a business purpose forknowing such information. Our obligationto protect such confidential informationcontinues indefinitely, whether or not weremain employees <strong>of</strong> the Company, untilour Company publicly discloses it.When we have a business need todisclose such information to a third party,a confidentiality agreement (also knownas a nondisclosure agreement) must beentered into that requires the third partyto keep the information confidential beforeany disclosure <strong>of</strong> Company informationoccurs.What should we do if there is aninadvertent disclosure?As soon as an inadvertent disclosure <strong>of</strong>confidential information is discovered, it iscritical to contact our Global Legal Teamso that actions may be taken to furtherprotect such information <strong>and</strong> comply withany necessary disclosure requirements.Q.Ahmed recently heard that <strong>General</strong> <strong>Cable</strong> was considering purchasing a certain property not too far from his parents’ home.May he or a family member buy the property in hopes <strong>of</strong> reselling it to <strong>General</strong> <strong>Cable</strong>? Does the answer change if Ahmed <strong>and</strong>/ora family member wants to buy the property <strong>and</strong> use it to farm?We work together with integrity <strong>and</strong> speakwith truth <strong>and</strong> c<strong>and</strong>or.Answer: Ahmed may not buy the property with the hopes <strong>of</strong> selling it to <strong>General</strong> <strong>Cable</strong>, because this would be taking a corporateopportunity. If Ahmed purchased the l<strong>and</strong> to use as a farm, this would need to first be <strong>of</strong>fered to the Company, because Ahmed learned<strong>of</strong> the opportunity due to his position at <strong>General</strong> <strong>Cable</strong>, <strong>and</strong> he would be taking that opportunity from the Company.12 13


IntegrityWe also may not directly or indirectlymake, promise, <strong>of</strong>fer, or authorize themaking <strong>of</strong> any improper payment toany person if the purpose or intent isto obtain an unfair business advantage.Improper payments can include any gift<strong>of</strong> money or anything <strong>of</strong> value, as well asany other illegal or improper inducement.Particular caution is required when<strong>of</strong>fering any payment, donation or anygift (including travel expenses, hospitality<strong>and</strong> entertainment) to a local or overseaspublic <strong>of</strong>ficial. A public <strong>of</strong>ficial is generallya national, local or overseas government<strong>of</strong>ficer or employee, member <strong>of</strong> a politicalparty, party <strong>of</strong>ficial, c<strong>and</strong>idate for political<strong>of</strong>fice, employee <strong>of</strong> government-ownedor -controlled entities or their familymembers or designees.In certain limited situations, we may makefacilitating payments to speed up theperformance <strong>of</strong> a routine governmentalaction. However, such facilitating paymentmust be small, infrequent payments <strong>and</strong>only made if clearly permissible underlocal law. Facilitating payments are illegalin a number <strong>of</strong> the places where <strong>General</strong><strong>Cable</strong> does business around the world,<strong>and</strong> we must not assume that they arepermitted. In addition, all facilitatingpayments must be properly recordedin the Company’s financial statements,<strong>and</strong> supporting documentation should bemaintained for all facilitating payments.Therefore, you must contact the GlobalLegal Team before making a facilitatingpayment.In a situation where you believe that yourlife or safety is in danger, <strong>General</strong> <strong>Cable</strong>’santi-corruption <strong>and</strong> related policies do notapply, <strong>and</strong> you can provide the personmaking the dem<strong>and</strong> or threat whatever isrequired to ensure your safety. Once youreach safety <strong>and</strong> conclude that you are nolonger in danger, you must immediatelyreport the situation to our Global LegalTeam.
