The Oetker Group and its Management Structure
The Oetker Group is one of the major
German family enterprises. The owner
family exerts considerable infl uence on
the strategy and corporate policy of the
Oetker Group. It established the principle
of its entrepreneurial engagement
with the words: “The interests of the
company have priority over those of the
family”.
This commitment is the basis for a continuous
development of the company,
since it enables the Oetker Group to
combine sustainably sound profi tability
with a high earnings retention rate.
The management structure ensures that
close to the market decisions geared to
the needs of the respective lines of business
are taken locally and resources
simultaneously pooled centrally.
The management levels are the Stockholders’
Meeting, the Advisory Board,
Group Management and the Executive
Boards of the individual companies.
The companies of the Oetker Group operate
in different business fi elds. Under
the one common umbrella, and building
on the strategic potentials and core
competences of the Oetker Group, the
various lines of business are developed
and expanded independently. Dr. August
Oetker KG, as the managing parent
company, steers this process centrally by
means of organically developed struc-
tures, the management framework with
clearly defi ned responsibilities, the coordination
of fi nance and personnel, and
via central service departments. Groupwide
norms and values ensure the cultural
framework for effi cient cooperation
based on a high degree of entrepreneurial
continuity.
The Oetker Group will remain a close association
of companies which holds to
the cornerstones of diversifi cation and
risk sharing, and which focuses on core
competences within the individual business
divisions.
The Advisory Board of Dr. August Oetker
KG, which, under the Partnership Agreement,
consists of partners and a minority
of persons not belonging to the partner
families, has reconstituted itself:
on the part of the partners, Dr. Alfred
Oetker and – after the end of the 2011
fi nancial year – Mr. Rudolf Louis
Schweizer, as successor to Mr. Christian
Oetker, have joined the Advisory Board.
For Mr. Roland Oetker and Dr. Rolf
Kunisch (formerly Beiersdorf AG), who
have withdrawn from the Advisory
Board, Dr. Christoph von Grolman (TBG
Ltd.) and Carsten Spohr (Deutsche
Lufthansa AG) as well as – after the end
of the 2011 fi nancial year – Dr. Andreas
Jacobs (Jacobs Holding AG and Barry
Callebeut AG) have joined the Advisory
Board.
