Estech Standard Terms and Conditions 

1. APPLICATION 

1.1. All products and services are furnished only on the terms and conditions stated herein. 

1.2. Customer’s terms and conditions, in any order documentation, preprinted or otherwise, shall not apply unless otherwise 

agreed to in writing by both parties. 

1.3. These standard terms and conditions are deemed to be accepted, at the latest upon, delivery of the products. 

1.4. Customer acknowledges that this is a commercial and not a consumer transaction. 

2. QUOTATIONS / OFFERS 

2.1. Estech’s quotations are non-binding and constitute solicitations for offers to purchase only. 

2.2. Estech agrees to be bound by the quoted prices for a period of thirty (30) days. 

2.3. After receipt of Customer’s purchase order, Estech will review and match purchase order to Estech quote or previously 

agreed-upon pricing. 

2.4. Customer will receive written order confirmation of purchase order confirming pricing, quantity, and availability. 

2.5. A final and binding contract comes into force no sooner than upon receipt by Customer of Estech’s final order confirmation. 

3. PRICING 

Prices as set forth in Estech’s quotations are Ex Works Estech’s shipping site in San Ramon, California (INCOTERMS 2000). Insurance, 

freight, taxes and other charges are not included and will be additionally charged to Customer, unless otherwise stated in 

Estech’s order confirmation 

4. DATE OF DELIVERY / PARTIAL DELIVERY 

4.1. The products shall be delivered upon receipt by Customer of Estech’s final order confirmation or at an agreed date. 

Any specific date of delivery agreed to by Estech is approximate only and is based on conditions at the time of the 

agreement. Notwithstanding the following provisions, Estech may postpone the specified date if circumstances require. 

4.2. Neither party shall be liable for delays in performance due to Act of God, strike, regulatory difficulties, or due to unforeseen 

circumstances that prevent delivery of the products. The same applies if the delay occurs as a result of Estech’s suppliers or 

their sub suppliers. In these cases, Estech shall be entitled to postpone delivery for the duration of the obstruction and 

additional time shall be given to Estech to resume performance. Estech, at its discretion, shall also have the right to make 

partial shipments. In case of permanent obstructions, Estech shall also have the right to cancel the contract in part or in 

whole. 

4.3. If the date of delivery is postponed by Customer or if timely delivery is made impossible by reasons within the responsibility 

of Customer, Estech may, at its reasonable discretion, ship the purchased goods to storage or, if shipment is already in 

progress, revert shipment to Estech’s premises. Any additional costs caused thereby will be charged to Customer. Provision 

7.1. below applies. 

5. CUSTOMER CANCELLATION 

5.1. Requests for order cancellation must be received within twelve (12) hours of order placement. 

5.2. Requests received within twelve (12) hours of order placement will be honored, at Estech’s discretion, if, and only if, product 

has not been shipped. 

5.3. Cancellation requests received after this period will not be accepted. 

6. TERMS OF PAYMENT 

6.1. For all amounts, standard terms of payment, unless otherwise previously agreed to in writing on Estech quote, invoice, or 

final order confirmation, are Net Thirty (30) days. 

6.2. In case shipment or delivery is delayed due to circumstances caused by or within the responsibility of Customer, delivery 

shall be deemed performed thirty (30) days after Estech reports ability to deliver. Customer shall be responsible for any and 

all additional costs caused by the delay. 

6.3. Finance charges equal to 1.5% per month past agreed upon due date will be charged to the customer for late payments not 

to exceed the maximum rate allowed by law. Customer acknowledges that the finance charge is an estimate of the cost to 


Estech for such late payment and is not a penalty. Estech reserves the right to claim higher damage compensation. 

6.4. In case of partial delivery by Estech, Customer shall pay an appropriate part of the amount due, e.g. if one or more separable 

components remain to be delivered, Customer shall pay the amount due for all components that have been delivered. 

6.5. Customer shall not have the right to offset any claims without Estech’s prior written consent. 

7. TRANSPORTATION AND RISK OF LOSS 

7.1. Risk of loss, damage to or destruction of the purchased goods shall pass from Estech to Customer as soon as the goods are 

shipped from Estech premises. 

8. WARRANTY 

8.1. Estech warrants that the goods manufactured and/or sold hereunder by Estech are free from defects in material and 

workmanship under normal use and in substantial compliance with operational features of Estech’s published specifications 

and Instructions for Use (IFUs) at the time of sale. The warranty period shall be twelve (12) months from date of delivery, 

unless otherwise agreed to by Estech in writing. 

8.2. Estech will, at its own discretion, repair or replace defective parts. 

8.3. The quality of the product is to be measured exclusively by the given specifications and IFUs which also form a part of the 

contract. The specifications are subject to change without notice as long as the suitability for the intended use is not reduced. 

8.4. Any warranty or liability is excluded with respect to malfunction caused by general wear, usage past product expiration 

date, accident, abuse, misuse, alteration, neglect, failure to use Estech systems under normal or specified operating 

conditions and environment, lack of routine care or maintenance or the like. 

8.5. Notwithstanding section 8.7. below, spare parts are subject to the same warranty as new products for a period of twelve 

(12) months from delivery to Customer. 

8.6. THIS LIMITED WARRANTY IS EXPRESSLY IN LIEU OF AND EXCLUDES ALL OTHER EXPRESS OR IMPLIED WARRANTIES INCLUDING 

BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND OF FITNESS FOR A PARTICULAR PURPOSE, USE, OR 

APPLICATION. 

8.7. In-warranty repair or replacement parts are warranted for the unexpired portion of the original warranty period. 

9 RETURNS 

9.1. Except as defined in section 8. or previously agreed to in writing on Estech’s quote, invoice, or final order confirmation, all 

sales are final and no returns will be accepted for refund, exchange, or credit 

9.2. Returns will not be accepted without a written Returns Materials Authorization (RMA) on Estech letterhead. RMA’s must be 

requested from Estech customer service prior to shipping products back to Estech. 

9.3. Customer is responsible for costs of returning product to Estech. 

9.4. Returned products must be thoroughly cleaned, disinfected, and sterilized, pursuant to customer’s standard instrument 

cleaning procedure, prior to return to Estech. 

9.5. Any returns are subject to a restocking charge of twenty-five percent (25%). 

9.6. Expired products will not be accepted for return for any reason, including but not limited to damages or defects. 

10. EXAMINATION AND NOTIFICATION OF DEFECTS 

10.1. Customer has the obligation to inspect all shipments for missing items, damage, or defects. Estech must be notified in 

writing within ten (10) days of receipt of shipment of any missing, damaged, or defective items. Otherwise, the goods shall 

be deemed accepted regardless of any defect. 

11. LIMITATIONS OF LIABILITY 

11.1. THE TOTAL LIABILITY OF ESTECH SHALL NOT EXCEED ANY PAYMENT RECEIVED FOR THE RESPECTIVE ESTECH PRODUCT 

CONTRIBUTING TO THE LOSS OR DAMAGE CLAIMED. 

11.2. Estech shall not be liable for any loss of use, revenue or anticipated profits (even if advised of the possibility of such loss 

or damage), indirect damages, loss of stored or transmitted data, or for incidental, unforeseen, special, punitive or 

consequential damages arising out of or in connection with this agreement or the sale or use of Estech’s products. 

11.3. In no event shall Estech’s liability hereunder exceed the actual loss or damage sustained by Customer. 

11.4. In lieu of provisions 11.1. through 11.3., the following limitations shall apply to third party claims for bodily injury, including 

death, resulting from Estech’s performance. The following provisions exclusively pertain to any recourse for such third party 


claims by and between Estech and Customer: 

- With respect to bodily injury or death, Estech’s liability shall be restricted to an equitable proportion as reflects its relative 

fault in relation to Customer’s contribution to the injury or death of the third party 

- Estech shall not be responsible for any damage and/or injury arising out of any use, operation, service, modification of 

Estech products contrary to relevant manuals, written warnings, automated warnings, or instructions of Estech personnel 

- Estech shall not be responsible for any damage and/or injury arising out of the use of Estech products in conjunction with 

third party products, unless this use has been expressly authorized in writing by Estech 

- Estech shall not be responsible for any damage and injury arising out of the use of any product supplied by Estech as a 

convenience to the Customer that is not manufactured by Estech and is not generally offered by Estech. 

11.5. CUSTOMER SHALL INDEMNIFY, DEFEND AND HOLD ESTECH HARMLESS FROM ANY CLAIMS FOR DAMAGES OR BODILY INJURY 

OUTSIDE ESTECH’S LIABILITY IN ACCORDANCE WITH THIS AGREEMENT. 

12. PATENTS AND INTELLECTUAL PROPERTY 

12.1. All rights to patents, trademarks, and any other intellectual property shall remain the property of Estech. 

13 CONFIDENTIALITY 

13.1. Estech shall treat all confidential Customer information and patient data with strict confidentiality to the extent allowed by law. 

13.2. Customer shall keep in confidence all information, including but not limited to technical data, product descriptions, and any 

other information which is readily and reasonably identifiable as confidential based on its nature and/or the circumstances 

of its disclosure. For clarification only, this shall include information provided verbally. Such information shall not be disclosed 

to any third parties or employees, except for employees who are directly involved in the operation of the purchased 

equipment. 

14. APPLICABLE LAW / ARBITRATION / PARTIAL INVALIDITY 

14.1. These terms and conditions, as well as all contractual and other legal relationships between the parties, shall be governed 

by the laws of the State of California, USA 

14.2. Any claim or controversy arising out of or relating to these standard terms and/or any other legal relationship between the 

parties shall be settled by arbitration in San Francisco, California in accordance with the arbitration rules of the American 

Arbitration Association. Provided, however, if the Customer fails to pay an invoice, Estech can elect, in place of arbitration, to 

file a lawsuit in court in San Francisco, California, in which case, the Customer shall be deemed to have consented to the 

jurisdiction of the court, and if Estech prevails, the Customer shall be liable for Estech reasonable attorney fees and costs. 

14.3. The dispute shall be heard and determined by one arbitrator, unless any party’s claim exceeds USD 1 million, exclusive of 

interest and attorneys’ fees, in which case the dispute shall be heard and determined by three arbitrators. 

14.4. Language of the arbitration shall be English. 

14.5. The arbitration tribunal shall not have the power to award punitive damages. 

14.6. The arbitration shall be final and binding, shall be the sole and exclusive remedy regarding any and all claims and 

counterclaims presented, and may not be reviewed by or appealed to any court except for enforcement. 

14.7. Each party shall bear its own attorney fees and costs. The party initiating arbitration shall initially pay the arbitration costs 

and arbitrator’s fees, provided, however, the arbitrator, in his decision, can assess part or all of the arbitration costs and 

arbitrator fees to the other party as the arbitrator deems to be just. 

14.8. Nothing in this agreement shall prevent Estech from seeking injunctive relief or other legal remedy to prevent unauthorized 

copying, disclosure, use, retention, or distribution of Estech’s intellectual property. 

14.9. Estech shall have the exclusive right to bring legal action for failure to pay for products and services furnished in the courts 

of Estech’s headquarters. 

14.10. If any part of the terms and conditions is held void or unenforceable, such part will be treated as separable, leaving valid the 

remainder of these terms and conditions. 

14.11. The invalid clause will be replaced by the valid clause that generally comes closest to the commercial intention of the invalid clause.
