The Board composition is in compliance with Clause1.10 of the Guidelines of Corporate Governance Practices byPublic Listed Companies in Kenya. The Chief Executive is the onlyexecutive director. The Directors have diverse skills and are drawnfrom various sectors of the economy. The Board meets regularlyand at least four times annually. The profiles of the Board and theChief Executive are as follows:Mr. Eddy Njoroge – Chairman – Independent and NonexecutiveDirectorMr. Eddy Njoroge is a Bsc. (Hons) Chemistry/ Biochemistrygraduate from Makerere University. He has also undertaken manycourses in management, finance, investments and CorporateGovernance. Mr. Njoroge has a very rounded experience in thecorporate and financial sector.In 2011, Mr Njoroge was voted the Africa Investor 100 CEO of theyear and the Utility CEO of the year. In 2012, the Africa EnergyForum presented him with a life-time award for his contributionsto Africa’s power sector.In 2003, coming from the Private Sector, Mr. Njoroge wasappointed as the Managing Director and Chief ExecutiveOfficer of the government owned Kenya Electricity GeneratingCompany (KENGEN) and spearheaded the transformation of thecompany from a parastatal to a publicly listed company with acommercial orientation. He retired in June 2013 .From 2008-2012, Mr. Njoroge was the President of the Union of Producersand Distributors of Electric Power in Africa, giving him a uniqueperspective of Africa’s Power sector.Currently, he is the Chairman of the Investment Committee ofAuroes East Africa Fund, Member Investment Committee- AfricaRenewable Energy Fund,Chairman of Telkom Kenya and a boardmember of CfC Stanbic Bank, Real Insurance Ltd and Proctor &Allan.Mr. Njoroge has been decorated by the French Government withthe Order National du. Merit for his contributions in advancementof power generation in Africa. He was also awarded the Elderof the Burning Spear (EBS) and the Chief of the Burning Spear(CBS); two national honors by the former President of Kenya,His Excellency Mwai Kibaki. He was also awarded the Life TimeAward for his contribution to the power sector in Africa.Mr. Bob Karina – Vice Chairman - Non Executive TradingParticipant DirectorMr. Karina is the Founder and Chairman of Faida Investment Bankand the Vice Chairman of the Nairobi Securities Exchange (<strong>NSE</strong>)Ltd. He is also the Vice Chairman of the Rwanda Stock Exchange,where he has played a key role in the setup of the RwandaStock Exchange (RSE) and serves as the Chairman of the TradingCommittee. He is also a Board Member of the Central Depositoryand Settlement Corporation (CDSC), where he serves as theChairman of the Finance Committee.He is an accomplished stockbroker, an information technologyprofessional and a successful businessman. He plays other rolesincluding; Chairman of Asterisks Holdings, Chairman of NorwichUnion Properties Ltd., Chairman of the Association of KenyaStockbrokers (AKS) Nominees Ltd and Founder Member of theInstitute of Certified Securities and Investment Analysts (ICSIA). Heis also a member of the Institute of Directors (IoD).
