8.4.8 a Trustee or Connected Person may receive or retain any paymentsauthorised in Writing by the Charity Commission.8.5 In Articles 8.3 and 8.4 references to the Charity shall be read as references to theCharity and/or any Subsidiary Company provided that in relation to services suppliedto a Subsidiary Company the words in Article 8.4.3 "(excluding the service ofactingas Trustee and services performed by a Trustee under a contract ofemployment withthe Charity)" shall be treated as though they read "(excluding the service ofacting asTrustee but including other services by any person performed under a contract ofemployment with any Subsidiary Company)".8.6 For any transaction authorised by Articles 8.4 or 8.5, the Trustee's duty (arising underthe <strong>Companies</strong> Act 2006) to avoid a conflict of interest with the Charity shall bedisapplied provided the relevant provisions ofArticles 8.4 or 8.5 have been compliedwith.9. Liability ofmembersLIMITATION OF LIABILITY AND INDEMNITYThe liability of each member is limited to £1, being the amount that each memberundertakes to contribute to the assets ofthe Charity in the event ofits being wound upwhile he or she is a member or within one year after he or she ceases to be a member,for:9.1 payment ofthe Charity's debts and liabilities contracted before he or she ceases to bea member;9.2 payment ofthe costs, charges and expenses ofwinding up; and9.3 adjustment ofthe rights ofthe contributories among themselves.10. IndemnityWithout prejudice to any indemnity to which a Trustee may otherwise be entitled,every Trustee ofthe Charity shall be indemnified out ofthe assets of the Charity inrelation to any liability incurred by him or her in that capacity but only to the extentpermitted by the <strong>Companies</strong> Acts; and every other officer of the Charity may beindemnified out ofthe assets ofthe Charity in relation to any liability incurred by himor her in that capacity, but only to the extent permitted by the <strong>Companies</strong> Acts.11. Trustees' general authorityTRUSTEESTRUSTEES' POWERS AND RESPONSIBILITIESSubject to the Articles, the Trustees are responsible for the management of theCharity's business, for which purpose they may exercise all the powers ofthe Charity.20208610003l0006971941Ver. 017
