20.1.2 they can each communicate to the others any information or opinions theyhave on any particular item ofthe business ofthe meeting.20.2 In determining whether Trustees are participating in a Trustees' meeting, it ISirrelevant where any Trustee is or how they communicate with each other.20.3 If all the Trustees participating in a meeting are not in the same place, they maydecide that the meeting is to be treated as taking place wherever any ofthem is.21. Quorum for Trustees' meetings21.1 At a Trustees' meeting, unless a quorum is participating, no proposal is to be votedon, except a proposal to call another meeting.21.2 The quorum for Trustees' meetings may be fixed <strong>from</strong> time to time by a decision ofthe Trustees, but it must never be less than two, and unless otherwise fixed it is two orone-third ofthe total number ofTrustees, whichever is the greater.21.3 Ifthe total number ofTrustees for the time being is less than the quorum required, theTrustees must not take any decision other than a decision to appoint further Trustees.22. Chairing of Trustees' meetingsThe Chair or Vice-Chair or in their absence another Trustee nominated by theTrustees present shall preside as chair ofeach Trustees' meeting.23. Casting Vote23.1 In the case of an equality of votes, the chair of the meeting shall be entitled to acasting vote in addition to any other vote he or she may have.23.2 But this does not apply if, in accordance with the Articles, the chair ofthe meeting isnot to be counted as participating in the decision-making process for quorum orvoting purposes.24. Decisions without a meeting24.1 The Trustees may take a unanimous decision without a Trustees' meeting inaccordance with this Article by indicating to each other by any means, includingwithout limitation by Electronic Means, that they share a common view on a matter.Such a decision may, but need not, take the form ofa resolution in Writing, copies ofwhich have been signed by each Trustee or to which each Trustee has otherwiseindicated agreement in Writing.24.2 A decision which is made in accordance with Article 24.1 shall be as valid andeffectual as if it had been passed at a meeting duly convened and held, provided thefollowing conditions are complied with:24.2.1 approval <strong>from</strong> each Trustee must be received by one person being eithersuch person as all the Trustees have nominated in advance for that purposeor such other person as volunteers if necessary ("the Recipient"), whichperson may, for the avoidance ofdoubt, be one ofthe Trustees;20208610003l0006971941Ver. 0111
