STATE OF ALABAMA*<strong>TIMBER</strong> <strong>DEED</strong>COUNTY OF GREENE*This contract made and entered into this the ________ day of ____________ ,20___, by and between ___________________________ (hereinafter, calledwhether one or more the "Seller") and TUSKALOOSA FORESTRY SERVICES, INC.(hereinafter called the "Buyer").WITNESSETH:1. The Seller does hereby grant, bargain, sell and convey to the Buyer, and theBuyer does hereby purchase from the Seller, the following timber and/or trees describedbelow:ALL MERCHANTABLE <strong>TIMBER</strong>2. The above described timber and/or trees conveyed is located on the followingdescribed real estate in Greene County, Alabama, to-wit:The West Half of the Southwest Quarter (W ½ SW ¼) of Section 18,Township 20 North, Range 1 East;The Northeast Quarter (NE ¼), 10 acres off the South end of theSouthwest Quarter of the Northwest Quarter (SW ¼ NW ¼), theNorthwest Quarter of the Southwest Quarter (NW ¼ SW ¼), theSouth Half of the Southwest Quarter (S ½ SW ¼), the SoutheastQuarter (SE ¼), Section 13, Township 20 North, Range 1 West;All of the West Half lying North of Tombigbee River, Section 24,Township 20 North, Range 1 West;All situated in Greene County, Alabama, containing 687 acresmore or less.3. The Buyer agrees to pay to the Seller for the timber and/or trees herebyconveyed as follows:$1,000,000.00 lump sum.


4. Buyer agrees to hold Seller harmless from all public liability which might arisefrom Buyers occupation of the above described lands during the term of this contract.5. Buyer agrees to keep all creeks, roads, fences, fields and public utility linesclear of logging debris. All roads will be left in as good of condition upon completion oflogging operations as they were at the beginning. All forestry operations will beperformed in accordance with Alabama's Best Management Practices (BMP) guidelines.6. The Seller hereby gives and grants unto the Buyer the right to enter said abovedescribed lands and any adjacent lands of Seller for the purpose of cutting and removingsaid timber and/or trees, which rights may also be exercised by Buyer's independentcontractor, their servant, agents and workmen, in through, over, and upon the said land;also the privilege of adequate roads and rights of way as may be needed and, wherenecessary, to construct haul roads and to obtain borrow material for such purposes closeto the area where such material is needed; also the right to go upon said lands with men,cars, trucks and other vehicles for the purpose of cutting, harvesting, logging and sawingthe timber and/or trees; to stack and pile lumber and logs thereon; and all other loggingrights and priveleges usually given and not hereinabove mentioned.7. The Seller expressly covenants and agrees to and with Buyer that Seller islawfully seized in Fee simple of the timber and/or trees hereinabove described andconveyed; that the same is free from any and all liens, mortgages, and encumbrances; thatSeller has a good and perfect right to sell and convey the same aforesaid; and that Sellerdoes and will, and his/her heirs, executors and administrators shall, forever warrant anddefend the title to said timber and/or trees, and the possession thereof, unto Buyer, itsheirs, successors and assigns, against the lawful claim or claims of any and all personswhomsoever.8. All agreements, covenants, duties, rights, privileges, and powers herein made,imposed, granted, or mentioned, which are binding upon and applicable to the heirs, legalrepresentative, successors and assigns of such party or parties.9. The term of this contract shall be 18 months from the date hereof and Buyeris to have the above granted property, rights and privileges for said length of time.20___.Witness our hands and seals, in duplicate, this the _____ day of ____________,Witnesses as to Seller:
