STATEMENT OF MANAGEMENT’S RESPONSIBILITYFOR FINANCIAL STATEMENTSThe management of Philippine Seven Corporation is responsible for all information and representationscontained in the consolidated financial statements for the years ended December 31, 2008, 2007 and 2006.The consolidated financial statements have been prepared in conformity with generally accepted accountingprinciples in the Philippines and reflect amounts that are based on the best estimates and informed judgmentof management with an appropriate consideration to materiality.In this regard, management maintains a system of accounting and reporting which provides for thenecessary internal controls to ensure that transactions are properly authorized and recorded, assets aresafeguarded against unauthorized use or disposition and liabilities are recognized. The management likewisediscloses to the company’s audit committee and its external auditor: (i) all significant deficiencies in thedesign or operation of internal controls that could adversely affect its ability to record, process, and reportfinancial data; (ii) material weaknesses in the internal controls; and (iii)any fraud that involves managementor other employees who exercise significant roles in internal controls.The Board of Directors or the Executive Committee or the Audit Committee, as authorized by the Board,reviews the financial statements before such statements are approved and submitted to the stockholders ofthe Company.Sycip Gorres Velayo and Company, the independent auditors appointed by the Stockholders, has examinedthe financial statements of the Company in accordance with generally accepted auditing standards in thePhilippines and has expressed its opinion on the fairness of presentation upon completion of suchexamination, in its report to the Board of Directors and/or Executive Committee or Audit Committee andStockholders.VICENTE T.
