Certified Active <strong>Master</strong> Gardener: A Certified Active <strong>Master</strong> Gardenermust annually satisfy the service, education and attendance requirementsas stated in the Association’s Standing Rules. Certified members areentitled to vote on Association matters. They may also serve oncommittees, as a Committee Chair and hold an elective office.Associate <strong>Master</strong> Gardener: Associate <strong>Master</strong> <strong>Gardeners</strong> are those whodo not satisfy the service, education and attendance requirements for theprevious calendar year. must annually satisfy the service, education andattendance requirements as stated in the Association’s Standing Rules.Associates may re-certify for the following year by satisfying the service,education and attendance requirements, as stated in the Association’sStanding Rules, in the current year.Associate <strong>Master</strong> <strong>Gardeners</strong> may not vote, or hold an elective office. Theymay assist with committee activities, but may not vote on committeematters or serve as a committee chair.Emeritus <strong>Master</strong> Gardener: <strong>Master</strong> <strong>Gardeners</strong> who have earned twohundred sixty (260) service hours will be placed on Emeritus status if theysubmit a written request to the Board of Directors. Emeritus statusexempts members from having to satisfy the service, and attendancerequirement as stated in the Association’s Standing Rules, but not fromthe education requirement. Emeritus members are entitled to vote onAssociation matters. They may also serve on committees, but may notserve as a committee chair or hold an elective office.Life <strong>Master</strong> Gardener: The Board of Directors may wish to bestow thispermanent membership designation to recognize individuals who haveadmirably served as active members of the Association. Life <strong>Master</strong><strong>Gardeners</strong> shall have attained at least the level of Grand <strong>Master</strong>Gardener. Life members must also be approved by the Board of Directorsaccording to procedures and requirements as stated in the StandingRules. Life members may not vote on Association matters, serve oncommittees or hold an elective office.Honorary Member: Honorary members are those individuals who havebeen recognized for their overall assistance and contribution to theAssociation’s activities and programs. Honorary members are selected bythe Board of Directors from names submitted by certified members.Honorary Members may not vote on Association matters, serve oncommittees or hold an elective office.Section 2. Students are not considered members of the Association until they haveofficially received their certificates. They may not vote, or hold an elective office. They2


may assist with committee activities, but may not vote on committee matters or serve asa committee chair.Section 1. - BoardArticle IVBoard of DirectorsThe affairs of the Association shall be managed by a Board of Directors. This Boardshall be comprised of four (4) elected officers and those individuals who chair theAssociation’s Standing Committees. The immediate Past President and the <strong>Master</strong>Gardener Coordinator shall also serve as ex officio members of the Board with the rightto vote.The officers shall be a President, Vice-President, Secretary, Treasurer, Historian andParliamentarian. The elective and appointed officers shall serve from January throughDecember of the designated calendar year, or until their successors areelected/appointed, whichever is later. They shall be elected/appointed for a term of one(1) year and may not serve for more than two (2) consecutive terms in the same office.Standing Committee Chairs shall serve during the same designated calendar year, oruntil their successors are appointed, whichever is later. They may serve for a term ofone (1) year with the opportunity for reappointment to an additional term. The PastPresident and <strong>Master</strong> Gardener Coordinator serve by virtue of position. Each officer,Standing Committee, Past President and <strong>Master</strong> Gardener Coordinator is entitled tovote on board-related issues, with the exception of the Historian and Parliamentarian.The officers and board members shall perform their expected duties as prescribed bythese bylaws, and by the Parliamentary Authority adopted by the Association. TheBoard has a fiduciary responsibility to the Association. This shall include the preparationof an annual operating budget, the monitoring of revenues and expenditures, andassurance of the overall financial welfare of the organization. The officers and boardmembers shall adopt such rules and regulations for the conduct of business as theydeem advisable, within limits of the bylaws, and may appoint such agents and ad-hocgroups as they consider necessary. The Board of Directors shall also establish Standingand Special Committees to assist in the management of Association affairs. No memberof the Board of Directors shall receive compensation for their service to the Association.Section 2. - OfficersPresident: The President shall be the official representative of the Association and shallpreside over all board and general assembly meetings. Responsibilities shall include theimplementation and adherence to the Association’s bylaws, formulation of board andassembly agendas, and oversight of the monthly newsletter, the Association website3


and the annual directory. The President shall also have the authority to authorize theexpenditure of funds from the Association’s treasury, with the Board’s approval.The President shall appoint all Standing and Special Committee Chairs, with finalapproval by the Board of Directors, excluding the Audit and Nominating Committees.The President shall be an ex-officio member of all committees with the right to vote,except for the Audit and Nominating Committees.Vice-President: The Vice-President shall assist the President and shall preside atmeetings in the President’s absence or when the President must temporarily vacate thechair. The Vice-President shall also serve as Chair of the Program Committee.Secretary: The Secretary shall record the proceedings of all board and assemblymeetings and in addition serve as the Association’s official corresponding secretary.The Secretary shall assure the maintenance of the Association’s records, which shallinclude the Certificate of Self-Insurance, the minutes of prior meetings, a current list ofnames of Standing and Special Committee members and Association advisors,committee reports, membership roles, Bylaws, Standing Rules, policies and otherrelated documents. The Secretary shall also make appropriate materials available tomembers upon written request, and to the <strong>Master</strong> Gardener Coordinator at year end.The Secretary shall preside at board and assembly meetings in the absence of thePresident and Vice-President.Treasurer: The Treasurer is responsible for maintaining the financial accounts andrecords of the Association. This shall include the receipt of all monies and the authorityto disburse monies in accordance with the Association’s fiscal policies and the Board’sapproval. The Treasurer shall also make all financial records available for annual auditsand other reviews as deemed necessary, and provide the <strong>Master</strong> Gardener Coordinatorwith year end copies of all financial documents.Historian: A Historian shall be appointed by the Board of Directors, who will maintainan annual historical record of the Association’s activities. The Historian is responsiblefor preparing a narrative and pictorial account of the Association’s activities, which willbecome part of the Association’s official history. The history shall also include theannual directory with updates, and a written monthly narrative of Association activities.Parliamentarian: A Parliamentarian may be appointed by the President for the purposeof advising the President, Board and committees on matters of parliamentaryprocedure. This shall include, but is not limited to Chairing the Bylaws Committee whenrequired, assisting in the interpretation of the Association’s Bylaws and theParliamentary Authority, and providing guidance in matters regarding Parliamentaryprotocol.4


Section 3 - ElectionsCandidates for officers shall be selected by the Nominating Committee from namessubmitted by the voting membership. Candidates receiving a majority of the votes castby Certified and Emeritus members present during a designated monthly meeting of theAssociation shall be duly elected, assuming that a quorum is present. Votes will be castduring such meeting via a printed ballot and the results will be announced prior toassembly adjournment. No candidate shall run for, or hold, more than one elective officeat a time.A candidate for President must be certified for a period of at least two (2) years andhave attained the level of Grand <strong>Master</strong> Gardener. Candidates for the positions of Vice-President, Secretary and Treasurer, must be certified and have attained the level ofSenior <strong>Master</strong> Gardener.Section 4 - VacanciesIn the event an officer is unable to serve, they must be replaced through theAssociation’s recognized elective process. Persons filling vacancies must meet allqualifications that would normally be necessary for election by the membership. Aspecial elected officer shall serve for the remainder of the previous individual’s term andmay stand as a candidate for regular terms as stated in Article I, Section 1 of thesebylaws.Section 1 - Board and AssemblyArticle VMeetingsThe Association shall hold regular monthly board and assembly meetings asdetermined by the Board of Directors. Unscheduled meetings may also be called by thePresident and/or Board of Directors. All board meetings are open to students andmembers for the purpose of observation.An unscheduled board or assembly meeting may be held through a written requestidentifying the purpose of the meeting and signed by at least ten (10) certified membersof the Association. A written notification shall be mailed to the membership at least ten(10) working days prior to the respective meeting.Section 2 - QuorumA quorum for a meeting of the Board of Directors shall consist of a majority of Officersand Standing Committee representatives. If during the meeting a quorum is lost, the5


meeting shall adjourn and reconvene at a later date. A quorum for any assemblymeeting of the Association shall consist of fifty voting members.Section 1. – Standing CommitteesArticle VICommitteesStanding Committees assist in the management of the Association’s affairs on acontinuing basis and are considered essential to the month-to-month operations of theAssociation. The formation or removal of these committees requires the approval of theBoard of Directors and their number may vary depending upon the needs of theorganization. The President and <strong>Master</strong> Gardener Coordinator are ex-officio membersof all Standing Committees, with the right to vote.Chairmen of Standing Committees shall be Certified Active <strong>Master</strong> <strong>Gardeners</strong>. Allmembers of committees must be members of the Association who shall serve for aperiod of one year, but may be reappointed for additional terms. Standing Committeesmay, on occasion, appoint ad hoc committees to assist them in their duties andfunctions.Each Standing Committee shall provide representation at any and all meetings of theBoard of Directors. Each committee is entitled to one vote and in the absence of theCommittee Chair, the vote may be cast by any designated member of the committee.Each committee is responsible for submitting a proposed budget during the preparationof the Association’s annual budget as well as maintaining a record of its activities.All committee meetings are open to students and members for the purpose ofobservation.Section 1(a). - Community Speaker CommitteeThe Community Speaker Committee consists of a Chair and as many speakers asneeded to perform its duties. The Committee Chair is responsible for coordinating all<strong>Master</strong> Gardener speaking engagements and the solicitation of individuals to satisfyspeaking commitments. The committee shall maintain a speaking engagement record,which is to be submitted to the <strong>Master</strong> Gardener Coordinator at year end.Section 1(b). - Directory CommitteeThe Directory Committee consists of a Chair and as many members as needed toperform its duties. The committee is responsible for the preparation, printing, distributionand monthly updates of the Association’s membership directory.6


Section 1(c). - Education CommitteeThe Education Committee is composed of a Chair, an Assistant Chair and as manymembers as needed to perform its duties. The Chair and Assistant Chair must be atleast Senior <strong>Master</strong> <strong>Gardeners</strong>. Those serving as counselors must be Certified Active<strong>Master</strong> <strong>Gardeners</strong>. The committee shall assist in managing the Association’scertification-related training programs according to the current Education Protocols. Thisshall include the selection of students, the implementation of training classes, themonitoring of students during phone internship and committee services, duty and therecognition of those who satisfy the certification process.The Education Committee shall also contain two (2) subcommittees:1) The Student Materials Subcommittee consists of a Chair and as manymembers as needed to perform its duties. The committee shall be responsiblefor the preparation of educational materials for use during the <strong>Master</strong>Gardener Training Program.2) The Continuing Education Subcommittee consists of a Chair and as manymembers as needed to perform its duties. The committee shall beresponsible for planning and managing supplemental education and trainingprograms, such as Learning Labs, transfers and others as required.Section 1(d). - Merchandise Sales CommitteeThe Merchandise Sales Committee consists of a Chair, the Association Treasurer, andas many members as needed to perform its duties. The committee is responsible forthe sale of all merchandise previously approved by the Association’s Board of Directors.Section 1(e). - Gardening CommitteeThe Gardening Committee consists of a Chair and as many members as needed toperform its duties. The committee is responsible for planning, planting and maintainingthe Anniversary Garden as well as the garden areas surrounding the <strong>Oklahoma</strong> <strong>County</strong>Extension Center building.Section 1(f). - Greeters CommitteeThe Greeters Committee consists of a Chair and as many members as needed toperform its duties. The committee is responsible for greeting and assisting Associationmembers and visitors. In addition, the committee is responsible for the set-up andclean-up of Association meetings.7


Section 1(g). – Touring CommitteeThe Touring Committee is composed of a Chair and as many members as needed toperform its duties. The committee is responsible for planning and arranging group fieldtrips and garden visits, approved by the Board, for Association members.Section 1(h). – Hospitality CommitteeThe Hospitality Committee is composed of a Chair and as many members as needed toperform its duties. The committee is responsible for planning and coordinating theAssociation’s monthly luncheons and any special functions approved by the Board ofDirectors.Section 1(i). – Newsletter CommitteeThe Newsletter Committee is composed of a Chair and as many members as needed toperform its duties. The committee shall be responsible for creating, editing andpublishing the monthly newsletter.Section 1(j). – Project Sales CommitteeThe Project Sales Committee is composed of a Chair, the Association’s Treasurer andas many members as needed to perform its duties. The committee is responsible forcreating and implementing revenue-generating projects, which have been approved bythe Board of Directors.Section 1(k). – Public Relations CommitteeThe Public Relations Committee is composed of a Chair and as many members asneeded to perform its duties. The Committee assists the Extension Center staff inpublicizing <strong>Master</strong> Gardener programs. It also coordinates the volunteer effortassociated with all Association public relations activities.Section 1(l). - Recording CommitteeThe Recording Committee consists of a Chair, who has completed two hundred sixty(260) hours of service, and as many members, who are at least Senior <strong>Master</strong><strong>Gardeners</strong>, as needed to perform its duties. The committee is responsible for validatingand recording education and service hours that are submitted by Association membersand students, and maintaining a list of all graduates of the <strong>Master</strong> <strong>Gardeners</strong> of<strong>Oklahoma</strong> <strong>County</strong> program. The committee is also responsible for submitting to theAssociation’s President and the <strong>Master</strong> Gardener Coordinator a year-end report, whichcontains member’s accumulated hours, certification status and those members entitledto new badges.8


Section 1(m). – Telephone CommitteeThe Telephone Committee is composed of a Chair and as many members as needed toperform its duties. The committee is responsible for providing information associatedwith the upcoming monthly meeting and any additional topics that may be ofimportance. The committee is also responsible for mailing cards to <strong>Master</strong> <strong>Gardeners</strong>as needed.Section 1(n). – Finance CommitteeThe Finance Committee is composed of a Chair, who is the Association’s Treasurer,and four (4) other members who are at least Senior <strong>Master</strong> <strong>Gardeners</strong>. Two (2) of thesemembers are to be selected by the President and the <strong>Master</strong> Gardener Coordinatorrespectively. The remaining two (2) are to be chosen by the Board from members whodo not currently serve on the Board.The Finance Committee is responsible for assisting in the preparation of theAssociation’s annual budget and for monitoring the Association’s monthly financials ona quarterly basis. It shall also recommend budgetary amendments and advise the Boardof any concerns the committee may have regarding the Association’s financial welfare.Section 2. – Special CommitteesSpecial Committees are formed for the purpose of addressing specific topics within avaried or shortened time frame. They are not considered essential to the month-tomonthoperations of the Association. The formation or removal of these committeesrequires the approval of the Board of Directors, and their number may vary dependingupon the needs of the organization. The President and <strong>Master</strong> Gardener Coordinatorare ex-officio members of all Special Committees, with the right to vote, except in theNominating and Audit Committees.Chairmen of Special Committees shall be Certified Active <strong>Master</strong> <strong>Gardeners</strong>. Allmembers of committees must be members of the Association who shall serve for aperiod of one year, but may be reappointed for additional terms. Special Committeesmay, on occasion, appoint ad hoc committees to assist them in their duties andfunctions.Each Special Committee shall provide representation at all meetings of the Board ofDirectors. However, Special Committees are not entitled to vote on Board issues. Eachcommittee is responsible for submitting a proposed budget during the preparation of theAssociation’s annual budget as well as maintaining a record of its activities.All committee meetings are open to students and members for the purpose ofobservation, except the Nominating and Audit Committees.9


Section 2 (a). – Audit CommitteeThe Audit Committee is composed of a Chair and two (2) or more members as neededto perform its duties. Committee members are appointed by the Board, but none shallbe current members of the Board. The Committee is responsible for annually auditingthe Association’s financial records or at any time circumstances may require. Thecommittee shall also submit an annual report of its findings to the membership withinthe first quarter of the year.Section 2(b). - Bylaws CommitteeThe Bylaws Committee is composed of a Chair and six (6) other members. At theBoard’s request, the committee is responsible for reviewing and drafting recommendedrevisions or amendments to the Association’s Bylaws and other documents as required.The committee’s recommendations are submitted to the Board for approval.Section 2(c). – Nominating CommitteeThe Nominating Committee is composed of a Chair and four (4) other members who areCertified Active <strong>Master</strong> <strong>Gardeners</strong>. Committee members are appointed by the Board,but none shall be current members of the Board. The committee is responsible forsoliciting written nominations from the membership of individuals willing to stand forelection to the Association’s Board of Directors. The nominating and selection processshall adhere to protocols approved by the Board. When requested, the committee shallalso be responsible for polling the membership on matters assigned by the Board. Thecommittee shall provide at least two (2) individual’s names (if available), who haveconsented to serve and who satisfy the required qualifications for each office.Section 2(d). – Program CommitteeThe Program Committee is composed of a Chair who is the Vice-President, the <strong>Master</strong>Gardener Coordinator and two (2) other members who are at least Certified Active<strong>Master</strong> <strong>Gardeners</strong>. The committee is responsible for securing qualified programs basedon the interests of the membership.Section 2(e). WebmasterThe Webmaster is responsible for creating, editing and maintaining the Association’sofficial website.10
