RFQ <strong>document</strong> <strong>for</strong> <strong>development</strong> <strong>of</strong> Four Laning <strong>of</strong> Rewa Ring Road on BOT (Toll + Annuity)basis1.1.3 The scope <strong>of</strong> work will b<strong>road</strong>ly include rehabilitation, up-gradationand widening <strong>of</strong> the existing carriageway to two-lane with/withoutpaved shoulders standards with construction <strong>of</strong> new pavement,rehabilitation <strong>of</strong> existing pavement, construction and/or rehabilitation<strong>of</strong> major and minor bridges, culverts, <strong>road</strong> intersections,interchanges, drains, etc. and the operation and maintenance there<strong>of</strong>.1.1.4 Indicative capital cost <strong>of</strong> the Project (the “Estimated ProjectCost”) will be revised and specified in the Bidding Documents <strong>of</strong> theProject. The assessment <strong>of</strong> actual costs, however, will have to be madeby the Bidders.1.1.5 The Authority shall receive Applications pursuant to this RFQ inaccordance with the terms set <strong>for</strong>th herein as modified, altered,amended and clarified from time to time by the Authority, and allApplications shall be prepared and submitted in accordance withsuch terms on or be<strong>for</strong>e the date specified in Clause 1.3 <strong>for</strong>submission <strong>of</strong> Applications (the “Application Due Date”).1.2 Brief description <strong>of</strong> Bidding Process1.2.1 The Authority has adopted a two-stage process (collectively referredto as the "Bidding Process") <strong>for</strong> selection <strong>of</strong> the bidder <strong>for</strong> award <strong>of</strong>the Project. The first stage (the "Qualification Stage") <strong>of</strong> theprocess involves qualification (the “Qualification”) <strong>of</strong> interestedparties/ consortia who make an Application in accordance with theprovisions <strong>of</strong> this RFQ (the "Applicant", which expression shall,unless repugnant to the context, include the Members <strong>of</strong> theConsortium). Prior to making an Application, the Applicant shall payto the Authority a sum <strong>of</strong> Rs.25,000 (Rupees twenty five thousand)as the cost <strong>of</strong> the RFQ process. At the end <strong>of</strong> this stage, theAuthority expects to announce a list <strong>of</strong> all pre-qualified Applicantswho shall be eligible <strong>for</strong> participation in the second stage <strong>of</strong> theBidding Process (the "Bid Stage") comprising Request <strong>for</strong>Proposals (the “Request <strong>for</strong> Proposals” or “RFP”).Government <strong>of</strong> India has issued guidelines (see Appendix-V) <strong>for</strong>qualification <strong>of</strong> bidders seeking to acquire stakes in any publicsector enterprise through the process <strong>of</strong> disinvestment. Theseguidelines shall apply mutatis mutandis to this Bidding Process. Only thoseApplicants that are pre-qualified and short-listed by the Authority shallbe invited to submit their Bids <strong>for</strong> the Project. The Authority is likely toprovide a comparatively short time span <strong>for</strong> submission <strong>of</strong> the Bids <strong>for</strong>the Project. The Applicants are, there<strong>for</strong>e, advised to visit the site andfamiliarize themselves with the Project.1.2.3 In the Bid Stage, the Bidders will be called upon to submit theirfinancial <strong>of</strong>fers (the "Bids") in accordance with the RFP and other<strong>document</strong>s to be provided by the Authority (collectively the "BiddingDocuments"). The Bidding Documents <strong>for</strong> the Project will be providedto every Bidder on payment <strong>of</strong> Rs.50,000.00 (Rupees fifty thousandonly). The Bid shall be valid <strong>for</strong> a period <strong>of</strong> not less than 120 daysfrom the date specified in Clause 1.3 <strong>for</strong> submission <strong>of</strong> bids (the“Bid Due Date”).1.2.4 In terms <strong>of</strong> the RFP, a Bidder will be required to deposit, along with itsBid, a bid security equivalent to R s . 6 7 . 0 0 l a c s (the "BidSecurity"), refundable no later than 60 (sixty) days from the BidDue Date, except in the case <strong>of</strong> the selected Bidder whose Bid Securityshall be retained till it has provided a Per<strong>for</strong>mance Security under theConcession Agreement. The Bidders will have an option to provide BidSecurity in the <strong>for</strong>m <strong>of</strong> a demand draft or a bank guarantee acceptable tothe Authority and in such event, the validity period <strong>of</strong> the demand draftor bank guarantee, as the case may be, shall not be less than 180 (onehundred and eighty) days from the Bid Due Date, inclusive <strong>of</strong> a claimperiod <strong>of</strong> 60 (sixty) days, and may be extended as may be mutuallyagreed between the Authority and the Bidder from time to time.The Bid shall be summarily rejected if it is not accompanied by the BidSecurity.1.2.5 Generally, the Highest Bidder shall be the selected Bidder. The remainingBidders shall be kept in reserve and may, in accordance with the processspecified in the RFP, be invited to match the Bid submitted by theHighest Bidder in case such Highest Bidder withdraws or is not selected<strong>for</strong> any reason. The concession period shall be pre-determined, and willbe indicated in the draft Concession Agreement <strong>for</strong>ming part <strong>of</strong> theBidding Documents. GENERAL2.1 Scope <strong>of</strong> Application2.1.1 The Authority wishes to receive Applications <strong>for</strong> Qualification inorder to pre- qualify experienced and capable Applicants <strong>for</strong> the BidStage.2.1.2 Pre-qualified Applicants may be subsequently invited to submit theBids <strong>for</strong> the Project.2.2 Eligibility <strong>of</strong> Applicants2.2.1 For determining the eligibility <strong>of</strong> Applicants <strong>for</strong> their pre- qualificationhereunder, the following shall apply:(a)(b)The Applicant <strong>for</strong> pre-qualification may be a single entity or agroup <strong>of</strong> entities (the “Consortium”), coming together toimplement the Project. However, no applicant applyingindividually or as a member <strong>of</strong> a Consortium, as the case may be,can be member <strong>of</strong> another Applicant. The term Applicant usedherein would apply to both a single entity and a Consortium.An Applicant may be a natural person, private entity, or anycombination <strong>of</strong> them with a <strong>for</strong>mal intent to enter into anagreement or under an existing agreement to <strong>for</strong>m a Consortium.A Consortium shall be eligible <strong>for</strong> consideration subject to theconditions set out in Clause 2.2.6 below.(c) An Applicant shall not have a conflict <strong>of</strong> interest (the “Conflict <strong>of</strong>Interest”) that affects the Bidding Process. Any Applicantfound to have a Conflict <strong>of</strong> Interest shall be disqualified. RFQ <strong>document</strong> <strong>for</strong> <strong>development</strong> <strong>of</strong> Four Laning <strong>of</strong> Rewa Ring Road on BOT (Toll + Annuity)basiswith another Applicant, or any Associate there<strong>of</strong>, directlyor through common third party/ parties, that puts either orboth <strong>of</strong> them in a position to have access to each others’in<strong>for</strong>mation about, or to influence the Application <strong>of</strong> either oreach other; or(vi)such Applicant, or any Associate there<strong>of</strong> has participated as aconsultant to the Authority in the preparation <strong>of</strong> any<strong>document</strong>s, design or technical specifications <strong>of</strong> the Project.(d)An Applicant shall be liable <strong>for</strong> disqualification if any legal,financial or technical adviser <strong>of</strong> the Authority in relation to theProject is engaged by the Applicant, its Member or anyAssociate there<strong>of</strong>, as the case may be, in any manner <strong>for</strong> mattersrelated to or incidental to the Project. For the avoidance <strong>of</strong> doubt,this disqualification shall not apply where such adviser was engagedby the Applicant, its Member or Associate in the past but itsassignment expired or was terminated 6 (six) months prior to thedate <strong>of</strong> issue <strong>of</strong> this RFQ. Nor will this disqualification applywhere such adviser is engaged after a period <strong>of</strong> 3 (three) yearsfrom the date <strong>of</strong> commercial operation <strong>of</strong> the Project.Explanation: In case an Applicant is a Consortium, then the termApplicant as used in this Clause 2.2.1, shall include each Member <strong>of</strong>such Consortium.2.2.2 To be eligible <strong>for</strong> pre-qualification and short-listing, an Applicantshall fulfil the following conditions <strong>of</strong> eligibility:(A)Technical Capacity: For demonstrating technical capacity andexperience (the “Technical Capacity”), the Applicant shall, overthe past 5 (five) financial years preceding the Application DueDate, have:(i)(ii)(iii)paid <strong>for</strong>, or received payments <strong>for</strong>, construction <strong>of</strong>Eligible Project(s); and/orpaid <strong>for</strong> <strong>development</strong> <strong>of</strong> Eligible Project(s) in Category1 and/or Category2 specified in Clause 3.2.1; and/ orcollected and appropriated revenues from Eligible Project(s)in Category 1 and/or Category 2 specified in Clause 3.2.1,________________________________________________________________________________________________________________________________NIT No. MPRDC/BOT (T+A)/PQ/2012/ 7783 Bhopal, dated 27.09.2012 - 13 -

RFQ <strong>document</strong> <strong>for</strong> <strong>development</strong> <strong>of</strong> Four Laning <strong>of</strong> Rewa Ring Road on BOT (Toll + Annuity)basissuch that the sum total <strong>of</strong> the above, as further adjusted inaccordance with clause 3.2.6, is more than Rs.67.00 crores(Rupees Sixty Seven crores) (the “Threshold TechnicalCapability”).Provided that at least one <strong>four</strong>th <strong>of</strong> the ThresholdTechnical Capability shall be from the Eligible Projectsin Category 1 and/ or Category 3 specified in Clause3.2.1.(B)Financial Capacity: The Applicant shall have a minimum NetWorth (the “Financial Capacity”) <strong>of</strong> Rs.17 crores (RupeesSeventeen crores ) at the close <strong>of</strong> the preceding financial year.In case <strong>of</strong> a Consortium, the combined technical capability and networth <strong>of</strong> those Members, who have and shall continue to have anequity share <strong>of</strong> at least 26% (twenty six per cent) each in theSPV, should satisfy the above conditions <strong>of</strong> eligibility; providedthat each such Member shall, <strong>for</strong> a period <strong>of</strong> 2 (two) years fromthe date <strong>of</strong> commercial operation <strong>of</strong> the Project, hold equity sharecapital not less than: (i) 26% (twenty six per cent) <strong>of</strong> the subscribedand paid up equity <strong>of</strong> the SPV; and (ii) 5% (five per cent) <strong>of</strong> theTotal Project Cost specified in the Concession AgreementProvided further that each member <strong>of</strong> the Consortium shall have aminimum Net Worth <strong>of</strong> 12.5% <strong>of</strong> Estimated Project Cost in theimmediately preceding financial year.2.2.3 O&M Experience: The Applicant shall engage an experiencedO&M contractor or hire qualified and trained personnel <strong>for</strong>operation and maintenance <strong>of</strong> the project in con<strong>for</strong>mity with theprovisions <strong>of</strong> the concession agreement.2.2.4 The Applicants shall enclose with its application, to besubmitted as per the <strong>for</strong>mat at Appendix-I, complete with itsAnnexes, the following:(i) Certificate(s) from its statutory auditors or the concernedclient(s) stating the payments made/ received or workscommissioned, as the case may be, du<strong>ring</strong> the past 5 yearsin respect <strong>of</strong> the projects specified in paragraph 2.2.2 (A)above. RFQ <strong>document</strong> <strong>for</strong> <strong>development</strong> <strong>of</strong> Four Laning <strong>of</strong> Rewa Ring Road on BOT (Toll + Annuity)basis(ii)executed by the Applicant (as part <strong>of</strong> a consortium), itshould further support its claim <strong>for</strong> the share in workdone <strong>for</strong> that particular job/contract by producing acertificate from its statutory auditor or the client; andCertificate(s) from its statutory auditors specifying the networth <strong>of</strong> the Applicant, as at the close <strong>of</strong> the precedingfinancial year, and also specifying that the methodologyadopted <strong>for</strong> calculating such net worth con<strong>for</strong>ms to theprovisions <strong>of</strong> this Clause 2.2.4 (ii). For the purposes <strong>of</strong>this RFQ, net worth (the “Net Worth”) shall mean the sum<strong>of</strong> subscribed and paid up equity and reserves from whichshall be deducted the sum <strong>of</strong> revaluation reserves,miscellaneous expenditure not written <strong>of</strong>f and reservesnot available <strong>for</strong> distribution to equity share holders.2.2.5 The Applicant should submit a Power <strong>of</strong> Attorney as per the<strong>for</strong>mat at Appendix- II, authorizing the signatory <strong>of</strong> theApplication to commit the Applicant. In the case <strong>of</strong> a Consortium,the Members should submit a Power <strong>of</strong> Attorney in favour <strong>of</strong> theLead Member as per <strong>for</strong>mat at Appendix-III.2.2.6 Where the Applicant is a single entity, it may be required to <strong>for</strong>man appropriate Special Purpose Vehicle, incorporated under theIndian Companies Act 1956 (the “SPV”), to execute theConcession Agreement and implement the Project. RFQ <strong>document</strong> <strong>for</strong> <strong>development</strong> <strong>of</strong> Four Laning <strong>of</strong> Rewa Ring Road on BOT (Toll + Annuity)basisAttorney, as per the <strong>for</strong>mat at Appendix-III, signed by allthe other members <strong>of</strong> the Consortium;(d)(e)(f)(g)the Application should include a brief description <strong>of</strong>the roles and responsibilities <strong>of</strong> individual members,particularly with reference to financial, technical andO&M obligations;an individual Applicant cannot at the same time bemember <strong>of</strong> a Consortium applying <strong>for</strong> pre-qualification.Further, a member <strong>of</strong> a particular Applicant Consortiumcannot be member <strong>of</strong> any other Applicant Consortiumapplying <strong>for</strong> pre-qualification;the members <strong>of</strong> a Consortium shall <strong>for</strong>m an appropriateSPV to execute the Project, if awarded to the Consortium;members <strong>of</strong> the Consortium shall enter into a bindingJoint Bidding Agreement, substantially in the <strong>for</strong>mspecified at Appendix-IV (the “Jt. Bidding Agreement”),<strong>for</strong> the purpose <strong>of</strong> making the Application and submittinga Bid in the event <strong>of</strong> being short-listed. RFQ <strong>document</strong> <strong>for</strong> <strong>development</strong> <strong>of</strong> Four Laning <strong>of</strong> Rewa Ring Road on BOT (Toll + Annuity)basisexperience will be evaluated <strong>for</strong> the purposes <strong>of</strong>this RFQ, shall subscribe to 26% (twenty six percent) or more <strong>of</strong> the paid up and subscribed equity <strong>of</strong>the SPV and shall further commit that each suchmember shall, <strong>for</strong> a period <strong>of</strong> 2 (two) years from thedate <strong>of</strong> commercial operation <strong>of</strong> the Project, holdequity share capital not less than: (i) 26% (twentysix per cent) <strong>of</strong> the subscribed and paid up equityshare capital <strong>of</strong> the SPV; and (ii) 5% (five per cent)<strong>of</strong> the Total Project Cost specified in the ConcessionAgreement;(v)members <strong>of</strong> the Consortium undertake that theyshall collectively hold at least 51% (fifty one percent) <strong>of</strong> the subscribed and paid up equity <strong>of</strong> theSPV at all times until the second anniversary <strong>of</strong> thecommercial operation date <strong>of</strong> the Project; and(vi) include a statement to the effect that allmembers <strong>of</strong> the Consortium shall be liable jointlyand severally <strong>for</strong> all obligations <strong>of</strong> theConcessionaire in relation to the Project until theFinancial Close <strong>of</strong> the Project is achieved inaccordance with the Concession Agreement; and(h)except as provided under this RFQ and the BiddingDocuments, there shall not be any amendment to theJt. Bidding Agreement without the prior writtenconsent <strong>of</strong> the Authority.2.2.7 Any entity which has been barred by the Central/ StateGovernment, or any entity controlled by it, from participating inany project (BOT or otherwise), and the bar subsists as on thedate <strong>of</strong> Application, would not be eligible to submit anApplication, either individually or as member <strong>of</strong> a Consortium.2.2.8 An Applicant including any Consortium Member or Associateshould, in the last 3 (three) years, have neither failed to per<strong>for</strong>m onany contract, as evidenced by imposition <strong>of</strong> a penalty by anarbitral or judicial authority or a judicial pronouncement orarbitration award against the Applicant, Consortium Member or________________________________________________________________________________________________________________________________NIT No. MPRDC/BOT (T+A)/PQ/2012/ 7783 Bhopal, dated 27.09.2012 - 17 -

RFQ <strong>document</strong> <strong>for</strong> <strong>development</strong> <strong>of</strong> Four Laning <strong>of</strong> Rewa Ring Road on BOT (Toll + Annuity)basisAssociate, as the case may be, nor has been expelled from anyproject or contract by any public entity nor have had any contractterminated any public entity <strong>for</strong> breach by such Applicant,Consortium Member or Associate.In computing the Technical Capacity and Net Worth <strong>of</strong> theApplicant/ Consortium Members under Clauses 2.2.2, 2.2.4 and3.2, the Technical Capacity and Net Worth <strong>of</strong> their respectiveAssociates would also be eligible hereunder.For purposes <strong>of</strong> this RFQ, Associate means, in relation tothe Applicant/ Consortium Member, a person who controls, iscontrolled by, or is under the common control with suchApplicant/ Consortium Member (the “Associate”). As used in thisdefinition, the expression “control” means, with respect to aperson which is a company or corporation, the ownership, directlyor indirectly, <strong>of</strong> more than 50% (fifty per cent) <strong>of</strong> the voting shares<strong>of</strong> such person, and with respect to a person which is not acompany or corporation, the power to direct themanagement and policies <strong>of</strong> such person by operation <strong>of</strong> law.It is clarified that a certificate from a qualified external auditorwho audits the book <strong>of</strong> accounts <strong>of</strong> the Applicant or theConsortium Member shall be provided to demonstrate that a personis an Associate <strong>of</strong> the Applicant or the Consortium as the casemay be2.2.10 The following conditions shall be adhered to while submittingApplication:(a)(b)Applicants s h o u l d a t t a c h clearl y m a r k e d andreferenced continuation sheets in the event that the spaceprovided in the prescribed <strong>for</strong>ms in the Annexes isinsufficient. RFQ <strong>document</strong> <strong>for</strong> <strong>development</strong> <strong>of</strong> Four Laning <strong>of</strong> Rewa Ring Road on BOT (Toll + Annuity)basiswill be issued only to Applicants whose identity and/ orconstitution is identical to that at pre-qualification;(c) in responding to the pre-qualification submissions,Applicants should demonstrate their capabilities inaccordance with Clause 3.1 below; and(d)in case the Applicant is a Consortium, each Membershould substantially satisfy the pre-qualificationrequirements to the extent specified herein.2.2.11 While Qualification is open to persons from any country, thefollowing provisions shall apply:(a) Where, on the date <strong>of</strong> the Application, not less than 15%(fifteen percent) <strong>of</strong> the aggregate issued, subscribed andpaid up equity share capital in an Applicant or its Memberis held by persons resident outside India or where anApplicant or its Member is controlled by persons residentoutside India; or(b)if at any subsequent stage after the date <strong>of</strong> theApplication, there is an acquisition <strong>of</strong> not less than 15%(fifteen percent) <strong>of</strong> the aggregate issued, subscribed andpaid up equity share capital or control, by persons residentoutside India, in or <strong>of</strong> the Applicant or its Member;then the Qualification <strong>of</strong> such Applicant or in the event described insub clause (b) above, the continued Qualification <strong>of</strong> the Applicantshall be subject to approval <strong>of</strong> the Authority from national securityand public interest perspective. RFQ <strong>document</strong> <strong>for</strong> <strong>development</strong> <strong>of</strong> Four Laning <strong>of</strong> Rewa Ring Road on BOT (Toll + Annuity)basisany substitute there<strong>of</strong>, as in <strong>for</strong>ce on the date <strong>of</strong> suchacquisition.The Applicant shall promptly in<strong>for</strong>m the Authority <strong>of</strong> anychange in the shareholding, as above, and failure to do so shallrender the Applicant liable <strong>for</strong> disqualification from the BiddingProcess.2.2.12 Notwithstanding anything to the contrary contained herein, in theevent that the Application Due Date falls within three months<strong>of</strong> the closing <strong>of</strong> the latest financial year <strong>of</strong> an Applicant, itshall ignore such financial year <strong>for</strong> the purposes <strong>of</strong> its Applicationand furnish all its in<strong>for</strong>mation and certification with reference to the5 (five) years or 1 (one) year, as the case may be, preceding itslatest financial year. For the avoidance <strong>of</strong> doubt, financial yearshall, <strong>for</strong> the purposes <strong>of</strong> anApplication hereunder, mean the accounting year followed by theApplicant in the course <strong>of</strong> its normal business.2.3 Change in composition <strong>of</strong> the Consortium2.3.1 Change in the composition <strong>of</strong> a Consortium will not be permittedby the Authority du<strong>ring</strong> the Qualification Stage.2.3.2 Where the Bidder is a Consortium, change in the composition <strong>of</strong>a Consortium may be permitted by the Authority du<strong>ring</strong> the BidStage, only where:(a) the application <strong>for</strong> such change is made no later than 15(fifteen) days prior to the Bid Due Date;(b) the Lead Member continues to be the Lead Member <strong>of</strong>the Consortium;(c)(d)the substitute is at least equal, in terms <strong>of</strong> TechnicalCapacity, to the Consortium Member who is sought to besubstituted and the modified Consortium shall continue tomeet the pre-qualification and short-listing criteria <strong>for</strong>Applicants; andthe new Member(s) expressly adopt(s) the Application________________________________________________________________________________________________________________________________NIT No. MPRDC/BOT (T+A)/PQ/2012/ 7783 Bhopal, dated 27.09.2012 - 20 -

RFQ <strong>document</strong> <strong>for</strong> <strong>development</strong> <strong>of</strong> Four Laning <strong>of</strong> Rewa Ring Road on BOT (Toll + Annuity)basisalready made on behalf <strong>of</strong> the Consortium as if it were aparty to it originally, and is not anApplicant/Member/Associate <strong>of</strong> any other Consortiumbidding <strong>for</strong> this Project.2.3.3 Approval <strong>for</strong> change in the composition <strong>of</strong> a Consortium shallbe at the sole discretion <strong>of</strong> the Authority and must be approved bythe Authority in writing.2.3.4 The modified/reconstituted Consortium shall submit a revisedJt. Bidding Agreement be<strong>for</strong>e the Bid Due Date.2.3.5 Notwithstanding anything to the contrary contained in sub-clause (c)(i) <strong>of</strong> Clause 2.2.1, an Applicant may, within 10 (ten) days afterthe Application Due Date, remove from its Consortium any Memberwho suffers from a Conflict <strong>of</strong> Interest, and such removal shall bedeemed to cure the Conflict <strong>of</strong> Interest arising in respect there<strong>of</strong>.2.4 Number <strong>of</strong> Applications and costs there<strong>of</strong>2.4.1 No Applicant shall submit more than one Application <strong>for</strong>the Project. An applicant applying individually or as a member<strong>of</strong> a Consortium shall not be entitled to submit anotherapplication either individually or as a member <strong>of</strong> any Consortium,as the case may be.2.4.2 The Applicants shall be responsible <strong>for</strong> all <strong>of</strong> the costsassociated with the preparation <strong>of</strong> their Applications and theirparticipation in the Bid Process. The Authority will not beresponsible or in any way liable <strong>for</strong> such costs, regardless <strong>of</strong> theconduct or outcome <strong>of</strong> the Bidding Process.2.5 Site visit and verification <strong>of</strong> in<strong>for</strong>mationApplicants are encouraged to submit their respective Applicationsafter visiting the Project site and ascertaining <strong>for</strong> themselvesthe site conditions, traffic, location, surroundings, climate,availability <strong>of</strong> power, water and other utilities <strong>for</strong> construction,access to site, handling and storage <strong>of</strong> materials, weatherdata, applicable laws and regulations, and any other matterconsidered relevant by them.________________________________________________________________________________________________________________________________NIT No. MPRDC/BOT (T+A)/PQ/2012/ 7783 Bhopal, dated 27.09.2012 - 21 -

RFQ <strong>document</strong> <strong>for</strong> <strong>development</strong> <strong>of</strong> Four Laning <strong>of</strong> Rewa Ring Road on BOT (Toll + Annuity)basis2.6 Acknowledgement by Applicant2.6.1 It shall be deemed that by submitting the Application, theApplicant has:(a) made a complete and careful examination <strong>of</strong> theRFQ;(b) received all relevant in<strong>for</strong>mation requestedfrom the Authority;(c)(d)accepted the risk <strong>of</strong> inadequacy, error or mistake inthe in<strong>for</strong>mation provided in the RFQ or furnished by or onbehalf <strong>of</strong> the Authority relating to any <strong>of</strong> the mattersreferred to in Clause 2.5 above; andagreed to be bound by the undertakings provided by itunder and in terms here<strong>of</strong>.2.6.2 The Authority shall not be liable <strong>for</strong> any omission, mistake orerror in respect <strong>of</strong> any <strong>of</strong> the above or on account <strong>of</strong> any matter orthing arising out <strong>of</strong> or concerning or relating to the RFQ or theBidding Process, including any error or mistake therein or in anyin<strong>for</strong>mation or data given by the Authority.2.7 Right to accept or reject any or all Applications/ Bids2.7.1 Notwithstanding anything contained in this RFQ, the Authorityreserves the right to accept or reject any Application and to annulthe Bidding Process and reject all Applications/ Bids, at any timewithout any liability or any obligation <strong>for</strong> such acceptance,rejection or annulment, and without assigning any reasonsthere<strong>for</strong>e. If such disqualification/rejection occurs after the Bids have been opened and the HighestBidder gets disqualified/ rejected, then the Authority reserves theright to:(i)invite the remaining Bidders to match the HighestBidder/s u b m i t their Bids in accordance with the RFP;or(ii) take any such measure as may be deemed fit in the solediscretion <strong>of</strong> the Authority, including annulment <strong>of</strong> theBidding Process.2.7.3 In case it is found du<strong>ring</strong> the evaluation or at any time be<strong>for</strong>esigning <strong>of</strong> the Concession Agreement or after its execution anddu<strong>ring</strong> the period <strong>of</strong> subsistence there<strong>of</strong>, including the concessionthereby granted by the Authority, that one or more <strong>of</strong> the prequalificationconditions have not been met by the Applicant, orthe Applicant has made material misrepresentation or has givenany materially incorrect or false in<strong>for</strong>mation, the Applicant shallbe disqualified <strong>for</strong>thwith if not yet appointed as the Concessionaireeither by issue <strong>of</strong> the LOA or ente<strong>ring</strong> into <strong>of</strong> the ConcessionAgreement, and if the Applicant/SPV has already been issued theLOA or has entered into the Concession Agreement, as the casemay be, the same shall, notwithstanding anything to the contrarycontained therein or in this RFQ, be liable to be terminated, by acommunication in writing by the Authority to the Applicant,without the Authority being liable in any manner whatsoever tothe Applicant and without prejudice to any other right or remedywhich the Authority may have under this RFQ, the BiddingDocuments, the Concession Agreement or under applicable law.2.7.4 The Authority reserves the right to verify all statements,in<strong>for</strong>mation and <strong>document</strong>s submitted by the Applicant inresponse to the RFQ. Such clarification(s) shall be providedwithin the time specified by the Authority <strong>for</strong> this purpose. Anyrequest <strong>for</strong> clarification(s) and all clarification(s) in responsethereto shall be in writing.2.20.2 If an Applicant does not provide clarifications sought underClause 2.20.1 above within the prescribed time, its Applicationshall be liable to be rejected. In case the Application is notrejected, the Authority may proceed to evaluate theApplication by construing the particulars requi<strong>ring</strong> clarification tothe best <strong>of</strong> its understanding, and the Applicant shall be barredfrom subsequently questioning such interpretation <strong>of</strong> theAuthority.E. QUALIFICATION AND BIDDING2.21 Pre-qualification and notificationAfter the evaluation <strong>of</strong> Applications, the Authority wouldannounce a list <strong>of</strong> pre- qualified Applicants (Bidders) who willbe eligible <strong>for</strong> participation in the Bid Stage. At the same time,the Authority would notify the other Applicants that they have notbeen pre-qualified. Further, the cost <strong>of</strong> land shall not beincluded hereunder.3.2.5 The Applicant shall quote experience in respect <strong>of</strong> a particularEligible Project under any one category only, even though theApplicant (either individually or along with a member <strong>of</strong> theConsortium) may have played multiple roles in the cited project.Double counting <strong>for</strong> a particular Eligible Project shall not bepermitted in any <strong>for</strong>m.3.2.6 Applicant’s experience shall be measured and stated in terms<strong>of</strong> a score (the "Experience Score"). In such a case, theApplicant shall provide the Audited Annual Reports <strong>for</strong> 5 (five)years preceding the year <strong>for</strong> which the Audited Annual Report isnot being provided.3.4.3 The Applicant must establish the minimum Net Worth specifiedin Clause 2.2.2 (B), and provide details as per <strong>for</strong>mat at Annex-III<strong>of</strong> Appendix-I.3.4.4 In case <strong>of</strong> <strong>for</strong>eign companies, a certificate from a qualifiedexternal auditor who audits the book <strong>of</strong> accounts <strong>of</strong> the Applicantor the Consortium Member in the <strong>for</strong>mats provided in thecountry where the project has been executed shall be accepted,provided it contains all the in<strong>for</strong>mation as required in theprescribed <strong>for</strong>mat <strong>of</strong> the RFQ.3.5 Pre-qualification <strong>of</strong> ApplicantsThe credentials <strong>of</strong> eligible Applicants shall be measured interms <strong>of</strong> their Experience Score. The sum total <strong>of</strong> the ExperienceScores <strong>for</strong> all Eligible Projects shall be the ‘Aggregate ExperienceScore’ <strong>of</strong> a particular Applicant. In case <strong>of</strong> a Consortium, theAggregate Experience Score <strong>of</strong> each <strong>of</strong> its Members, who havean equity share <strong>of</strong> at least 26% in such Consortium, shall besummed up ¥ <strong>for</strong> arriving at the combined Aggregate ExperienceScore <strong>of</strong> the Consortium. FRAUD AND CORRUPT PRACTICES4.1 The Applicants and their respective <strong>of</strong>ficers, employees, agents and advisersshall observe the highest standard <strong>of</strong> ethics du<strong>ring</strong> the Bidding Process.Notwithstanding anything to the contrary contained herein, the Authoritymay reject an Application without being liable in any mannerwhatsoever to the Applicant if it determines that the Applicant has, directlyor indirectly or through an agent, engaged in corrupt practice, fraudulentpractice, coercive practice, undesirable practice or restrictive practice in theBidding Process.4.2 Without prejudice to the rights <strong>of</strong> the Authority under Clause 4.1hereinabove, if an Applicant is found by the Authority to have directly orindirectly or through an agent, engaged or indulged in any corrupt practice,fraudulent practice, coercive practice, undesirable practice or restrictivepractice du<strong>ring</strong> the Bidding Process, such Applicant shall not be eligible toparticipate in any tender or RFQ issued by the Authority du<strong>ring</strong> a period<strong>of</strong> 2 (two) years from the date such Applicant is found by the Authority tohave directly or indirectly or through an agent, engaged or indulged inany corrupt practice, fraudulent practice, coercive practice, undesirablepractice or restrictive practice, as the case may be.4.3 For the purposes <strong>of</strong> this Clause 4, the following terms shall have themeaning hereinafter respectively assigned to them:(a)“corrupt practice” means (i) the <strong>of</strong>fe<strong>ring</strong>, giving, receiving, orsoliciting, directly or indirectly, <strong>of</strong> anything <strong>of</strong> value to influencethe actions <strong>of</strong> any person connected with the Bidding Process(<strong>for</strong> avoidance <strong>of</strong> doubt, <strong>of</strong>fe<strong>ring</strong> <strong>of</strong> employment to, oremploying, or engaging in any manner whatsoever, directly orindirectly, any <strong>of</strong>ficial <strong>of</strong> the Authority who is or has beenassociated in any manner, directly or indirectly, with the BiddingProcess or the LOA or has dealt with matters concerning theConcession Agreement or arising there from, be<strong>for</strong>e or after theexecution there<strong>of</strong>, at any time prior to the expiry <strong>of</strong> one year fromthe date such <strong>of</strong>ficial resigns or retires from or otherwise ceases tobe in the service <strong>of</strong> the Authority, shall be deemed to constituteinfluencing the actions <strong>of</strong> a person connected with the BiddingProcess); or (ii) save and except as permitted under sub clause (d) <strong>of</strong>Clause 2.2.1, engaging in any manner whatsoever, whether du<strong>ring</strong>the Bidding Process or after the issue <strong>of</strong> the LOA or after theexecution <strong>of</strong> the Concession Agreement, as the case may be,any person in respect <strong>of</strong> any matter relating to the Project or theLOA or the Concession Agreement, who at any time has been or isNIT No. MPRDC/BOT (T+A)/PQ/2012/ 7783 Bhopal, dated 27.09.2012 - 39 -

PRE-APPLICATION CONFERENCE5.1 A Pre-Application conference <strong>of</strong> the interested parties shall be convenedat the designated date, time and place. Only those persons who havepurchased the RFQ <strong>document</strong> shall be allowed to participate in thePre-Application conference. A maximum <strong>of</strong> three representatives <strong>of</strong> eachApplicant shall be allowed to participate on production <strong>of</strong> authority letterfrom the Applicant.5.2 Du<strong>ring</strong> the course <strong>of</strong> Pre-Application conference, the Applicants will befree to seek clarifications and make suggestions <strong>for</strong> consideration <strong>of</strong> theAuthority. RFQ <strong>document</strong> <strong>for</strong> <strong>development</strong> <strong>of</strong> Four Laning <strong>of</strong> Rewa Ring Road on BOT (Toll + Annuity) basis<strong>of</strong> the subscribed and paid up equity share capital <strong>of</strong> the SPV shall, atall times till the second anniversary <strong>of</strong> the date <strong>of</strong> commercial operation<strong>of</strong> the Project, be held by the Parties <strong>of</strong> the First, {Second and Third}Part whose experience and networth have been reckoned <strong>for</strong> the purposes<strong>of</strong> qualification and short-listing <strong>of</strong> Applicants <strong>for</strong> the Project in terms <strong>of</strong>the RFQ.6.3 The Parties undertake that each <strong>of</strong> the Parties specified in Clause 6.2above shall, at all times between the commercial operation date <strong>of</strong> theProject and the second anniversary there<strong>of</strong>, hold subscribed and paid upequity share capital <strong>of</strong> SPV equivalent to at least 5% (five per cent) <strong>of</strong> theTotal Project Cost.6.4 The Parties undertake that they shall collectively hold at least 51%(fifty one per cent) <strong>of</strong> the subscribed and paid up equity share capital<strong>of</strong> the SPV at all times until the second anniversary <strong>of</strong> the commercialoperation date <strong>of</strong> the Project.6.5 The Parties undertake that they shall comply with all equitylock-in requirements set <strong>for</strong>th in the Concession Agreement.6.6 The Parties undertake that the O&M Member shall subscribe andhold at least 10% (ten per cent) <strong>of</strong> the subscribed and paid upequity shares in the SPV 15 in terms <strong>of</strong> the Concession Agreement.7. Representation <strong>of</strong> the PartiesEach Party represents to the other Parties as <strong>of</strong> the date <strong>of</strong> this Agreementthat:(a)(b)Such Party is duly organised, validly existing and in goodstanding under the laws <strong>of</strong> its incorporation and has allrequisite power and authority to enter into this Agreement;The execution, delivery and per<strong>for</strong>mance by such Party <strong>of</strong>this Agreement has been authorised by all necessary andappropriate corporate or governmental action and a copy <strong>of</strong>the extract <strong>of</strong> the charter <strong>document</strong>s and board resolution/ power<strong>of</strong> attorney in favour <strong>of</strong> the person executing this Agreement <strong>for</strong>the delegation <strong>of</strong> power and authority to execute thisAgreement on behalf <strong>of</strong> the Consortium Member is annexedto this Agreement, and will not, to the best <strong>of</strong> its knowledge:(i)require any consent or approval not already obtained;(ii) violate any Applicable Law presently in effect andhaving applicability to it;NIT No. MPRDC/BOT (T+A)/PQ/2012/ 7783 Bhopal, dated 27.09.2012 69

RFQ <strong>document</strong> <strong>for</strong> <strong>development</strong> <strong>of</strong> Four Laning <strong>of</strong> Rewa Ring Road on BOT (Toll + Annuity) basis(iii)violate the memorandum and articles <strong>of</strong> association, bylawsor other applicable organisational <strong>document</strong>s there<strong>of</strong>;(iv) violate any clearance, permit, concession, grant,license or other governmental authorisation, approval,judgement, order or decree or any mortgage agreement,indenture or any other instrument to which such Party isa party or by which such Party or any <strong>of</strong> its propertiesor assets are bound or that is otherwise applicable tosuch Party; or(v)create or impose any liens, mortgages, pledges, claims,security interests, charges or Encumbrances or obligationsto create a lien, charge, pledge, security interest,encumbrances or mortgage in or on the property <strong>of</strong>such Party, except <strong>for</strong> encumbrances that would not,individually or in the aggregate, have a material adverseeffect on the financial condition or prospects or business<strong>of</strong> such Party so as to prevent such Party from fulfilling itsobligations under this Agreement;(c)(d)this Agreement is the legal and binding obligation <strong>of</strong> suchParty, en<strong>for</strong>ceable in accordance with its terms against it; andthere is no litigation pending or, to the best <strong>of</strong> such Party'sknowledge, threatened to which it or any <strong>of</strong> its Affiliates is aparty that presently affects or which would have a materialadverse effect on the financial condition or prospects or business<strong>of</strong> such Party in the fulfillment <strong>of</strong> its obligations under thisAgreement.8. TerminationThis Agreement shall be effective from the date here<strong>of</strong> and shallcontinue in full <strong>for</strong>ce and effect until the Financial Close <strong>of</strong> the Projectis achieved under and in accordance with the Concession Agreement,in case the Project is awarded to the Consortium. However, in case theConsortium is either not pre- qualified <strong>for</strong> the Project or does not getselected <strong>for</strong> award <strong>of</strong> the Project, the Agreement will stand terminatedin case the Applicant is not pre-qualified or upon return <strong>of</strong> the BidSecurity by the Authority to the Bidder, as the case may be.9. Earlier, criteria like net worth, experience etc. used tobe prescribed. Based on experience and in consultation with concerneddepartments, Government has decided to prescribe the following a d d i t i o n a lcriteria <strong>for</strong> the qualification/ disqualification <strong>of</strong> the parties seeking toacquire stakes in public sector enterprises through disinvestment:(a)(b)In regard to matters other than the security and integrity <strong>of</strong> thecountry, any conviction by a Court <strong>of</strong> Law or indictment/adverse order by a regulatory authority that casts a doubt on theability <strong>of</strong> the bidder to manage the public sector unit when it isdisinvested, or which relates to a grave <strong>of</strong>fence would constitutedisqualification. Grave <strong>of</strong>fence is defined to be <strong>of</strong> such a nature thatit outrages the moral sense <strong>of</strong> the community. The decision in regardto the nature <strong>of</strong> the <strong>of</strong>fence would be taken on case to case basisafter conside<strong>ring</strong> the facts <strong>of</strong> the case and relevant legalprinciples, by the Government <strong>of</strong> India.In regard to matters relating to the security and integrity <strong>of</strong> thecountry, any charge-sheet by an agency <strong>of</strong> the Government/conviction by a Court <strong>of</strong> Law <strong>for</strong> an <strong>of</strong>fence committed by thebidding party or by any sister concern <strong>of</strong> the bidding party wouldresult in disqualification. The mere pendency <strong>of</strong> appeal will have no effect on thedisqualification.The disqualification criteria would come into effect immediatelyand would apply to all bidders <strong>for</strong> various disinvestmenttransactions, which have not been completed as yet.Be<strong>for</strong>e disqualifying a concern, a Show Cause Notice why it shouldnot be disqualified would be issued to it and it would be given anopportunity to explain its position.Hence<strong>for</strong>th, these criteria will be prescribed in the advertisementsseeking Expression <strong>of</strong> Interest (EOI) from the interested parties.The interested parties would be required to provide the in<strong>for</strong>mationon the above criteria, along with their Expressions <strong>of</strong> Interest(EOI). The bidders shall be required to provide with their EOIan undertaking to the effect that no investigation by a regulatoryauthority is pending against them. In case any investigation is pendingagainst the concern or its sister concern or against its CEO or any <strong>of</strong>its Directors/ Managers/ employees, full details <strong>of</strong> such investigationincluding the name <strong>of</strong> the investigating agency, the charge/ <strong>of</strong>fence<strong>for</strong> which the investigation has been launched, name anddesignation <strong>of</strong> persons against whom the investigation has beenlaunched and other relevant in<strong>for</strong>mation should be disclosed, to thesatisfaction <strong>of</strong> the Government.
