v) CGI cost – This will include all cost from content developmentto 3D modeling and generating 3D environments andcharacters and simulating them in HD video projection format asper the requirements of the script.vi) Laser animation Cost : This will include the cost of generating thelaser animation as per the requirement of the script to completethe visuals for the show to be generated for the existingmaterials like 2D & 3D animation and CGI to be produced andpackaged in ILDA format and suitable for the selected laserprojection equipment.vii) Fee/cost for all the above shall be quoted separately. The contentgeneration/animation shall be on per second basis or as per theformat which can be evaluated as per the total duration of thesame. Payment Terms for Content Generation/Animation ( For Sl No. 2 to 6of the Price Bid)a) Stage I - 25% of the agreed amount against story boardingand characterization.b) Stage II- 35% of the agreed amount against Animation/ ContentGeneration.c) Stage III- 30% of the agreed amount against synchronization andintegration in both the languages.d) Stage IV- Balance 10% of the agreed amount to be releasedafter commissioning of the show.Schedule:The agency will ensure timely delivery of the script duly recorded to theagency fixed by UPSTDC for supply, installation, Testing and commissioningthe hardware for mounting the SEL Show. The correctness of the script aswell as its translation into other languages has to be ensured. Anycertification/approval required in this regard shall be obtained by the agency.The agency shall make available themselves for supervision of the work atsite as and when required so that the work is completed timely. AGREEMENTThis agreement herein referred to as Agreement, enter into onthisbetween UPSTDC’s office on 3rd floor, Paryatan Bhawan,C-13, Vipin Khand, Gomt Nagar, Lucknow. (hereinafter referred to as thecorporation, which expression shall include its successors and assignees) ofthe first part and(hereinafter referred to Visualizer-cum-Artistic Director, which expression shall include its successors andassignees) on the second part.Whereas the corporation is desirous of executing the Sound and Light Showat and has invited tenders describing the works to be done.And whereas the Visualizer-cum-Artistic Director has responded to thetender invitation and has submitted the tender, followed by subsequentpresentation/discussions with the committee appointed by the Corporation andthe visualized cum Artistic Director confirmed the rate and of theassignment as negotiated and agreed before the committee.And whereas the Visualizer-cum-Artistic Director has necessary experienceand expertise to plan and execute the show and whereas he/she/they has/haveagreed to undertake the visualization and Artistic Direction of the Sound andLight Show at of high standard in 2 language at an agreedsettled amount of Rs. the CD/cassette for approval within a period of 60 days and prepare the soundtrack as required for handing over to the hardware supplier/system integratorappointed by the corporation.The Artistic Director will also ask the lighting designer appointed by him toidentify the location of the luminaries and the type make of luminaries foreach location as per the sequence of the script and do all other related work.The acceptance of the Artistic Director’s work will be subject to the finalapproval of the Corporation, and if in their opinion it is necessary to makecertain changes in any part of the show the Artistic Director will carry outthe changes free of charge and decision of the corporation will be final inthis regard. All actions will be completed as per the schedule and approvalsby the corporation.The corporation will have the right to inspect the works while the sameare in progress.The Artistic Director will not deviate from the script approved by thecorporation without obtaining prior written permission.The copyright of the production will rest with the corporation and willbe transferred to the agency that will take over the show aftercompletion. The Artistic Director shall not use the script or any input,technical or otherwise related to this project with any other client or similarprojects which have been undertaken by him or which he might undertake.The Artistic Director will complete all the works in their scope of worklatest by 31st August 2013. In case of failure to complete the works,the corporation will have full right to recover paid amount (paid stagewise) if any with interest from the Artistic Director and in case ofinordinate delay in completing the work, the corporation will have the rightto withdraw the work from the Artistic Director and get the same executedform any other agency at risk and cost of the Artistic Director.The corporation shall pay the Artistic Director the said amountof Rs. (Rupees )or such amounts thatshall become payable at the time and in the manner hereinafter specifiedhereinbefore. All such payments shall be subject to tax deduction at source –as required by the state, against which the corporation shall furnishnecessary certified copy to the Artistic Director.The Artistic Director will supply two sets of script one in each of the twolanguages duly marking the lighting/speaker cues after final tuning.This contract shall be subject to Force Majeure.In pursuant to an order/direction of Government of India or any statutoryauthority, the corporation is constrained to foreclose this agreement beforethe period of completion, the agreement shall be treated as close withUttar Pradesh State Tourism Development Corporation

effect from the date of the foreclosure notice. However, the ArtisticDirector shall be paid proportionately to the extent of the work completed byhim till the date of the issue of the said foreclosure notice.The contract can be terminated any time by either party upon giving threemonths’ notice to the other party and in the event of such termination, theArtistic Director shall be liable to refund the excess amount paid/payment, ifany made to him over and above what is due to him on the date oftermination and the corporation will be entitled to make full use of all or anyof the material prepared.In such an event, the corporation shall also be liable to pay the ArtisticDirector any such amount as may be pending in respect of the workscompleted by him up to that period in terms of this contract.If at any time during the progress of the works or after the completionthereof any time during the continuances of this agreement any dispute ordifferences arise between the parties hereof in relation to or in connection withthis agreement, the same shall be referred to the arbitration by the Chairmanand Managing Director of the corporation of his nominee as sole arbitratorand his decision shall be final and binding on the parties.The Arbitration shall be conducted as per the provision of Arbitration &Conciliation Act 1996 subject to provision on arbitration, as above LucknowCourts alone will have jurisdiction.In witness whereof the parties mentioned above have signed on the date,month and year stated above.Agreed by Artistic DirectorAgreed for and behalfof Uttar Pradesh StateTourism DevelopmentCorporation Ltd.(Name and Signature)In the presence of(Signature with seal)Uttar Pradesh State Tourism Development Corporation
