CONDITIONS PRECEDENT2.1 This Agreement is subject <strong>to</strong> the following condition precedents:(a)(b)appropriate due diligence and other investigations regarding the assets by thePurchaser.the Vendor arranging for the Purchaser <strong>to</strong> get the benefit of the Contracts.3. SALE AND PURCHASE3.1 Sale(a)(b)<strong>The</strong> Vendor sells and the Purchaser purchases the Assets free from allEncumbrances for the Purchase Price.<strong>The</strong> Purchase Price is allocated <strong>to</strong> the Assets as set out in the Schedule.35
