PREAMBLETender Notice No.: IRPMU/W/2009/162/IRPMU/Additional VSAT (TMS&UTS)Dated: 27.10.091.0 NAME OF WORK: Supply, installation, testing and commissioning of 412 remoteVSAT locations over Indian Railway including augmentation work at VSAT Hub.2.0 SCOPE OF WORK:The scope of work for the tender shall include, in general, but not be limited to supply,installation, testing & commissioning of approx. 412 fixed VSATs & requiredaugmentation work at VSAT HUB of Indian Railways located at Thompson Road, NewDelhi.2.1) The scope of work for the tender shall include, in general, but not be limited to coverDesign, supply, installation, testing and commissioning of Supply, installation, testing andcommissioning of 412 remote VSAT locations over Indian Railway includingaugmentation work at VSAT Hub. The system should be able to work with Railway’sown hub at Thomson Road, New Delhi installed by IRPMU including necessaryaugmentation & alteration, installation, configuration, tuning, testing, commissioning tomake operational a two way, interactive IP based Ku-band VSAT network service, in asecured Closed User Group (CUG).2.2) The entire system is to be integrated with the remote VSAT system provided by IRPMU.In the present VSAT system installed by IRPMU, models of hub equipment, indoor andoutdoor equipment are as follows:1. 400W Compact Medium Power Amplifier (VZU-6994)2. Ku Band Up Converter (UT-4514/X)3. Ku Band Down Converter (DT-451x)4. Ku Band LNA Systems (LRK-1000 series)5. 9.0m Cassegrain Antenna (Vertex RSI)6. 1.2m Ku Band Antenna Series 1120 (PRODELIN)7. 1.8m Ku Band Antenna Series 1183 (PRODELIN)8. Remote Indoor Unit (DW7700/HN7700)Railways reserve the right of shifting the locations where installation of this system is totake place at any time in the future.2.3) The tenderer should be able to demonstrate the successful integration of the proposedequipments, if required, with the Indian Railway VSAT HUB located at Thomson Road,New Delhi, before issue of letter of acceptance. Any regulatory clearance required forthis purpose shall be entirely the responsibility of the tenderer and no payment shall bemade for this.2.4) Completion Schedule : The entire work for setting up all the remote locations along withthe required augmentation work at Railway VSAT Hub should be fully operational withinsix months of issue of LOA by Indian Railways. The most important aspect of this is theurgency so as to meet the connectivity requirements for TMS & UTS services of IndianRailways mainly. Hence the bidders must ensure that they shall be able to meet these7

timelines of the project. There is no scope for any delay in the project implementation.This should be kept in mind while submission of the bids.2.5) Proposed Network Topology : The network topology will be a star connectivity withcentral site location at Thomson road, New Delhi. The remote installations has to beconnected to other remote VSAT terminals through Railways own Hub. The systemshould be possible to get converted into any other topology if required to connect ZonalHq with locations of Zone. The contractor shall also make possible the automaticswitching of media viz. OFC, Terrestrial etc. in case of failure of VSAT if there is anyalternate media available.2.6) Contract Requirementsi) The proposed network shall provide for end-to-end IP solution, providing for easyintegration with the existing VSAT network on Indian Railways.ii)The bidder should keep in mind that the satellite shall be INSAT 4CR; however, theproduct should comply with the requirements of ITELSAT/EUTELSAT as well astechnical specifications prescribed by TEC (Telecommunication Engineering Centre,India) & provide the following details:• Technology platform / products offered• Compatibility with existing system and operation on existing Hub• Deployed outbound capacity• Deployed inbound capacityiii)iv)If in future there is requirement of additional transponder for inbound traffic, contractorshould provide mechanism for transferring of VSATs & positioning of antenna iftransponder allocated is different from INSAT 4CR.The solution shall adequately address rain fade compensation and related issues, so thatthe specified network uptime is achievable. The bidder should submit the detailed linkanalysis, highlighting the RF margins, antenna and RF sizing etc. in support of theoffered configuration, along with the bid.The solution offered should be based on robust and state of art products and technology,and should ensure investment protection to Indian Railways, through the period of thecontract.The contractor shall also be responsible for co-ordination with regulatory authorities’ viz.WPC, SACFA, NOCC etc. in connection with issue of license before commissioning ofremote locations. The tentative list of remote VSATs is provided in the tender &contractor will coordinate to the Regulatory Authorities for obtaining all datas requiredfor decision letter & operating license from Regulatory Authorities.v) Voice/FAX connectivity : The solution offered should provide for Voice over IPconnectivity with the system on the existing VSAT network..8

vi) Data Security: The bidder should ensure end-to-end security of data transmissionthrough their network. The bidder shall specify the security measures being deployed inthe network, so that transmitted data is protected from external hacking.vii)Project Key Dates:Time is the essence of the contract. It, therefore, emphasized that the implementationtime schedules mentioned in the tender document shall be strictly adhered to. INSTRUCTIONS TO TENDERERS AND CONDITIONS OF TENDERING1. GENERAL INSTRUCTIONS:1.1 Chief Administrative Officer, Indian Railway Project Management Unit,New Delhi, for and on behalf of the President of India invites sealed Open tendersfrom the established, reliable and experienced manufacturers or their authorizedagents with sufficient proven experience in similar work for the work of Supply,installation, testing and commissioning of 412 remote VSAT locations overIndian Railway including augmentation work at VSAT Hub.1.2 The General Conditions of contract, Special Conditions of Contract,Instructions to Tenderers and Conditions of Tendering, Technical Specifications,Preamble including Schedule of Work & Supplies including all Annexure &forms etc. shall, hereafter, be collectively referred to as the "Tender papers".1.3.1 Any clarifications required by the tenderer may be obtained from theoffice of Chief Administrative Officer/IRPMU, Shivaji Bridge (IRCOTComplex), New Delhi 110001.2. INTERPRETATIONS:The following terms wherever occurring in the tender papers and wherever usedthroughout the execution of the work, shall, unless excluded by or repugnant tothe context, have the meaning attributed there to as follows: -"CONTRACT" Means the Agreement or Work Order resulting from theacceptance by the Purchaser of this tender either in whole or in part."CONTRACTOR” Means the successful Tenderer, i.e., the Tenderer whoseTender has been accepted either in whole or in part.“CONTRACTOR’S REPRESENTATIVE” Shall mean a person in supervisorycapacity who shall be so declared by the contractor and who shall be authorisedunder a duly executed power of attorney to receive materials issued by thePurchaser to the Contractor for the works. He shall be responsible for properexecution of works at each or all places and shall take orders from Purchaser'sEngineers and carry out the same."ENGINEER” Shall mean the Divisional Engineer/Divisional ElectricalEngineer/Divisional Signal & Telecom. Engineer or the Assistant Engineers inexecutive charge of the Railway works and shall include the superior officers ofthe Railway. He is responsible for ensuring that all field works covered by thecontract are carried out in accordance with approved designs, drawings andspecifications and conditions of contract as agreed to.“ENGINEER’S REPRESENTATIVE" Shall mean the Sr. SectionEngineers/ Section Engineers in direct charge of the works of Signal &Telecom./Civil/Electrical Engineering department of Railway."EQUIPMENT" Means all or any equipment considered necessary by thePurchaser's Engineers for the satisfactory operation, as a whole, of theinstallations.27

“GENERAL MANAGER" Means the officer in Administrative charge ofthis Railway and shall mean and include the officers to whom the functions aredelegated. His postal address shall be intimated to the successful Tenderers indue course."MONTH" Means One English Calendar Month."MATERIALS" Means all equipment, components, fittings and other materialsincluding raw materials required to complete the work."PURCHASER" Means the President of India acting through his accreditedofficers or any one of them. The Chief Administrative Officer / IRPMU, NorthCentral Railway New Delhi shall be deemed to be one of such accreditedofficers.Subject as otherwise provided in this contract, all notices to be given and all otheraction to be taken on behalf of President of India may be given or taken on hisbehalf by General Manager, North Central Railway Allahabad/ ChiefAdministrative Officer, North Central Railway NewDelhi or any otherrepresentative of the North Central Railway Administration nominated by him.“PURCHASER’S ENGINEERS" Means the Chief Administrative Officer /IRPMU North Central Railway or successor who will decide all mattersrelating to survey, design, manufacture, installation and commissioning of theplant and equipment at site."RAILWAY" Shall mean the President of the Republic of India or theAdministrative Officers of the Railway or of the successor Railway authorised todeal with any matters with which these present are concerned on his behalf."SUB-CONTRACTOR" Means an individual or a firm of Contractor or aCompany registered under Indian Company Act or an approved supplier ofmaterials to whom the Contractor sublets portions of the contract after obtainingspecific prior approval of the Purchaser in writing to sub-letting of contract."SITE" Means the areas to be taken up for the execution of works, togetherwith any other area or areas as shall be determined by the Purchaser'sEngineers, which may be placed at the disposal of the Contractor for the purposeof the contract and also such area or areas as the Purchaser' Engineers may haveauthorised as an extension of the site, irrespective of the terms and conditionsunder which they are occupied by the Contractor."TENDERER" Means and includes any firm of engineers or Contractors or anycompany or body, corporate or otherwise, who submit the Tender which has beeninvited.“WORK OR WORKS" Means all or any of the items of the work for whichthe Tenderer/ Contractor has Tendered/contracted according to thespecifications, drawings and Annexure hereto annexed or to be implied therefrom, or incidental thereto or to be hereafter specified or required in suchexplanatory instructions and drawings, being in conformity with the originalspecifications, drawings, Annexure and schedules, and also such instructions anddrawings additional to the aforementioned as may from time to time be issued bythe Purchaser's Engineer during the progress of the contracted work.28

"WRITING" Includes all matters written, typewritten or printed either in wholeor in part.3.0 LOCAL CONDITIONS :3.1 It will be imperative on each tenderer to fully acquaint himself with allthe local conditions and factors which would have any effect on theperformance of the contract and cost of the stores. The purchaser shall notentertain any request for clarifications from the tenderer regarding such localconditions. No request for the change of price, or time schedule of delivery ofstores shall be entertained after the offer is accepted by the purchaser on accountof any local condition or factor.3.2 In the event of the tenderer desiring to have a field survey beforefurnishing his quotations, he may apply to Railways for permission in this regard.Such permission will be given in writing by the Railways but the expenses in thisregard will be borne by the tenderer completely.3. 3 The intending tenderer is advised to study the tender papers carefully. Anysubmission of a quotation by the tenderer shall be deemed to have been done aftera careful study and examination of these documents with full understanding of theimplication thereof. These conditions and specifications shall be deemed to havebeen accepted unless otherwise, specifically commented upon by the Tenderer inhis quotation. Failure to adhere to anyone or all these instructions may render hisoffer liable to be ignored without any reference.3.4.1 Should a tenderer find discrepancies in or omission from the drawing orany of the Tender papers or he has any doubt to their meaning, he should at oncenotify the Railway who may send a written clarification to all tenderers.4. COMPLIANCE TO TENDER CONDITIONS, TECHNICALSPECIFICATION & DRAWINGS:4.1 Tenderer should note that the hardware & software offered should becomplete and compatible with the existing related equipment, to be installed onIndian Railways. Any equipment/work required to make the interface equipmentsmatch with existing equipment is the responsibility of the contractor. IndianRailway will not undertake any change in their existing equipment, nor shall bearany extra cost on account of changes/addition required for ensuring compatibilityof interface devices with existing equipment/mechanism.4.2 The tenderer shall indicate paragraph by paragraph for each section andeach clause and sub-clause of all annexure of technical specifications of the tenderdocument that either his tender complies in every respect with the requirements ofeach clause and sub-clause or if not, precisely how they differ from therequirements of the tenderer. In later case, the tenderer shall enclose a separatestatement as per pro-forma given, indicating only the deviations for any clause orsub-clause of General Conditions of Contract, Special Conditions of Contract,Instructions to tenderers and conditions of tendering, Technical Specification,Preamble etc. which he proposes with "detailed justifications for deviationsproposed". The purchaser, reserves the right to accept or reject these deviationsand his decision thereon shall be final (see Form 5).29

4.3 The equipment & material offered shall be in accordance with thedrawings and specifications. Details of variation from the drawings andspecifications, if any, should be clearly indicated and in such an event, acertificate from the users must be furnished to the effect that the product offeredperforms the requisite functions satisfactorily & is an alternative acceptable in oneor more other countries. The name of users in those foreign countries should alsobe indicated.4.4 Firms who have not carried out the works and supplied the items tenderedfor in this case for the Indian Railways in the past should give details of suppliesand works carried out and the customers along with their performance certificates.5. EARNEST MONEY/BID GUARANTEE:5.1 The tenderer shall deposit in favour of the Financial Adviser & ChiefAccounts Officer, IRPMU, Shivaji Bridge,New Delhi-110001, a sum of Rs501400/- (Rupees Five lakh , one thousand, four hundred only).5.2 The Earnest Money receipt shall be incorporated in the original copy ofthe tender document. The other copies of the offer shall contain true copies ofEarnest Money receipt. The Earnest Money should be furnished either in cash orin any of the following forms:(a) Deposit receipt, pay orders, Demand Drafts. These should be either ofthe State Bank of India or any of the Nationalised Bank. No confirmatory advicefrom the Reserve Bank of India will be necessary.(b) Deposit receipt executed by the Schedule Banks (other than the State Bankof India and the Nationalised Banks) approved by RBI for this purpose. TheRailways will not, however accept deposit receipt without getting in writing theconcurrence of the RBI.NOTE: (a) In case the Earnest Money is deposited in cash the payment should bemade to the Chief Cashier, North Central Railway, Allahabad and cash receiptsobtained from him should be furnished along with the tender.(b) Deposit receipts, Pay Order and Demand Drafts should be drawn in favourof the Financial Adviser & Chief Accounts Officer, IRPMU, Shivaji Bridge,New Delhi 110001, and endorsed "Account Payee". These instruments should bevalid at least for the period covering the validity of the offer.5.3 No reference to the previous deposit of Earnest Money & SecurityDeposit for adjustment against the present tender will be accepted and any requestfor recovery from any Security Deposit against present tender will not beentertained.5.4 The Earnest Money shall remain deposited with the Purchaser for theperiod of 180 days from the date of opening of the tender. If the validity of theoffer is extended, the Earnest Money Deposit duly extended shall also befurnished, failing which the offer after the expiry of the aforesaid period shall notbe considered by the Purchaser.5.5 No interest will be payable by the Purchaser on the Earnest Money.30

5.6 The Earnest Money deposited is liable to be forfeited if the tendererwithdraws or amends impairs or derogates from the tender in any respect withinthe period of validity of his offer.5.7 The Earnest Money of the successful tenderer will be returned after thecontract Performance Guarantee (Security Deposit) as required under the specialconditions of contract is furnished and formal contract duly signed is received bythe Purchaser.5.8 If the successful tenderer fails to furnish a Contract PerformanceGuarantee as required in the Special Conditions of Contract and fails to return theformal contract duly signed within (30) thirty days of the receipt of the formalcontract, then the Earnest Money shall be liable to be forfeited by the Purchaser.5.9 The Earnest Money of all unsuccessful tenderers will be returned by thePurchaser within reasonable time after the finalisation of the tender.5.10 Any tender not accompanied by Earnest Money in one of the approvedforms will be summarily rejected.6. SUBMISSION OF OFFERS:6.1 All offers in the prescribed forms should be submitted before the time anddate fixed for the receipt of the offers. Offers received after the stipulated timeand date will be dealt with as per rules in vogue in the Railways.6.2 In case the date of opening happens to be a holiday or Bandh, the tenderwill be received and opened at the same time on the next working day.6.3 All offers shall be either type written or written neatly in indelible ink inEnglish. Each page of the offer must be numbered consecutively. A referenceto total number of pages comprising the offer must be made at the top right handcorner of the top page. 8.1 It is necessary for the rate to be quoted separately on unit basis for eachitem shown in the Schedule of works.8.2 The unit Prices should be quoted by the Contractor after taking all therelevant factors into consideration and these should be Firm and all inclusivewithout any variation clauses. The prices shall be quoted in Indian Rupees for theunits under metric system. Reference may be made to para-38 of SpecialConditions of Contract.9. VALIDITY OF OFFER:9.1 The tenderer shall keep the offer open for a minimum period of 180 daysfrom the date of opening of the tender. NON-TRANSFERABILITY & NON-REFUNDABILITY: -The tender documents are not transferable. The cost of tender paper is notrefundable.15. ERRORS OMISSIONS & DISCREPANCIES:The Contractor(s) shall not take any advantage of any misinterpretation of theconditions due to typing or any other error and if in doubt, shall bring it to thenotice of the Engineer, without delay. CONSORTIUM BIDS:17.1 In view of nature of work covered in the Bid documents, it is anticipatedthat some of the intending bidders will pool their resources and experience toform consortia. In their own interest, the bidders who form such consortia areadvised to investigate capabilities, availability of resources, experiencedpersonnel, financial soundness, past experience and concurrent engagements ofconstituting partners.17.2 Consortia of bidders, if any must clearly define role/scope of work of eachpartner/member. Further the legal agreement for a consortium must accompanythe bid and should clearly define the leader of such a consortium who will be theprime contractor and will be responsible for timely completion of work as alsoduring execution of work, if awarded, co-ordinate with Purchaser on behalf of theconsortium, receive payments for the works executed and be liable for dueperformance of the contract in all respect. The tenderer must clearly writewhether the offer is Consortium Bid or not. Remarks like ‘Complied’,‘Noted’ will not suffice. In absence of clear submission, the offer will not beconsidered as Consortium Bid.17.3 Qualification documents, details etc., must however, be provided for eachmember firm complete in all respects strictly in requisite pro-forma.17.4 A consortium formed will not be subject to alteration with regard tochange in constituting firms and/or reorientation of roles. Any changes ifproposed by consortium to take advantage of certain developments duringevaluation stage will render the bid liable to be rejected. As all details arerequired to be furnished along with the bids and should be critically examinedduring evaluation of bids, it is imperative that such details should have been35

thoroughly examined as a safeguard against a possible disqualification of bids onthese grounds.17.5 All partners of the consortium shall be jointly and severally liable to thepurchaser for the execution of the entire contract in accordance with its terms.18. QUALIFICATION CRITERIA:18.1 GENERAL:18.1.1 Qualification criteria under this para lays down minimum acceptablequalifications in various areas to ensure that qualified bidder has necessaryexperience, expertise, financial and human resources to successfully complete theproject. In case of a consortium bid, the qualification document details etc. mustbe provided for each member of consortium.18.1.2 If the tenderer proposes to buy any equipment from othersuppliers/sources, documents indicating their willingness to supply the equipmentand provide technical support to the tenderer that may be required duringinstallation, commissioning and warranty period and later on directly to therailways, shall be included in the tender. Qualification documents and otherdetails for such supplier shall be included in the tender.18.1.3 The tenderer should submit the details of experience in works and servicesin projects of similar nature bringing out clearly the expertise in the equipmentmanufacture, installation of required hardware & software for providing Satellitebased voice/data/video communication.18.1.4 The tenderer shall complete the pro-forma at Form No.13 and submit acertificate from the original user for whom the project was undertaken certifyingthe date of award of contract, date of completion, date of commissioning and thepresent working state of the system so established. The tenderer shall providethese details for all the projects that he has executed which satisfy the minimumrequirements in each case.18.2 MINIMUM ELIGIBILITY:The eligibility criterion for the tenderer is as follows:1) The tenderer should have completed successfully at least one work of similarnature to that of this tender costing not less than 35% of advertised value of thetender, in the last three financial years (i.e. current year and three previousfinancial years.) Meaning of similar work for this tender is as under:“Supply, Installation & commissioning of remote VSATs”2) As a proof of sufficient financial capacity and organizational resources, contractorshould have received total payment against satisfactory execution ofcompleted/ongoing works (of all types) during preceding three years as percurrent ITCC/Audited Balance Sheet of a value not less than 150% of theadvertised cost of work..18.3 FINANCIAL:36

18.3.1 The tenderer should produce:i) Audited Balance Sheet and Income statement of just concluded year.18.3.2 The tenderer shall furnish such documents as to establish the financialsoundness of his company as well as that of other companies if more than onecompany is involved in bidding for this tender. The latest balance sheet, auditedor certified by a neutral agency shall be furnished.18.3.3 The bidder shall submit required information in a separate Annexure andalso a certificate from the user for whom the project was executed about thecorrectness of the dates involved and satisfactory performance of theequipment/system.18.4 TECHNOLOGY & EQUIPMENT:18.4.1 The requirement of system has been described in para 2 of the Preamble.18.4.1.1 The tenderer shall clearly identify the sources from which theequipment to be supplied under this tender will be obtained. Specific attention isdrawn to para 16 of Special Conditions of Contract.18.4.1.2 The bidders should clearly indicate the technology for which theoffer has been made. If it is a case of transfer of technology, the details such asname of technology, name of company etc. should be given and the copy ofMemorandum of Understanding for transfer of technology and RBI clearance, ifapplicable, should be enclosed.18.4.1.3 Preference will be given to vendors offering transfer of technology andsubsequent manufacturing in India.18.4.2 All equipment proposed to be used shall be of proven design andperformance. The equipment of same family shall have been successfullycommissioned and remained in service at least for a period of two year on the dateof tender submission. Certificate from the actual user of the equipment aboutsatisfactory performance shall be enclosed with the tender. Any equipmentproposed to be manufactured with foreign collaborator shall be covered by theperformance guarantee of the foreign collaborator.Equipment not available indigenously nor proposed to be manufactured withforeign collaboration within the time schedule of the contract, shall be covered bythe performance guarantee of the original foreign manufacturer. Such equipmentshall have been in field service at least for a period of one year on the date ofsubmission of the tender. Certificate from the actual user of the equipment aboutthe satisfactory performance shall be enclosed with the tender. The tenderer shallsubmit a declaration from that original equipment manufacturers regarding theirIndian agent and the service support available within the country.18.5 ENGINEERING ORGANISATION:18.5.1 The tenderer shall make an assessment of the requirement of personnel forexecution of this project and shall give details as to how he proposes to mobiliseall technical manpower required for the project. Details of the qualification andexperience of the personnel identified for project execution shall be included inthe tender.37

18.5.2 The successful tenderer shall appoint a Project Manager who would haveadequate experience in project management of similar nature, unless the railwayso desire, the Project Manager should preferably be retained till all the obligationsunder the contract have been fulfilled.18.5.3 The tenderers shall have at least one graduate Engineer and twoexperienced supervisors (Diploma Holders) having 5/6 years experience in therelevant field, supported by at least 5 Nos. of artisan staff.18.5.4 Tenderer shall advise the number of Engineers, Supervisors Artisansemployed by him or going to be employed by him with their names, qualificationsbio-data and experience in this particular trade under consideration along with theTender positively. Irrevocable letters of commitment of the said Supervisors andKey Technicians/Artisans for doing the work shall be furnished along withTender Papers if they are not already in employment of the Tenderer.18.6 CONSTRUCTION MACHINERY:The firm should have minimum construction machinery, Tools and plants, test &measuring instruments, Vehicles etc. Details of which will be furnished by themalong with the bid.No tools and plants, scaffolding materials for shuttering, entering, shoring etc.shall be supplied by the Railway and contractor will have to make his ownarrangement for execution of the work.19 DETERMINATION OF RESPONSIVENESS –19.1 Purchaser will determine whether bid is substantively responsive to theequipment of the bidding documents.19.2 For the purpose of this Clause, a substantively responsive bid is one,which conforms to all the terms, conditions and specifications of the biddingdocuments without material deviation or reservation. A material deviation orreservation is one, which affects in substantial way the scope, quality orperformance of the works, or which limits in any substantial way, inconsistentwith the bidding documents, the Purchaser’s right or the bidder’s obligationsunder the Contract and the rectification of which deviation or reservation wouldaffect unfairly the competitive position of other bidders presenting substantivelyresponsive bids.20. CORRECTION OF ERRORS –20.1 Bids determined to be substantively responsive will be checked by thePurchaser for any arithmetic errors in computation and summation. The Purchaserwill correct errors as follows: -a) Where there is a discrepancy between amounts in figures and in words, theamount in words will govern; andb) Where there is a discrepancy between the unit rate and the total amountderived from the multiplication of the unit rate and the quantity, the unit rate asquoted will govern, unless in the opinion of the Purchaser there is an obviously38

gross misplacement of the decimal point in the unit rate, in which event the totalamount as quoted will govern and the unit rate will be corrected.20.2 The amount stated in the Form of Bid will be adjusted by the Purchaser inaccordance with the above procedure for the correction of errors and with theconcurrence of the bidder, shall be considered as binding upon the bidder. If thebidder does not accept the corrected amount of bid, his bid will be rejected andthe bid security will be forfeited.21. CONVERSION TO SINGLE CURRENCY i.e. RUPEES: -Should there be any necessity of conversion to a single currency i.e. IndianRupees for the purpose of evaluation and comparison of offers, the Purchaser willconvert the foreign currency content of each tender received into Rupees at theselling exchange rate for each currency established by the Reserve Bank of Indiaor any other Commercial Bank in the Purchaser's country, for similar transactionson the earlier of the following date, namely, on the day twenty eight days beforethe latest date of tender opening.22. SYSTEM PERFORMANCE GUARANTEE:22.1 Since the design of the system to achieve the end objective shall bechecked and confirmed by the contractor and the supply of the materials will beaccording to this system design, the tenderer shall give unqualified andunconditional guarantee that when the equipment supplied by him is installed andcommissioned at site, it shall achieve the desired objective and that in the event ofperformance of the system when installed not complying with the end objective orwith the specifications, he shall provide further inputs to enable the Railways torealise the end objectives with full compliance of the specifications contained inthese documents. No additional payment will be made to the contractor forsupply of any additional goods and service required in this regard.22.2 This certificate in the pro-forma given in Form No.7, shall accompany theoffer. Absence of this certificate which will form part of the agreement shalldisqualify the tenderer automatically.23. AUTHORITY FOR ACCEPTANCE:The authority for the acceptance of the tender will rest with the Purchaser. Thepurchaser shall not be bound to accept the lowest or any tender or to assign anyreason for non-acceptance or rejection of a tender. Where there is any conflictbetween the instructions to tenderers and conditions of tendering and specialconditions of contract, Tender forms, annexure etc. on one hand and GeneralConditions of Contract on the other, the former shall prevail.1.3 Any Special conditions stated by the Tenderer in the covering lettersubmitted along with the tender shall be deemed to be a part of the Contract tosuch extent only, as have been explicitly accepted by the Railway.1.4 The expression General conditions of contract (GCC), wherever occurringin these papers shall be deemed to mean the General conditions of contract, 1969of Northern Railway department as amended by advance correction slips issuedup-to-date.45

2. AGREEMENT:The successful Tenderer shall within 21 days after having been called upon bynotice to do so be bound to execute an agreement based on accepted rates andconditions, in such form as the Railways may prescribe, and lodge the same withthe Railway together with the conditions of contract, specifications andSchedule of prices referred to therein duly completed. The form for agreementis included in Section II, Chapter-3, (Form No.3).3. CONTRACT PERFORMANCE GUARANTEE & SECURITYDEPOSIT12.1 SECURITY DEPOSIT:(i) Security deposit shall be 5% of the contract value(ii) The rate of recovery shall be @10% of the bill amount till the full securitydeposit is recovered.(iii) Security deposit will be recovered only from the running bill of thecontract and no other mode of collecting SD as in the form of instruments likeBG, FD etc shall be accepted towards Security Deposit.(iv) No interest will be payable upon the Security Deposit or amounts payableto the contractor under this contract.Security Deposit shall be returned to the contractor after physical completion ofwork including warranty period, if any, as certified by competent authority andsettlement of all dues and disputes. The competent shall normally be the authority,who is competent to sign the contract. The certificate inter alia should mentionthat the work has been completed in all respects & that all the contractualobligations have been fulfilled by the contractors and that there is no due from thecontractor to Railways against the contract concerned. Before releasing theSecurity Deposit, from the contractor concerned should be obtained anunconditional & unequivocal no claim certificate.3.1.1 PERFORMANCE GUARANTEEThe procedure for obtaining Performance Guarantee is outlined below:-(a). The successful bidder shall submit a Performance Guarantee (PG) in theform of an irrevocable bank guarantee (as per Form-4) amounting to 5% of thecontract value.(b). A Performance Guarantee shall be submitted by the successful bidderafter the letter of acceptance has been issued, but before signing of the agreement.The agreement should normally be signed within 15 days after the issue of LOAand Performance Guarantee shall also be submitted within this time limit. Thisguarantee shall be initially valid up to the stipulated date of completion plus 60days beyond that. In case, the time for completion of work gets extended, thecontractor shall get the validity of Performance Guarantee extended to cover suchextended time for completion of work plus 60 days.(c ). The Performance Guarantee (PG) shall be released after the physical46

completion of the work based on the “Completion Certificate” issued by thecompetent authority stating that the contractor has completed the work in allrespects satisfactorily . The security deposit, however, shall be released only afterthe expiry of the warranty period, if any, and after passing the final bill based on“NO Claim Certificate.(d). Wherever the contracts is rescinded, the security deposit shall be forfeitedand Performance Guarantee shall be encashed and the balance work shall be gotdone independently without risk and cost of the failed contractor. The failedcontractor shall be debarred from participating in the tender for executing thebalance work. If the failed contractor is a JV or a partnership firm, then everymember/partner of such a firm shall be debarred from participating in the tenderfor the balance work either in his/her individual capacity or as a partner of anyother JV/partnership firm.(e). The Engineer shall not make a claim under the Performance Guaranteeexcept for amounts to which the President of India is entitled under the contract(not withstanding and /or without prejudice to any other provisions in the contractagreement) in the event of:1. Failure by the contractor to extend the validity of the PerformanceGuarantee as described herein above, in which event the Engineer may claim thefull amount of the Performance Guarantee.2. Failure by contractor to pay President of India any amount due, either asagreed by the contractor or determined under any of the Clauses/Conditions of theagreement, within 30 days of the service of notice to this effect by Engineer.3. The contract being determined or rescinded under provision of the GCCthe Performance Guarantee shall be forfeited in full and shall be absolutely at thedisposal of the President of India.4. CONTRACTOR'S OFFICE & STORES DEPOT:The Contractor shall, within a month of issue of letter of acceptance of tender,establish an office and store depot at a convenient place for receiving and storingequipments and materials and progressing field work expeditiously inconsultation and with the approval of the purchaser. He shall intimate thepurchaser and address there of to which all correspondence should be sent. Anycommunication sent to the contractor by post at his said address shall be deemedto have reached the contractor duly and in time. Important documents shall besent by Registered post.5. USE OF RAILWAY LAND:Use of Railway land required by the Contractor for constructions of temporaryoffices, quarter(s), hutments etc. for the staff and for storing materials etc., will bepermitted to him/them free by Railway, if available. The location of these offices,hutments, stores etc. will be subject to the approval of the Engineer or hisrepresentative. The land will be restored to Railways by the Contractor(s) in thesame condition as when taken over or in vacant condition as desired by theEngineer, after completion of the work or at any earlier day, as specified by theEngineer. The failure to do so will make the Contractor(s) liable to pay the cost47

incurred by the Railway for getting possession of land.6. PROGRAMME OF WORK:6.1 The Contractor shall have necessary resources to execute the work sothat the entire work is completed within a period as mentioned in the preamblefrom the date of issue of Letter of Acceptance of the tender. He shall also havenecessary resources to take up the work of installation commissioning etc.simultaneously at different sites.6.2 Within a period of 30 days beginning from the date of issue of Letter ofAcceptance of Tender, the Contractor shall submit the detailed time Schedule forthe execution of work based on the conditions in consultation with the Railway tothe authority mentioned in the Preamble and approved by the latter in writingbefore commencement of the work.6.3 The Contractor shall be held responsible for the execution of the workaccording to the Programme given above for the execution of the work and alsothe various clauses of the technical supplement, Technical specifications,instructions and drawings available separately. Failure to comply with any ofthese will be dealt with as per provision laid down in General Conditions ofContract.6.4 The Contractor on his part will have to employ supervisors, techniciansand labour in full strength commensurate with working area available. He willalso arrange matching materials and equipment to complete the job mostexpeditiously so as to ensure that the work is completed in phases within thestipulated period.6.5 Inspection Register shall be maintained at the site of work by the Railwaywherein instructions regarding the working etc. shall be recorded by the Engineeror his executive subordinates. It is expected of the Contractor or hisrepresentative at the site to note such instructions whenever asked upon to do soand take action accordingly.6.6 No facility whatsoever, e.g. provisions of approach road and provision oftemporary level crossing etc. will be provided by Railway for carting materials.Approach roads within the Railway limits can be used for carting materials.6.7 The contractor will programme his work in such a manner so as not tointerfere in the working and movement of trains. No extra payment shall beallowed on this account and for taking any precautions or wastage of contractor'slabour, time etc. due to train working.7. COMPETENT SUPERVISORS:7.1 The Contractor shall place and keep competent Representatives/Supervisors/ Engineers, as his representative at the work sites who will beauthorized to receive and acknowledge materials issued by the Railway and takeall orders issued by the Railway. The said representatives shall be present atsite during working hours and any written orders or instructions which thepurchaser's Engineer may give to the said representatives of the contractor shallbe deemed to have been duly given or communicated to the contractor.48

7.2 The contractor or his representative will accompany the Purchaser’sEngineer or Engineer on inspection or proceed to their offices whenever calledupon to do so.8. SPECIFIED RAILWAY STORES:8.1 All materials to be supplied by Railway are indicated in the TechnicalSpecification and shall be supplied by Railway free of cost at Railway Depot asdecided by Executive Incharge of the work. The price in schedule of work shallbe exclusive of the cost of these items.8.2 The contractor shall furnish a standing indemnity bond for the materialsand equipments supplied to him by Railways in form No.6. (Chapter 3, SectionII).8.3 The Contractor shall transport material supplied by Railways to the site ofwork as required and no carting charges shall be payable by Railways. Contractorshall fill form No. 10 to receive the material from Railway.8.4 RECONCILIATION OF MATERIALS SUPPLIED BYRAILWAYS:All the materials supplied by the Purchaser shall be correctly accounted forand the quantities reconciled on completion of the work by the contractor. Oncompletion of the work all surplus materials supplied by the Purchaser togetherwith the ones found defective or that have became defective or broken onaccount of defective materials and/or workmanship shall be returned to him by thecontractor.If the contractor fails to return excess and unused materials supplied by therailway or if there are any shortages during final reconciliation, their cost thereof shall be recovered by the Purchaser from the Contractor at the books rate plusrailway freight, handling, loading, supervision and other incidental charges at therates fixed by the railway. To this will be added an increase of 100%.8.5 CONSIGNEE:The contractor should consign, if need be, all the materials to 'self' to the neareststations where materials can be booked for stacking before erection. For suchitems, as admit part payment on receipt by the Railway, can be booked to storegodown of Senior Section Engineer/Stores /Nangloi/Delhi, where from thematerials shall be handed over to the contractor for installation. Howevertransportation charges to the site of work, taxes, Octroi/Entry tax etc and allhandling charges for each such item shall be borne by the contractor.8.6 Packing and forwardingThe contractor shall pack at his own cost the stores sufficiently and properly fortransit by rail/road, air and/or sea as provided in the contract so as to ensure theirbeing free from loss or damage on arrival at their destination.All containers (including packing cases, boxes, tins, drums and wrappings) inwhich the stores are supplied by the contractor shall be considered as nonreturnableand their cost as deemed to have been included in the contract price.Each bale or package shall contain note specifying the name and address of the49

Contractor the number and date of the acceptance of tender and the designation ofthe Controlling officerEach bale or package delivered under the contract shall be marked by theContractor at his own expense. Such marking shall be distinct (all previousirrelevant marking being carefully obliterated) and shall clearly indicate thedescription and quantity of the stores, the name and address of the consignee, thegross weight of the package and the name of the contractor with a distinctivenumber of mark sufficient for the purpose of identification. All markings shall becarried out with such material as may be found satisfactory by the inspectingofficer as regard quickness of drying, fastness and indelibility. Materials andEquipment meant for each station shall be packed in separate boxes and markedwith the name of station, consignee and railway.The inspecting officer may reject the stores if the stores are not packed and/ormarked as aforesaid and in case where the packing materials are separatelyprescribed, if such materials are not in accordance with the terms of the contract.Such rejection of the stores by the Inspecting Officer shall be binding on theContractor.8.7 Consignee’s right of rejection:Notwithstanding any approval which the Inspecting officer may have given inrespect of any materials or other particulars or the work or workmanship involvedin the performance of the contract (whether with or without any test carried out bythe Contractor or the inspecting officer or under the direction of the Inspectingofficer) and notwithstanding delivery of the materials where so provided to theinterim consignee, it shall be lawful for the consignee, on behalf of the Railway,to reject the materials or any part, portion or consignment thereof within areasonable time after actual delivery thereof to him at the place or destinationspecified in the contract if such materials or part, portion or consignment thereofis not in all respects in conformity with the terms and conditions of the contractwhether on account of any loss, deterioration or damage before dispatch ordelivery or during transit or otherwise howsoever.8.8 Security of materials:-Security of all materials in the section where the work is in progress shall be thecontractor’s responsibility and he shall arrange to guard the same from theft. Inthe event of any loss the contractor shall be responsible to that effect and shallexecute an indemnity bond for the materials that will remain in his custody, whichhas been supplied by the Railway.9. OTHER RAILWAY STORES:9.1 If any material other than those specified in para 8 above is supplied bythe Railways either at the Contractor's request or suo motto in order to preventany possible delay in the execution of the works likely to occur due to theContractor's inability to make adequate arrangements for supply thereof orotherwise, recovery will be made from Contractor's bill at 1.5 times the cost ofprocurement which is inclusive of freight or rate given in schedule whichever ishigher. Freight between the Railway sources of supply and RailwayStores/depot shall be to the Contractor's account.50

9.2 If however, the material required by the Contractor is not available inRailways stock or the Railways decide not to supply the same, be that forwhatever reasons, the Railway will not be bound to arrange for the supply atthe cost quoted above or at any other cost nor will this fact be accepted as anexcuse for delay in execution of works.10. TEST & MEASURING INSTRUMENTS, SPECIAL TOOLS ANDINSTALLATION MATERIAL10.1 Special tools and instruments required for installation and maintenance ofall the equipment shall be arranged by the tenderer in adequate quantities.All installation material for complete commissioning of the system shall beprovided by the tenderer. Details of special tools, their quantities and unit pricesshall be indicated.10.2 All tests and measuring instruments and other arrangements required forall the acceptance tests shall be provided by the contractor free of cost.11. STORES TO BE SUPPLIED BY CONTRACTOR:11.1 All materials required for the execution of the contract other than thosespecifically shown as being supplied by the Railways in this document shall bearranged and supplied by the contractor as detailed in the scope so as to realisethe end objective. The materials supplied and used by the contractor shall be ofbest quality available.11.2. The approximate quantities of equipment and material to be supplied bycontractor are indicated in schedule of requirement (Section I Chapter 3). Thesupply of equipment and materials shall also include required installation andother materials and documents etc., which may not be specifically mentionedherein, but which are usually necessary for completing the work in all respects.The materials supplied and used by the contractor shall be of best qualityavailable.12. SUPPLY OF TECHNICAL LITERATURES, DOCUMENTATION,DRAWINGS & COMPLETION PLANS ETC.12.1 The supply of equipment and materials shall include supply of two sets ofprinted documents from the original equipment manufacturers with eachequipment. The documents should include:-(i)All software documentation required for the equipment / system design.(ii) Design approach of the system.• Functions achieved in hardware and software.• Mode of interaction between hardware and software(iii) The following certifications from the approved validation agency(independent safety auditor).• Correctness and safety of the software• Expected MTBF and availability of the system(iv) Name of manufacturer, place of manufacture and inspection. A list ofspare parts as recommended by the manufacturer shall be enclosed.51

(v) A list of Test equipment and other special tools as required for data input,simulation testing, installation and maintenance etc. of the system and a detailedwrite-up about the procedure to be adopted for use of the same.(vi)Quality assurance & software validation:The tenderer shall submit along with the tender the quality assurance control, andinspection plan including full details of in-house quality assurance organization,procedure and documentation.12.2 Except where printed documents are supplied with each equipment byoriginal equipment manufacturer, all other documentation and information shallbe prepared using CAD. All the documentation and drawings etc. shall besupplied in two sets of CD’s. The drawings etc. shall also be supplied induplicate on J.K. Copier/map litho white paper to facilitate taking out copies onplain paper copier. In addition, four complete sets of such documents shall alsobe supplied for ready use duly bounded in good plastic folders.12.3 The supply of equipment and materials shall also include necessarydocumentation related to training on the maintenance of equipment in sufficientnumber of copies and two video-CDs13. SPARES:13.1 The tenderer shall include in his tender the details of essential spares, theirquantity and unit prices. Details are to be given to confirm that quantity of sparesquoted is as per requirement of this clause. The tenderer shall give a detailed listof circuit packs, modules, plug in units, couplers, connectors, fuses of each typewhich may be lowest level field replaceable Hub & VSATs. The total cost ofessential spares based on the unit price quoted by the tenderer shall not beincluded in the tender evaluation.13.2 Railway shall consider the following essential spares at 5% of thequantities used in the equipment subject to a minimum of one. The fraction shallbe rounded off on higher side. The tenderer shall certify that spares as perrequired quantity have been included for each equipment/module to be suppliedunder the contract.a) All units which may include but not limited to circuit packs, modules, plugin units, ancillary equipment connectors, couplers of each type, which may belowest level field replaceable assembly/device.b) Surge and lightening protection arrangement.c) Power supply equipment.d) Connectors and couplers of each type with cables, crystals, MCBsswitches.In addition following are to be supplied as spares:i) Software back up in two sets of CD’s.52

ii)Three times the quantity of fuses used in the equipment viz UPS etc..iii) Equal nos. of spare feed horn membrane as the nos. of Remote VSATsshall be supplied.iv)The tenderer shall supply at least following tools & plants free of cost:-a) Electric Plier 1 No.b) Nose Plier 2 No.c) Krone Tool 1 No.d) Wire wrapping tool 1 No.e) Portable Electric Blower 1 No.f) Digital Multimeter 2 Nos.g) Screw Driver set 1 seth) Steel Almirah 3.5”*1.5’*5’ 1 No.14. LONG TERM AVAILABILITY OF SPARES AND SYSTEMSUPPORT:14.1 The tenderer shall undertake to supply on payment all maintenancespares and tools required for the equipment during life time. He shall alsoundertake to supply additional equipment required for replacement orexpansion of the network, that may become necessary due to additional trafficrequirements. The price variation formula adopted in pricing such maintenancespares and additional supply that may be ordered in future shall be provided bymutual discussions.14.2 The manufacturer shall guarantee that spare parts for the system shall beavailable for a minimum of seven years after expiry of the warranty period andthereafter at least two years notice shall be given to the Railways before anyequipment or components are discontinued or phased out from themanufacturing plans. This will enable the Railways to assess the life timerequirement of spares needed and order in sufficient quantity prior to stoppageof the manufacture.14.3 That the successful tenderer shall further guarantee that if he goes out ofproduction of spare parts he shall supply the specifications of materials at nocost to the purchaser, if and when required in connection with the equipment toenable the purchaser to fabricate or procure from other sources.14.4 The supplier shall recommend and provide, prior to the systemacceptance, calibration procedures. The recommendation shall include a list ofthe various calibration instruments, recalibration periods and extent ofpreventive maintenance for each test instrument.15. QUALITY ASSURANCE:15.1 The tenderer shall submit along with the tender the quality control planincluding full details of in-house quality assurance organisation, procedures anddocumentation. During the manufacturing process, proper record shall bemaintained for the inspection and test carried out according to this plan.15.2 In the event of Railways waiving off the inspection, all tests provided inthe test schedules approved by Railways shall be carried out by the qualityassurance organisation and proper record of all such tests and results thereof53

shall be maintained and supplied to Railways on demand.16. EQUIPMENT EVALUATION AND APPROVAL:16.1 The equipment shall be supplied by the contractor after the prototype isapproved by the inspecting agency.16.2 The procedure proposed to be adopted for the prototype approval of theequipment shall be as under:-(i) The test procedure shall be based on the system design. Themethodologies to be adopted for various tests shall be decided taking into accountthe system design/configuration and shall be approved by IR.(ii) Manufacturer shall carry out acceptance tests on equipment to be installedfor functional acceptance test. These will be subjected to routine tests andenvironmental tests as laid down in the Technical Specifications of the TenderDocument. These will be shipped to the consignee only after the inspectingofficial issues a clear and unequivocal inspection certificate.(iii) Functional Acceptance Tests: The Functional Acceptance Tests shallsequence through all required operations to prove that the System performs inaccordance with the Specification and that the local configuration data isacceptable.(iv) After completion of the survey and functional acceptance test, clearancewill be given by the Railway to the Contractor for undertaking manufacture of thetotal quantity of equipment to be supplied under this tender.(v) Acceptance Test: The inspecting official shall undertake the Acceptancetest on all the equipments as per RDSO Specification No.RDSO/SPN/TC/87/2008, Rev.0 or latest at the manufacturer's premises. Thematerial will be shipped only after issue of 'Inspection Certificate' by theinspecting official.(vi) The Inspecting Officer shall be nominated by the CAO/IRPMU. Notice/Intimation shall be sent in writing at least One month in advance by theContractor to the Inspecting officer when the stores or material to be supplied areready for inspection and test and no materials shall be delivered or dispatcheduntil the Inspecting Officer has certified in writing that such stores have beeninspected and approved for dispatch.(vii) Test Procedure: The contractor shall submit detailed Test Procedure foreach equipment, sub-system and system as a whole to the Railway. The Railwayshall discuss with the contractor and modify the same as may be required toensure that the requirements of Tender Specifications are complied. The finalisedAcceptance Test Procedure/Schedule shall, only, act as broad guideline andRailway shall be free to carry out any other test that may be considered essential.The Test Procedure shall give details of all equipment, test and measuringinstruments required to perform the test.(viii) Facilities for Test and Examination: The contractor shall, at his own costafford to the inspecting officer all reasonable facilities including Office/Labaccommodation as may be necessary for satisfying himself, that the54

materials are being and/or have been manufactured in accordance with theSpecification and conditions laid down. Contractor shall provide the facilities ofinspection and testing at the final stage of production, assembly and testing in themanufacturer's/supplier's premises.(ix) Cost of Test: The Contractor shall provide, at his cost, all materials,tools, labour and assistance of every kind, which the Inspecting officer maydemand of him for any test and examination, which he shall require to be made onthe Contractor's premises. If the Contractor fails to meet with the conditionsaforesaid, the inspecting officer shall, in his sole judgement, be entitled to removefor test and examination, all or any of the stores manufactured by the Contractorto any premises other than that of the Contractor, and in all such cases theContractor shall bear the cost of transport and/or carrying out such test elsewhere.A certificate in writing by the Inspecting officer that the Contractor has failed toprovide the facilities and the means for test examination shall be final. Thecontractor shall not be entitled to object on any ground whatsoever to the methodof testing adopted by the Inspecting officer.(xi) Delivery of Materials for Test: The Contractor shall also provide anddeliver for test, at his cost, at such place other than his premises as the Inspectingofficer may specify such material or stores, he may require. The premises fortesting other than manufacturer's premises shall be mutually decided by Railwayand the Contractor.17. INSPECTION OF MATERIALS:17.1 Equipments, materials, fittings and components will be subject toinspection by RDSO or his representative at the manufacturer's premises beforedispatch and no materials shall be dispatched from the manufacturer's premisesuntil these are inspected and/or approved. The materials may also be inspectedby the RDSO or his representative at the contractor’s depot at the purchaser’sdiscretion. The RDSO or his representative shall have the right to be presentduring all stages of manufacture, and shall be afforded, free of charge allreasonable facilities for inspection and testing so as to satisfy himself that thematerials are in accordance with specifications, approved drawing anddesigns. Traveling and lodging of railway officials deputed for inspection shallbe borne by Railways.17.2 Materials to IRS/RDSO design or specification and ITD/TEC specificationshall be inspected by RDSO before they are finally used in works. Materialsother than this should be inspected by purchaser Engineer or his representative atfactory/site.17.3 All materials that are not covered under the specification, designs anddrawings of RDSO/TEC etc. shall be procured from the reputed manufacturersor their authorised dealers. Such materials are to be approved by thepurchaser’s Engineer. The Contractor may be required to produce test certificatefrom the manufacturer wherever called for by the Engineer.17.4 During the execution of the contract, samples may be taken from all thematerials employed for the purpose of test and/or analysis under the conditionslaid down in specification; such samples to be prepared for testing andforwarded to the testing entity shall be free of all costs to the Railway.55

17.5 The decision of the purchaser or his successor shall be final in respect ofacceptability or otherwise of any material, equipment etc. required for the work.17.6 The cost of inspection of equipment and materials, all tests and/or analysisperformed shall be borne by the Contractor.17.7 All expenses of the purchasers representative shall be borne by thepurchaser whether the inspected materials is utilised in the work or not.17.8 In case any material be found not according to the standard specificationsafter delivery at site, the contractor shall immediately remove such materialswithin 48 hours from Railway premises at his own cost.18. INSPECTION OF WORKS:18.1 The Engineer or his representative may inspect and test the variousportions of the work at all stages and shall have full power to reject all or anyportion of the work that he may consider to be defective or inferior in qualityof materials workmanship of design in comparison to what is called for in thespecification. In the event of rejection of any work already executed and notin accordance with specification as in this tender and/or as determined by theEngineer or which the Contractor has been apprised, the Contractor shallcarry out alterations/replacements to such works to the satisfaction of theEngineer for which no additional expenses will be Borne by the Railway.18.2 The contractor shall submit detailed test procedure for each equipment,sub-system and system as a whole to the Railways. The Railways shall discusswith the contractor and modify the test procedure as may be required to ensurethat the requirements of tender specifications are complied. The finalised testprocedure shall, only, act as a broad guideline and Railway shall be free to carryout any other tests that may be considered essential. The test procedure shallgive details of all equipment, test and measuring instruments required toperform the tests which shall be provided by the contractor free of cost.19. QUANTUM OF WORK AND VARIATION IN QUANTITIES:19.1 Individual NS items in contract shall be operated with variation of plus orminus 25% of the agreement quantity and payment shall be made as peragreement rate.19.2 The quantities of various items given in the schedules for the works to beexecuted are only approximate and are only for the guidance of the contractor. Asfar as possible, they have been assessed correctly but are likely to vary during theexecution of the work.19.3 For increase/decrease upto 25% of the quantities indicated in schedule, thecontractor shall not be entitled for any compensation and will be paid for suchincrease/decrease in the quantities at the agreement rate.19.4 In the event of reduction in the quantities to be executed for any reasonwhatsoever, the contractor shall not be entitled for any compensation but shall bepaid only for the actual quantity of work done, at the agreement rates.19.5 When the gross value of the work to be executed is likely to increase in56

excess of 25% of the original value of the agreement, the contractor should notifythe Engineer in –charge at least THIRTY DAYS before such necessity arises.19.6 Notwithstanding the above adhoc reduction, Railway reserves the right torefix the rates, by mutual consent, of those items in the schedule, where thequantities have exceeded by 25% of the agreemental quantities.19.7 Execution of quantities beyond +25% of overall value shall not begenerally permitted. The rate for quantities in excess of 25% of the items shall bedecided between the Railway and the contractor in advance of execution of thequantities involved if in the opinion of the Railway, such quantities are also to beexecuted by the same contractor. In the event of mutually agreed rate not beingarrived at, the Railway shall be entitled to execute the excess work by othermeans and the contractor shall have no claims on this account.19.8 An undertaking shall be given to the effect that additional quantities up to25% of the contract value at the same unit rates shall be supplied by the tendererin case order for the additional quantity is placed within the currency period ofcontract. It should be noted that this excludes additional quantities that may berequired as warranty or replacement due to defective design and manufacture etc.On this account, the responsibility of the tenderer under the warranty clause willnot be diluted in any way.20. RIGHT OF RAILWAY TO KEEP BACK FROM THE CONTRACTANY PORTION OF WORK:The successful tenderer will however, have no claim or right in the execution ofwork which in the opinion of the Engineer should be carried out departmentally orotherwise and the Railway Reserves the right any time after the acceptance of thetender to keep back from the contract and carry out the work or any portion ofwork through any other agent it may think without assigning any reason. Noclaim for compensation/loss or whatsoever on this account will be entertained bythe Railway.21. SUBLETTING AND ASSIGNMENT:21.1 The contractor may sublet a part of the works under this contract and enterinto contract with suppliers for supply of materials only with the approval of theRailway administration.21.2 The names of all sub contractors proposed to be employed for execution ofwork or any part thereof including manufacturing of equipment and othermaterials shall be submitted by the contractor to the purchaser and gotapproved by him before the contractor enter into a agreement with the subcontractor for the purpose.21.3 The contractor shall arrange for effective supervision of sub contractor'swork and remain solely responsible for materials supplied and for works carriedout on his behalf by the sub contractor.21.4 The contractor shall not, save with the previous consent in writing of thePurchaser, sublet, transfer or assign the contract or any part thereof or interesttherein or benefit or advantage thereof any manner whatsoever.57

21.5 In the event of the Contractor's subletting or assigning this contract orany part thereof without such permission, the purchaser shall be entitled tocancel the contract and to purchase the stores elsewhere on the contractor'saccount and risk and the contractor shall be liable for any loss or damage whichthe purchaser may sustain in consequence or arising out of such purpose.22.1. EXECUTION OF WORK:All the work shall be executed in strict conformity to the provisions of thecontract document and according to detailed drawings, specifications andinstructions as may be approved from time to time by Railway based ondetailed design and engineering carried out by contractor in line withrequirements as per contract document. The contractor shall be responsible forensuring that the work throughout are executed in the most substantial, properand workman like manner with the quality of material and workmanship instrict accordance with the specifications and as per sound industrial practices andto the entire satisfaction of the Railway. In case of any doubts regarding anyparticulars of construction and any ambiguities in the plans, the decision of thepurchaser’s engineer shall be final and binding on the contractor.22.2 Safety of Work, Trains & Personnel :-The contractor should abide by all the Railway regulations and also ensure thatthe same are followed by his representatives, agents, servants or workmen. He istherefore, bound under these clauses to give notice to them about the provisions ofthis clause and the consequent liability of the contractor under the agreement.No petroleum spirit within the meaning of the Indian Petroleum Act shall bestored at site or adjacent land until the approval of the Railway and necessarylicense under the Act has been obtained by the contractor.The contractor's employees and workers shall not for any reason operate anyappliances or installations of the Railway concerning the safety of trainmovements, but they should whenever necessary notify the qualified Railway staffwho will then take necessary steps. The contractor shall also be responsible forany damage that the may cause due to the carelessness of his workmen and willbear the consequences in this regard.58

The works must be carried out most carefully in such a way that they do nothinder the Railway operation except as agreed to by the Railway. The Contractorshall do no work that may interfere with traffic until protection has been providedby the Railway and under the supervision of Railway's representative. When thework is required to be carried out on the track itself or as close to the track asmay pose a hazard to rail traffic, the work shall be carried out under thesupervision of an authorized Railway representative Junior Engineer/SeniorEngineer/ Senior Section Engineer (JE/SE/SSE). Whenever track side works areundertaken by the contractors, areas for unloading of bulk materials should beclearly demarcated and barricades provided if necessary with the consent of theJunior Engineer/Senior Engineer (JE/SE) Signal/Telecom, in-charge of the work.Suitable steps shall also be taken to prevent transport vehicles and such othermachinery gaining access so near the track as to threaten the safety of runningtrains. That, whenever it becomes inescapable to allow transport vehicles ormobile machinery to operate in close proximity to the running lines the maximummoving dimensions for the said lines shall be adequately protected by fencing orsuch other suitable measures. No vehicle will normally be permitted to plyadjacent to the running lines. The contractor will be responsible for the safety ofhired trucks and men etc. working at the site. He will also be responsible for anydamage caused to the Railway property, staff and passengers travelling on theline on account of his truck/vehicles having been allowed to ply on the bank.The contractor shall take all precautionary measures in order to ensureprotection of his own personnel moving about or working on the Railwaypremises and shall have to conform to the Rules and Regulations of the Railway.If and when, while the work under the contract is in progress, there is likely to beany danger to the persons employed by the contractor due to running of traffic orwhile working on the Railway premises, the contractor shall apply in writing tothe Railway to provide flagmen or lookout men for protection. The Railway will,however, decide as to whether it is necessary to post such flagmen and lookoutmen for various types of works and also the number of such men required toprotect the contractor's staff working at site. The flagmen and lookout men willbe Railway Servants and no expenses on this account will be recovered from thecontractor. In spite of these precautions, if any unforeseen accident or injuryhappens, the contractor will be solely responsible for the same.59

Suitable ladders for climbing the posts and slings for supporting men on the postshall be used. Ropes as required shall be used for erection of the poles. The sizeof the rope shall be adequate. The contractor shall take necessary precautions forworking near the power lines. If at any time the Railway finds the safetyarrangements are inadequate or insufficient, the contractor shall take immediatecorrective action as directed by the Railway's representative at site. However, itis not obligatory on the part of the Railway to give such directions. The issue ornon-issue of any direction in the matter by the Railway shall in no way absolve thecontractor of his sole responsibility to adopt safe working methods. The stonebreakers,if employed shall be provided with protective goggles and protectiveclothing and seated at sufficiently safe intervals. Necessary personal safetyequipment as considered adequate by the Engineer-in-Charge should be keptavailable by the contractor for the use of the persons employed on the site andmaintained in a condition suitable for immediate use and the contractor shouldtake adequate steps to ensure proper use of equipment by these concerned. Whennot in use, electrical apparatus shall be switched off. No paint containing lead orlead products shall be used except in the form of paste or ready mixed paints.Suitable face masks should be supplied by the contractor for use by the workerswhen paint is applied in the form of spray.Within the station premises and specially on passenger platforms, the contractorshall ensure sufficient free space for movement of passenger traffic. He mustcover and protect the excavations carried out in such areas with a view to avoidany accidents.In case of an accident of any nature, the contractor will indemnify the Railway forany losses caused by him as a result of the accident.The contractor will not be entitled to any compensation for any damage or losssustained by him during execution of the work, for any idle labour or transport orany loss or deterioration of the material or tools.22.3 Supervision & Labour :-During the execution of the works the contractor or his representative shall notleave the site where the works are being carried out. At the site of work, thecontractor shall always make available one representative who shall beapproved by the Railway Administration and who shall be invested withadequate powers by the Contractor so that orders or instructions given to thesaid representative by the Railway Administration in writing could beconsidered as duly given or conveyed to the Contractor himself. Representativeof the Railway will check up the work from time to time. Supervision andErection of indoor work will be done by the contractors with their own labour,till completion and testing of the work.The field supervisor shall receive instructions, in the absence of the contractorfrom the Engineer-in-charge of the work or his representative at site andcomply with the instructions. The contractor shall be responsible for thecompliance of such instructions.60

If the supervisor acting on behalf of the contractor disobeys or does not regardthe instructions of the Railway's supervisor/representative and does not executethe work to the satisfaction of this Railway supervisor, it shall be binding on thecontractor to replace his supervisor.23. PROGRESS REPORTING:23.1 The contractor shall submit to Railways at his own cost periodicprogress reports at regular intervals regarding the state and progress of work.The details and pro-forma of the report will mutually be agreed after award of theContract. Such reports shall be for daily man power, equipment and plantdevelopment, weekly work progress and monthly progress review reports. Allactions as directed by Railway pursuant to such reports shall be promptly attendedto by Contractor.23.2 The purchaser’s engineer shall also conduct monthly meetings with thecontractor to assess and review the programme of works. The action proposed toprogress the work as planned, difficulties, assistance required etc. shall be clearlybrought out and remedial action taken. The minutes of these meetings shall bejointly signed by Railways and contractor.24. MAINTENANCE OF WORKS :24.1 The contractor shall at all times during the progress and continuance of theworks and also for the period of maintenance specified in the tender form andafter the date of passing of the certificate of completion by the Railway'srepresentative or any other earlier date subsequent to the completion of the worksthat may be fixed by Railway's representative be responsible for and effectivelymaintain and uphold in good, substantial, sound and perfect condition all andevery part of the works and shall make good from time to time and at alltimes, as often as the Railway's representative shall require, any damage ordefect that may during the above period arise in or be discovered or be in anyway connected with the works, provided that such damage or defect is notdirectly caused by errors in the contract documents, act of providence orinstruction or civil riot, and the contractor shall be liable for and shall pay andmake good to the Railways or other persons legally entitled thereto wheneverrequired by the Railway's representative so to do, all losses, damages, costsand expenses they or any of them may incur or be put or be liable to, byreason or in consequence of the operations of the contractor or his failure inany respect.24.2 ANNUAL MAINTENANCE CONTRACT(Not applicable)24.2.1 The supplier shall quote for a year-wise rate for comprehensive AnnualMaintenance Contract for 2 years to be signed at the end of warranty period.24.2.2 Two years AMC charges shall not be included in the tender evaluation.24.2.3 During the warranty, the bidder shall perform all the functions at Termsand conditions given below:i) AMC will cover preventive and breakdown maintenance of all thehardwares supplied and installed for required augmentation at VSAT Hub,Thompson Road, New Delhi.61

ii) The preventive maintenance will be carried out by the Service Engineer ofthe firm/Contractor monthly at VSAT HUB for all the hardwares supplied andinstalled for required augmentation at VSAT Hub, Thompson Road, New Delhiwith prior appointment with the authorized representative of the Railway.iii) AMC will be comprehensive in nature and includes Hardware & Softwarecomponents including any up gradation required time to time to ensurecompatibility with Railways existing system.iv) The Firm/Contractor shall provide a FAULT-REPORTING CENTRE atNew Delhi, Secunderabad and other major location at Mumbai, Kolkatta,Chennai, Banglore etc. This Fault Reporting Centre shall take the call 24 Hourson all days over telephone provided by the firm/Contractor.v) The fault shall be attended within 4 hours of reporting of failure at DataCenter and Disaster Recovery Centre. However, in case of delay beyond 4 hours,Rs. 5000/- per 12 hours will be levied for the next 24 hours. Thereafter, theRailway Administration will be free to get the fault attended/repaired fromanother agency and the cost will be adjusted against the firm/contractor’s bill.vi) The fault shall be attended within 48 hours of reporting of failure at otherlocations excluding DC & DR. However, in case of delay beyond 48 hours, Rs.5000/- per 24 hours will be levied for the next 72 hours. Thereafter, the RailwayAdministration will be free to get the fault attended/repaired from another agencyand the cost will be adjusted against the firm/contractor’s bill.vii) It should be ensured that system is made fully functional within stipulatedtime as mentioned. The firm/contractor shall submit a written understanding tothis effect.viii) The replacement of the components shall be done with same Make, Model& specification at the place provided by the Railway Administration. In case anycomponent is to be taken to contractor’s premises, not less than Gazetted Officerand arrange a suitable standby of the same Make & Specification till the originalcomponent is replaced/repaired at no extra cost.ix) The Railway administration will neither provide transport facility(Road/Rail) nor manpower. This will be arranged by the firm/Contractor on hisown.x) The User’s say will be final as far the problem and its rectification isconcerned. Firm/Contractor will have to obtain necessary document evidencefrom the authorized representative of Railway Administration on rectification ofthe fault and should be pasted on the Complaint Register, which will be openedon the commencing date of the Contract duly signed by the Gazetted Officer,against the complaint and the same register will be produced along with bills atthe time of payment.xi) Payment and other conditions of AMC will be as per mutually agreedterms and conditions.xii) Patches, bug fixing and updates of proposed software should be provided byContractor.62

25 CLEARANCE OF SITE :25.1 Contractor at his own expenses clean the site, set out all works andprovide all necessary labours, pegs, string, steel to enable the purchaser or any ofhis representatives to check all setting out and the contractor will correct allerrors at his own expenses.25.2 At the end of the work in each section the contractor shall as a part of hiscontractual obligation leave the area completely cleared of rubbish andobstructions of all kinds according to the instructions of the Railway'srepresentatives. If within fortnight of completion of the particular item of sitework, the refuge is not cleared, the Railway will arrange to get them removed atthe cost of the Contractor. However, before the Railway actually gets the sitecleared, intimation in writing shall be sent to the Contractor.26. PROVISIONAL ACCEPTANCE:26.1 Immediately after the completion of the work and after completion ofwork at remote locations herein after referred as sub-section and at HUB, thecontractor shall certify and advise the purchaser in writing that the installationis (i) complete, (ii) ready for satisfactory service and (iii) ready to be handedover. He will also place at the disposal of the purchaser the required staff forinspection, testing and putting it into operation.26.2 The test or tests specified in Technical specification will be conductedjointly by the purchaser and contractor as soon as possible after receipt ofadvice of completion of one sub-section by the purchaser from thecontractor. The test schedule shall be furnished by the tenderer which will bemodified by mutual discussion between the contractor and Railway beforefinalisation. Any component, modules, sub-assemblies or equipment failingduring the commissioning test shall be replaced/repaired free of cost by thetenderer.26.3 Purchaser's Engineer shall issue a Provisional Acceptance certificate tobe signed jointly by representatives of IRPMU, Zonal Railways and Contractorfor successful commissioning of remote location and by representatives ofIRPMU and contractor for successful augmentation/modification in VSAT Hub atThomson road, New Delhi covering all materials and services included in theSchedule of works, after the acceptance tests as per the approved testprocedure have been completed and the performance has been found to meet thespecifications. Railways decision in this respect shall be final. The period ofmaintenance of works shall commence from the date of such certificate.26.4 The Purchaser's Engineer may issue such a certificate with respect toany part of the works before the completion of the whole of the works or withrespect to any substantial part of the works which has been both completed to thesatisfaction of the Purchaser's Engineer and occupied or used by the Railway andwhen any such certificate is given in respect of a part of the works, such partshall be considered as completed and the period of maintenance of such partshall commence from the date of such certificate.63

26.5 Should the result/s of inspection and test be not satisfactory, anextension of one month will be granted to the contractor to make good thedefects and deficiencies pointed out by the purchaser. Fresh inspection andtest will then be carried out after the contractor has attended to the defectsand deficiencies. If these tests are also not satisfactory the purchaser mayproceed at the contractor's expense by all means deemed expedient, to have theinstallation made satisfactory until they comply with the specifications, andapproved drawings and designs.26.6 In such a case or in the case of delay in completing the work under thiscontract within the time limit the purchaser reserves the right, if he deems itpossible to use in a reasonable manner any part of the installation even ifsome installations are not completely erected. The purchaser will give to thecontractor for this purpose 7 days previous notice. The contractor shall then takeat his own expense all necessary steps to complete the work in accordance withthe provisions of the contract. In case it becomes impossible to proceed with theabove mentioned taking over tests or reasons other than for which the contractoris responsible, the Provisional Acceptance Certificate shall be issued at or withina mutually agreed reasonable period not exceeding six months after completionof installation.26.7 The issue of provisional acceptance will not be withheld for rectificationor minor defects as distinct from rejected equipment, which may not beessential for commissioning and operation of the installation. In such cases,only the value of the materials and cost of the rectification of the minor defectsshall be withheld from the payments on provisional acceptance untilrectification is completed.27. PLACING IN SERVICE & MAINTENANCE SUPERVISION:27.1 After the equipment has been commissioned & placed in service andProvisional Acceptance certificate issued by Purchaser's Engineer, thecontractor shall be responsible for proper maintenance supervision of theequipment for a period of 12 months from the date of commissioning. For thispurpose he shall prepare a maintenance plan and make available the servicesof qualified maintenance engineer stationed at the location approved byPurchaser's Engineer who will guide and supervise the work of Railwaysmaintenance staff. The maintenance engineer of the tenderer will visit ZonalHQ/Divisional HQ site at least once in a year to do the preventive maintenanceand attend any fault on the systems.27.2 During this period of maintenance supervision if any lacuna is noticed inthe functioning as a result of any defect in design or manufacture, the same willbe rectified by the contractor free of cost. During such rectification if anyfaulty equipment/modules need replacement or repair, they shall be provided bythe contractor from the set of equipment or modules that the contractor shouldbring to the site of installation in addition to all the materials to be suppliedagainst this contract. Use of spare modules covered under the Schedule ofmaterial of this tender shall not be permitted to be used during installation,commissioning and maintenance supervision period without approval of ChiefAdministrative Officer/IRPMU or his authorized representative. Spares, so issuedunder unusual circumstances, should be replaced by the firm within seven days ofthe issue of spares.64

28. FINAL ACCEPTANCE:28.1 The final acceptance of the entire equipment installed in the section shalltake effect from the date of expiry of the period of maintenance supervision asdefined in para- 27 or the expiry of the last of the respective period ofMaintenance Supervision of various sections for which Provisional AcceptanceCertificates are issued or brought into full fledged operation, provided that thecontractor has complied fully with his obligations under clause 27 in respectof each section under the contract.28.2 If on the other hand the contractor has not so complied with his obligationunder para 27 in respect of any site the purchaser may either extend the periodof maintenance supervision in respect of that section until the necessary works arecarried out by the contractor or carry out those works suo moto on behalf of thecontractor at the contractor's expenses. After expiry of the period ofmaintenance supervision for each section, a certificate of Final Acceptance forthe section shall be issued by the purchaser and the last of such certificate will becalled the Last and Final Acceptance Certificate. The contract shall not beconsidered as completed until the issue of Final Acceptance Certificate bythe purchaser.28.3 The purchaser shall not be liable to the contractor for any dispute arisingout of or in connection with the contract or execution of the work unless thecontractor have made a claim in writing in respect thereof before the issue ofFinal Acceptance Certificate under this clause. The contractor shall be debarredfrom disputing the correctness of the items caused by the no claim certificate ordemanding a reference to Arbitration in respect thereof.28.4 Notwithstanding the issue of Final Acceptance Certificate, the contractorand the purchaser (subject to Sub Clause as above) shall remain liable forfulfillment of any obligation incurred under the provision of the contract prior tothe issue of Final Acceptance Certificate which remains unperformed at the timesuch certificate is issued and for determining the nature and extent of suchobligation, the contract shall be deemed to remain in force between the partieshereto.29. WARRANTY:29.1 All equipment and system supplied by the Contractor shall be guaranteedagainst the defects for a period of 1 year from date of installation andcommissioning. The date of the commissioning of the work will be after thesigning of the provisional acceptance certificate by both the parties as per detailsat clause 26(26.3) above.29.2 During the period of warranty, the contractor shall remain responsible toarrange replacement and for setting right at his own cost for all equipmentinstalled by him which occurs due to manufacturing defect or design or becomesunworkable due to any cause whatsoever. The decision of the Railway'srepresentative in this regard to direct the contractor to attend to any damage ordefect in work shall be final and binding on the Contractor.29.3 During the period of warranty, the contractor shall be responsible to theextent expressed in this clause for any defects that may develop under theconditions provided for by the contract and under proper use, arising from65

faulty materials, design of workmanship in the plant, or from faulty execution ofthe plant by the contractor but not otherwise and shall remedy such defects athis own cost when called upon to do so by the Purchaser who shall state inwriting in what respect the portion is faulty.29.4 If it becomes necessary for the contractor to replace or renew anydefective portions of the system under this clause the provisions of this clauseshall apply to the portions of the plant to be replaced or renewed until theexpiration of six months from the date of such replacement or renewal or untilthe end of the warranty period whichever may be later. If any defect is notremedied within reasonable time, the purchaser may proceed to do the work atcontractor's risk and expense, but without prejudice to any other rights whichthe purchaser may have against the contractor in respect of such defects.29.5 If the replacement or renewal are of such a character as may affect theefficiency of the system the purchaser shall have the right to give to thecontractor within one month from such replacement or renewal notice inwriting for the tests to be carried out. The cost of all such tests shall be borneby the contractor.29.6 All inspections, adjustments, replacements or renewals carried out bythe contractor during the supervised maintenance period shall be governed bythe special conditions of this contract.29.7 Until the final certificate shall have been issued, the contractor shall havethe right of entry, at his own risk and expense, by himself or his duly authorisedrepresentatives, whose names shall have previously been communicated inwriting to the purchaser at all reasonable working hours upon all necessaryparts of the works for the purpose of inspecting the working and the records ofthe system and taking notes there from and, if he desires at his own risk andexpense, making any tests subject to the approval of the purchaser which shallnot be unreasonably withheld.30. TRAINING:30.1 The tenderer shall undertake to train Railway supervisors and other staffnominated by the Railways in different aspects of equipment functioning, fieldinstallation, testing, commissioning, operation, maintenance and repair, coveringboth hardware and software. The training should be comprehensive for transfer ofcomplete know-how so as to impart full knowledge and competent toindependently and successfully execute the installation, operation, maintenanceand repair of all equipment. The training courses should apart from formal classroom training, include hand on practical experience and visits to workinginstallation.The tenderer shall also undertake to train Railway officers nominated bythe Railways in different aspects of equipment functioning, testing,commissioning, operation, covering both hardware and software. The trainingshould be so as to impart broad knowledge of all equipment.30.2 The contractor shall at every stage of installation; testing andcommissioning shall provide all facilities for adequate training of Railwaypersonnel who may be deputed to work on the project.66

30.3 The requirement of training in man-weeks has been indicated in theschedule of requirement. The tenderer shall quote for the man week rates andRailways shall have the right to vary the training period in the schedule.30.4 In the event of any equipment/sub-systems being manufactured/assembledin India in technical collaboration with foreign firm by the tenderer or any of itssub-contactor, approximately half of the training provided in the schedule shall bearranged at the collaborator’s premises/training centre and the remaining portionat the working installations. Details of training proposal shall be submitted by thetenderer.30.5 Set of documents related to training in adequate quantity shall be provided.30.6 All expenses for travel to and from the place of training, boarding andlodging of the trainees shall be borne by the Railways.31. INFRINGEMENT OF PATENTS :(a) The Contractor is forbidden to use any patents or registered drawings, processes orpatterns in fulfilling his contract without the previous consent in writing of the owner ofsuch patents, drawings, patterns or trade marks, except where these are specified bythe purchaser himself. Royalties where payable for the use of such patented processes,registered drawings or patterns shall be borne exclusively by the Contractor. TheContractor shall advise the purchaser of any proprietary rights that may exist on suchprocesses, drawings or patterns which he may use of his own accord.(b) In the case of patents taken out by the Contractor of the drawings or patternsregistered by him, or of those patents, drawings or patterns for which he holds alicense, the signing of the contract automatically gives the Purchaser the right torepair by himself the purchased articles covered by the patent or by any person orbody chosen by him and to obtain from any sources he desires the component partsrequired by him for carrying out the repair work. In the event of infringement of anypatent rights due to above action of the purchaser, he shall be entitled to claimdamages from the contractor on the grounds of any loss of any nature which he maysuffer.32. LICENSE AS PER GOVT. OF INDIA CONTRACT LABOUR ACT:32.1 The contractors are required to produce license as enjoined in theGovernment of India Contract Labour (Regulation and Abolition) Act(1978). They shall not be allowed to undertake or execute any work throughcontract labour except under and in accordance with a license issued under thesaid Act in that behalf by the authorised licensing Officer.33. DEFAULT & DELAYS:The Contractor shall execute the work with due diligence and expedition, keepingto the approved Time schedule. Should he refuse or neglect to comply with anyreasonable orders given to him in writing by the Purchaser's Engineers inconnection with the work or contravene the provision of the contract or theprogress of work lags persistently behind the time schedule due to his neglect,the Purchaser shall be at liberty to give seven days notice in writing to theContractor requiring him to make good the neglect or contravention complainedof and should the contractor fail to comply with the requisitions made in thenotice within seven days from the receipt thereof, it shall be lawful for the67

purchaser to take the work wholly or in part out of the Contractor's handswithout any further reference and get the work or any part thereof, as the casemay be, completed by other agencies at the expense of the contractor withoutprejudice to any other right or remedy of the Purchaser.34. LOSS SUSTAINED DUE TO DEFAULT AND DELAY:In the event of any loss to the purchaser on account of execution and/orcompletion of the work or any part thereof by agencies other than thecontractor, the contractor shall be liable to reimburse the loss to purchaserwithout prejudice to the other rights and remedies of the purchaser, andthe reimbursement in full or in part as the case may be, shall be met, at theoption of the purchaser from out of all or any of the following sources viz :(a) i) Any amount due and payable to the contractor by the purchaser on anyaccount whatsoever;ii) The Contractor's security deposit in hands of the purchaser as far as available,and any other assets whatsoever of the contractor;In the event of re-imbursement from out of sources (i) and/or (ii) abovementioned, the purchaser shall have the right of appropriation suomoto.35. PENALTY FOR DELAY IN COMPLETION:a) If the contractor fails to execute and complete the work within the timespecified in the Agreement or within the period of extension granted under para36 except in so far as the delay is on the purchaser's account, the contractor shallbe levied Liquidated Damages @ 1/2% per week or part thereof of the entirecontract value of the work awarded to the contractor for delays insupply/execution of the work as per General Condition of contract.b) For the purpose of this clause, the contract value of the works shall betaken as value of work as per contract agreement including any supplementarywork order/contract agreement issued Provided also, that the total amount ofliquidated damages under this condition shall not exceed the under notedpercentage value or of the total value of the item or groups of items of work forwhich a separate distinct completion period is specified in the contract.(i) For contract value up to Rs. 2 Lakhs -- 10% of the total value of thecontract.(ii) For contracts valued above Rs. 2 Lakhs -- 10% for the first Rs.2 Lakhsand the 5% of the balance.Provided further, that if the Railway is not satisfied that the works can becompleted by the Contractor and in the event of failure on the part of thecontractor to complete the work within further extension of time allowed asaforesaid, the Railway shall be entitled, without prejudice to any other right orremedy available in that behalf, to appropriate the contractor’s security depositand rescind the contract under clause 62 of these conditions, whether or not actualdamage is caused by such default.36. EXTENSION OF TIME:If such a failure as aforesaid shall have arisen68from any cause which the

Purchaser may agree as being a reasonable ground for extension of time, theChief Administrative Officer/IRPMU or his successor(s) may allow suchadditional time as he may in his absolute discretion consider to be reasonablyjustified by the circumstances of the case, such extensions shall be granted withliquidated damages in the Form No.11. The Contractor will apply for extensionat least two months before the expiry of the period of completion. Form No.12will be applicable in case extension is on purchaser's account and also in caseextension is on contractor's account but the purchaser is reasonably satisfied thatcontractor cannot be penalised for such delay. The terms and conditions of theoriginal contract will remain operative during the extended period and nothingwill be allowed on this account.37. CONTRATOR'S LIABILITIES FOR COSTS AND DAMAGES:37.1 WITHHOLDING AND LIEN IN RESPECT OF SUMS CLAIMED :a) Whenever any claim or claims for payment of a sum of money arises outof under the contract against the contractor, the Purchaser shall be entitled towithhold and also have lien to retain such sum or sums in whole or in part fromthe security, if any, deposited by the contractor and for the purpose aforesaid thepurchaser shall be entitled to withhold the said cash security deposit or thesecurity, if any, furnished as the case may be and also have lien over the sumpending finalisation or adjudication of any such claim.b) In the event of the security being insufficient to cover the claimed amountor amounts or if no security has been taken from the Contractor, the purchasershall be entitled to withhold and have lien to retain to the extent of such claimamount or amounts referred to spura, from any sum or sums found payable orwhich at any time thereafter may become payable to the Contractor under thesame contract or any other department of the Central Government pendingfinalisation or adjudication of any such claims.c) It is an agreed term of the contract that the sum of money or moneys sowithheld or retained under the lien referred to by the purchaser till the claimarising out of or under the contract is determined by the Arbitrator. (If the contractis governed by the Arbitration clause) or by the competent court as the case maybe and that the contractor will have no claim for interest of damageswhatsoever on any account in respect of such withholding or retention under thelien referred to spura and duly notified as such to the Contractor.d) For the purpose of this clause, where contractor is a partnership firmor a limited company, the purchaser shall be entitled to withhold and also have alien to retain towards such claimed amount or amounts in whole or in part fromany sum found payable to any partner/limited company, as the case may be,whether in his individual company or otherwise.37.2 LIEN IN RESPECT OF OTHER CONTRACTS:a) Any sum or sums of money due and payable to the Contractor (includingthe security deposit returnable to him under the contract) may be withheld orretained by way of lien by the Purchaser against any claim of this Railway orany other Railways or any other Departments of the Central Government inrespect of payment of a sum of money arising out of or under any othercontract made by the Contractor with this or any other Railway or any other69

department of the Central Government.b) It is an agreed term of the contract that the sum of money so withheld orretained under this clause by the purchaser will be kept withheld or retained assuch by the purchaser till the claim arising out of or under any other contractis either mutually settled or determined by the Arbitrator if the other contractis governed by the Arbitration clause or by the competent court as the casemay be, and that the contractor shall have no claim for interest or damages inrespect of any sum of money withheld or retained under this clause and dulynotified to the contractor.38. UNIT PRICES:38.1 The prices quoted by the Tenderer shall include the prices of materialsincluding all incidental charges for transport, loading/unloading and handlingof materials, commission for arranging dispatch by rail / road direct frommanufacturer's factory and completing all necessary formalities in this respect,such as submission of forwarding notes, arranging placement of Wagon,collection of banker's charges for Bank guarantee, Indemnity Bonds, inclusiveof cost of Stamp etc. as also siding or shunting charges, if any, levied by theRailway. The break up of the basic cost and other taxes and duties shall bepositively submitted.38.2 The prices shall include all taxes, duties, Royalty and levies (includingOctroi/Entry Tax/State Tax etc.) applicable on this Works Contract. Therefore,they should quote their prices taking into account the rate of sales tax as leviablein the event of sale to the Central Government Organization etc38.3 The prices quoted by the tenderer shall include cost of commissioningand testing and all costs of Administration of Contract, Insurance Premium,Banker's charges for guarantees, cost of storage, loading-unloading and handlingof materials and for any road transport which the contractor may use for carriageof materials to his depot and the site of work. The prices shall include the cost ofworks and adjustments necessary to be done by the contractor during or after testscarried out by the purchaser.38.4 The price to be quoted by the tenderer's should take into account the creditavailed on inputs under the MODVAT scheme introduced w.e.f. Ist March 1986.The tenderers should give a declaration that any let offs in respect of duties oninputs as admissible under law is being totally and unconditionally passed on tothe purchaser in the price quoted by him (see para 43).38.5 While the price quoted in the contract are inclusive of all taxes i.e. customduty, excise duty, octroi/entry tax, local levies, Sales tax levied by any statutoryauthority, the purchaser shall make any deduction toward sales tax on workscontract if statutorily required to do so. The deducted sales tax on works contractshall be remitted to the concerned sales tax authority and the purchaser shall inno way be responsible for any disputes between the sales tax authorities andthe contractor in this regard.38.6 All taxes, duties and levies (including octroi/entry tax etc.) arising out ofthe transaction between the contractor and his sub contractor/supplier for thiswork will be included in the rates quoted by the contractor in the relevantschedule.70

38.7 Arrangement of permits/license for materials will not be made by theRailway or any assistance given. The Contractor will have to make his ownarrangement. Also no import license shall be arranged by the Railway for thiswork. No C/D form or Form 31/32 will be arranged by Railways.38.8 The Unit prices offered against the various items in schedules will includebeside labour the following elements of cost :-(i) Cost of all materials required for preparing the cable routes, laying the cablesand all other incidentals connected therewith excluding the materials supplied bythe Railways.(ii) Special tools & installation materials for equipments, racks, wiring etc. (seepara 10).(iii) Cost of transportation of material, supplied by the Railway from place ofdelivery to the site of work.(iv) Return of released materials, left over cables and other materials from thesite of work and handing over to the Engineer at specified locations or storesdepot.(v) Cost of preparation of detailed documentation completion plans/drawings(see para 12).(vi) All other miscellaneous expenses necessary for the execution of the workand fulfillment of contractual obligation.39. MEASUREMENT OF WORKS:39.1 Payments for the works shall be made in accordance with approveddesigns & drawings and measured in relevant units except where provided orotherwise. The measurements will be made generally in accordance with standardengineering practice & in conformity with the General conditions of Contract.39.2 Figures, Dimensions and Drawings shall supersede measurement by scaleand drawings to a larger scale shall take precedence over those to a smaller scale.Special dimensions or directions in the specification shall supersede all else.39.3 MEANING AND INTERPRETATION BY RAILWAY TO BEFINAL:All measurement, method of measurement, meaning and intent of specificationsand interpretation of Special Conditions of Contract, given and made by thePurchaser or by the Purchaser’s Engineer shall be final and binding and shallbe considered "excepted matters" in terms of conditions laid down in theGeneral Conditions of Contract.40. TERMS OF PAYMENT:40.1 Payment to contractor will be made through EFT/ECS. All bills shall besubmitted to the authority mentioned in Preamble or as nominated by CAO /IRPMU from time to time.71

40.2 Subject to any deductions or recovery which the Railway may be entitledto make under contract, the Contractor will be entitled to be paid from timeto time by way of `on account payment' for supply of goods and `progresspayment' for works as in the opinion of the Engineer he has executed in termsof Contract.40.3 ON ACCOUNT PAYMENT:"On Account Payment" will be made for supply of hardware & softwareequipment and licenses , materials indicated in the supply schedule on receiptof materials in good condition at the site as certified by Engineersrepresentative. On Account payments made will subsequently be adjusted againstpayments due on Provisional Acceptance or Final Acceptance. 75% (Seventyfive percent) of the value of each consignment shall be paid on production of thefollowing documents :a) Store receipt certificate issued by Railway official/Representative asper Form-14.b) Original Inspection certificate issued by Inspecting Officerc) Manufacturer's certificate for required hardware & software and associatedequipment that the materials are in accordance with the specifications of thecontract.d) Challan / Invoice in duplicate.e) A certificate that the materials supplied are as per the contract and the amountclaimed in the invoice is correct as per terms of the contract.(f) Current Sale Tax Clearance Certificate. (Form No.58)40.3.1 All on account payments shall be covered by a standing indemnitybond in the approved form (see form No.6).40.3.2 15% (Fifteen percent) value of the materials supplied shall be paid afterthe successful completion of installation of a work.40.3.3 15% payment against supply of materials supplied for installation but notinstalled due to non finalization of sites / not required to be installed, shall be paidafter issue of Final Acceptance Certificate.40.3.4 In case of spares i.e. item no. 5 of SoR, 90% payment shall be paid onproduction of the documents as mentioned in Para 40.3 above.40.3.5 90% (Ninety percent) of the installation rate quoted in rate schedule shallbe paid to the contractor as on account bills only on production of certificate bythe site engineer that relevant portion of installation has been completed.41. FINAL PAYMENT:Final payment of 10% (Ten percent) of contract value shall be made aftersatisfactory operation and maintenance of the equipment under the supervision ofthe contractor for a period of one year after commissioning and issue of FinalAcceptance Certificate. On the basis of Final Acceptance Certificate from72

the Purchaser’s Engineer for all the works in all the sections covered in thiscontract, and reconciliation of materials issued, the final bill for the balancepayment for each item of work shall be submitted by the Contractor along with aclear “ No Claim Certificate”. The Final Acceptance Certificate shall be issuedby the Purchaser’s Engineer only when he has accepted the work wholly afterconducting the acceptance tests as per the details given in the technicalspecification and supplement.42. FINAL SETTLEMENT:On expiry of the warranty and issue of the certificate of final acceptance ofthe entire installations, the security deposit will be refunded to the Contractorafter adjustment of any dues payable by the contractor.43. CERTIFICATE FOR MODVAT BENEFITS ON BILLS:a) The Contractor should submit the following certificate along with thebills:-"We certify that no additional duty set off on the Goods supplied by us haveaccrued under the MODVAT Scheme in force on the date of supply after wesubmitted our quotations and submitted the present bill."b) In the event of MODVAT credit being extended by the Governmentof India to more items than that already covered, the firm should advise thepurchaser about the additional benefits accrued through a letter containing thefollowing certificate or any variation thereof as may be considerednecessary by individual Railway administration :-“We hereby declare that we can avail additional duty set off as per latestMODVAT scheme in force now and we hereby give a reduction of(___________) per unit and agree to revise the prices indicated in the order. Thecurrent E.D. of (_________) is payable on this reduced price. Therefore, werequest you to amend the order accordingly."44. DEDUCTION FROM ON ACCOUNT PAYMENT BILLS:(i) All costs, damages or expenses, which Railways may have paid orincurred, which under the provisions of contract are Contractor's obligationswill be deducted by Railways from progress payment Bills/Invoice ofcontractor, as and when it is understood that such an expenses has been incurredor paid for.(ii) All such claims of Railways shall, however, be duly supported byappropriate and certified vouchers, receipts or explanations as are available toenable the contractor to identify such claims.45. TAXES:45.1 The Contractor and all personnel employed by him shall pay such taxeslike Income Tax as are payable under statutory laws of India and the PurchaserWILL NOT ACCEPT any liability for the same.45.2 Deduction of Income Tax at source as per provisions of Finance Act73

and Income Tax Act in force shall be made from the Contractor/Sub-Contractorand the amount so deducted may be credited to the Central Government.45.3 Wherever the law makes it statutory for the Purchaser to deduct anyamount towards Sales Tax on Works Contract, the same will be deducted andremitted to the concerned authority.46. MOBILIZATION ADVANCE: (Not applicable in Present Tender)(a) If required by the Contractor, mobilisation advance limited to 10% ofcontract value shall be payable on submission of irrevocable Bank Guaranteefrom a Nationalised Bank in India or the State Bank of India in a form acceptableto the Railway (Form No.8). This advance shall be payable in two stages asunder:-Stage: 1.5% of the contract value on signing the contract.2. 5% of the contract value on mobilisation of establishment etc., i.e.setting up of project office and commencement of telecom. works.Interest: - The mobilisation advance shall carry on interest at the rate of18% per annum and recovery of the mobilisation advance along with itsinterest shall be made from `On account and progress bills including designpayment and advance payments for the work on pro-rata basis. The interestwill be charged on balance outstanding on the first day of each month.The recovery of the advance shall be commencing when the work to an extent of15% of the provisional value of the contract is completed. The recovery ofprincipal and interest shall be made at the rate of 15% of on account and/orprogress payment such that the entire amount is recovered before totalpayment reach 85% of the value of the contract.(b) In case principal and interest could not be deducted progressivelyfrom progress/on account bills during the course of the year, the interest inmobilisation advance as accrued in the end of an year will be recovered withinthe first 30 days of the next year from the progress/on account bills or any otherbills which may be made by the Railways to the Contractor. If, for the reasonwhatever, progress/on account bill or any other amount is paid to the Contractor,he will still pay to the Railways the accrued interest in full within the said 30days of the next year. Otherwise, the unpaid interest will be added on to thePrincipal and interest for the next year will be charged on the balancecomprising Principal as well as unpaid interest.(c) In case of extension of the date of completion due to any reasonwhatsoever the interest on the mobilisation advance outstanding wouldcontinue to accrue as specified earlier and the contractor/firm would make thepayment against the advance in the same manner as specified in Para (b) above.(d) No advance/extra payment other than stated above shall be payableagainst the works.(e) The Tenderers shall specifically indicate in their offer whethermobilisation advance is required by them. In case no specific demand has been74

made in the offer, grant of mobilisation advance will not be consideredsubsequently.(f) No mobilisation advance would be considered for Contract with a valueless than Rs.1 (one) crore.47. INSURANCE:47.1 The Contractor shall take out and keep in force a policy or policies ofinsurance against all liabilities of the Contractor or the Purchaser at common lawor under any statute in respect of accidents to persons who shall be employed bythe contractor in or about the site for the purpose of carrying out the works on thesite. The Contractor shall also take out and keep in force a policy or policies ofInsurance against all recognized risks to their offices and depots. Such insuranceshall in all respects be to the approval of the Purchaser and if he so requires in hisname.47.2 INSURANCE OF MATERIALS & INSTALLATIONS:The Contractor shall take out and keep in force a policy or policies of Insurancefor all materials including Railway supply materials equipment irrespective ofwhether used up in the portion of work already done or kept for the use in thebalance portion of the work until such works are provisionally handed over tothe Railways. For this purpose the works are deemed to have been provisionallyhanded over when Provisional acceptance certificate is issued for the Sub-sectionas per para 26 of SCC.47.3 The Contractor shall not be liable for losses/damages to the materialseither used up in the portion of work done or his material kept for use at site, inconsequence of mutiny, or other similar causes over which the Contractor has nocontrol and which cannot be insured. Such losses or damages shall be the liabilityof the Purchaser and if required by the Purchaser, be made good by the contractor,at the cost of the Purchaser.47.4 The Contractor should, however, insure the stores brought to site, againstrisks in consequence of war and invasion, as required under the Emergency Risk(Goods) Insurance Act in force from time to time.47.5 It may be noted that the beneficiary of the insurance policy should beRailways or the policies should be pledged in favour of Railway. The contractorshall keep the policy/policies current till the installations are provisionally handedover to the Purchaser. It may also be noted that in the event of contractor'sfailure to keep the policy current and alive, renewal of the policy will be done bythe purchaser for which the cost of the premium plus 20% of premium shall berecovered from the contractor.47.6 For purpose of enabling the contractor to take the insurance cover inconnection with this contract, the purchaser's engineer will advise theapproximate price of all the Railway supply materials to the contractor.47.7 The Contractor shall take out all Insurance covers in connection with thiscontract with Insurance Companies recognized by IRDA.48. FORCE MAJEURE CLAUSE:75

If at any time, during the continuance of this contract, the performance, in wholeor part, by either party, of any obligation under this contract shall be prevented ordelayed by reason of any war, hostility, act of the public enemy, CivilCommotion, Sabotage, Fires, Floods, Earth quakes, explosions, strikes,epidemics, quarantine, restrictions lockouts, any statute, statutory rules,regulations, order of requisitions issued by any Government Department orCompetent Authority or acts of God (here-in after referred to as event) thenprovided notice of the happening of any such, event is given by either party tothe other within twenty one days from the date of occurrence thereof neitherparty shall by reason of such event be entitled to terminate this Contract norshall either party have any claim for damage against the other in respect of suchnon-performance or delay in performance, and the obligations under theContract shall be resumed as soon as practicable after such event has come to anend or ceased to exist, provided further that if the performance in whole orpart of any obligation under this contract is prevented or delayed by reason ofany such event beyond a period as mutually agreed to by the Railways and theContractor after any event or 60 days in the absence of such an agreementwhichever is more, either party may at its option terminate the Contractprovided also that if the contract is so terminated under this clause the Railwaysmay at the time of such termination take over from the Contractor at prices asprovided for in the contract, all works executed or works under execution.49. SETTLEMENT OF DISPUTE AND ARBITRATION:49.1 MATTERS FINALLY DETERMINED BY THE RAILWAY:All disputes or differences of any kind whatsoever arising out of or in connectionwith the contract, whether during the progress of the work or after its completionand whether before or after the determination of the contract shall be referredby the contractor to the Railway and the Railway shall within 120 days afterreceipt of the contractor's representation make and notify decisions on all mattersreferred to by the contractor in writing provided that matters for whichprovision has been made in clauses 8(a), 18, 22(5), 39, 43(2), 45(a) 55, 55-A(5), 57, 57A, 61(1), 61(2) and 62(i)(b) of General Conditions of Contract or inany clause of the Special Conditions of the Contract shall be deemed as'excepted matters' and decision of the Railway authority, thereon shall befinal and binding on the contractor provided further that 'excepted matters' shallstand specifically excluded from the purview of the arbitration clause and notbe referred to arbitration.50. DEMAND FOR ARBITRATION:50.1 (i) In the event of any dispute or difference between the partieshereto as to the construction or operation of this contract, or the respectiverights and liabilities of the parties on any matter in question, dispute or differenceon any account or as to the withholding by the Railway of any certificate towhich the contractor may claim to be entitled to, or if the Railway fails tomake a decision within 120 days, then and in any such case, but except in any ofthe 'excepted matters' referred to in clause 49.1 of these conditions, thecontractor, after 120 days but within 180 days of his presenting his final claimon disputed matters shall demand in writing that the dispute or difference bereferred to Arbitration.76

(ii) The demand for arbitration shall specify the matters which are in questionor subject of the dispute or difference as also the amounts of claim item-wise.Only such dispute(s) or difference(s) in respect of which the demand hasbeen made, together with counter claims or set off shall be referred toarbitration and other matters shall not be included in the reference.(a) The Arbitration proceedings shall be assumed to have commencedfrom the day, a written and valid demand for arbitration is received by theRailway.(b) The claimant shall submit his claim stating the facts supporting the claimsalong with all relevant documents and the relief or remedy sought against eachclaim within a period of 30 days from the date of appointment of the ArbitralTribunal.(c) The Railway shall submit its defence statement and counter claims, ifany within a period of 60 days of receipt of copy of claims from Tribunalthereafter, unless otherwise extension has been granted by Tribunal.(iii) No new claim shall be added during proceedings by either party. Howeverparty may amend or supplement the original claim or defence thereof duringthe course of arbitration proceedings subject to acceptance by Tribunal havingdue regard to the delay in making it.(iv) If the contractor(s) does/do not prefer his/their specific and final claimsin writing, within a period of 90 days of receiving the intimation from theRailways that the final bill is ready for payment, he/they will be deemed tohave waived his/their claim(s) and the Railway shall be discharged andreleased of all liabilities under the contract in respect of these claims.50.2 OBLIGATIONS DURING PENDENCY OF ARBITRATION:Work under the contract shall, unless otherwise directed by the Engineer, continueduring the arbitration proceedings, and no payment due or payable by theRailway shall be withheld on account of such proceedings, provided, however,it shall be open for Arbitral Tribunal to consider and decide whether or not suchwork should continue during arbitration proceedings.50.3 (a)(i) In cases where the total value of all claims in question addedtogether does not exceed Rs.10,00,000/- (Rupees Ten Lakhs only), the ArbitralTribunal consist of a sole arbitrator who shall be either the General Manager ora gazetted officer of Rail not below the grade of JA Grade nominated by theGeneral Manager in that behalf. The sole arbitrator shall be appointed within 60days from the day when a written and valid demand for arbitration is received byRailway.(a)(ii) In cases not covered by clause 50.3(a)(i), the Arbitral Tribunal shallconsist of a panel of three Gazetted Railway Officers not below JA Grade, asthe arbitrators. For this purpose, the Railway will send a panel of more than 3names of Gazetted Railway Officers of one or more departments, of theRailway to the contractor who will be asked to suggest to General Manager upto2 names out of the panel for appointments as contractor's nominee. TheGeneral Manager shall appoint at least one out of them as the contractor'snominee and will, also simultaneously appoint the balance number ofarbitrators either from the panel or from outside the panel, duly indicating77

the 'Presiding arbitrator from amongst the 3 arbitrators so appointed.While nominating the arbitrators it will be necessary to ensure that one of them isfrom the Accounts department. An officer of Selection Grade of theAccounts department shall be considered of equal status to the officers in SAgrade of other departments of the Railways for the purpose of appointment ofarbitrators.iii) If one or more of the arbitrators appointed as above refuses to act asarbitrator, withdraws from his office as arbitrator, or vacates his/theiroffice/offices or is/are unable or unwilling to perform his functions asarbitrator for any reason whatsoever or dies or in the opinion of the GeneralManager fails to act without undue delay, General Manager shall appoint newarbitrator/arbitrators to act in his/their place in the same manner in which theearlier arbitrator/arbitrators had been appointed. 1 SCOPE:This document sets forth general, operational, technical, performance, type test& acceptance test requirements of fixed type VSAT terminal for use in Indian Railways.2 REFERENCES:This specification requires the reference to the following documents:ITU-R recommendation S.580-6ITU-R recommendation S 726.1ITU-R recommendation S.524-7ETSI, CCIR & FCC requirement for Spurious and Harmonics at rated P1dB of ModemWherever, reference to any specifications appears in this document, it shall betaken as a reference to the latest version of that specification unless the year of issue ofthe specification is specifically stated.3 INTRODUCTION:This shall be a very small aperture satellite terminal for setting a communication link fromany place. This shall provide a communication link from the site to other desired sites.This shall provide voice, video and data communication. This shall communicate througha central earth station called HUB. This shall be stationary, fixed, rugged, all weather andcapable of initial manual acquisition of geostationary communication satellites.4 FUNCTIONAL AND TECHINICAL REQUIRMENTS:4.1 General4.1.1 The VSAT terminal shall be able to work with all geostationary satellites visible fromIndia.4.1.2 It shall work in Ku Band.4.1.3 Indian Railway has established its own VSAT network including hub. The systemshould be compatible with the existing Indian railway’s own VSAT network. PresentlyIndian Railways have hired 4MB inbound and 2MB outbound bandwidthfrom transponder of INSAT-4CR (Ku Band) satellite. Hub for this VSAT network hasbeen set up at New Delhi by M/s Hughes. The network is in star topology.4.1.4 The VSAT terminal shall be able to deliver bidirectional composite data traffic (Voice,Video and Data) at nominal speed (bandwidth) of 512 Kbps.4.1.5 The antenna shall be made of lightweight and tough composite material to ensure long lifein the rough working environment.4.1.6 It may be required that outdoor unit (Antenna system with RFT & LNBC) is kept101

some distance away from indoor unit (Modem etc.). To achieve this, all the cablesrequired for interconnection of these two units, shall be of 25 meter nominal length.4.1.7 The VSAT Terminal must be able to both transmit and receive the required qualityvideo/voice/data over existing Indian railway’s own VSAT and telecommunicationnetwork.4.1.8 All regulator y clearances from various regulatory bodies like DOT/WPC / NOCC etc tooperate the VSAT Terminal as applicable shall be available with the vendor and theseshall be furnished to Railway.4.1.9 The IP addressing scheme of VSAT has to be integrated with the existing IP addressingscheme of the Indian Railways.4.1.10 Any software required for operation of the terminal shall be embedded (located, stored andoperated) in the VSAT terminal itself.4.2 Power supply4.2.1 The VSAT Terminal shall be powered by AC.4.2.2 The AC operating voltage shall be 160 – 250VAC or better.4.2.3 As a backup and for surge protection purpose the VSAT Terminal shall be poweredthrough an offline UPS of 1 KVA rating. However ifinstallation and commissioning is delayed on contractor account the warranty periodshall be 1 year from date of actual installation and commissioning. Railway’s decision inthis regard shall be final.10 TYPE TEST10.1 At least one equipment per lot, randomly selected, shall be type tested. On successful typetesting the vendor shall be type approved for supply of such equipments. The initial type approvalshall remain valid for a period of two years and subsequent type approvals shall be valid for aperiod of three years. During validity of type approval the vendor can supply such equipments onthe strength of acceptance testing only.10.2 Supplier shall provide detailed test results for all parameters carried out at OEM premisesfor the units selected for type testing.104

10.3 For type test following Clauses shall be tested- Sub-clauses 4.1.3, 4.1.4, 4.1.6, 4.1.10, 4.2.2,4.2.3, 4.3.1, 4.4.1, 4.5- all parameters except spurious and harmonics at rated P1dB for modemparameters.10.4 Supplier shall arrange all necessary test and measuring instruments and other facilities forconducting type test. The type testing shall be done at place/places nominated by the supplierwhere all test and measuring instruments and other facilities for conducting type test areavailable. Supplier shall co-ordinate for the type testing.10.5 For clause 5 (operational conditions) and clause 6 (Approvals) and other technical andnon- technical requirements as stipulated in the specification such as clause 4.1.5, 4.1.8, 4.2.4and Spurious and harmonics at rated P1dB for modem parameters as per clause 4.5, the suppliershall furnish necessary supporting documents, test results and test reports to the satisfaction ofpurchaser.10.6 Manuals as per clause 7 for the complete VSAT equipment shall also be furnished by thesupplier for approval.10.7 If the firm do not have their manufacturing base in India and is unable to get the type testsarranged in India, the type approval may be accorded based on the cross approval. The firm hasto submit relevant documents required as per guidelines issued by Railway Board for such items.Cross approval shall be issued if the firm meets all the requirement as per Railway Boardguidelines.11 ACCEPTANCE TEST11.1 All the equipments shall be tested except that equipments which have been type tested.11.2 Supplier shall provide detailed test results and other supporting documents forall parameters carried out at OEM premises for the units selected for acceptance testing.11.3 For acceptance test following clauses shall be tested- Sub-clauses 4.1.3, 4.1.4, 4.1.6, 4.2.3-only battery type and backup capacity, 4.3.1, 4.4.1, 4.5- For Antenna System followingparameters shall be tested- Antenna Aperture, Azimuth Range, Elevation Range, PolarizationRange, For RFT & LNBC units following parameters shall be tested – Frequency For modemunit- all parameters shall be tested except spurious and harmonics at rated P1dB for modemparameters.11.4 Supplier shall arrange all necessary test and measuring instruments and other facilities forconducting acceptance test and shall co-ordinate for the acceptance testing.105

Annexure II(A) INSTALLATION, TESTING & COMM ISIONING1. The contractor shall ensure proper installation testing & commissioning of all sites.2. Any required material for installation testing & commissioning of the remote VSATs andaugmentation of VSAT Hub shall be given by contractor even if not mentioned inSchedule of Requirement.3. The contractor shall be responsible for proper conduiting in corrugated conduit, casingcappingof all the wiring involved in the installation of V-SAT equipments, earthing etc.There should not be any loose wiring at the site of installation.4. The contractor shall be responsible for the overall integration of the system and meetingall the functional requirements.5. All the materials including nuts & bolts used for antenna mounting should be properlygalvanized.6. All tools & plants required for installation shall be arranged by Contractor.(B) CODE OF PRACTICE FOR EARTHING AND BONDING SYSTEM1. ScopeThis document covers earthing & bonding system to be adopted for signallingequipments with solid state components which are more susceptible to damage due tosurges, transients and over voltages being encountered in the system due to lightning,sub-station switching etc. These signalling equipments include Electronic Interlocking,Integrated Power supply equipment, Digital Axle counter, Data logger etc.2. Importance of EarthingThe installation and maintenance of an effective low resistance earthing system isessential due to the following -• Efficiently dissipate heavy fault currents and electrical surges, both in magnitudeand duration, to protect equipment being damaged so106

as to minimize down time, service interruption and replacement cost.• Provide a stable reference for electrical and RF circuits at the installation tominimize noise during normal operation.• Protection of personnel who work within the area from dangerous electric shockcaused due to “step potential” or “touch potential”.4. Characteristics of good Earthing system• Excellent electrical conductivity- Low resistance and electrical impedance.- Conductors of sufficient dimensions capable of withstanding high faultcurrents with no evidence of fusing or mechanical deterioration.- Lower earth resistance ensures that energy is dissipated into the ground inthe safest possible manner.- Lower the earth circuit impedance, the more likely that high frequencylightning impulses will flow through the ground electrode path, inpreference to any other path.• High corrosion resistanceThe choice of the material for grounding conductors, electrodes and connectionsis vital as most of the grounding system will be buried in the earth mass for manyyears. Copper is by far the most common material used. In addition to its inherenthigh conductivity, copper is usually cathodic with respect to other metals inassociation with grounding sites, which means that it is less likely to corrode inmost environments.• Mechanically robust and reliable.5. Location for Earth• Low lying areas close to the building or equipment are good for locating EarthElectrodes.• The location can be close to any existing water bodies or water points but notnaturally well-drained.• Dry sand, lime stone, granite and any stony ground should be avoided.• Earthing electrode should not be installed on high bank or made-up soil.6. Acceptable Earth Resistance valueThe acceptable Earth Resistance at earth busbar shall not be more than 2 ohm.7. Components of Earthing & Bonding systemThe components of Earthing & Bonding system are-Earth electrode, Earth enhancement material, Earth pit, Equi-potential earth busbar,connecting cable & tape/strip and all other associated accessories.8. Design of Earthing & Bonding system107

8.1 Earth Electrode• The earth electrode shall be made of high tensile low carbon steel circular rods,molecularly bonded with copper on outer surface to meet the requirements ofUnderwriters Laboratories (UL) 467-2007 or latest. Such copper bonded steel coredrod is preferred due to its overall combination of strength, corrosion resistance, lowresistance path to earth and cost effectiveness.• The earth electrode shall be UL listed and of minimum 17.0mm diameter andminimum 3.0mtrs. long.• The minimum copper bonding thickness shall be of 250 microns.• Marking: UL marking, Manufacturer’s name or trade name, length, diameter,catalogue number must be punched on every earth electrode.• Earth electrode can be visually inspected, checked for dimensions and thickness ofcopper coating using micron gauge. The suppliler shall arrange for such inspectionat the time of supply, if so desired.8.2 Earth Enhancement materialEarth enhancement material is a superior conductive material that improves earthingeffectiveness, especially in areas of poor conductivity (rocky ground, areas of moisturevariation, sandy soils etc.). It improves conductivity of the earth electrode and groundcontact area. It shall have following characteristics-• shall mainly consist of Graphite and Portland cement. Bentonite content shall benegligible.• shall have high conductivity, improves earth’s absorbing power and humidityretention capability.• shall be non-corrosive in nature having low water solubility but highlyhygroscopic.• shall have resistivity of less than 0.2 ohms-meter. Resistivity shall be tested bymaking a 20cm. cube of the material and checking resistance of the cube at theends. The supplier shall arrange for such testing at the time of supply, if so desired.Necessary certificate from National/ International lab for the resistivity shall alsobe submitted.• shall be suitable for installation in dry form or in a slurry form.• shall not depend on the continuous presence of water to maintain its conductivity.• shall be permanent & maintenance free and in its “set form”, maintains constantearth resistance with time.• shall be thermally stable between -10 0 C to +60 0 C ambient temperatures.• shall not dissolve, decompose or leach out with time.• shall not require periodic charging treatment nor replacement and maintenance.• shall be suitable for any kind of electrode and all kinds of soils of differentresistivity.• shall not pollute the soil or local water table and meets environmental friendlyrequirements for landfill.• shall not be explosive.• shall not cause burns, irritation to eye, skin etc.• Marking: The Earth enhancement material shall be supplied in sealed, moisture108

8.3 Backfill materialproof bags. These bags shall be marked with Manufacturer’s name or trade name,quantity etc.The excavated soil is suitable as a backfill but should be sieved to remove any largestones and placed around the electrode taking care to ensure that it is well compacted.Material like sand, salt, coke breeze, cinders and ash shall not be used because of itsacidic and corrosive nature.8.4 Earth Pit8.4.1 Construction of unit earth pit: Refer typical installation drawing no.SDO/RDSO/E&B/001.• A hole of 100mm to 125mm dia shall be augured /dug to a depth of about 2.8meters.• The earth electrode shall be placed into this hole.• It will be penetrated into the soil by gently driving on the top of the rod. Herenatural soil is assumed to be available at the bottom of the electrode so that min.150 mm of the electrode shall be inserted in the natural soil.• Earth enhancement material (minimum approx. 30-35 kg) shall be filled into theaugured/dug hole in slurry form and allowed to set. After the material gets set, thediameter of the composite structure (earth electrode + earth enhancement material)shall be of minimum 100mm dia covering entire length of the hole.• Remaining portion of the hole shall be covered by backfill soil, which is taken outduring auguring /digging.• A copper strip of 150mmX25mmX6mm shall be exothermically welded to mainearth electrode for taking the connection to the main equi-potential earth busbar inthe equipment room and to other earth pits, if any.• Exothermic weld material shall be UL listed and tested as per provisions of IEEE837 by NABL/ ILAC member labs.• The main earth pit shall be located as near to the main equi-potential earth busbarin the equipment room as possible.8.4.2 Construction of loop Earth by providing multiple earth pits• At certain locations, it may not be possible to achieve earth resistance of ≤2ohmwith one earth electrode /pit due to higher soil resistivity. In such cases, provisionof loop earth consisting of more than one earth pit shall be done. The number ofpits required shall be decided based on the resistance achieved for the earth pitsalready installed. The procedure mentioned above for one earth pit shall berepeated for other earth pits.• The distance between two successive earth electrodes shall be min. 3mtrs. andmax. upto twice the length of the earth electrode i.e. 6 mtrs. approx.• These earth pits shall then be inter linked using 25X2 mm. copper tape to form aloop using exothermic welding technique.• The interconnecting tape shall be buried at depth not less than109

500mm below the ground level. This interconnecting tape shall also be coveredwith earth enhancing compound.8.4.3 Measurement of Earth resistanceThe earth resistance shall be measured at the Main Equi-potential Earth Busbar (MEEB)with all the earth pits interconnected using Fall of Potential method as per para 37 of IS:3043.8.4.4 Inspection Chamber• A 300X300X300 mm (inside dimension) concrete box with smooth cement plasterfinish shall be provided on the top of the pit. A concrete lid, painted black, approx.50 mm. thick with pulling hooks, shall be provided to cover the earth pit.• Care shall be taken regarding level of the floor surrounding the earth so that theconnector is not too deep in the masonry or projecting out of it.• On backside of the cover, date of the testing and average resistance value shall bewritten with yellow paint on black background.8.5 Equipotential Earth Busbar and its connection to equipments & Surge protectiondevices in the Equipment room: Refer typical bonding connections drawingno.SDO/RDSO/E&B/002.8.5.1 Equi-potential earth busbarsThere shall be one equi-potential earth busbar for each of the equipment room i.e.IPS/Battery charger room and EI/Relay room. The equi-potential earth busbars located inindividual rooms shall be termed as Sub equi-potential busbars (SEEB). The equipotentialearth busbar located in the IPS /Battery charger room and directly connected toClass ‘B’ SPDs and the main earth pit shall be termed as Main equi-potential earth busbar(MEEB).The EEBs shall have pre-drilled holes of suitable size for termination of bondingconductors. The EEBs shall be insulated from the building walls. Each EEB shall beinstalled on the wall with low voltage insulator spacers of height 60mm. The insulatorsused shall have suitable insulating and fire resistant properties for this application. TheEEBs shall be installed at the height of 0.5m from the room floor surface for ease ofinstallation & maintenance. All terminations on the EEBs shall be by using copper lugswith spring washers.8.5.2 Bonding ConnectionsTo minimize the effect of circulating earth loops and to provide equi-potential bonding,“star type” bonding connection is required. As such, each of the SEEBs installed in therooms shall be directly connected to MEEB using bonding conductors. Also,equipment/racks in the room shall be directly connected to its SEEB. The bondingconductors shall be bonded to their respective lugs by exothermic welding.8.5.3 All connections i.e routing of bonding conductors from equipments to SEEB & fromSEEBs to MEEB shall be as short and as direct as possible with min. bends and separatedfrom other wiring. However, connection from SPD to MEEB shall be as short as110
