THE VEMMA <strong>COMPENSATION</strong> <strong>PLAN</strong>.THERE ARE TWO FORMS OF INCOMEWITH VEMMA.• IMMEDIATE INCOME• LONG-TERM INCOMEOur business model is designed to rewardthose people that promote the <strong>Vemma</strong> brandproducts. This is accomplished by devotingalmost our entire marketing budget to fundthe <strong>Vemma</strong> Compensation Plan. This planis based on the simple two team-buildingconcept - a left side team and a right sideteam. Since there are just two teams to build,this creates excitement as new Brand Partnersand Customers join, one after the other, downteam lines, helping more people benefit fromthe volume and creating greater leverage withinthe plan.When you enroll as a Brand Partner and placean Auto-delivery order for any <strong>Vemma</strong> productworth at least sixty (60) Qualifying Volume (QV), or as we like tosay “reward points”, you will receive access to the Back Officeand a free marketing website. When you encounter someonewanting to become a Brand Partner, you can enroll themthrough this marketing website. As soon as you qualify yourbusiness by enrolling at least one (1) active Brand Partner oneach of your left and right sides (active is defined as having anactive 60 reward point minimum Auto-delivery order on file), youare then eligible to earn immediate income.Best yet, the <strong>Vemma</strong> Compensation Plan pays out a true fiftypercent (50%) of the Commissionable Volume (CV) weekly, soyou have the opportunity to get paid every week! Your monthlyAuto-delivery order will activate your Brand Partner account forfour (4) weeks, including the volume week in which the order isplaced, plus a one (1) week grace period.2


Immediate IncomeFast Start BonusQualifications: Active with 60 reward point Autodeliveryorder on file (Brand Partners with the rank ofPlatinum and above are considered active with a 120reward point Auto-delivery order). Eligible Enrollers willreceive the Fast Start Bonus on the first order of thoseBrand Partners whom they personally enrolled. To fundthe Fast Start Bonus, each first sale will contribute halfof the order’s normal reward points.Fast Start Bonus is subject to compression. If theEnroller is inactive then the first eligible upline Enrollerwill receive the Fast Start Bonus.This bonus is not applicable in Sweden, Finland,Norway and Italy. Long-Term IncomeCycle BonusQualifications: Active Brand Partners with a120* reward point Auto-delivery order on file,along with two (2) personally enrolled activeBrand Partners, one (1) on each team.YOUAt the end of each volume period (week),<strong>Vemma</strong>’s computers search down your leftand right teams and whenever 180 rewardpoints in one team and 360 reward pointson the opposite team occur (the sides canswitch back and forth), Brand Partnersare eligible to earn a Cycle Bonus ofapproximately 20 USD **. Long-Term IncomeCycle Earnings Levels: The cycle earnings levels only apply tothe Cycle Bonus and do not affect any other areas of income inthe <strong>Vemma</strong> Compensation Plan. Once they reach the maximumcycle level earnings on that position for four (4) consecutiveweeks, a Brand Partner will be given one (1) new position aboveEarnings Level up totheir maxed position. That position will have thesame earning level limit, unless they rank advanceto the higher rank as specified below. Up to two (2)positions maximum are allowed per Brand Partner,four (4) individual positions per married couple.Brand Partner Rank25,000 USD per week/1,300,000 USD per year Brand Partner - Royal Ambassador30,000 USD per week/1,560,000 USD per year Star Royal Ambassador35,000 USD per week/1,820,000 USD per year Pinnacle LeaderFast Start will pay out on the first order on an account.It will also pay out on the first purchase of a 10-pack, 12-WeekTransformation Pack, as well as on the first purchase of aBuilder Pack, if placed within the first 60 days of the BrandPartner’s enrollment. The Fast Start Bonus will only pay out onBrand Partner orders, not Customer orders.Brand Partners will not be eligible to receive some bonusesuntil they have qualified their Brand Partnership by havinga 120 reward points Auto-delivery on file and one (1) active<strong>Vemma</strong> Brand Partner on their right side and one (1) active<strong>Vemma</strong> Brand Partner on their left team whom they personallyenrolled. Brand Partners will be able to accrue volume in theirprofit team if they are qualified. However, ifan active Brand Partner has four (4) consecutive weeks ofnon-qualification, the volume in their profit team will flush.For every consecutive week after the four (4) week flush that aBrand Partner does not qualify, no volume will accumulate onthe profit side. Any sales that they have in the power team oftheir organization will remain there until they have qualified theirBrand Partnership as long as they are active. Brand Partnerscan accumulate or bank a maximum of 2,000,000 rewardpoints in their power team.Brand Partners below the rank of Platinum are consideredactive if they have an Auto-delivery base order with a 60 rewardpoint minimum order every month. Platinum and above BrandPartners are considered active if they have anAuto-delivery base order with a 120 reward pointminimum order every month.If a Brand Partner has four (4) consecutivevolume periods* in which they are not active, allaccumulated volume in both teams will flush.At the end of every corporate 52-week period,all power team volume in excess of fifteen (15)times the total amount of the Brand Partner’smost recent four (4) week profit team volume willbe flushed, if that Brand Partner was enrolledprior to week 27. Brand Partners enrolled duringor after week 27 will not flush until the followingyear. At the start of week 1, all power team volumeexceeding the set threshold will be flushed. Thethreshold is equal to 150,000 reward points orfifteen (15) times the profit team volume generatedduring weeks 49 through 52, whichever is greater.The most recent four (4) week profit team volumeis defined as any and all generated volume thatoccurs in Brand Partner’s profit team during weeks49 through 52.After twenty-four (24) consecutive weeks withoutactivity, the Brand Partnership will be terminated.* Volume period is defined as a <strong>Vemma</strong> business period beginning on Friday at 12:00 a.m. and ending at 11:59 p.m. Thursdaynight Arizona time (as reflected in the Cycle Tracker section of Back Office).Currency Conversion BonusThe Currency Conversion Bonus is a weeklypaid prorated bonus funded by <strong>Vemma</strong> <strong>Europe</strong>.It is paid to all EU Brand Partners, who areearning Cycle Bonus, in order to compensate <strong>Europe</strong>an BrandPartners for the fluctuating rate of the American dollar. It is paidout only when the conversion rate is below the amount of 0,74.6


Long-Term IncomeEnroller Matching BonusQualifications: Active and qualified with 120 reward pointAuto-delivery order on file, in addition to four (4) personallyenrolled active Brand Partners, one (1) on each side of theirteam, two (2) anywhere else on their team.The Enroller Matching Bonus pays the Enroller ten percent(10%) on all of their personally enrolled Brand Partners’ CycleBonus earned amounts. If a Brand Partner does not meet theeligibility requirements to earn it, the Enroller Matching Bonuswill compress to the first eligible upline Enroller.A Brand Partner cannot earn both EnrollerMatching Bonus and the Second Tier MatchingBonus on the same downline Brand Partner.In the case of compression of the EnrollerMatching Bonus due to the direct Enroller’sineligibility, the Second Tier Matching Bonuswill compress as well.Second Tier Matching BonusQualifications: Active and qualified with 120 reward pointAuto-delivery order on file, in addition to six (6) personallyenrolled active Brand Partners, one (1) on each side of theirteam, four (4) anywhere else on their team.Brand Partners earn on the people that they personally enrolled,plus they are eligible to earn a ten percent (10%) MatchingBonus on all of their personal enrollees’ personally enrolledBrand Partners’ Cycle Bonus earned amounts. If a BrandPartner does not meet the eligibility requirements to earn it, theSecond Tier Matching Bonus will compress tothe first eligible upline Enroller.A Brand Partner cannot earn both EnrollerMatching Bonus and the Second Tier MatchingBonus on the same downline Brand Partner.In the case of compression of the EnrollerMatching Bonus due to the direct Enroller’sineligibility, the Second Tier Matching Bonuswill compress as well.Tier Matching Bonus CapEarnings of the Matching Bonuses up to 5,000 USD in a four(4) week rank advancement period will not require specificstructure or rank qualifications. To be eligible to earn theMatching Bonuses in excess of 5,000 USD in a four (4) weekrank advancement period, a Brand Partner must earn andmaintain the “paid as” rank of Platinum or higher.7


Long-Term IncomeMomentum BonusQualifications: Active and qualified with a 120* reward pointAuto-delivery order on file, in addition to one (1) personallyenrolled active Brand Partner on each side of their team.Additional requirements are shown in the graphs below.This bonus pays out at the end of each four (4) week rankadvancement period based upon the paid ranks achievedduring the current or previous rank advancement period.Momentum Bonus is prorated amongst all qualifiedparticipants based upon “Paid As” rank. The MomentumBonus Pool encompasses approximately three percent(3%) of the sales generated from countries that participatein the Momentum Bonus and does not include orders uponwhich we paid a Fast Start Bonus.The payout at each level may vary from periodto period. Brand Partners can participate in thepools at each Momentum pin level for a period ofno longer than twelve (12) months from the datethey first achieve that Momentum pin level. BrandPartners must have purchased a Silver Builder Packor greater within the first 60 days of enrollment. 1Brand Partners are required to be “Paid As”Diamond or above and have a “Paid As” Gold oneach side in the enrollment line and 500 rewardpoints consisting of Auto-delivery, Customer and/or Builder Pack orders from enrollership volume oneach side of the business in a four (4) week rankadvancement period.Once a Brand Partner is qualified for the PlatinumClub, they will be eligible for payout each timethey meet the requirement in a four (4) week rankadvancement period.Once qualified for this program, Brand Partners will be eligible to earnthe Platinum Club Car Bonus 2 if vehicle requirements are met andapproved by <strong>Vemma</strong> 3 . BrandPartners who achieve and maintain a “Paid As” rank of Presidential or Star Presidential for one (1) four (4) week rank advancement period while having a“Paid As” Gold on each side in the enrollment line are eligible for the 600 EUR Platinum Club Car Bonus. Brand Partners who achieve and maintain a “PaidAs” rank of Ambassador or above for one (1) four (4) week rank advancement period while having a “Paid As” Gold on each side in the enrollment line areeligible for the 800 EUR Platinum Club Car Bonus.3 A qualified Brand Partner must contact <strong>Vemma</strong> for vehicle requirements, documentation, and approval before a vehicle is purchased or leased to ensurevehicle requirements are met. Long-Term IncomeGlobal Bonus PoolThese 12-week bonus pools encourage team building and cross-line cooperation by rewarding leaders with a bonusthat encompasses two and a quarter percent (2,25%) of overall <strong>Vemma</strong> sales. To qualify for a pool of this bonus, aBrand Partner must maintain all requirements, all four (4) week periods in a Global Bonus payout timeframe. A BrandPartner must meet both the “Paid As” and the Balanced Building requirements during each of the four (4) weekperiods. Each level of this bonus Brand Partners qualify for is considered one (1) share. They can also earn a share ofany lower bonus pool up to a share of all ten (10) pools. GlossaryCV/QV - Reward Points - Equal in the <strong>Vemma</strong>Compensation Plan, both CommissionableVolume (CV) and Qualifying Volume (QV) - alsoknown as “reward points” - are the valueassociated with the specific product that allowsyou to build cycles and earn bonuses.Enroller - When you introduce a new person tothe <strong>Vemma</strong> opportunity and sign them up, youare their personal Enroller. Your Enroller is theperson who introduced you to <strong>Vemma</strong>.Sponsor - The term Sponsor refers to theperson immediately above you in the <strong>Vemma</strong>structure. You are the Sponsor of the two (2)people immediately below you, one (1) on eachside of your team.Qualify - Each Brand Partnership must be qualified to earnbonuses.
