ข้อก าหนดและเงื่อนไขส าหรับการใช้บริการ ReadyCoLo[TERM AND CONDITION FOR READYCOLO SERVICE]ข้อ 1. ค านิยาม / Definition1.1 “บริการ Co-Location” คือบริการรับฝากเครื่องคอมพิวเตอร์ภายในศูนย์ IDC (Internet Data Center) บริษัทจะจัดเตรียมพื้นที่ รวมถึงการเชื่อมต่อกับเครือข่ายอินเตอร์เน็ตหลัก (Internet Backbone) ผ่านระบบเครือข่ายคอมพิวเตอร์ระยะใกล้ (LAN) เพื่อพร้อมให้ผู้ใช้สามารถใช้บริการ และน าอุปกรณ์ต่างๆ มาติดตั้ง / "Co-Location Service" or "Service" means the service of providing computer deposit in the Internet Data Center("IDC") as prepared by COMPANY including Internet Backbone connection service through the Local Area Network ("LAN") readily for THE USER's utilization and installation of its equipment.1.2 “บริการ <strong>Dedicated</strong> Server” หมายถึงการให้บริการเช่าเครื่องคอมพิวเตอร์เซิฟเวอร์ และพื้นที่ภายในศูนย์ IDC (Internet Data Center) และผู้ใช้บริการได้ใช้พื้นที่ให้บริการได้ท าการเชื่อมต่อกับเครือข่ายอินเตอร์เน็ตของทางบริษัท/ “<strong>Dedicated</strong> Server” means the service for the computer <strong>server</strong>s and area rental in the Internet Data Center ("IDC") and THE USER is able to connect the Internet network ofCOMPANY.1.3 “บริการอื่นๆ” คือบริการสนับสนุนที่บริษัทเสนอไว้เป็นทางเลือก เพื่อให้ผู้ใช้เลือกใช้หรือไม่ใช้บริการแต่ละรายการได้ตามต้องการ เช่น การเชื่อมต่ออินเตอร์เน็ตความเร็วต่างๆ บริการเช่าใช้ Firewall ฯลฯ / "OtherServices" means optional support services to be used by THE USER such as any speed internet connection, firewall rent, and etc.1.4 “ค่าใช้บริการ” คือ ค่าบริการที่ผู้ใช้บริการจ่ายตอบแทนการใช้บริการที่ก าหนดไว้ใน<strong>ใบสมัครใช้บริการ</strong>ด้านหน้า ทั้งนี้เป็นค่าบริการที่ก าหนดเพื่อผู้ใช้บริการนี้เท่านั้น ซึ่งได้รวมส่วนลด และรายการส่งเสริมการขายแล้ว / "Service Fees" means the fees to be paid by THE USER for the service specified in the application form hereof as already included any discount and sale promotion and offered to THE USER only.1.5 “งวดการช าระค่าใช้บริการ” คือ รอบเวลาการจ่ายค่าใช้บริการรายเดือน โดยจ่ายล่วงหน้าไม่น้อยกว่า 7 วันก่อนวันเริ่มต้นรอบระยะเวลาการใช้บริการแต่ละเดือน / "Service Fee Payment Date" means monthlypayment date made by THE USER 7 days in advance before starting date of Round of Service Use.1.6 “บริการขัดข้อง” คือ เหตุขัดข้องในการให้บริการเนื่องมาจากการขัดข้องทางเทคนิคของเครื่อง หรืออุปกรณ์ของบริษัท อันมีผลกระทบท าให้ผู้ใช้บริการไม่สามารถใช้บริการตามสัญญานี้ได้ / "Service Interruption"means any interruption due to technical errors or malfunction of COMPANY's equipment which are affected THE USER's availability to use Services herein.ข้อ 2. ภาษีอากร/ Taxes and Duties2.1 ค่าใช้บริการข้างต้นไม่คิดรวมภาระภาษีใดๆ ซึ่งผู้ใช้บริการจะรับผิดชอบภาษีที่เกี่ยวเนื่องกับค่าตอบแทนที่ผู้ใช้บริการช าระแก่บริษัทตามสัญญานี้ ไม่ว่าจะเป็นภาษีมูลค่าเพิ่มหรือภาษีอื่นใดในท านองเดียวกัน ซึ่งบริษัททรงไว้ซึ่งสิทธิที่จะบอกกล่าวและเรียกเก็บจากผู้ใช้บริการตามกฎหมาย และหากผู้ใช้บริการร้องขอ บริษัทต้องจัดส่งต้นฉบับหรือส าเนารับรองถูกต้อง เพื่อเป็นหลักฐานแสดงการช าระค่าภาษีดังกล่าวให้แก่ผู้ใช้บริการ /Service Fees as mentioned above shall be made free and clear of any taxes relating to service fees such as VAT or another tax which shall be paid by THE USER and COMPANY shall have the right to call for suchtaxes from THE USER under the related tax. In case as requested by THE USER, COMPANY shall send to THE USER original or certified true copy of tax receipt evidencing such taxes payment.2.2 ในกรณีที่ผู้ใช้บริการละเลยหรือเพิกเฉยไม่ช าระภาษีตามสัญญาข้อ 2.1 ผู้ใช้บริการจะชดใช้ให้แก่บริษัทเต็มจ านวนส าหรับค่าภาษี ค่าธรรมเนียมใดๆ ค่าดอกเบี้ย ค่าปรับ ภาระผูกพัน และค่าใช้จ่ายอื่นๆอันเกี่ยวเนื่องกับสัญญานี้ที่ได้เรียกเก็บโดยชอบด้วยกฎหมายและบริษัทได้ส ารองจ่ายไป / In case THE USER fails to make taxes payment as specified in Clause 2.1, THE USER shall provide COMPANY fullresponsibility for such taxes, fees, interests, penalties, encumbrances, and any other expenses in connection with this Agreement in consistent with lawful as advanced by COMPANY.ข้อ 3. เงื่อนไขการช าระเงิน / Terms of Paymentผู้ใช้บริการตกลงแบ่งช าระค่าบริการแก่บริษัทดังนี้ / Payment of Service Fees shall be made by THE USER as follows :3.1 ค่าบริการรายเดือน และค่าใช้บริการอื่นๆ ผู้ใช้บริการตกลงช าระล่วงหน้าไม่น้อยกว่า 7 (เจ็ด) วันก่อนวันเริ่มต้นรอบเวลาการใช้บริการในแต่ละเดือน ทั้งนี้บริษัทจะจัดส่งใบแจ้งหนี้ ล่วงหน้าแก่ผู้ใช้บริการไม่น้อยกว่า15 (สิบห้า) วันก่อนวันครบก าหนดช าระค่าบริการ/ - Monthly Fees and other service charges shall be made 7 days in advance prior to the starting date of each Round of Service Use. COMPANYshall send THE USER the invoice of Service Fees by not less than 15 days before Service Fee Payment due Date.3.2 ในกรณีที่ผู้ใช้บริการผิดนัดไม่ช าระค่าใช้บริการงวดใดงวดหนึ่ง ผู้ใช้บริการต้องช าระดอกเบี้ยในอัตราร้อยละ 15 (สิบห้า) ต่อปี คิดค านวณจากจ านวนเงินที่ถึงก าหนดช าระแล้ว ทั้งนี้หากผู้ใช้ค้างช าระค่าใช้บริการ 2 งวดติดต่อกัน และบริษัทได้ท าการแจ้งเตือนให้ผู้ใช้บริการช าระหนี้ภายใน 7 วันท าการนับแต่วันที่ลงในหนังสือ หากพ้นก าหนดระยะเวลาดังกล่าว บริษัทมีสิทธิบอกเลิกสัญญาและ/หรือระงับการให้บริการได้ทันที /In the eventthe THE USER fails to make payment of Service Fee of each Monthly Service Use, an interest shall be imposed at the rate of 15% per year on any amount due. In case THE USER fails to make payment of services fee 2consecutive period, a notice shall have given to THE USER, if any required payment thereof has not been received by COMPANY after 7 business days from notice Date, COMPANY shall be entitle to terminate thisAgreement and /or suspend the service immediately.ข้อ 4. ความรับผิดชอบ / Responsibilities4.1 บริษัทจะบ ารุงรักษาพื้นที่ สภาพแวดล้อม สิ่งอ านวยความสะดวกต่างๆ และเครื่อง/อุปกรณ์ของบริษัท ภายในศูนย์ IDC ให้อยู่ในสถานภาพที่ใช้งานได้อย่างมีประสิทธิภาพ โดยบริษัทเป็นผู้ดูแลรับผิดชอบการท างานของเครื่อง อุปกรณ์ ระบบปฏิบัติการ โปรแกรมต่างๆ เพื่อเชื่อมต่อกับเครือข่ายอินเตอร์เน็ต แต่ไม่รวมถึงการจัดเก็บ และบริหารข้อมูลซึ่งบริษัทจะถือเป็นอ านาจในการเข้าถึงของผู้ใช้บริการเท่านั้น / COMPANY shallmaintain and keep location, environment, facilities and equipment within IDC in good condition and ready for the " Service". COMPANY shall be responsible for working of such equipment, processing system , andprograms in order to connect to the internet backbone, excluding data collection and administration which COMPANY will consider THE USER to have an exclusive authority to access such information.4.2 ผู้ใช้บริการต้องท าการนัดหมาย หรือแจ้งให้เจ้าหน้าที่ของบริษัท ทราบล่วงหน้าเป็นลายลักษณ์อักษร หรือมีเอกสารที่สามารถอ้างอิงได้ก่อนทุกครั้ง ผ่านทางศูนย์ Hotline service 24 ชม. ดังรายละเอียดในสัญญาข้อ 5.รวมถึงในกรณีที่ผู้ใช้บริการต้องการปรับเปลี่ยน ดัดแปลง แก้ไข หรือขนย้าย อุปกรณ์ใดๆ ภายในศูนย์ IDC ทั้งนี้การด าเนินการใดๆ อันมีผลกระทบต่ออุปกรณ์ของศูนย์ IDC ต้องได้รับความยินยอมจากบริษัทก่อน และต้องมีการแจ้งเป็นลายลักษณ์อักษร หรือมีเอกสารที่สามารถอ้างอิงได้ทุกครั้ง / THE USER shall make appointment in advance, with prior written notice or any other documents referable to such appointment through 24 hoursHotline Service Center as specified in Clause 5. Notwithstanding as aforesaid, THE USER shall be able to do nothing which may have effect with equipment of IDC without written consent of COMPANY.4.3 ผู้ใช้บริการสามารถเข้าไปท างานที่จุดเชื่อมต่อระบบความเร็วสูง (Access Point) ที่บริษัทจัดตั้งไว้ได้ โดยต้องท าการนัดหมาย หรือแจ้งให้เจ้าหน้าที่ของบริษัททราบล่วงหน้าเป็นลายลักษณ์อักษรหรือเอกสารที่สามารถอ้างอิงได้ก่อนทุกครั้ง ผ่านทางศูนย์ Hotline service 24 ชม. ดังรายละเอียดในสัญญาข้อ 5. / THE USER shall be able to enter into Access Point by making prior appointment with or providing noticeto COMPANY in advance, or any other documents referable to such appointment through 24 hours Hotline Service Center as specified in Clause 5.4.4 ผู้ใช้บริการต้องใช้ความระมัดระวัง ก ากับดูแล และต้องไม่ใช้บริการตามสัญญานี้ ไปในทางที่ก่อให้เกิดการล่วงละเมิดสิทธิของบุคคลอื่น บุกรุกระบบคอมพิวเตอร์ใดๆ ที่ผู้ใช้บริการไม่ได้รับอนุญาตให้เข้าไปใช้งาน รวมถึงไม่กระท าการใดๆ ที่เป็นอันตราย ขัดต่อกฎหมาย ความสงบเรียบร้อยและศีลธรรมอันดีของประชาชน หรือเป็นภัยต่อความมั่นคงของประเทศ หากการกระท าใด ๆ ของผู้ใช้บริการก่อให้เกิดความเสียหายต่อบุคคลอื่น ผู้ใช้บริการต้องรับผิดชอบแต่เพียงผู้เดียว ทั้งนี้ หากบริษัทตรวจสอบพบการกระท าผิดของผู้ใช้บริการ จะท าการระงับการให้บริการชั่วคราวโดยไม่จ าเป็นต้องแจ้งให้ทราบล่วงหน้า จนกว่าจะแก้ไขเหตุการณ์ดังกล่าว/ THE USER shall use reasonable care in the supervision and utilization of the Services and shall not use such Service in suc h a way as to violate the other’s rights, access to any computer systemwithout permission, do any act which is harmful, contrary to the laws or against public order and good morals of the people, or which is prejudicial to the peace and security of the country. If any act of the User causesthe loss or damages to the third party, the User shall be solely responsible for such loss and damages. In the event COMPANY detected a violation of the user, COMPANY shall suspend the service without prior noticeuntil such event will be remedy.4.5 ผู้ใช้บริการจะต้องไม่น าบริการตามสัญญานี้ ไปใช้ในทางธุรกิจการค้า หรือในเชิงพาณิชย์ใดๆ ไม่ว่าจะโดยทางตรงหรือทางอ้อม หรือให้บริการต่อ (Resale) ไม่ว่าจะมีวัตถุประสงค์แสวงหาก าไรหรือไม่ก็ตาม เช่นการน าพื้นที่บนเครื่องคอมพิวเตอร์ไปขายต่อ โดยไม่ได้รับความยินยอมจากบริษัท การฝ่าฝืนเงื่อนไขดังกล่าวถือว่าเป็นการละเมิดเงื่อนไขการให้บริการตามสัญญานี้ ซึ่งผู้ใช้บริการจะต้องชดใช้ค่าเสียหายอันเป็นผลจากการฝ่าฝืนนั้น / THE USER shall not use the Service under this Agreement for any direct or indirect business or commercial purpose, of which nature is similar to the Service provided by COMPANY herein, orresale, regardless of whether or not profits are made by without COMPANY’ s consent. The breach of such condition shall be de emed a breach of condition of service. Any loss or damages, as a result of such breach,shall be solely responsible by THE USER.4.6 บริษัทไม่มีหน้าที่ควบคุม ตรวจสอบ ป้องกัน เก็บรักษาหรือด าเนินการอื่นใด ต่อความเสียหายอันเกิดจาก: / COMPANY shall not be liable to control, examine, protect, maintain, or any other actfor any damage caused by circumstance as follows:4.6.1 การด าเนินการปรับเปลี่ยน ดัดแปลง หรือแก้ไข เครื่องคอมพิวเตอร์ อุปกรณ์ และระบบต่างๆ โดยบุคคลภายนอก หรือบุคคลอื่นที่มิได้รับการเห็นชอบจากบริษัท / Any change, modification, or fix ofcomputer, equipment and any system made by third party or any other person without consent of COMPANY4.6.2 ความล่าช้า ผิดพลาด ขาดตกบกพร่อง การขัดข้องของวงจรสื่อสาร หรือเหตุการณ์อื่นๆ ซึ่งเป็นเหตุพ้นวิสัยของบริษัท/ Any delay, error, failure, communication circuit interruption, or any other circumstancebeyond control of COMPANY.

4.7 บริษัทไม่ต้องรับผิดชอบในความเสียหายอย่างใดๆ ที่เกิดแก่ผู้ใช้บริการ ไม่ว่าจะเป็นค่าเสียหายหรือประโยชน์ทางธุรกิจ หรือประโยชน์อื่นใดที่ผู้ใช้บริการพึงได้รับจากการใช้บริการตามสัญญานี้นอกจากการหักลดค่าใช้บริการให้แก่ผู้ใช้บริการเท่านั้น/In no event, except for Reduction of Service Fee specified herein, shall COMPANY be liable for any direct, indirect, incidental or consequential damages or loss ofprofits or revenues whether foreseeable or not occasioned by any defect, or by reason of an outage or failure in the Service, or the provision or any delay in the provision of services to THE USER or any other causeswhatsoever.ข้อ 5. การบอกกล่าว / Notices5.1 การบอกกล่าวใดๆ ตามสัญญานี้ต้องท าเป็นลายลักษณ์อักษร หรือมีเอกสารที่ใช้อ้างอิงได้ และส่งถึงคู่สัญญาอีกฝ่ายหนึ่ง ณ สถานที่อยู่และให้ถือว่ามีผล ณ วันที่คู่สัญญาได้รับตามที่อยู่ ที่ระบุไว้ในสัญญาข้อ 5.2 ทั้งนี้ให้ส่งโดยทางโทรสาร ทางอีเมล์ หรือทางไปรษณีย์ลงทะเบียนตอบรับ Any notice required or provided under this Agreement shall be in writing or any other referable document and may be served pe rsonally, byregistered mail, electronic mail, or facsimile, and shall be deemed effective upon receipt by the party at the address specified in Clause 5.2 hereof.5.2 การส่งค าบอกกล่าวตามข้อ5.1 ให้ส่งถึงบุคคลและสถานที่ดังนี้ / COMPANY and THE USER specify their respective addresses as follows5.2.1 ฝ่ายบริษัท / For Companyที่อยู่ ………………………………………………………………………. COMPANY shall be liable for damages, provided that maximum amount is capped at monthly fees forthat service.กรณีดังต่อไปนี้ไม่ให้ถือว่าเป็นกรณีบริการขัดข้องตามสัญญานี้ / Such event following shall not be considered as Service Interruption under this Agreement.6.1 ในกรณีที่มีเหตุขัดข้องในการให้บริการ หรือเหตุอื่นใดที่ไม่ได้อยู่ในภาวะที่บริษัทจะสามารถควบคุมหรือป้องกันได้ รวมถึงการขัดข้องของบริการอันเนื่องจากปรากฏการณ์ทางธรรมชาติ หรือเหตุอันเ นื่องมาจากการซ่อมบ ารุงระบบ หรืออุปกรณ์ใดๆ ซึ่งบริษัทได้แจ้งให้ผู้ใช้บริการได้ทราบเป็นลายลักษณ์อักษร หรือทางอีเมล์ล่วงหน้าอย่างน้อย 7 (เจ็ด) วัน พร้อมแจ้งระยะเวลาในการด าเนินการ ทั้งนี้รวมถึงกรณีเร่งด่วนซึ่งบริษัทจะแจ้งให้ผู้ใช้บริการทราบล่วงหน้าอย่างน้อย 3 วัน แล้วไม่ให้ถือว่าเป็นกรณีบริการขัดข้องตามสัญญานี้ / In case of Service Interruption or any other circumstance beyond reasonable control of COMPANY including naturalphenomena, or maintenance of system or any equipment as informed in advance by COMPANY of its seven (7) days written notice o r e-mail with such managed period. In the urgent case, COMPANY will notify at least 3days in advance. Such event shall not be considered as Service Interruption under this Agreement.6.2 ในกรณีที่มีเหตุขัดข้องในการให้บริการ เพราะความบกพร่องในอุปกรณ์ของผู้ใช้บริการไม่ว่าผู้ควบคุมหรือใช้อุปกรณ์นั้นจะเป็นใคร หรือเกิดจากการกระท าของใคร ไม่ให้ถือเป็นเหตุในการหักลดค่าใช้บริการที่ต้องช าระตามสัญญานี้ / In case of Service Interruption due to any defect of THE USER's equipment whether operating or controlling the equipment or the act by whoever. Such event shall not be considered as ServiceInterruption under this Agreement.6.3 ในกรณีที่มีการระงับให้บริการชั่วคราวอันเนื่องมาจากการที่ผู้ใช้บริการผิดนัดช าระค่าใช้บริการหรือค่าบริการอื่นใดที่ก าหนดในสัญญานี้ หรือการระงับการให้บริการแก่ผู้ใช้บริการอันเนื่องจากผู้ใช้บริการปฏิบัติผิดเงื่อนไขในสัญญานี้ ผู้ใช้บริการไม่มีสิทธิหักลดค่าใช้บริการในช่วงที่มีการระงับการใช้บริการดังกล่าว และหากการกระท าใดๆ ของผู้ใช้บริการก่อให้เกิดความเสียหายต่อบุคคลอื่น ผู้ใช้บริการต้องรับผิดชอบแต่เพียงฝ่ายเดียว /No reduction of Service Fee shall be made in case of suspension of Service is the result of THE USER's default or failure to make any payment of fees or charges when due, or breach any of its obliga tions under thisAgreement. In addition, THE USER shall be liable for any damages occurred hereof.ข้อ 7. เหตุสุดวิสัย / Force Majeureคู่สัญญาทั้งสองฝ่าย ไม่ต้องรับผิดชอบในกรณีที่ไม่อาจปฏิบัติตามสัญญานี้ได้ ถ้าหากการที่ไม่อาจปฏิบัติตามสัญญาได้นั้น เกิดจากเหตุสุวิสัยอันอยู่นอกเหนือการควบคุมของคู่สัญญาและเป็นเหตุที่ไม่อาจป้องกันได้แม้ว่าจะได้ใช้ความระมัดระวังตามสมควรแล้ว / Neither party hereto shall be liable for failure in performance of its obligations under this Agreement due to any cause or circumstances beyond its control and protection eventhough due care.ข้อ 8. การโอนสิทธิให้บุคคลอื่น/ Assignmentในระหว่างอายุสัญญานี้ หรือระยะเวลาที่มีการขยายออกไป ผู้ใช้บริการจะไม่โอนสิทธิหรือหน้าที่ตามสัญญานี้ให้แก่บุคคลอื่นโดยไม่ได้รับความยินยอมเป็นลายลักษณ์อักษร จากบริษัทก่อน และหากได้รับความยินยอมดังกล่าวแล้ว ผู้ใช้บริการจะเป็นผู้ช าระค่าใช้บริการทั้งหมดตามสัญญานี้ และปฏิบัติภาระหน้าที่ทั้งปวงของผู้ใช้บริการ และจะแจ้งให้ผู้รับโอนได้ทราบและยอมรับปฏิบัติตามเงื่อนไขและก าหนดเวลาในสัญญานี้ / During theterm of this Agreement or further extension, if any, THE USER shall have no rights to assign any of its rights or obligations herein to any person without prior written consent of COMPANY. In case of permittedassignment, any and all obligations as well as payment obligations of THE USER shall remain in full force and effect. In addi tion, THE USER shall inform and procure its permitted assignee to acknowledge and complywith all terms and conditions of this Agreement.ข้อ 9. การสิ้นสุดสัญญา / Termination9.1 ข้อก าหนดและเงื่อนไขในสัญญานี้ถือเป็นสาระส าคัญของสัญญา ในกรณีที่ผู้ใช้บริการไม่ปฏิบัติตามข้อก าหนดและเงื่อนไข เป็นเหตุให้บริษัทหรือบุคคลภายนอกได้รับความเสียหาย บริษัทมีสิทธิระงับการให้บริการหรือบอกเลิกสัญญาได้ทันทีโดยไม่ต้องแจ้งให้ทราบล่วงหน้า และผู้ใช้บริการจะต้องช าระค่าใช้ที่ค้างช าระทั้งหมด และค่าปรับในอัตราร้อยละ.........ของค่าใช้บริการอินเตอร์เน็ตส าหรับระยะเวลาการใช้บริการที่เหลือ พร้อมทั้งช าระค่าชดเชยส่วนลด หรือรายการส่งเสริมการขายอื่นๆ ที่บริษัทได้มีการปรับลดให้จากการตกลงเข้าใช้บริการตามปริมาณและหรือตามก าหนดระยะเวลาที่ได้มีการใช้บริการจริง ตามค่าบริการปกติเต็มจ านวนตามที่ก าหนดใน<strong>ใบสมัครใช้บริการ</strong>ด้านหน้า ภายใน 15 (สิบห้า) วันนับแต่วันที่สัญญาสิ้นสุดลง/ Terms and conditions stated in the Agreement are substantial. The breach of such terms and conditions shall result the immediate servicediscontinuation or termination of the Agreement, without giving notice in advance. In such case, THE USER shall pay to COMPANY all outstanding payments together with a liquidated damages in the amount equivalentto ….....% of the Service Fee for remaining terms and agrees to compensate COMPANY for all discounts and other sale promotio ns made by COMPANY for its consideration of volume and/or term of Service actuallyused by THE USER in accordance with Regular Service Fees as specified in the application form hereof within fifteen (15) days from the date of termination.

9.2 ในกรณีผู้ใช้ประสงค์จะบอกเลิกสัญญาก่อนสัญญาสิ้นสุดลง ผู้ใช้จะต้องแจ้งการบอกเลิกสัญญาให้บริษัททราบเป็นลายลักษณ์อักษรทราบล่วงหน้าอย่างน้อย 30 (สามสิบ) วัน โดยผู้ใช้บริการจะต้องช าระค่าใช้ที่ค้างช าระทั้งหมด และค่าปรับในอัตราร้อยละ.........ของค่าใช้บริการอินเตอร์เน็ตส าหรับระยะเวลาการใช้บริการที่เหลือ พร้อมทั้งช าระค่าชดเชยส่วนลด หรือรายการส่งเสริมการขายอื่นๆ ที่บริษัทได้มีการปรับลดให้จากการตกลงเข้าใช้บริการตามปริมาณและหรือตามก าหนดระยะเวลาที่ได้มีการใช้บริการจริง ตามค่าบริการปกติเต็มจ านวนตามที่ก าหนดใน<strong>ใบสมัครใช้บริการ</strong>ด้านหน้าภายใน 15 (สิบห้า) วันนับแต่วันที่สัญญาสิ้นสุดลง/ In case THEUSER wishes to terminate the Agreement prior to the end of the term, THE USER shall notify COMPANY in writing not less than t hirty (30) days in advance and shall pay to COMPANY all outstanding paymentstogether with a liquidated damages in the amount equivalent to ….....% of the Service Fee for remaining terms and agrees to compensate COMPA NY for all discounts and other sale promotions made by COMPANY forits consideration of volume and/or term of Service actually used by THE USER in accordance with Regular Service Fees as specified in the application form hereof within fifteen (15) days from the date of termination .9.3 เมื่อสัญญาสิ้นสุดลงไม่ว่าเพราะเหตุใดๆ ผู้ใช้บริการจะต้องด าเนินการขนย้ายเครื่อง และอุปกรณ์ ออกจากศูนย์ IDC ภายในระยะเวลา 30 (สามสิบ) วันนับจากบอกเลิกสัญญา หากพ้นวันที่ก าหนดบริษัทจะไม่รับผิดชอบต่อความเสียหายที่อาจเกิดขึ้น / In case of the termination, THE USER shall remove its computers and equipment from IDC within thirty (30) days from the date of termination. If THE USER fails to do so,COMPANY shall be no liable for any damage which may be occurred.เมื่อพ้นก าหนดการด าเนินการขนย้ายดังวรรคก่อนแล้ว หากผู้ใช้บริการไม่มาขนย้ายเครื่อง และอุปกรณ์คืน บริษัทจะเก็บเครื่อง และอุปกรณ์ นั้นไว้ต่ออีก 30 (สามสิบ) วันโดยคิดค่าใช้จ่ายตามอัตราที่บริษัทประกาศไว้เป็นคราวๆไปโดยผู้ใช้บริการ ยินยอมให้คิดเงินค่าเก็บรักษาได้เต็มจ านวน เมื่อพ้นก าหนดเวลาในข้อนี้แล้วผู้ใช้บริการยังคงไม่มารับสินค้าคืน บริษัทสามารถด าเนินการใดๆเกี่ยวกับเครื่อง และอุปกรณ์ได้ทุกกรณีเพื่อเป็นการลดภาระในการบริหารพื้นที่ภายในห้องเชื่อมต่อศูนย์บริการและห้องเก็บอุปกรณ์ หรืออาจน าไปใช้สอยหรือท าเป็นหลักประกันได้ โดยผู้ใช้บริการจะไม่เรียกร้องค่าเสียหายใดๆทั้งสิ้น และหากครบก าหนดเวลาตามที่ต่อหรือขยายแล้วหรือค่าใช้จ่ายในการเก็บรักษาซึ่งอาจรวมกับจ านวนหนี้อื่นที่ยังค้างช าระอยู่นั้นสูงเกินกว่าราคาเครื่องและอุปกรณ์ แล้วแต่เหตุอย่างใดอย่างหนึ่งถึงก่อน บริษัทอาจน าไปขายทอดตลาดเพื่อใช้เป็ นค่าใช้จ่ายในการเก็บรักษาเครื่องและอุปกรณ์นั้นและน ามาช าระหนี้อื่นที่คงค้างอยู่ได้ หรือบริษัทอาจท าลายเครื่องหรืออุปกรณ์นั้นเสียก็ได้ ซึ่งหากมีค่าใช้จ่ายใดๆเกิดขึ้นจากการนี้ผู้ใช้บริการยินยอมรับผิดชอบทั้งสิ้นAccording to paragraph above, THE USER does not remove its computers & equipment from IDC. COMPANY will hold back its computers & equipment for thirty (30) further days and will be charged therates subjecting to the announcement by COMPANY from time to time which the payment will be paid in full. If it is lapsed and THE USER is ignore. COMPANY is able to carry out the computer & equipment in allcases for less burden of IDC area management and storage room or facility or guarantee by without any claim by THE USER. For extension terms due or the storage expenses and any outstanding debts, as the case may beis more than the price of its computers & equipment, which is reach in prior. COMPANY is able to manage in public auction to subsidize the storage expenses and the outstanding debts or might destroy i ts computers &equipment, which any expenses has occurred, shall be borned by THE USER.9.4 กรณีสัญญาสิ้นสุดลงไม่ว่าเพราะเหตุใดๆ และผู้ใช้บริการยังมีหนี้ค้างช าระกับบริษัท บริษัทสงวนสิทธิ์ในการยึดหน่วงเครื่อง และอุปกรณ์ใดๆ ของผู้ใช้บริการ โดยมิให้น าออกจากศูนย์ IDC ทั้งนี้บริษัทจะน าเครื่องและอุปกรณ์ของผู้ใช้บริการมาเก็บไว้ ณ พื้นที่ส่วนกลางที่บริษัทจัดเตรียมโดยคิดค่าใช้จ่ายตาม อัตราที่บริษัทประกาศไว้เป็นคราวๆไปโดยผู้ใช้บริการยินยอมให้คิดเงินค่าเก็บรักษาได้เต็มจ านวน หากผู้ใช้บริการยังไม่ด าเนินการช าระหนี้ให้แล้วเสร็จภายในระยะเวลา 3 เดือนนับแต่วันที่สัญญาสิ้นสุด บริษัทมีสิทธิในการน าเครื่องและอุปกรณ์ของผู้ใช้บริการออกจ าหน่ายเพื่อน าเงินมาช าระหนี้ค่าใช้บริการที่ค้างช าระและค่าใช้จ่ายในการเก็บอุปกรณ์ ทั้งนี้หากเงินที่ได้จากการจ าหน่ายอุปกรณ์ดังกล่าวไม่พอช าระหนี้ค่าใช้บริการและค่าใช้จ่ายที่ค้างช าระผู้ใช้บริการตกลงช าระ ให้แก่บริษัทจนครบถ้วน In case this Agreement termination and THE USER hasoutstanding debt with COMPANY, COMPANY reserves the right to retain its computers & equipment of THE USER, unable to remove its computers & equipment from IDC. The Company will storage its computers &equipment at the central area provided by COMPANY in the rate as the announcement by COMPANY from time to time, which the payment will be paid in full. If THE USER fails to complete settlement within three(3) months from the date of termination. COMPANY is entitled to sell its computers & equipment to subsidize the outstanding debts and storage expenses. In case of the outstanding debt and the storage expenses areover the equipment sale price, COMPANY has the right to claim in surplus in full.ข้อ 10 .การตีความสัญญา/ Interpretationในการตีความสัญญาที่แตกต่างกันระหว่างภาษาอังกฤษและภาษาไทย ให้ถือข้อความภาษาไทยเป็นหลักในการตีความสัญญา/Meaning in Thai is valid if it is construed diffeently from meaning in English.ข้อ 11. เอกสารแนบท้ายสัญญา/ Annexesคู่สัญญาทั้งสองฝ่ายตกลงให้เอกสารแนบท้ายสัญญา ถือเป็นส่วนหนึ่งของสัญญา และหากเอกสารแนบท้ายมีข้อความขัดหรือแย้งกับข้อความในสัญญา ให้ถือเอาข้อความในสัญญาฉบับนี้เป็นส าคัญ / COMPANYand THE USER agree that the Annex attached hereto shall be a part of this Agreement. In case of any discrepancy of the terms and conditions of this Agreement and the Annex, this Agreement shall prevail.
