Incontrary terms and conditions of the buyer are excluded also if we haven´t contradicted explicit to it.2.OffersOffer are always reserved to alteration. All measurements in our catalogue and brochures are not binding. We reserve the rightof model tolerances due to technical or production reasons. An order is accepted only if the seller confirmed in written form orgoods are delivered. All contracts arranged from the sellers representatives and additional agreements need a writtenconfirmation to be effective.3.Terms of deliveryDeliveries are executed ex works at buyer´s own risk excluding packaging. Delivery dates are not binding except they areconfirmed explicit from us in written form. In this case of default of delivery at sellers fault a suitable extended delivery timeneed to be agreed with a minimum of three weeks. If this period has expired unsuccessfully it´s the buyer´s right to withdrawfrom the contract in written form.In case of force majeure, production interruptions or difficulties in sourcing raw material the seller has the right to withdrawfrom the contract. Partial deliveries are admissable. In case of delivery refusal of acceptance we refer to the §373 german HGB.4.Terms of dispatchThe dispatch is carried out ex stock Illingheimer Str. 10 or suppliers destination on the buyers risk. Packaging is charged tomanufacturing costs. Wooden boxes and recycable packaging will be credited at 2/3 of the invoiced price.Organization and selection of forwarding agents and means of transport is executed by the seller as far as nothing incontrary isagreed with the buyer. The transport risk turn to the buyers site if the consignment is handed over to the forwarding agent.Transport damages and other risks during transportation are only insured on customer request. The dispatch is executedaccording to the AdSp (Terms of german transport organization) to the buyers indicated address. The buyer is obliged to checkthe incoming goods according the §§ 377 and 378 HGB within the time stipulated.5.Terms of paymentThe terms of payment are if nothing incontrary is agreed: Within 8 days from invoice date or with 2% discount after 30 daysnet. If the due payment date is exceeded it´sthe sellers right to charge an interest rate of 5% above the actual base interest rate of the european central bank.If the buyers credit rating becomes doubtful it´s the sellers right to demand immediate payment of the whole debited chargedamount.6.WarrantyThe buyer is obliged to check incoming goods according to point 4). Any defects or faults need to be indicated to the sellerimmediately in written form. Hidden defects and faults immediate after discovery. If the seller doesn´t get this indication fromthe buyer within the due period further claims are excluded. The warranty period is one year based on the invoice date.In case of any claims it´s the sellers right to rework of replace the products up to two times based on agreed leadtimes with thebuyer. After an unsuccesful second rework or replace the buyer could withdraw from the contract.A recourse to the supply chain is only possible if the claim existed already at the day of delivery.
