COMPANY LIMITED BY GUARANTEE<strong>The</strong> Company has been incorporated under the Companies Ordinance as a company limited byguarantee without share capital. <strong>The</strong> Company’s registered office is located at Room 701,Hoseinee House, 69 Wyndham Street, Central, Hong Kong. Under the provision of itsMemorandum and Articles of Association, every member shall, in the event of the Company beingwound up, contribute such amount as may be required to meet the liabilities of the Company butnot exceeding the sum of HK$100 each.2. PRINCIPAL ACCOUNTING POLICIES<strong>The</strong> financial statements are prepared under the historical cost convention. <strong>The</strong> principalaccounting policies which have been adopted in the preparation of the financial statements andwhich conform with accounting principles generally accepted in Hong Kong are as follows:(a)Basis of preparation of financial statements<strong>The</strong>se financial statements have been prepared in accordance with all applicable Hong KongFinancial <strong>Report</strong>ing Standards (“HKFRSs” which term collectively include all applicable HongKong Financial <strong>Report</strong>ing Standards, Hong Kong Accounting Standards (HKAS) andInterpretations) issued by the Hong Kong Institute of Certified Public Accountants,accounting principles generally accepted in Hong Kong and the disclosure requirements ofthe Hong Kong Companies Ordinance.<strong>The</strong> Company had adopted all HKFRSs issued up to 30th September <strong>2006</strong> pertinent to itsoperations. <strong>The</strong> applicable HKFRSs are set out below:NumberTopicHKAS 1Presentation of financial statementsHKAS 7Cash flow statementsHKAS 8Accounting policies, changes in accounting estimates and errorsHKAS 10Events after balance sheet dateHKAS 16Property, plant and equipmentHKAS 17LeasesHKAS 18RevenueHKAS 19Employee benefitsHKAS 32Financial instruments: disclosure and presentationHKAS 36Impairment of assetsHKAS 39Financial instruments: recognition and measurementHKAS 39 Amendment Transition and initial recognition of financial assets and financialliabilities<strong>The</strong> adoption of the HKASs 1, 8, 10, 16, 17, 18, 19, 32, 36 and 39 has not had anysignificant impact on the Company’s accounting policies.<strong>The</strong> impact of adopting the other HKFRSs are summarised as follows:HKAS 7 Cash Flow Statements ("HKAS 7")HKAS 7 has removed the exemption from preparing a cash flow statement for the entitieswith revenue of less than HK$20 million per annum.38
