club to which she is transferring. All membership records shall be clarified sixty (60) days prior tothe date <strong>of</strong> any <strong>Federation</strong> convention in order to serve as a delegate.C. ASSOCIATE MEMBERSHIPSSection 1. Associate membership may be granted by a local club only to women who are regularmembers <strong>of</strong> another Federated local club or who are not citizens. Such membership shall notgrant the privilege <strong>of</strong> making motions, nominations, voting or holding <strong>of</strong>fice. Associate membersshall not be eligible to serve as convention delegates or be counted in establishing a quorum.Section 2. REPUBLICAN MEN may be eligible for Associate Membership in a local club uponpayment <strong>of</strong> the required dues for Associate Members. Such members may attend meetings butshall not make motions, have voice or vote, be on a committee, hold <strong>of</strong>fice, or be counted for thepurpose <strong>of</strong> determining the number <strong>of</strong> delegates to National, State, Division, or Countyconventions, nor be used in establishing a quorum. They shall be entitled to membership in localclubs only, and they do not become members <strong>of</strong> the State or National <strong>Federation</strong>s.Section 3. ALL OTHER categories shall be regular members and must be included in per capitareports.ARTICLE VI - POLICYSection 1. The state, division, county or local club presidents and Northern and Central DivisionRegional Directors, shall not endorse a candidate prior to the primary or special election whenthere is more than one <strong>Republican</strong> candidate for the same <strong>of</strong>fice. If any one <strong>of</strong> the aforementioneddesires to do so, she must resign her position. The name <strong>of</strong> the local club shall not be used by amember in supporting a candidate during a primary campaign. This shall not preclude anymember from serving as a delegate to the <strong>Republican</strong> National Convention.Section 2.a. Any person registered to vote other than in the <strong>Republican</strong> Party shall neither be invited tospeak nor be permitted to speak at any meeting <strong>of</strong> a local club or County <strong>Federation</strong>meeting.b. Any person registered to vote as anything other than <strong>Republican</strong> and currently holdingelected <strong>of</strong>fice or running for elected <strong>of</strong>fice, even if it is a nonpartisan seat, is not permittedto attend meetings <strong>of</strong> the County <strong>Federation</strong> or a local club.Section 3. All literature, petitions, materials or announcements <strong>of</strong> any description shall besubmitted to the president or executive committee <strong>of</strong> the respective organization for approvalbefore being circulated or distributed at any Federated meeting.Section 4. The County <strong>Federation</strong> and the local club shall not give their membership lists to nonmembers,or to any other organization.


Section 5. The County <strong>Federation</strong> or local club president shall not commit the membership toany action without their consent; and shall not levy assessments on any local clubs without theirconsent.Section 6. It shall be considered a breach <strong>of</strong> ethics for a member to speak disparagingly, inpublic, <strong>of</strong> a <strong>Republican</strong> candidate. Provided a <strong>Republican</strong> is running, it shall also be considered abreach <strong>of</strong> ethics to promote a candidate <strong>of</strong> another party in public or in print, in a partisan or nonpartisanelection.ARTICLE VII - DUESSection 1. Annual dues <strong>of</strong> fourteen dollars and fifteen cents ($14.15) for each voting membershall be paid to the Membership Secretary <strong>of</strong> the County <strong>Federation</strong>. The County <strong>Federation</strong> shallretain twenty-five cents ($.25) and remit thirteen dollars and ninety cents ($13.90) to the SouthernDivision Membership Secretary to be pro-rated as follows: Southern Division, fifty cents ($.50);State, three dollars and forty cents ($3.40), which includes two dollars ($2.00) for the AdvocacyProgram; and National, ten dollars ($10.00).Section 2. Per capita dues shall be payable on January 1 <strong>of</strong> each year and shall be remitted at theclose <strong>of</strong> each month by the local club to the next level <strong>of</strong> the <strong>Federation</strong>, each level reportingconsecutively up to the State Membership Secretary.Section 3. The dues for a new member or a new local club accepted into membership afterOctober 31 shall be credited to the following year. Per capita dues for such member shall beremitted to the Southern Division Membership Secretary in January <strong>of</strong> the following year.Section 4. A local club shall be declared delinquent if per capita dues are not paid by June 1 <strong>of</strong>each year, at which time it may be removed from membership.Section 5.a. The fiscal year <strong>of</strong> each local club shall be from January 1 through December 31.b. The fiscal year <strong>of</strong> College Clubs shall be from August 1 through July 31.ARTICLE VIII - OFFICERSSection 1. OFFICERSa. The elected <strong>of</strong>ficers shall be a President, three (3) Vice-Presidents, a Recording Secretary,a Membership Secretary, and a Treasurer.b. The appointed <strong>of</strong>ficers shall be a Corresponding Secretary, a Financial Review Officer anda Parliamentarian. These shall be appointed by the President, subject to ratification by theelected <strong>of</strong>ficers.c. A member shall serve no more than one (1) elective or appointive <strong>of</strong>fice on the OCFRW


Executive Committee at any one time, nor shall an elected OCFRW <strong>of</strong>ficer simultaneouslyhold an elective <strong>of</strong>fice on any other National, State or County <strong>Republican</strong> organization.This shall not be construed to preclude membership or holding <strong>of</strong>fice on the State orCounty Central Committee.Section 2. ELIGIBILITYa. Elected and appointed Officers and Standing Committee Chairmen shall be activemembers in good standing in a local club for a minimum <strong>of</strong> sixty (60) days.b. To be eligible for election to the <strong>of</strong>fice <strong>of</strong> President, the member shall have served aslocal club president for at least one (1) year AND have been a member <strong>of</strong> the Board <strong>of</strong>Directors <strong>of</strong> the County <strong>Federation</strong> for at least two (2) years.c. An <strong>of</strong>ficer <strong>of</strong> the County <strong>Federation</strong> shall not serve concurrently as president <strong>of</strong> a<strong>Federation</strong> <strong>Republican</strong> local club.Section 3. TERMS OF OFFICEa. Officers shall serve a term <strong>of</strong> two (2) years, or until their successors take <strong>of</strong>fice.b. The newly elected <strong>of</strong>ficers shall assume their duties on January 1 <strong>of</strong> the following year.c. Following election and prior to taking <strong>of</strong>fice, the President-elect may convene a meeting<strong>of</strong> the newly elected <strong>of</strong>ficers to ratify appointments and to make preliminary plans for theensuing year.d. The President shall not succeed herself.Section 4. DUTIESa. The President shall:(1) preside at all meetings <strong>of</strong> the County <strong>Federation</strong>, the Board <strong>of</strong> Directors, and theExecutive Committee;(2) serve on the Board <strong>of</strong> Directors, Southern Division;(3) appoint all committee chairmen, except the nominating committee, and create newcommittees subject to the approval <strong>of</strong> the Board <strong>of</strong> Directors;(4) appoint the Corresponding Secretary, the Financial Review Officer and theParliamentarian, subject to ratification <strong>of</strong> the Elected Officers;(5) be ex-<strong>of</strong>ficio member <strong>of</strong> all committees except the nominating committee;(6) co-sign with the Treasurer or the First Vice President all checks as ordered by theExecutive Committee or the Board <strong>of</strong> Directors;(7) represent the County <strong>Federation</strong> at <strong>Republican</strong> Central Committee meetings;(8) cause to be issued the Call to Convention at least thirty (30) days before the date <strong>of</strong>the meeting;(9) appoint a committee <strong>of</strong> three (3) to approve the minutes <strong>of</strong> the Biennial Convention;(10) perform such other duties as are provided for in these Bylaws.


h. The Treasurer shall:(1) be custodian <strong>of</strong> funds <strong>of</strong> the County <strong>Federation</strong>;(2) receive moneys and issue receipts;(3) deposit moneys in the bank approved by the Executive Committee;(4) disburse funds as directed by the Executive Committee or Board <strong>of</strong> Directors;(5) co-sign checks with the President and First Vice President.(6) submit a written report at meetings <strong>of</strong> the Board <strong>of</strong> Directors and Convention;(7) be a member <strong>of</strong> the budget committee.i. The Financial Review Officer shall:(1) examine the books, records, and accounts <strong>of</strong> the Treasurer and submit a written reportat the Annual Meeting and the Biennial Convention and at other times as requested bythe Executive Committee or Board <strong>of</strong> Directors;(2) receive books and records from the Treasurer within twenty (20) days followingConvention;(3) prepare a supplemental report <strong>of</strong> the financial transactions between the Conventionand the transfer <strong>of</strong> the books to the new Treasurer;(4) be a member <strong>of</strong> the budget committee.j. The Corresponding Secretary shall:(1) conduct the correspondence <strong>of</strong> the County <strong>Federation</strong> as requested by the President,Executive Committee, or Board <strong>of</strong> Directors;(2) notify members <strong>of</strong> the Executive Committee meetings;(3) maintain a file <strong>of</strong> correspondence.k. The Parliamentarian shall:(1) give advice on parliamentary procedure to the Executive Committee, the Board <strong>of</strong>Directors, and Convention when requested to do so;(2) be a member <strong>of</strong> the Bylaws committee in an advisory capacity;(3) call a meeting <strong>of</strong> the nominating committee for the purpose <strong>of</strong> electing a chairman.ARTICLE IX - EXECUTIVE COMMITTEESection 1. THE EXECUTIVE COMMITTEE SHALL:a. be composed <strong>of</strong> the elected and appointed <strong>of</strong>ficers;b. hold meetings at the call <strong>of</strong> the President or at the written request <strong>of</strong> three (3) members <strong>of</strong>the Executive Committee;c. hold monthly meetings to transact such business as may arise between regular meetings <strong>of</strong>the Board <strong>of</strong> Directors;d. be limited to an expenditure <strong>of</strong> two hundred fifty dollars ($250.00) without the approval<strong>of</strong> the Board <strong>of</strong> Directors;e. authorize facility deposits for the Lincoln Day Luncheon, Annual Meeting or BiennialConvention in excess <strong>of</strong> three hundred dollars ($300.00).


Section 2. VACANCIES ON THE EXECUTIVE COMMITTEEWhen an <strong>of</strong>ficer fails to attend three (3) consecutive meetings <strong>of</strong> the Executive Committee,without the permission <strong>of</strong> the President to be absent, the Board <strong>of</strong> Directors may declare the<strong>of</strong>fice vacant and elect a successor.Section 3. QUORUMFive (5) members shall constitute a quorum.ARTICLE X - BOARD OF DIRECTORSSection 1. THE BOARD OF DIRECTORS SHALL:a. consist <strong>of</strong> the elected <strong>of</strong>ficers, appointed <strong>of</strong>ficers, standing committee chairmen, and localclub presidents;b. have one (1) vote per member;c. fill all vacancies occurring on the Board except thePresident;d. ratify appointments <strong>of</strong> the President.Section 2. MEETINGSa. A minimum <strong>of</strong> eight (8) meetings <strong>of</strong> the Board <strong>of</strong> Directors shall be held during the yearunless an emergency situation arises. The time and place <strong>of</strong> meetings shall be determinedby the Board.b. Special meetings may be called by the President and three (3) members <strong>of</strong> the ExecutiveCommittee, or upon written request to the President from a minimum <strong>of</strong> ten (10) localclubs <strong>of</strong> the County <strong>Federation</strong>.(1) Notice to members <strong>of</strong> the Board shall be given forty-eight (48) hours in advance,stating the purpose <strong>of</strong> the meeting.(2) Action shall be limited to the items listed in theSpecial Call.Section 3. VACANCIES ON THE BOARD OF DIRECTORSWhen an <strong>of</strong>ficer or chairman fails to attend three (3) consecutive meetings, without thepermission <strong>of</strong> the President to be absent, the Board <strong>of</strong> Directors may declare the <strong>of</strong>fice vacant andelect a successor.Section 4. QUORUMA majority <strong>of</strong> members shall constitute a quorum.ARTICLE XI - STANDING COMMITTEESSection 1. The Standing Committees shall include: Action Alert, Americanism, Budget,Newsletter, Bylaws, Chaplain, Education, Hospitality, Legislation, Pat Nixon Scholarship,Precinct, Resolutions, Scholarship, Worker <strong>of</strong> the Month, and may include County Central


Committee Volunteer Chairman, Historian, Protocol, Public Relations, in addition to othercommittees deemed necessary.Section 2. Each Standing Committee Chairman shall be appointed for a term <strong>of</strong> one (1) year.Section 3. An Action Alert Committee <strong>of</strong> one (1) or more members shall be responsible forcalling action alerts in the county according to the procedure set forth by the National, State andDivision levels.Section 4. The Americanism Chairman shall be responsible for inspiring interest and respect inour country, the American flag, and our American heritage.Section 5. A Budget Committee <strong>of</strong> four (4) members shall be comprised <strong>of</strong> the CommitteeChairman, Third Vice President, Treasurer, and Financial Review Officer. A budget shall besubmitted to the January Board <strong>of</strong> Directors meeting.Section 6. The Newsletter Chairman shall assemble and prepare materials for the countynewsletter and, if requested, membership roster <strong>of</strong> the Board <strong>of</strong> Directors, subject to the approval<strong>of</strong> the President.Section 7. A Bylaws Committee <strong>of</strong> five (5) members, plus the President and Parliamentarian,shall review proposed amendments to the Bylaws and prepare a revision <strong>of</strong> Bylaws, if deemednecessary.Section 8. The Chaplain shall <strong>of</strong>fer the invocation at the regular Board <strong>of</strong> Directors meetings.Section 9. The Education Committee <strong>of</strong> one (1) or more members shall inform the membership <strong>of</strong>current legislation pertaining to all levels <strong>of</strong> education and issues affecting the general area <strong>of</strong>education.Section 10. The Hospitality Committee <strong>of</strong> two (2) or more members shall make arrangements forthe monthly luncheon meetings and assist in any other special functions requested by thePresident.Section 11. The Legislation Committee <strong>of</strong> one (1) or more members shall study, report anddisseminate information regarding current legislation.Section 12. Pat Nixon Scholarship Committee <strong>of</strong> three (3) or more members shall distributeinformation on that scholarship to Orange County colleges, universities and appropriatevocational schools, and serve as a selection committee.Section 13. The Precinct Committee <strong>of</strong> one (1) or more members shall work in conjunction andcooperation with the County Central Committee to register voters, get out the vote and help oncampaigns.


Section 14. The Resolutions Committee <strong>of</strong> one (1) or more members shall prepare resolutionsand maintain resolution records for the past five (5) years.Section 15. The Scholarship Committee <strong>of</strong> three (3) or more members shall distributeinformation on scholarships to high schools and serve as a selection committee, if indicated.Section 16. The Worker <strong>of</strong> the Month Committee <strong>of</strong> three (3) or more members shall researchand determine the outstanding monthly worker and the worker <strong>of</strong> the year, who will berecognized at the county meetings.Section 17. The Awards Committee <strong>of</strong> one (1) or more members shall keep track <strong>of</strong> awards atall levels (National, State, Division and County), and keep local clubs informed <strong>of</strong> dates anddeadlines.Section 18. The Caring for America Committee <strong>of</strong> one (1) or more members shall promoteprojects that will benefit the community at large in the county,Section 19. Historian shall keep a record <strong>of</strong> the activities <strong>of</strong> the current administration andprepare a scrapbook for the President.Section 20. The Opposition Research Committee <strong>of</strong> one (1) or more members shall beresponsible for keeping files <strong>of</strong> media clippings on candidates running against <strong>Republican</strong>s in local,state and national elections.Section 21. The Orange County Central Committee Volunteer Coordinator shall be responsiblefor keeping members informed <strong>of</strong> Central Committee activities and coordinating volunteer efforts.Section 22. The Protocol Chairman shall work with the President in arranging the head tableseating for functions that require diplomatic etiquette.Section 23. The Public Relations Committee <strong>of</strong> one (1) or more members shall be responsiblefor press releases and media coverage <strong>of</strong> programs under direction <strong>of</strong> the committee chairman,who will work closely with the President and program chairman.ARTICLE XII - NOMINATIONS AND ELECTIONSSection 1. THE NOMINATING COMMITTEEa. The nominating committee shall consist <strong>of</strong> the presidents (or her designatedrepresentative) <strong>of</strong> 1/2 <strong>of</strong> the local clubs, in good standing on April 1st <strong>of</strong> a conventionyear. Those local clubs not represented on the committee for one election shall berepresented on the committee for the following election. The committee shall be electedat the regular Board <strong>of</strong> Directors meeting in April or May <strong>of</strong> the County BiennialConvention year.b. Five alternates shall be elected from the Board <strong>of</strong> Directors at this meeting.c. The Parliamentarian shall call a meeting <strong>of</strong> the newly-elected nominating committee at the


close <strong>of</strong> the meeting at which they were elected for the purpose <strong>of</strong> conducting the election<strong>of</strong> a chairman.d. No local club, nor individual member, shall serve on two (2) consecutive nominatingcommittees.e. The nominating committee shall submit one (1) nominee, who has submitted writtenconsent, for each elective <strong>of</strong>fice. The report, including the nominee's qualifications, shallbe sent to the President for publication in the Call to Convention.f. The report <strong>of</strong> the nominating committee shall be presented at the Biennial Convention.g. Nominations may be made from the floor, provided the nominee has submitted writtenconsent to serve.Section 2. QUORUMA majority <strong>of</strong> the entire nominating committee shall constitute a quorum.Section 3. ELECTIONa. Election shall be by ballot at the Biennial Convention.b. A plurality shall elect.c. If there is only one (1) candidate for an <strong>of</strong>fice, the ballot may be dispensed with by generalconsent, and the election held by voice vote.ARTICLE XIII - ANNUAL MEETINGAND BIENNIAL CONVENTIONSection 1. ANNUAL MEETINGa. There shall be an Annual Meeting in even-numbered years, the date and place to bedetermined by the Board <strong>of</strong> Directors.b. At the Annual Meeting, such <strong>of</strong>ficers and chairmen as directed by the President shallmake reports, including the presentation <strong>of</strong> any <strong>of</strong>ficial awards.Section 2. QUORUMA quorum for the Annual Meeting shall be a majority <strong>of</strong> the Board <strong>of</strong> Directors.Section 3. BIENNIAL CONVENTIONa. There shall be a Biennial Convention in odd-numbered years, the date and place to bedetermined by the Board <strong>of</strong> Directors. The Call to Convention shall be sent to allmembers <strong>of</strong> the Board <strong>of</strong> Directors not later than thirty (30) days prior to the conventiondate.b. To be eligible to serve as a delegate to the Biennial Convention, a member shall have beenin good standing for sixty (60) days prior to the convention.c. The voting body at the convention shall consist <strong>of</strong> the Board <strong>of</strong> Directors (which includeslocal club presidents or their alternates), and one (1) delegate or alternate for the firsttwenty-five (25) members and one (1) delegate or alternate for each additional twenty-five(25) members or major fraction there<strong>of</strong>.d. Only accredited delegates shall speak from the floor <strong>of</strong> the convention, except where theprivilege <strong>of</strong> the floor is conceded by the vote <strong>of</strong> the assembly.


Section 4. QUORUMA quorum shall consist <strong>of</strong> a majority <strong>of</strong> the registered delegates.Section 5. CREDENTIALS COMMITTEEa. A credentials committee <strong>of</strong> not less than three (3) members shall be appointed by thePresident, with approval <strong>of</strong> the Board <strong>of</strong> Directors, not later than thirty (30) days prior tothe Biennial Convention.b. The credentials chairman shall notify each local club the number <strong>of</strong> delegates andalternates to which the local club is entitled according to the per capita membership <strong>of</strong> thecurrent year.c. Names <strong>of</strong> accredited delegates and alternates shall be sent to the chairman <strong>of</strong> credentials atleast ten (10) days prior to the Biennial Convention.Section 6. RESOLUTIONSa. All resolutions, except such as are deemed an emergency, shall be in the hands <strong>of</strong> theresolutions committee no later that thirty (30) days prior to the Annual Meeting andBiennial Convention, and must indicate whether introduced by a member, a group <strong>of</strong>members, or local club.b. The resolutions committee may accept or reject any resolution for consideration and shalldetermine the validity <strong>of</strong> the emergency character <strong>of</strong> a resolution introduced after thestated deadline.ARTICLE XIV - INSURANCE CONTRACTSSection 1. The Board <strong>of</strong> Directors <strong>of</strong> the County <strong>Federation</strong> by a two-thirds (2/3) vote shall beauthorized to enter into a liability insurance contract and/or contracts on behalf <strong>of</strong> the local clubs.Section 2. Each local club <strong>of</strong> the County <strong>Federation</strong> shall participate in the insurance program.ARTICLE XV - PARLIAMENTARY AUTHORITYSection 1. The rules contained in the current edition <strong>of</strong> ROBERT'S RULES OF ORDER,NEWLY REVISED, shall govern the County <strong>Federation</strong> in all cases to which they are applicable,and in which they are not inconsistent with these Bylaws and any special rules <strong>of</strong> order the<strong>Federation</strong> may adopt.ARTICLE XVI - AMENDMENTSSection 1. These Bylaws may be amended at any Biennial Convention by a two-thirds (2/3) vote<strong>of</strong> the delegates, provided copies <strong>of</strong> the proposed amendments have been sent with the Call toConvention.Section 2. Proposed amendments to the county Bylaws shall be sent to the Bylaws Committee atleast sixty (60) days before the Biennial Convention.


Section 3. Any revision <strong>of</strong> the Bylaws at a higher level <strong>of</strong> the <strong>Federation</strong> shall be automaticallyincorporated into the county Bylaws.ORANGE COUNTY FEDERATIONOF REPUBLICAN WOMENSTANDING RULES(Amended January 8, 2009)1. Regular meetings <strong>of</strong> the County <strong>Federation</strong> shall be held the first Thursday <strong>of</strong> each month,with the exception <strong>of</strong> July and August, unless otherwise determined by the Board <strong>of</strong> Directors orExecutive Committee.2. ALL Standing Committee Chairmen, Local Club Presidents, and Executive Committeemembers shall have standing reservations and are required to send a replacement or phone tocancel If unable to attend. Any other members MUST PHONE in a reservation for the meeting.All members and guests who hold reservations will be held responsible for the amount <strong>of</strong> theluncheon, regardless <strong>of</strong> attendance or non-attendance. Once a reservation has been made, anynon-payment will be billed to the person making the reservation.3. The President shall appoint a chairman for the Lincoln Day Luncheon, Annual Meeting, thePat Nixon Scholarship Luncheon and Biennial Convention no less than six (6) months prior to theevent. Each chairman shall research a site for the event, secure a speaker and make arrangementsfor the event with the approval <strong>of</strong> the Executive Committee.4. It shall be the responsibility <strong>of</strong> each local club president to provide the County RecordingSecretary with the name <strong>of</strong> the designee who shall represent the club in the president's absence.5. To be considered for an award and/or special recognitiion, a club shall be in good standing atall levels <strong>of</strong> the <strong>Federation</strong>, including Orange County.6. It shall be the responsibility <strong>of</strong> each Chairman <strong>of</strong> Standing Committees to notify thePresident, prior to each regular meeting, if there is to be a report.7. All material and records shall be transferred to the newly elected <strong>of</strong>ficers prior to the firstmeeting in January.8. Letters <strong>of</strong> Recommendation to the Nominating Committee are encouraged, but shall not bebinding to the Nominating Committee.9. The Budget Committee shall recommend in the annual budget the amount <strong>of</strong> the President'sexpenses.10. The First Vice President shall be responsible for presenting the retiring President with anappropriate gift <strong>of</strong> appreciation.


11. Worker <strong>of</strong> the Year shall be announced at the Annual Meeting or Biennial Convention.12. Any member who has paid <strong>Federation</strong> dues to a local club for fifteen (15) years is entitled tothe CFRW Silver Card, or for twenty-five (25) years is entitle to the CFRW Gold Card. Thefifteen (15) or twenty-five (25) years need not be consecutive nor dues paid to the same club or inthe same state.13. A local club or the County <strong>Federation</strong>, when holding a pre-primary "Meet the Candidate"event, shall invite all <strong>Republican</strong> candidates who have filed for and are seeking the same specific<strong>of</strong>fice. Acceptance <strong>of</strong> the invitation is not necessary; only the invitation is necessary.14. With the exception <strong>of</strong> Minutes, the Executive Committee shall retain all documents for aperiod <strong>of</strong> five (5) years. The minutes shall be kept in perpetuity.15. All appointed Committee Chairmen shall obtain prior approval from the ExecutiveCommittee before obligating funds.
