Annexure-3Terms and Conditions of contract1. Operational RequirementsThe following maintenance strategy is proposed for the AnnualMaintenance of Automatic Weather Station (<strong>AWS</strong>):1.1. Preventive or Scheduled Maintenance.1.2. Breakdown Maintenance or Failure to Operate or UnplannedMaintenance.2. Eligibility of Bidders2.1. This invitation is open to all original equipment manufacturers (OEM)for <strong>AWS</strong> and their authorised dealers / agents (OEM authorisationcertificate shall be attached with the quotation and offer by any dealer/ agent without the authorisation certificate shall be summarilyrejected).2.2. The bidder should have supplied, installed and has been maintainingsuch system (as per specification in Annexure 2) for more than oneyear. Necessary documentary evidence shall be attached with thetechnical bid.2.3. The bidder should be able to repair / replace the systems asmentioned in Annexure 2. They should have sufficient stock of sparesfor maintaining such a network of <strong>AWS</strong>.2.4. The bidder should have a regional office with trained engineersomewhere in north eastern states (Arunachal Pradesh, Assam,Manipur, Meghalaya, Mizoram, Nagaland, Sikkim, Tripura)3. Cost of Bidding3.1. The Bidder shall bear all costs associated with the preparation andsubmission of its bid, and “the Purchaser", will, in no case beresponsible or liable for these costs, regardless of the conduct oroutcome of the bidding process.3.2. Earnest Money Deposit (EMD) of `85,000/- should be submittedalong with the bid in the following manner.3.2.1. Crossed demand draft drawn on any Nationalized Bank in favourof Director, NESAC and payable at SBI, Shillong branch.3.2.2. EMD submitted in any form other than as specified above shallnot be accepted and shall lead to rejection of the offer.3.2.3. EMD shall be forfeited in the following events:


3.2.3.1. If the offer is withdrawn during the period of validity of theoffer or any agreed extension.3.2.3.2. If the offer is modified/altered without the knowledge ofNESAC.3.2.3.3. If the tenderer backs-out.3.2.3.4. If the tenderer attempts to procure the contract byfurnishing false/incorrect documents and by giving falsedeclarations.3.3. The EMD of the unsuccessful bidders shall be returned within areasonable time or after expiry of the validity period. No interest shallbe paid by NESAC on EMD.3.4. Any offer without the EMD shall be summarily rejected.4. General Terms and Conditions4.1. The AMC called is tentatively for all the 117 <strong>AWS</strong>s (as per Annexure1) installed by ISRO in NE states as onsite basis. The actual no. of<strong>AWS</strong> to be brought under AMC may change before finalisation.4.2. The rate quoted for AMC of each <strong>AWS</strong> shall be inclusive of all costincluding travel, fooding, lodging of the engineers visiting the sites.4.3. The vendor shall take up the AMC for all the stations mentioned inAnnexure 1.4.4. If any vendor does not wish to take AMC for any <strong>AWS</strong>, the bid shallbe summarily rejected.4.5. Vendor shall submit the technical bid and commercial bidseparately in different envelops. The technical bid shall be openedfirst and the commercial bid of only those vendors who qualify thetechnical bid shall be opened for the final consideration. All thesupporting documents only excluding the cost of the system shall beincluded in the technical bid.4.6. The vendor should have a satellite earth station to receive the datatransmitted by the <strong>AWS</strong>s. Necessary documentary evidence shall besubmitted along with the bid.5. System availability and fault recognition5.1. A particular <strong>AWS</strong> under AMC or individual sensors must be availablefor at least 90% of the time.


5.2. The availability shall be judged based on data downloaded fromMOSDAC (Meteorological and Oceanographic Satellite Data Archival<strong>Centre</strong>), server at SAC, ISRO, Ahmedabad. Therefore every systemmust successfully transmit more than 90% of data. An <strong>AWS</strong> stationshall be called ‘DOWN’ if for more than three days in a week thetransmission rate is below 90% and in such cases the <strong>AWS</strong> shall beattended under emergency call visit5.3. Each individual sensor for every <strong>AWS</strong> shall be monitored separately.If any sensor transmits wrong data or do not transmit data for morethan 10% of time for three days in a week, the sensor shall be called‘DOWN’ and in such cases as well the <strong>AWS</strong> shall be attended underemergency call visit5.4. If MOSDAC server is down, the data from the vendor’s earth stationshall be considered for preparation of report6. No. of Visits6.1. One visit in every six months (two visits in a year with minimum offour months between successive visits for a particular station) forpreventive maintenance or scheduled check up.6.2. Emergency call visit and rectification of the station within 3 workingdays of first reporting the incident by NESAC / field level staff / enduser.7. CalibrationThe calibration of equipment and sensors will be carried out once in ayear and during the first preventive or emergency call visit for aparticular station. The equipments to be used for calibration shall beduly certified by India Meteorological Department (IMD) for the currentyear (certificate shall be valid on the day of calibration). All the sensorsshall be calibrated by a trained engineer and calibration report shall besubmitted to NESAC half yearly.8. Fault Reporting8.1. Any fault arising in any station / sensor shall be reported either by theuser / host agency and/or NESAC at any time.


8.2. NESAC shall prepare the status of <strong>AWS</strong> network on a weekly basis(preferably every Monday). The faulty stations and sensors shall bemarked in the report. The report shall be sent to the vendor (regionaloffice / headquarters) on the same day. The status report shall beconsidered as reporting the faults in <strong>AWS</strong> and/or individual sensors.The vendor shall act based on the status report.8.3. In case the fault is not rectified within the stipulated time, a fine of 1%of AMC cost of the concerned station per day shall be imposed,depending on the cause of delay.8.4. Each <strong>AWS</strong> user shall be provided with an <strong>AWS</strong> user’s manual, Do andDon’ts of maintenance, and contact numbers of the personnel’s to becontacted for repair / maintenance issues.8.5. Every fault repaired shall have a docket number and must only beclosed after the issue has been resolved.9. AMC Documentation9.1. The following reports/ templates shall be used for AMC9.1.1. Periodic Maintenance report.9.1.2. Fault / repair report.9.1.3. Station calibration report.9.1.4. Half yearly consolidated station performance report (Prepared inconsultation with User).9.2. The above reports shall contain the details of the AMC carried outincluding the specific maintenance work carried out, replacementsmade, faults found, faults closed etc.10. Scope of Work under AMC for every visit10.1. Grass cutting and site clearing inside the fencing area.10.2. Clean and check the rain gauge sensor and solar panels.10.3. Check all other sensors and repair / replace faulty sensors.10.4. Battery health checking and recharging. If the battery needsreplacement, it shall be replaced.10.5. Calibration of sensors, if not carried out earlier within last one year.


10.6. Check transmitter output. Check end to end connectivity giving manualbursts.10.7. Check the data received at data logger and see if it matched nominalconditions for the day.10.8. Site visit report preparation in consultation with the user. The user shallsign the report and without the signature of the user, the report shallnot be considered.10.9. Make the <strong>AWS</strong> fully functional with all sensors in properly workingcondition, successful data transmission, and data logging in datalogger.10.10. Download the data residing in data logger during each visit andprepare a MS excel report. The data from all the stations shall bemanually downloaded and a consolidated data report shall besubmitted to NESAC on a half yearly basis for all the stationsunder AMC.11. Payment terms50% of payment shall be released at the end of every half yearly oncompletion of job assigned and submission of all necessary reports.12. Theft cases12.1. In case of some component of an <strong>AWS</strong> is stolen, the vendor shallreplace the same against NESAC order after due procedures.12.2. The vendor shall provide the price of each individual sensor,transmitter, solar panel, GPS and all other parts associated with the<strong>AWS</strong>. The rate shall form the basis for placing NESAC order for anytheft cases.***************


TENDER TERMS1. Quotation should be sent in sealed envelope superscribing the enquiry numbers and dateof opening.2. Prices quoted should be on the basis of FOR…Umiam /delivery at site. The purchaserwill not pay separately for transit insurance, all risks in transit being exclusively if thecontractor and the Purchaser shall pay only for such stores as are actually received ingood condition in accordance with the contract.3. The rate of compensation for delay is 0.5% per week subject to a maximum of 10% ofthe tendered value of work.4. Quotation should be valid for atleast 60 days from the date of opening of the tender.5. The time for and the date of delivery of the stores stipulated in the Purchase Order shalldeemed to be the essence of the contract and delivery must be completed not later thanthe date specified therein. Failure to do so, without adequate justification may involvecancellation of the contract, at the discretion of the Purchaser.6. a) Prices are required to be quoted according to the units indicated in the annexedtender form. When quotation are given in terms of units other than those specified in thetender form relationship between the two sets of units must be furnished.b) Corrections, if any, must be attested. All amounts shall be indicated both in words aswell as in figures. Where there is difference between the amounts quoted in words andfigures, amount quoted in words shall prevail.7. The Purchaser reserves the right to accept or reject any quotation fully or partly withoutassigning any reasons.8. Payment terms are full payment within 30 days from the date of receipt and acceptanceof material ordered. Our Bankers are State Bank of India, Barapani.9. Late Tenders will not be considered.10. Where counter terms and conditions/printed or cyclostyled conditions of sale have beenoffered by the tenderer the same shall not be deemed to have been accepted by thePurchaser unless the Purchaser’s specific written acceptance thereof is obtained.11. Specifications: Stores offered should strictly conform to our <strong>specifications</strong>.Deviations, if any should be clearly indicated by the tenderer in their quotation. Thetenderer should also indicate the Make/Type number of the Stores offered and providecatalogues, technical literature and samples wherever necessary along with thequotations. Test certificate whenever necessary should be forwarded along with supplies.Whenever options are called for in our <strong>specifications</strong>, the tenders should address all suchoptions. Wherever specifically mentioned by us the tenderers could suggest changes to<strong>specifications</strong> with appropriate response for the same. Even in such cases the tenderershould state why he cannot meet our <strong>specifications</strong> and why he is suggesting thechanges.


-2-12. a) Sales Tax and/or other duties/ levies where legally leviable and intended to be claimedshould distinctly shown separately in the tender.b) Our’s being a Department of Government of India, we are eligible for availing theconfessionals rates of Sales Tax on our furnishing to the contractor the requisite certificatethere (Form D/Form P etc)13. Guarantee: The stores offered should be guaranteed for a minimum period of twelvemonths against defective stores, design, operation or manufacture. For defects noticedduring the Guarantee period replacement/rectifications should be arranged free of costwithin a reasonable period of such notification in cases where our <strong>specifications</strong> call forguarantee period more than 12 months specifically then such a period shall apply.14. The contractor shall at all times indemnify the purchaser against all claims which may bemade in respect of the stores for infringement of any right protected by Patent. Registrationof design or Trade Mark and shall be taken all risks of accidents or damage, which maycause a failure of the supply from whatever cause arising and the entire responsibility forthe sufficiency if all means used by him for fulfilment of contract.15. Arbitration: In the Event of any question, dispute or differences arising under theseconditions or any conditions contained in the Purchase Order or in connection with thiscontract (except as to any matters the decision of which is specially provided for by theseconditions) the same shall be referred to the sole arbitration of the Director or any otherperson appointed by him. It will be no objection that the arbitrator is a Government Servantthat he had to deal with matter which the contract relates or that in the course of his dutiesas a Government Servant he has expressed views on all over any of the matters in dispute ofdifference. The award of the Arbitrator shall be final and binding on the parties of thiscontract.It is a term of this contract: -a) If the Arbitrator be the Director, NESAC.i) in the event of his being transferred or vacating his office by resignation orotherwise it shall be lawful for his successor-in office-either to proceed with thereference himself or to appoint another person as Arbitrator orii) in the event of his being unwilling or unable to act for any reason, it shall belawful for the Director to appoint another person as Arbitrator or


-3-b) If the Arbitrator be a person appointed by the Director, NESAC:-In the event of his dying neglecting or refusing to act, or resigning or being unable toact, for any reason, it shall be lawful for the Director either to proceed with the anyreason. It shall be lawful for the Director either to proceed with the reference himself orto appoint another person as arbitrator in place of the outgoing arbitrator. Subject asaforesaid, the Arbitration Act 1940 and the rules there under and any statutoryModifications thereof for the time being in force shall be deemed to apply to thearbitration proceeding under this Clause. The Arbitrator shall have the power to extendwith the consent of the Purchase and the Contractor the time of making and publishingthe ward. The venue of an arbitration shall be the place as the Purchaser in his absolutediscretion may determine Work under the Contract shall if reasonably possible,continue during Arbitration Proceedings.16. Successful tenderer will have to furnish Performance Security (10% of the order value) inthe form of a Bank Guarantee or in any other form as called for by the purchaser towardsadequate security for the materials/property provided by the Purchaser for the due executionfor the contract.17. Packing and Forwarding: The Contractor will be held responsible for the storesbeing sufficiently and properly packed for transport by rail, road, sea or air to withstandtransit hazards and ensure safe arrival at the destination. The packing and marking ofpackages shall be done by and at the expense of the Contractor.18. “The Purchaser reserves the option to give price preference to the offers from Public SectorUnits and/or Small Scale/Cottage Industries/Units over those from other firms inaccordance with the policies of Government from time to time”.19. Should a part or whole of systems covered by this order be delayed in delivery due toreasons of Force Majeure which shall include lock-outs, strikes, riots, civil commotions, fireaccidents, acts of God and war stoppage of deliveries by Government; refusal of non-receiptof import license for import items, the delivery period referred in their order shall beextended by a period(s) not in excess of duration of such force majeure. Each partyundertakes to advice the other as soon as it becomes aware of the circumstances of suchforce majeure, so that actions under the provisions of this order can be mutually reviewedand agreed upon between the tenderer and NESAC. If the force majeure condition extendsover a period of two months both the parties of the order shall mutually discuss and arrive atan agreement for continuation or termination of the contract.*******
