Be It Known, That whereas Aipheus Hyatt, William Sanford Stevens, William T.<br />
Sedgwick, Edward G. Gardiner, Susan Minns, Charles Sedgwick Minot, Samuel Wells,<br />
William G. Farlow, Anna D. Phillips, and B. H. Van Vieck have associated themselves<br />
with the intention of forming a Corporation under the name of the Marine Biological<br />
Laboratory, for the purpose of establishing and maintaining a laboratory or station for<br />
scientific study and investigation, and a school for instruction in biology and natural his<br />
tory, and have complied with the provisions of the statutes of this Commonwealth in such<br />
case made and provided, as appears from the certificate of the President, Treasurer, and<br />
Trustees of said Corporation, duly approved by the Commissioner of Corporations, and<br />
recorded in this office;<br />
Now, therefore, I, HENRY B. PIERCE, Secretary of the Commonwealth of Massachu<br />
setts, do hereby certify that said A. Hyatt, W. S. Stevens, W. T. Sedgwick, E. G. Gardi<br />
ner, S. Minns, C. S. Minot, S. Wells, W. G. Farlow, A. D. Phillips, and B. H. Van Vieck,<br />
their associates and successors, are legally organized and established as, and are hereby<br />
made, an existing Corporation, under the name of the MARINE BIOLOGICAL LAB<br />
ORATORY, with the powers, rights, and privileges, and subject to the limitations, duties,<br />
and restrictions, which by law appertain thereto.<br />

III. BYLAWS OF THE CORPORATION OF THE MARINE<br />
BIOLOGICAL LABORATORY<br />
(Revised August 15, 1963)<br />
I. The members of the Corporation shall consist of persons elected by the Board<br />
of trustees.<br />
IT. The officers of the Corporation shall consist of a Chairman of the Board of<br />
Trustees, President, Director, Treasurer and Clerk.<br />
III. The Annual Meeting of the members shall be held on the Friday following the<br />
second Tuesday in August in each year at the Laboratory in Woods Hole, Massachusetts,<br />
at 9:30 A.M., and at such meeting the members shall choose by ballot a Treasurer and a<br />
Clerk to serve one year, and eight Trustees to serve four years, and shall transact such<br />
other business as may properly come before the meeting. Special meetings of the<br />
members may be called by the Trustees to be held at such time and place as may be<br />
designated.<br />
IV. Twenty-five members shall constitute a quorum at any meeting.<br />
V. Any member in good standing may vote at any meeting, either in person or by<br />
proxy duly executed.<br />
VI. Inasmuch as the time and place of the Annual Meeting of members are fixed by<br />
these bylaws, no notice of the Annual Meeting need be given. Notice of any special<br />
meeting of members, however, shall be given by the Clerk by mailing notice of the time

and place and purpose of such meeting, at least fifteen ( 15) days before such meeting, to<br />
each member at his or her address as shown on the records of the Corporation.<br />
VII. The Annual Meeting of the Trustees shall be held promptly after the Annual<br />
Meeting of the Corporation at the Laboratory in Woods Hole, Massachusetts. Special<br />
meetings of the Trustees shall be called by the Chairman, the President, or by any seven<br />
Trustees, to be held at such time and place as may be designated, and the Secretary<br />
shall give notice thereof by written or printed notice, mailed to each Trustee at his<br />
address as shown on the records of the Corporation, at least one ( 1) week before the<br />
meeting. At such special meeting only matters stated in the notice shall be considered.<br />
Seven Trustees of those eligible to vote shall constitute a quorum for the transaction<br />
of business at any meeting.<br />
VIII. There shall be three groups of Trustees:<br />
(A) Thirty-two Trustees chosen by the Corporation, divided into four classes, each<br />
to serve four years. After having served two consecutive terms of four years each<br />
Trustees are ineligible for re-election until a year has elapsed. In addition, there shall<br />
be two groups of Trustees as follows:<br />
(B) Trustees ex officio, who shall be the Chairman, the President, the Director, the<br />
Treasurer, and the Clerk.<br />
(C) Trustees Emeriti, who shall be elected from present or former Trustees by the<br />
Corporation. Any regular Trustee who has attained the age of seventy years shall<br />
continue to serve as Trustee until the next Annual Meeting of the Corporation, where<br />
upon his office as regular Trustee shall become vacant and be filled by election by the<br />
Corporation and he shall become eligible for election as Trustee Emeritus for life. The<br />
Trustees ex officio and Emeriti shall have all the rights of the Trustees, except that<br />
Trustees Emeriti shall not have the right to vote.<br />
The Trustees and officers shall hold their respective offices until their successors are<br />
chosen and have qualified in their stead.<br />
IX. The Trustees shall have the control and management of the affairs of the Cor<br />
poration. They shall elect a Chairman of the Board of Trustees who shall be elected<br />
annually and shall serve until his successor is selected and qualified and who shall also<br />
preside at meetings of the Corporation. They shall elect a President of the Corporation<br />
who shall also be the Vice Chairman of the Board of Trustees and Vice Chairman of<br />
meetings of the Corporation, and who shall be elected for a term of five years and shall<br />
serve until his successor is selected and qualified, except that such term shall not run<br />
beyond the Annual Meeting of the Board following his 65th birthday; candidates over the<br />
age of 65 shall be elected on an annual basis. They shall appoint a Director of the<br />
Laboratory for a term not to exceed five years, provided the term shall not exceed<br />
one year if the candidate has attained the age of 65 years prior to the date of the appoint<br />
ment. They may choose such other officers and agents as they may think best. They<br />
may fix the compensation and define the duties of all the officers and agents; and may<br />
remove them, or any of them except those chosen by the members, at any time. They<br />
may fill vacancies occurring in any manner in their own number or in any of the<br />
offices. The Board of Trustees shall have the power to choose an Executive Committee<br />
from their own number, and to delegate to such Committee such of their own powers<br />
as they may deem expedient. They shall from time to time elect members to the<br />
Corporation upon such terms and conditions as they may think best.<br />
X. The Associates of the Marine Biological Laboratory shall be an unincorporated<br />
group of persons (including associations and corporations) interested in the Laboratory

and shall be organized and operated under the general supervision and authority of<br />
the Trustees.<br />
XI. The consent of every Trustee shall be necessary to dissolution of the Marine<br />
Biological Laboratory. In case of dissolution, the property shall be disposed of in such<br />
manner and upon such terms as shall be determined by the affirmative vote of two-thirds<br />
of the Board of Trustees.<br />
XII. The account of the Treasurer shall be audited annually by a certified public<br />
accountant.<br />
XIII. These bylaws may be altered at any meeting of the Trustees, provided that the<br />
notice of such meeting shall state that an alteration of the bylaws will be acted upon.<br />
RESOLUTIONS ADOPTED AT TRUSTEE MEETING AUGUST 16,<br />
1963—EXECUTIVE COMMITTEE<br />
I. RESOLVED:<br />
(A) The Executive Committee is hereby designated to consist of ten members as<br />
follows: ez officio members who shall be the Chairman of the Board of Trustees,<br />
President, Director and Treasurer; six additional Trustees, two of whom shall be<br />
elected by the Board of Trustees each year, to serve for a three-year term.<br />
(B) The President shall act as Chairman of the Executive Committee and the<br />
Chairman of the Board of Trustees as Vice Chairman. A majority of the members<br />
of the Executive Committee shall constitute a quorum and a majority of those present<br />
at any properly held meeting shall determine its action. It shall meet at such times<br />
and places and upon such notice and appoint such sub-committees as the Committee<br />
shall determine.<br />
(C) The Executive Committee shall have and may exercise all the powers of the<br />
Board during the intervals between meetings of the Board of Trustees except those<br />
powers specifically withheld from time to time by the Board or by Law.<br />
(D) The Executive Committee shall keep appropriate minutes of its meetings, and<br />
its actions shall be reported to the Board of Trustees.<br />
IT. RESOLVED:<br />
The elected members of the Executive Committee shall be constituted as a standing<br />
“¿Committeefor the Nominations of Officers,†responsible for making nominations at<br />
the annual meeting of the Corporation and of the Board of Trustees, for candidates to<br />
fill each office as the respective terms of office expire. (Chairman of the Board, Presi<br />
dent, Director, Treasurer, and Clerk.)<br />
IV. REPORT OF THE DIRECTOR<br />
To: THE TRUSTEES OF THE MARINE BIOLOGICAL LABORATORY<br />
Gentlemen:<br />
I submit herewith the report of the seventy-sixth session of the Marine Bio<br />
logical Laboratory.
1. Bylaws<br />
REPORT OF THE DIRECTOR 7<br />
At a special meeting of the Board of Trustees (August 15, 1963) changes in<br />
the bylaws were adopted creating a new position of Chairman of the Board to be<br />
responsible principally for overall planning and executive action in the business,<br />
financial, legal and public relations areas. The President is to be responsible for<br />
overall planning and executive administration in the scientific area. The President<br />
will normally be a scientist. The office of Vice-President was abolished as re<br />
dundant. Terms for all of the officers are specified and the responsibilities of the<br />
Trustees are spelled out. At a subsequent meeting the composition and powers<br />
of the Executive Committee were established by resolution. These changes are<br />
incorporated in the bylaws as published in this report.<br />
2. Plant Development<br />
It was noted in the report last year that the Laboratory received a grant from<br />
the National Science Foundation for a boat to be constructed as a replacement of<br />
the Nereis which has been in operation since 1925. This new boat will be com<br />
pleted in September, 1964, is 40 feet long, has a 14-foot beam, and is powered by a<br />
160-horse-power diesel engine.<br />
An additional grant from the National Science Foundation provides funds for<br />
extensive alterations in the library including a relocation of the offices and service<br />
rooms of the librarians, refurbishing the stacks, an extension of the reading room,<br />
improved lighting and new furniture. Part of this work will be completed during<br />
the winter of 1963—64,the remainder the following winter. This same grant pro<br />
vides funds for laboratory modifications which will concentrate the special apparatus<br />
in one area and additional funds for a wharf in front of the main laboratory extend<br />
ing out parallel to the salt water intake dock in the same location as the former<br />
Cayadetta dock.<br />
3.PlanningCommittee<br />
At its Annual Meeting the Board of Trustees authorized the appointment by<br />
the Executive Committee of an ad hoc committee on long-range planning, par<br />
ticularly in reference to modern dormitory, housing and dining hall facilities. This<br />
committee was set up by the Executive Committee and presented a report to the<br />
Executive Committee at its mid-winter meeting. The report was accepted by the<br />
Board of Trustees and the committee was instructed to explore ways of funding<br />
its recommendations.<br />
4. Laboratory Attendance and Turnover<br />
Elsewhere in this report is a “¿Tabular View of Attendance, 1959—1963.†It<br />
will be noted that there has been a gradual increase in the scientific population at<br />
the Laboratory, resulting in considerable measure through an increased number<br />
of research assistants.<br />
The full-time research personnel in the Laboratory this past winter numbered<br />
fifty-three. They were housed in twenty-five laboratories. There were twenty

five transient workers at the Laboratory, thirteen engaged in research activities,<br />
twelve reading in the library.<br />
It has sometimes been suggested that the Marine Biological Laboratory is a<br />
closed organization with little turnover in research personnel. A survey of the<br />
situation revealed that there will be 76 investigators and 20 library readers in<br />
residence at the Laboratory during the summer of 1964 who were not present in<br />
1963, and 155 investigators and 34 library readers in 1964 who were not present<br />
in 1959.<br />
The three graduate training programs—Gamete Physiology, Comparative<br />
Physiology and Neuromuscular Physiology—Serve as instruments for personnel<br />
change. There were 35 trainees in these three programs in 1963, only three of<br />
them repeaters. The fellowship programs, Lalor and Grass, included ten fellows<br />
in 1963, non of them repeaters.<br />
Obviously there is a continuous flow of new personnel into the Laboratory,<br />
insuring a wide opportunity in the use of its facilities.<br />
5. Personnel Changes<br />
Because of his appointment as a Career Professor, Dr. Clark P. Read had to<br />
resign as head of the training program in Invertebrate Zoology but continues his<br />
interest in this program as a Consultant. We are very fortunate in attracting<br />
another very able invertebrate zoologist, Dr. W. D. Russell Hunter, to head up<br />
this training program.<br />
6 Deaths<br />
We note with sorrow the deaths of two Trustees Emeriti, Dr. F. P. Knowlton<br />
and Dr. W. J. V. Osterhout. Dr. Knowlton was a member of the staff of the<br />
physiology course from 1909—1926, a Trustee from 1923—1945 and a Trustee<br />
Emeritus from 1945 until his death in 1963. Dr. Osterhout was a Trustee from<br />
1918—1940and then a Trustee Emeritus until his death on April 9, 1964.<br />
1. MEMORIALS<br />
LAWRASON RIGGS<br />

Lawrason Riggs, former Treasurer and President of this Corporation, died in Janu<br />
ary, 1963. Few of us realized the extraordinary ability and wide range of interests of<br />
this quiet and unassuming man. He was a successful lawyer in New York City.<br />
He found time to carry on the duties of Treasurer from 1924 to 1942, and to serve in the<br />
same capacity for the Oceanographic Institution from 1930 to 1950. This he did with<br />
the help of one part-time secretary. His ability as Treasurer is shown by the fact that<br />
during the depression years of the 1930s the income from our Endowment Fund<br />
remained fairly constant.<br />
When Dr. Lillie died, Mr. Riggs was unanimously chosen to be President of the<br />
Corporation. Those of us who were privileged to serve with him will always remember<br />
his deep devotion to the Laboratory, his sympathetic understanding of its problems<br />
and his wise advice.
REPORT OF THE DIRECTOR 9<br />
In whatever capacity he served he was always asked to continue year after year.<br />
He was Warden and Senior Warden of his New York Church for 45 years, an officer<br />
of this Laboratory for 20 years and of the Oceanographic Institution for 20 years.<br />
His interests outside the law and the Woods Hole laboratories were exceptional.<br />
They were summed up by his friend, the Rector of the Church of the Ascension, in<br />
these words : “¿His life was one adventure after another—climbing mountains, gazing at<br />
the stars through his new telescope, walking through strange lands, picking up odd bits<br />
of archaeological finds, sailing the waters from Woods Hole to everywhere. He was<br />
at home among the classics.â€<br />
Indeed, during his last stay in the hospital he had beside him a well-worn copy of<br />
the Greek New Testament.<br />
His deep affection for this Laboratory was shown when he announced his retirement<br />
as President. As he spoke of his long association with the Laboratory his voice broke,<br />
and in the middle of a sentence he said “¿I cannot speak further.â€<br />
The Laboratory has lost a most valuable and devoted friend of many years.<br />
REINHARD DOHRN<br />

It is befitting to remember here a man, Reinhard Dohrn, who was taken from our<br />
rows by death this year, though he did not belong to the Woods Hole family of re<br />
searchers. He belonged to the wider circle of marine biologists, among whom he played<br />
a leading role, less through his own research than by providing for the research of<br />
others, with his devotion to science, his ability of organization, and his very high<br />
human qualities.<br />
He was the Director of the Zoological Station in Naples, founded by his father,<br />
Anton Dohrn. He saved his institution through the turmoil of political events. This he<br />
did, less by political cunning than by his sincerity, honesty, modesty and idealism.<br />
To me he was the embodiment of all the higher and lofty ideals that science and<br />
humanities stand for.<br />
He kept, always, the most friendly relations with Woods Hole in a spirit of brother<br />
hood and not of competition. He parted at an old age, had a grand life full of struggle<br />
and noble endeavor, as a man's life should be, so we can bear no grudge to fate, but,<br />
all the same, his parting is a great loss to us all and to marine biology. We lost a great<br />
and very good friend, and a grand human being.<br />

V. REPORT OF THE LIBRARIAN<br />
The 1963 acquisitions added 68 new titles to our current journal collection,<br />
bringing the total nuniber to 1826. Of this total, the Laboratory subscribed to 568,<br />
sent The Biological Bulletin in exchange for 644 and gratefully received 187 as<br />
gifts. The Woods Hole Oceanographic Institution subscribed to 144, sent its<br />
Collected Reprints in exchange for 215 and accepted 68 as gifts.<br />
To our book shelves we added a total of 353 titles, the Laboratory having pur<br />
chased 108 and the Institution 67. Generous authors contributed 11 books and<br />
122 were presented by the publishers who held summer exhibits in the main lobby.<br />
From various other sources, 45 books were received.<br />
Through purchase, exchange and gift the Laboratory completed 17 journal sets<br />
and partially completed 26 sets, whereas the Institution completed two sets and<br />
partially completed 9 sets. We added 4266 reprints to our collection, 2862 of<br />
which were of current issue.<br />
There were 1089 volumes sent to the bindery. Outgoing inter-library loans<br />
‘¿totalled306 and 76 titles were borrowed for our investigators. The Xerox machine<br />
installed by the Laboratory enabled us to give more efficient photoprint service to<br />
.other libraries and to our own readers.<br />
The Library now contains 82,436 bound volumes and 228,000 reprints.<br />
Several gifts of books and reprints were received, for which the Librarian<br />
‘¿wishes to extend acknowledgment to Drs. Douglas A. Marsland, Roberts Rugh<br />

and Albert Szent-Györgyi. From the estate of Dr. Herbert W. Rand we acquired<br />
60 books. We were extremely happy to get these, as many of them have been used<br />
to replace worn copies, many of which have been long out-of-print.<br />
In November, work was started on Library alterations. These renovations cover<br />
extensive improvements in the stacks, new offices for the Staff, a rare-books room,<br />
a catalogue room and a photoprint room. It is anticipated that these changes<br />
will be advantageous to our readers and will increase the efficiency of the services<br />
rendered by the Staff.<br />

VI. REPORT OF THE TREASURER<br />
The market value of the General Endowment Fund and the Library Fund at<br />
December 31, 1963, amounted to $2,155,489 as against book value of $1,242,896.<br />
This compares with values of $1,994,709 and $1,242,771, respectively, at the end<br />
of the preceding year. The average yield on the securities was 3.64% of the<br />
market value and 6.31% of book value. The total uninvested principal cash in<br />
the above accounts as of December 31, 1963, was $431.33. Classification of the<br />
Securities held in the Endowment Funds appears in the Auditor's report.<br />
The market value of the pooled securities as of December 31, 1963, was $390,026<br />
with uninvested principal cash of $168.26, the market value at December 31, 1962,<br />
being $353,243. The book value of the securities in this account was $315,196 on<br />
December 31, 1963, compared with $302,453 a year earlier. The average yield<br />
on market value was 3.36% and 4.16% of book value.<br />

of $93,018, as well as the investment in the General Biological Supply House, with<br />

The General Biological Supply House fiscal year ended June 30, 1963, and had<br />
a profit after taxes of $241,616 as compared to $302,657 in 1962 and $302,851 in<br />
1961 and $314,034in 1960 and $303,300in 1959. In the fiscalyear 1963,the<br />
Marine BiologicalLaboratoryreceiveddividendsfrom the General Biological<br />
Supply House of $42,164 as against $38,100 in 1962 and $33,020 in 1961 and<br />
$30,480 in 1960.<br />
