Elections of the <strong>2009</strong> Officers<br />
Since SES is hosting for 2010 for 20 year anniversary, much of the work will be taken on by SES<br />
for this year. However, offices were motioned and voted:<br />

The new logo, developed by Ernest Middleton, was well received and accepted and it will be<br />
used on official Users’ Group letters and documents.<br />

2008 <strong>Minutes</strong> Approval<br />
Past minutes review: Doug Gilroy. <strong>Minutes</strong> from the 2008 <strong>CDEGS</strong> <strong>UG</strong>M were approved.<br />

Conference Fees<br />
Larger balance. Is this good? How do we decide fees? Hosting company to do preliminary work<br />
to come up with a proposed fee.<br />
Leave "nest egg" in company?<br />
Fee $330 to remain for now proposed by Douglas Gilroy and accepted by attendees.<br />
IV Hosting Company<br />
Hosting company: Get started as early as possible to book facilities.<br />
Costs for hosting company: In constitution: Presently, the Host company is responsible for any<br />
overruns. The Host company signs contracts to reserve facilities, etc., and assumes financial<br />
liabilities.<br />
Laslo: Costs for his company was less than $1000 for the 2008 <strong>UG</strong>M<br />
Ernest: Historically, liabilities were less than $1000.<br />
Provide services: See Constitution<br />
Term: Unlimited liabilities scares potential hosting companies.<br />
Can we amend the constitution and specify "softer" terms and define the limit of the liabilities?<br />

Need EIN number to use US charity bank account. How to deal with international treasurers.<br />
The EIN number assigned by the IRS is 26-4090862 and our legal name is <strong>CDEGS</strong> Users<br />
Group, as per Ernest Middleton, Secretary-Treasurer <strong>2009</strong> <strong>UG</strong>M.<br />

Eugene: SES agreed to post the constitution on their website (read only).<br />

Amendment Procedure<br />
Changed were approved by the required 2/3 vote of conference attendees. Chairman shall<br />
implement changes.<br />
Amendment June 11, 2008:<<br />
Registration shall be check and made out in US dollars. Committee to vote on dollar amount<br />

• Committee to decide actual fee based on proposed costs from hosting company<br />

I 2010 Officers<br />
Officer positions were confirmed, as mentioned above.<br />
II Location<br />
Since SES is hosting for 2010 for 20 year anniversary in Montreal, much of the <strong>UG</strong>M work will<br />
be taken on by SES for next year. Location of actual venues are unknown at this time.<br />
III<br />
Budget<br />
Skip Williams: Motion to allow wives and children to attend the lunches and the Monday<br />
reception. Account for costs by having an additional fee at registration to pay for meals.<br />
Add this tally to registration site (e.g., 1 Attendee + x guests). Potentially attach an age range<br />
(kids meals may be less expensive).<br />
Costs this year were $28-$40 PER lunch. Cost TBD for each <strong>UG</strong>M, as necessary.<br />
SES offered to contribute to the costs for guests.<br />

IV<br />
Cost Overruns and Extra Costs<br />
Farid Dawalibi: SES agrees to cover any conference expenses up to $5,000 US on the condition<br />
the <strong>CDEGS</strong> Users’ Group cannot cover costs.<br />
Hosting Company Responsibilities<br />
Motion: Hosting company to host a reception on Monday Night. The intention is a meet-and-<br />
<strong>2009</strong> <strong>CDEGS</strong> User Group <strong>Meeting</strong> Page 4 of 5
greet social event. Include in budgeted costs. Use money left over to host this function. Funds<br />
should be available for the 2010 <strong>UG</strong>M.<br />
V<br />

VI Constitution Article 4<br />
Change in constitution regarding liability was re-worded.<br />

The host company agrees to accept financial liabilities, strictly limited to the conference costs<br />
that may be incurred if the Users’ Group and SES are unable to partially or fully execute<br />
contracts. SES agrees to cover any conference expenses up to $5,000 US on the condition the<br />
<strong>CDEGS</strong> Users’ Group cannot cover costs.<br />
