CONCOR - GENERAL TERMS & CONDITIONS

1.0 Subject to the reserve price, if any, fixed by the ownerstockholder M/s. Container Corporation of India, (hereinafter
referred to as CONCOR) or persons duly authorized in this regard (hereinafter called authority) and of the terms &
conditions herein all sale shall be made to the highest bidder or tenderer among the two on "as is where is basis" and no
complaint basis. Ms. MATEXNET P LTD (SELLING AGENT OF Ms. CONCOR) are hereinafter referred to as
MATEXNET Auctioneers.
CONDITIONS APPLICABLE TO TENDER PORTION
1.1 METHOD OF QUOTING; Tender should be submitted by the tenderers in the enclosed Tender Form indicating Lot
No,Prices exclusive of Taxes and Duties should be quoted clearly both figures and words and the unit of offer should be
the same as indicated in the Item List. Should there be any variation between the rates indicated in the figures and words,
the higher of the two will be considered which will be final and binding on the tenderer.
1.2 Earnest Money Deposit for Tender: Tender offer should be accompanied by an EMD of 25% of the offered value in the
form of Demand Draft Pay Order in favor of (1) Container Corporation of India Payable Bangalore (Lot No 101 to 108) (2)
Container Corporation of India Payable Hyderabad (Lot No 201 to 206) (3) Container Corporation of India Payable
Visakhapatnam (Lot No 207 to 209)
1.3 Submission of Tenders: The Tenderer Bidders should quote in separate tender forms cover for each location and should
superscribe the respective location address on the cover clearly failing which their tenders can be rejected Tenders should
be submitted in sealed cover before the closing time as mentioned in the Schedule of Programme. All Tenders Should
reach (1) ICD Whitefield – Bangalore (2) ICD SNF – Hyderabad (3) CFS/CFCV – Visakhapatnam on or before 5:00 PM
on 16th March 2011 (Tenders will not be accepted at matexnet offices)
CONDITIONS APPLICABLE TO "ONLINE" AUCTION METHOD OF BIDDING
1.4 VALIDITY:
The auction bidders must keep their bids valid for a period of 10 (Ten) calendar days from the date of closing of ONLINE
Auction
1.5 CLAUSE-I:
Participation Fee: The buyer should pay a participation fee as per auction schedule Each Location (CONCOR) for Online
method of Bidding for each location separately as mentioned in the schedule by Demand Draft Pay Order on any
Scheduled Nationalised Bank Drawn in favour of (1) Container Corporation of India Payable Bangalore (Lot No 101 to
108) (2) Container Corporation of India Payable Hyderabad (Lot No 201 to 206) (3) Container Corporation of India
Payable Visakhapatnam (Lot No 207 to 209)
1.6 CLAUSE-II:
On payment of participation fee, CONCORMATEXNET will provide User-Identity and Password to enter into Website
www.matexnet.com for the Online Auction method of Bidding.
Disclaimer –
1.7 Matexnet runs its business on the basis of a robust Web Site. However Matexnet is outsourcing server space from a third
party hosting company and hence shall ensure the smooth running in all good faith and intention. However Matexnet will
not be held responsible for any failure of power, Network, Server, hosting server, internet connectivity, ISP or otherwise at
Bidders end or at MatexNet directly or indirectly effecting Online method of Bidding.
1.8 Matexnet takes no responsibility of the quality, quantity, documentation details of buyers/sellers. Both the buyers & sellers
agree to defend, indemnify and hold harmless, Matexnet from any loss, damage, cost and expenses caused by any reason
during this transaction. In no event shall Matexnet be liable for any loss for the transactors by business, revenues, profit,
costs direct and incidental, consequential or punitive damages of any claim. Both the parties agree to have discussed all the
related matter regarding this transaction and have understood in full that Matexnet has provided a source of supply and has
nothing to do any further especially with regards to quality, warranty, guarantees, delivery schedules, payments, rejections,
transportation, legal laws and regulations to be followed from time to time etc. Since Matexnet does not possess knowledge
base of the commodities under transaction both the parties agree that the matter contained in the materials as a part or as a
whole does not violate any applicable law. Matexnet Pvt. Ltd. is only an e-commerce service provider, and is not and
cannot be a party to or control in any manner any transactions between the Seller and Bidder. Matexnet Pvt. Ltd. shall
neither be responsible nor liable to mediate or resolve any disputes or disagreements between the Seller and Bidder.
1.9 The Seller/Bidder agrees to limit the liability of Matex Net Pvt. Ltd. to them for any and all claims, losses, costs, damages
of any nature whatsoever or claims expenses from any cause or causes, including attorneys fees and costs, so that the total
aggregate liability of Matex Net Pvt. Ltd. to the Seller/Bidder shall not exceed its total fee receivable from the
Seller/Bidder. It is intended that this limitation apply to any and all liability or cause of action however alleged or arising,
unless otherwise prohibited by law.
2.0 PARTICIPATION
2.1 The prospective bidder has to register with the Matexnet. The prospective bidder shall have to deposit Earnest Money
Deposit (EMD) for each lot separately or for all lots as prescribed. (refer Details of Auction Property for Lot-wise EMD)
by Demand Draft / Pay Order on any Scheduled / Nationalized Bank /Scheduled Co-operative Banks Drawn in favour of
(1) Container Corporation of India Payable Bangalore (Lot No 101 to 108) (2) Container Corporation of India Payable
Hyderabad (Lot No 201 to 206) (3) Container Corporation of India Payable Visakhapatnam (Lot No 207 to 209)” It has to
be submitted directly to any office of Matexnet (see details of Matexnets Offices in www.matexnet.com). CASH WILL
NOT BE ACCEPTED.

2.2 Bidders/Seller may note that any payments by DD or cheque or any other means towards EMD/Security Deposit or other
purposes received by MatexNet on behalf of Seller/Bidder shall be handled in good faith and intention. However MatexNet
shall not be responsible for the loss of the DD/Cheque from its custody due to reasons beyond its control such as fire, theft,
burglary, loss in transit, accident, war, riots, civil commotion, any terrorist activity, any natural calamity, adverse weather
and climatic conditions etc.
2.3 On payment of EMD, seller/Matexnet will activate the User – Identity to enter into Website www.matexnet.com
2.4 Bidders SHOULD NOT disclose their PASSWORD to anyone and safeguard its secrecy. Bidders are advised to change the
Password.
CONDITIONS APPLICABLE TO “ONLINE” AUCTION METHOD OF BIDDING
2.5 Validity: The Online auction bidders and Tender bidders must keep their bids valid for a period of …10… calendar days
from the date of closing of e-Auction excluding the date of closing. In case the 10th day falls on a holiday or remains
closed for the seller, such Bids will be deemed to be automatically extended to be valid up to the next working day of
seller.
2.6 Time Extension: If any market-leading bid (bid higher than the highest at the point in time) is received within the last 3
minutes (“Time Extension” as mentioned in the Bidding Room will be in force & 3 Minutes is an example) of closing time,
the time will be extended automatically by 3 minutes.
2.7 Training: Matexnet will provide training (online) if required by the bidders at a mutually convenient date and time before
the Auction.
2.8 Bids: All bids placed are legally valid bids and are to be considered as bids from the bidder himself. Once the bid is placed,
the Bidders cannot reduce or withdraw the bid for whatever reason. If done so, the seller will forfeit the EMD. The highest
and the latest bid on the Auction shall supersede all the previous bids of the bidder. Bidders may please note that in the
event of a manual bid amount matching that of an auto bid, the manual bid will prevail and be considered. The bidder with
the highest offer/ bid does not get any right to demand acceptance of his Bid.
2.9 Auto Bid:
a) Auto Bid facility is provided for bidders intending to place a maximum value for a lot/lots.
b) Auto bid is not a confirmed bid. It is only the maximum ceiling amount set by the bidder to enable the auction
engine to place bids on his behalf, whenever he is outbidded, upto the ceiling set by him.
c) Once auto bid is set, the auction engine will consider the ceiling amount for the next possible Bid only,
depending on the highest bid prevailing at that point of time and the increment amount prescribed for that
particular lot.
d) Bidders may please note that in the event of a manual bid amount matching that of auto bid, the manual bid will
prevail and be considered.
3.0 INSPECTION
a) Goods are being sold on AS IS WHERE IS BASIS.
b) The lot or lots shall be removed in full from the site with whatever faults and flaws in description or otherwise and no
selection or sorting of the material will be allowed. Quantities, Qualities, Sizes, Measurements, Numbers and Weights
stated are approximate.
c) Goods are sold on the assumption that the bidder has inspected the lot prior to bidding and knows what he is bidding
for.
d) Goods may be sold singly or by clubbing them in lots as suitable, convenient and advantageous in the opinion of
CONCOR .
e) Where specimen samples are shown it is clearly understood that the quality of the material inside the container boxes
cartoons cases etc. may not necessarily be of exact quality, quantity, size, dimensions, specifications features etc.
f) CONCOR MATEXNET does not give warrantee or guarantee of the quality, Chemical composition of each
individual item in the lot or about the "End use" or fitness for a particular purpose.
3.1 EARNEST MONEY DEPOSIT:
The buyer should pay Earnest Money Deposit against the accepted auction bids by Demand Draft Pay order
ON CONFIRMED SALE: The highest bidder shall pay (EMD) i.e 25% of the bid value (excluding taxes & duties) by
DDPay Order in favour of CONCOR within 72 hours from confirmation of the online auction results at the office of
MatexNet failing which participation fee will be forfeited.
3.2. TIME SCHEDULE FOR REMITTANCE OF REMAINING BALANCE PAYMENT:
The buyer shall pay Balance of the purchase price, between 10.00 hrs. and 18.00 hrs. as per the chart given below: -
A. If the bidtender amount is less than and equal to Rs.5 lakhs – 7 days after confirmation
B. Above Rs.5 lakhs to Rs.10 lakhs - 10 days after confirmation
C. Above Rs.10 lakhs to Rs.15 lakhs - 15 days after confirmation
D. Above Rs.15 lakhs to Rs.20 lakhs - 22 days after confirmation
E. Above Rs.20 lakhs - 30 days after confirmation
3.3 DELIVERY SCHEDULE
Delivery should be taken within three days from the last date for payment, (excluding the last date for payment), given
above. If the due date of payment happens to be a declared holiday subsequently, the payment can be made on the next
working day within the appointed time.
The balance payment in the form of Demand Draft Pay order in any Nationalised Scheduled Bank drawn in favour of Ms.
Container Corporation of India Ltd payable at respective locations as mentioned above, must be delivered at the office of
MatexNet, Bangalore/Hyderabad issue of Delivery Order.

3.5 In case of the last day of payment happens to be a closed holiday for MatexNet Bank the next working day will be taken as
the date of payment without late payment charge.
3.6 LOT CONFIRMATION.
Final confirmation of Bid acceptance will be done after clearance by Customs and Container Corporation of India Ltd. Lot
confirmation to successful bidders who participated through Tender cum on line auction will be primarily through E-Mail
Fax followed courier Post. The Date of Sending of E-Mail Fax will be consider as date of intimation.
In case NOC is required for any container from regulatory bodies or Government Agencies for confirming the sale and the
same is refused, the EMD deposited for that lot will be refunded to the bidder WITHOUT INTEREST.
3.7 TAXES
All bids invited are for the net amount accruable to Container Corporation of India Ltd. and all taxes or other levies
charged under State, Central or local laws as applicable on the date of delivery except Customs Duty shall be payable by
the bidder. These taxes are required to be paid before taking delivery by the bidder tenderer.
3.8 DELIVERY SCHEDULE
Delivery should be taken within three days from the last date for payment (excluding the last date for payment).
If the purchaser fails to make payment andor take delivery of the material within the time limit prescribed in para 03 & 04
above, CONCOR shall have the right to auction the un-delivered materials immediately in the next auction without any
intimation to the successful bidder and bid money deposited by the bidder shall be forfeited.
3.9 The successful bidder shall produce the BUYERS copy of the delivery order issued by MATEXNET for proper
identification of the buyer at the time of taking delivery of the material. It is therefore the responsibility of the buyer to
keep the documents in safe custody. The person who has collected the material from CONCOR by producing buyers copy
of the delivery order if subsequently found to illegal possessor producer of the documents, CONCOR shall in NO WAY be
responsible.
4.0 While taking delivery of the material, it will be at the discretion of the authorized representative of CONCOR to direct the
manner order in which the materials or lots shall be removed. NO SEGREGATION OF THE ITEMS OF ANY LOT IS
ALLOWED INSIDE THE CONCOR PREMISES.
4.1 In case the whole or any part of the goods sold remain uncleared, even after the authorized period stated in the delivery
schedule, the purchaser shall have no claim whatsoever on the goods remaining uncleared and the amount paid to
CONCOR will stand forfeited at the expiry of the said period. CONCOR shall have the right to dispose of such goods in
any manner it likes. The purchaser will have no right whatsoever to any compensation. Ground rent, if any, as on date of
taking delivery of the goods will be collected by CONCOR.
4.2 Weighment No of parcel mentioned are approximate.
4.3 Purchasers are advised in their own interest to make appointment with the stock holder (CONCOR) before placement of
vehicles for taking delivery of the materials purchased by them within the scheduled date of delivery. The purchaser at his
own cost will make his own arrangement for removal, dismantling loading, transporting and he will not be entitled to claim
any facility or assistance or cost on this account from CONCOR MATEXNET.
4.4 GENERAL:
CONCOR reserves the right to modify and amend the terms & conditions and announce the same if need be prior to the
commencement of the auction.
4.5 Employees of CONCOR MATEXNET are barred from participating in the Online sale, unless otherwise approved by
CONCOR Management.
4.6 Lot will be put for auction as per convenience of management and it is not obligatory to go serially. Original buyers should
sign and record their Name and address legibly in the bid sheet.
4.7 Sale order will be issued in the name of the original buyer as recorded in the bid sheet. Any further correspondence will be
only with the buyers name and address as recorded in the bid sheet only.
4.8 SEGREGATION OF MATERIAL WILL NOT BE ALLOWED IN THE CONCOR PREMISES. Breaking cutting may be
allowed to the extent necessary for facilitating loading into vehicles as per the discretion of the CONCOR officials.
4.9 When goods sold are not available for any reasons for delivery, the amount received against the sale will be refunded. In
case, part of the goods are not available for delivery, proportionate refund of the amount received will be made. The
decision of CONCOR shall be final and binding in this regard.
5.0 The goods shall be lying in the premises of CONCOR after the conclusion of the bidding at the sole risk and cost of the
purchaser in all respect and the bidder should take the delivery at his own expenses at the earliest and in any case not later
than the period prescribed above
The cost of material handling, i.e. destuffing etc. shall be borne by the bidder and payment has to be made to the CONCOR
at the rate prevailing at the time of taking delivery.
5.1 Purchaser and his men are subject to the security rule of CONCOR in force while in the CONCOR premises. The
purchaser workmen agents or representatives shall not commit any nuisance, theft or indulge in any anti-social activities in
the premises and the purchaser shall be liable for the good conduct safety and discipline of his workmen. In case of any
such activity, delivery will be suspended and strict action as per law will be taken including forfeiture of EMD.

5.2 The Purchasers shall be responsible for any damage that may be done to premises fittings of CONCOR in the course of
removing the lot or lots purchased by them. The authority may at its option arrange to make good such damages and the
purchaser shall pay for the same on demand.
5.3 During the period the purchasers workers are engaged within the CONCOR premises they will be governed by the labour
laws and rules, Factory Acts and Rules and CONCOR Safety Security Rules as applicable. It shall be the responsibility of
the purchaser to see that the statutory provisions are complied with.
a) Where the lots are sold in lot and not by number or units, in the event of the lot or lots being found to be
deficient in quality, quantity, sizes, measurement, number or weight as stated in the catalogues, purchaser shall
have no claim on CONCOR MATEXNET for refund of the whole or any part of the purchase money or for
loss or profit or interest or any other damages.
b) Each lot will be sold as a complete lot based on the parcel and the quantity mentioned are approximate and the
buyer understands that the CONDITIONS ARE AS IS WHERE BASIS.
5.4 In the event of failure on the part of the successful bidder to fulfill his contractual obligations, CONCOR MATEXNET
reserves the right to debar such bidder from participating in any future tender auction on behalf of CONCOR.
5.5 ARBITRATION:
In the event of any dispute arising the same will be referred to a sole arbitrator to be appointed by the Managing Director of
CONCOR and the Arbitration proceedings would be governed by arbitration and Conciliation Act 1996. The fees and
expenses towards arbitration proceedings will be shared equally by the parties. The jurisdiction for filing the award into
court or any other proceedings under the Arbitration Act shall be that of courts in Bangalore & Hyderabad City only.
5.6 CONCOR will not be in any way responsible for failure to deliver the goods as per delivery schedule due to causes beyond
their control such as strikes, lockouts, cessation of labour, shortened hours, acts of God or other causes or contingency
whatsoever. The buyer shall not be entitled to cancel the contract and the period of delivery shall automatically be extended
accordingly.
5.7 ACCIDENTS ETC. TO THE TENDERER BIDDER LABOUR
CONCOR MATEXNET will not at any time be responsible for any injuries caused due to accident within CONCOR
premises or at the place of work of the owner either to the buyer or his representative labour etc., and the bidder will make
proper arrangements for any claim arising out of the employment under any status. It is the responsibility of the bidder to
provide necessary safety appliances (like hand gloves safety shoes etc.,) to the labourers, who are engaged for loading the
materials.
CONCOR MATEXNET will not be liable for any claim and purchaser shall keep CONCOR MATEXNET fully
indemnified and harmless against any claim and proceedings of any of their own or against the employees or others.
Important Note
a) The EMDs of the 1st & 2nd highest bidder will be retained by concor matexnet.
b) On confirmation of the lot by concor matexnet and subsequent issue of the sale intimation order by Matexnet,
the highest bidder should make 25% of the lot payment within 72 hours. Failing which the EMD of the highest
bidder will be forfeited.
c) Thereafter the Bid price of the 2nd highest bidder will be accepted and due intimation will be sent to him. The
2nd highest bidder will be bound to make 25% of the Bid price within 3 working days. in case he fails to make
such payment within 3 working days his EMD will also be forfeited and cargo will be reserved for next auction
d) CONCOR will strictly adhere to the time schedule for making payments towards EMD participation Fee
