INSTRUCTION TO TENDERERS<br />

Sealed tenders on the enclosed tender form addressed to the Divisional <strong>Railway</strong><br />

Manager, N.E.<strong>Railway</strong>, Lucknow should be submitted in a cover marked "Tender for<br />

Paraking at Cab Road contract at --------------Rly. Station and Divisional Office,<br />

N.E.<strong>Railway</strong> and shall be deposited in the tender box in the Divisional <strong>Railway</strong><br />

Manager's office, Lucknow up to 14:00 hrs on dated 16.08.11 to 25.08.11 Tender will be<br />

open on dated 25.08.11 at 15:00 hrs in the presence of such tenderers or their<br />

representative who wish to be present. The name of the tenderers and rates quoted by<br />

each tenderer will be read out at the time of opening of the tenders.<br />

2. Tenders received after the date and time specified above shall not be accepted. The<br />

tenders shall held the offer for period of 90 days from the date fixed for opening the<br />

same with in which period the tenderer consult with for his offer subject to the period<br />

being further extended if required by mutual agreement from time to time. Any<br />

contravention of the above conditions will make the tenderer liable for forfeiture of the<br />

earnest money.<br />

3. The rates should be filled legibly in ink, in figure as well as in words. The tenders<br />

containing any erasures or alteration in the tender documents any over writing are liable<br />

to be declared invalid.<br />

4. Tenderers are required to deposit a sum of Rs……………./-(……………….) with the<br />

Divisional Cashier and Pay Master, N.E.<strong>Railway</strong>, Lucknow or by Bank draft/Demand<br />

draft in favour of F.A. & C.A.O., N. E. Rly./ Gorakhpur as earnest money for the due<br />

fulfilment of contract, they should attach original receipt thereof with the tender form,<br />

without which no tender will be considered. Earnest money will be refunded in full<br />

without any interest to all unsuccessful tenderers by crossed cheque. There will be no<br />

liability of Rly. Administration in case of any delay in their refund.<br />

5. The earnest money of the successful tenderers will be retained and adjusted towards<br />

the security deposit amount, which will be prescribed by as per extant rules. In the event<br />

of any tenderer failing to turn up with in stipulated time period after acceptance of their<br />

tender the earnest money deposited by him will be forfeited by the administration.<br />

6. Security money: This amount is held up by the Rly administration for the due and<br />

proper fulfilment of the contract. The sum of Rs……………………... will have to be<br />

deposited in cash or other form as prescribed by the extant rules and will be subject to<br />

these rules or orders.<br />

7. No railway passes will be issued to contractor by the administration.<br />

8. If the tendering party is a partnership firm, an attested copy of the registered<br />

partnership deed must also accompany with the tender form. The <strong>Railway</strong> Administration<br />

reserves the right to call for the original partnership deed for inspection.<br />

The tendering party must submit along with the tender:<br />

1) Essential Document:-<br />

a] Earnest money


] Financial status certificate issued by competent authority (DM), which should not be<br />

more than Two years old. & issued for contract work.<br />

2) Desirable Document:-<br />

a] Certificate for previous work experience if any.<br />

b] Original copy of Character Certificate issued by concerning (DM), which<br />

should not be more than Two years old. & issued for contract work.<br />

c] A copy of the Bank statement of the A/C held by the tenderer in a<br />

scheduled/Nationalized Bank showing last six months transaction and duly<br />

authenticated by the Branch Manager of the Bank. Tenders which are not<br />

accompanied by any/all of essential documents will be summarily rejected.<br />

9. The tenderer will have to execute an agreement whose copy is attached. He is also<br />

liable to pay License fee as per agreement Para 8 including 2% income tax of<br />

License Fee.<br />

10. The cost of the stamp duty for the execution of the agreement will be borne by the<br />

contractor.<br />

11. The Divisional <strong>Railway</strong> Manager, N.E.<strong>Railway</strong>, Lucknow reserves the right to reject<br />

any or all the tenderers though it may not be necessarily the highest.<br />

12. Duration of the contract will be three year from the commencement of the contract,<br />

but the competent authority can reduce the tenure while accepting the tender without<br />

assigning any reason.<br />

13. The site plan of the Parking at Cab Road is in the office and seen any time.<br />

14. The railway administration reserves the right to call the tenderers for negotiation if<br />

needed. But the tenderers cannot reduce the amount once tendered.<br />

15. Addendum or the corrigendum to the agreement form may however be issued as<br />

and when necessary.<br />

16. If the tenderer deliberately gives wrong information in the tender or creates<br />

circumstances for the acceptance of their tender, the railway reserves the<br />

right to reject such tender at any stage.<br />

LICENCE TO OCCUPY LAND FOR THE PURPOSE OF PARKING AT Cab<br />

Road AT Lucknow Jn RAILWAY STATION.<br />

An agreement made this ........ day of ------ Two Thousand Eleven [2011] between<br />

The President of the Union of India as the Executive Authority of Administration of the<br />

N. E. <strong>Railway</strong> Division Commercial Manager, (hereinafter called preamble ``The<br />

Administrator``) of the one part & ------------------------------ Business at -------------<br />

Station under the name & style of ___________________________________<br />

(hereinafter called Licensee / Licensees) which expression shall where the context so<br />

requires or admits, be deemed to includes his/their or either of his/their heirs, executors &<br />

administrators of the other party. Whereas the land hereinafter describe forms a portion of<br />

the N.E. <strong>Railway</strong> & has been for some time as in the occupation of the Administration &<br />

whereas the administration for a license or permission to erect a Paraking at Cab Road<br />

& for said purpose to have the temporary use & occupation of the said land which license<br />

or permission the Administration have agreed to grant upon the terms conditions<br />

hereafter contained.<br />

Now it is hereby agreed & between the said party/parties hereto as follows: -<br />

(1). The Licensee/Licensees shall have the use of all that piece of land on the<br />

<strong>Railway</strong> Station for the said purpose bearing Survey No. _________ Authority within<br />

the Registration Sub District ____________________ Station of District<br />

_______________ & measuring about ________ Square Meter in the length &<br />

___________ Square Meter in to run the breadth & convening by measurement<br />

contract square meter or there abouts be the same little more or less & bounded as<br />

follows that is to say: -<br />

For the purpose of erecting a temporary Paraking at Cab Road & for no other<br />

purpose what so ever & subject to the conditions herein after contained.<br />

(2). The Licensee/Licensees shall not erect or cause to be erected on the said land<br />

or on any part thereof any buildings or structures of a permanent or a quasi-permanent<br />

nature.<br />

(3). The Licensee/Licensees may lay erect & retain upon the said land structures<br />

of purely temporary character only subject to such rules, regulations & by laws as may<br />

from time to time to made by or on behalf of the Administration or on behalf of any local<br />

authority in relating hereto & subject to the conditions hereinafter mentioned & shall<br />

have to provide at his/their own expenses all the facilities like stand , shelter enclosures<br />

fencing facilities on the said land & premises,& shall keep properly enclosed, sheltered &<br />

fenced during the continuance of license hereby granted .


(4). The Licensee/Licensees shall before proceeding to erect any structure or in<br />

pursuance of clause 3 here of give a notice in writing thereof to the Divisional<br />

Engineer of the Lucknow N. E. <strong>Railway</strong> of the Division concerned specifying the<br />

purposes site of the temporary structure(s) intended to be erected & shall furnish him<br />

with the detailed plan, elevation & specification of such structure or Structures & the<br />

Licensee/Licensees shall erect such structures save on such site & in accordance with<br />

such plan, elevation & specification thereof as shall be first approved by the Divisional<br />

Engineer concerned of the N. E. <strong>Railway</strong>, Lucknow.<br />

(5). The said temporary structure or structures shall vest in & shall become the<br />

property or properties of the Administration & shall be under their sole control & the<br />

Licensee/Licensees shall have no right or interest in or claim to the said land or structures<br />

(hereinafter called collectively the said premises) whatsoever subject to the provisions of<br />

clause –II hereof.<br />

5. (i ).The Licensee/Licensees shall use the said premises solely & only for the<br />

purpose as aforesaid for which it is licensed & shall not occupy land beyond what is<br />

described above except with express permission in writing of the Divisional <strong>Railway</strong><br />

Manager concerned.<br />

(ii).The Administration shall at all times be at liberty to carry out any changes,<br />

repairs ,renewals additions ,or alterations to any of their structure of structures .In case of<br />

above purpose it becomes necessary to dismantle either the whole or any part of the<br />

temporary structure / structures erected by the Licensee/Licensees on the said land ,the<br />

Licensee /Licensees shall bear the entire cost. If any work is done by the administration<br />

to the temporary structure/structures as aforesaid, the cost thereof shall be increased by<br />

the usual supervision charges & shall be paid by the Licensee/Licensees to the<br />

administration immediately on demand. The Licensee/Licensees shall also reimburse the<br />

Administration for any losses or damages caused to the property of the Administration by<br />

the erection and/or presence of the temporary structure or structures referred to above.<br />

(6). The Licensee/Licensees shall also be liable to the Divisional Engineer which<br />

expression shall be deemed to include any person for the time being holding the<br />

appointment of Divisional Engineer or any acting Divisional Engineer of any other<br />

person so appointed of the N. E. <strong>Railway</strong> within the <strong>Railway</strong> Division in which the said<br />

premises are situated /free access at all times to the said premises & the<br />

Licensee/Licensees shall whenever so required by the Divisional Engineer forthwith, pull<br />

down rebuild or repair any part or parts of such structure or structures which the<br />

Divisional Engineer may consider to be improperly situated or of defective design<br />

constructions or material or in want of repairs.<br />

(7). The Licensee/Licensees shall have an insuranced Vehicle etc. against loss,<br />

theft or damages etc. due to theft, fire & other accidents, Licensee / Licensees shall pay<br />

the premium thereon regularly to insurance company & submit receipt to the <strong>Railway</strong><br />

Administration along with the Xerox copy of such insurance policy premium receipt for<br />

verification. Licensee/Licensees will make good the losses due to theft, fires, damages<br />

etc. to the owners of the vehicle. Licensee/Licensees will get the insurance policy<br />

renewed from time to time during the contract period.


(8). The Licensee/Licensees shall during the continuance of this license pay to the<br />

Administration for the use of said premises under the conditions of this license as an<br />

annual license fee of Rs.____________________. The Licensee/Licensees shall also duly<br />

pay during the continuance of this license all cesses, rates water, charges, taxes & other<br />

charges or taxes in respect of the said premises or proportion of all cesses, rates water<br />

charges & other charges of taxes of the said premises if they are not separately assessed<br />

in respect thereof & any neglect of commission on the part of the servants of the<br />

Administration in giving such intimation to recover such charges of taxes shall not<br />

prejudice the right to the Administration to recover the correct amount of such charges or<br />

taxes due from the Licensee/Licensees from the date of occupation by him/them of the<br />

said premises .The cess & other charges will be payable annually with Ist installment<br />

while the license fee will be payable in quarterly installment every year. The quarterly<br />

license fee so worked out will be rounded off to the nearest rupees & will be payable as<br />

per following program/plan.<br />

The Licensees will, if so permitted by the administration pay the license fee<br />

including 2% income tax of license fee, recoverable in quarterly installments payable as<br />

under: -<br />

1 st installment by the 1 st [month]<br />

2 nd installment by the 1 st [month] of each year during the currency of the contract<br />

3 rd installment by the 1 st [month]<br />

4 th installment by the 1 st [month]<br />

8. (i ) The Licensee/Licensees shall produce an Income tax clearance certificate<br />

at the end of each year ending the currency of the license .<br />

(ii) Subject to the terms and conditions contained in this Indenture the license<br />

shall be for a period of three years commencing from __________ 2011 & terminating on<br />

____________________ renewable thereafter at the option of the Administration.<br />

(iii) The Licensee/Licensees shall always keep the plot of land in clean &<br />

sanitary condition & shall remove all waste or unsaleable properties or whatsoever other<br />

materials or reuse there may be from the said plot of land & Parking of cab road & on<br />

his/their failing to do so the Administration may after giving Twenty Four hours notice<br />

forthwith remove the same at the expense of the Licensee/Licensees & disposes of the<br />

same in such manner as the Administration may in their absolute discretion think fit &<br />

such expenses shall be paid on demand by the Licensee/Licensees to the Administration.<br />

(9). In case the Licensee/Licensees delay (s) the payment of amount shown in<br />

clause 8 above the Administration shall be at liberty to recover at 10% on the annual<br />

license fee for the period for which the payment has been delayed.<br />

(10). Licensee/Licensees shall also details with the Financial Advisor & Chief<br />

Account Officer of N. E. <strong>Railway</strong> as a security deposit of a sum equivalent to 10% of the<br />

offered amount & other charges such as cess, water charges, Municipal tax etc. subject to<br />

a maximum of Rs._________________ for due fulfillment of this agreement & the said<br />

deposit or such portion thereof as may be available shall be refunded to the<br />

Licensee/Licensees on the termination of this License provided that the time of refunding<br />

such deposit the Licensee/Licensees shall surrender the original receipt granted by the<br />

Administration together with a receipt of the refund duly stamped & signed by him/them<br />

.In case the Licensee/Licensees is/are unable to return the original receipt he/they shall


e required to furnish an Indemnity Bond stamped & executed by him/them . No interest<br />

will be paid on the said deposit.<br />

10. (i ) In case the Licensee/Licensees makes /make any default in the payment of<br />

the rent tax or any other charges that may be due to the Administration the<br />

Administration shall be at liberty to recover such rent or other dues from the said amount<br />

of security deposit forfeit the balance if any as liquidated damage forth with determine<br />

the Licensee/Licensees & proceed to resume possession in a manner stipulated herein.<br />

(11). The Administration reserve their right to enhance the license fee or the cess<br />

rates & water charges as & when necessary to do & such enhanced charges shall be<br />

applicable & recoverable from the Licensee/Licensees from the date of the notice of<br />

enhancement in writing served on the Licensee/Licensees unless the Licensee/Licensees<br />

vacate the premises within one month of the said notice.<br />

(12). The Licensee/Licensees shall at his/their own expenses & on his/their sole<br />

responsibility obtain all other license or licenses (if any) necessary for carrying on<br />

his/their business for the subject of this license on the said premises.<br />

12. (i) Parking Rates<br />

for four wheeler for three wheeler for two wheeler<br />

(a). For period of up to 30 Minutes Rs. - 30.00 -<br />

(b) For period of up to 2 hrs 50.00 - 20.00<br />

To ensure charging prescribed rates for parking in Cab Road . Licensee/Licensees<br />

should give printed coupon to the person offering to keep his vehicle in cab road to avoid<br />

public complaint for charging more rates.<br />

12 (ii) Entry vehicle inside the Cab Road at Lucknow Jn Station free of<br />

Charge.<br />

(A) The following vehicles of dignitaries have been permitted to enter inside the Cab<br />

road at …………….. Station free of Charge.<br />

1. President of India.<br />

2. Vice President of India.<br />

3. Governors & Lieutenant Governors.<br />

4. Prime Minister & other Cabinet Minister. Minister of state an eputy Minister<br />

of Union, Chief Minister an other Cabinet Ministers (Ministers of States an<br />

following Govt. Officials. The nominated vehicles will display an approved<br />

sticker on its body:<br />

iii. Supdt., Govt. <strong>Railway</strong> Police.<br />

iv. R.M.S. Van. BSNL<br />

v. Vehicles of Town. Telephones<br />

Performing repairing work inside the<br />

station area – 2 vehicles.<br />

vi. Home Secretary Government of Uttar Pradesh.<br />

(C) IRCTC staff of licensee/sub licensee. They will be permitted by commercial<br />

deptt. for free entry on grtting request from IRCTC/N.Zone<br />

(D) MLA/MPs<br />

which can permit under the<br />

height bar provided on the<br />

Cab Road.<br />

(E) The Officers other than those as indicated above of Government /Government<br />

undertaking organization may also enter their cars/vehicles through the cab<br />

road at ------------------. Station on payment of requisite charges fixed by the<br />

competent authority on half yearly and yearly basis. Necessary permit will be<br />

issued by DRM LJN.<br />

Besides the above list of permitted vehicles for free entry, special free entry<br />

permit may be allowed by DRM in exceptional cases.<br />

12. (iii) The Licensee/Licensees shall appoint reliable & honest staff in adequate<br />

number & only such as are able to control the traffic & one of the good moral character &<br />

shall furnish their names to the Administration.<br />

12. (iv) The Licensee/Licensees shall be solely responsible for safe custody of<br />

vehicle or parked with him/them & for any loss or damage caused to/of any vehicle of in<br />

his/their custody & shall indemnify the administration against all claims/demands/action<br />

in respect of any loss or surcharge caused of/to any vehicle(s) in his/their custody.<br />

12 (v) The Licensee/Licensees shall at all time maintain good behaviour & shall<br />

not allow the doing of any such act on the premises as might cause injury or annoyance to<br />

others or as might tend to cause of breach of peace.<br />

12. (vi ) The Licensee/Licensees shall pay not less then the fair wages to the<br />

workers engaged by him/them the fair wages being the wages paid for a similar works in


the neighbourhood & shall otherwise comply with the provisions of the payment under ‘<br />

Payment of Wages Act 1936 `or any statutory modification or re-enactment thereof or<br />

rules framed there under.<br />

12.(vii) The Licensee/Licensees shall keep a proper record of such payments etc.<br />

& submit a certificate every month to the Administration of his having done so. The<br />

records shall be open to inspection by the <strong>Railway</strong> Administration or any person<br />

authorised by them.<br />

12.(viii) The Licensee/Licensees shall display a board duly painted at conspicuous<br />

places at & inside the vehicle stand exhibiting the daily & monthly parking charges for<br />

vehicle as laid down in this agreement.<br />

13(a). The privileges in clause –I hereof mentioned are granted on the express<br />

understanding that the Licensee/Licensees shall be at liberty to determine & to put an end<br />

to the license any time after the expiry of the period of 12 months from its coming into<br />

force without being liable for loss or damage which the <strong>Railway</strong> Administration may<br />

suffer by reason of such determination, by giving the <strong>Railway</strong> Administration three<br />

month prior notice in writing of his intention to terminate the agreement.<br />

(b). It shall be lawful for the <strong>Railway</strong> Administration to determine the agreement<br />

& to put an end at any time without assigning any reason & without being liable for loss<br />

or damage which the Licensee/Licensees may suffer by reason of such determination by<br />

giving the licensees three months prior notice in writing of its intention to terminate the<br />

agreement.<br />

(c). Anyone hereunder shall be deemed duly served on the Licensee/Licensees if<br />

delivered or sent by Registered post acknowledgement due to his/their address mentioned<br />

below.<br />

(d). If the license is determined before the expiry of the license period by the<br />

Licensee in pursuance of clause 12 or by the Administration due to default of the license<br />

in pursuance of clause 20 or any other clause the licensee will not be entitled to any<br />

refund of license fee of the un-expired period. However, if the licensee is terminated<br />

before the expiry of license period by the Administration without any default on the part<br />

of the Licensee, the Administration may its sole discretion refund such portion of license<br />

fee as may be considered reasonable & the decision of the Administration in this regard<br />

shall be final an binding on the licensee.<br />

(14). Upon such a notice of determination being given as aforesaid<br />

licensee/licensees shall put down & remove from the said land at their own expenses on<br />

the determination of this license all structures erected as or above & restore to its former<br />

condition the land forming the site thereof & if default shall be made herein the<br />

Administration may after<br />

the expiry of the said period carry out so much pulling down removal & restoration as the<br />

licensee/licensees may fail to complete & all expenses incurred herein as increased by the<br />

usual supervision charges shall be paid by the licensee/licensees to the Administration on<br />

demand being made thereof.<br />

(15). Nothing herein contained shall be construed to create a tenancy or any claim<br />

or any right or interest or easement in favour of licensee/licensees or in or over the said


premises or to permit the licensee/licensees to transfer or to sublet the benefit under this<br />

license.<br />

16 In all cases where the said plot of land is adjacent to <strong>Railway</strong> lines or sidings<br />

of the Administration over which trains are worked or shunting operation are conducted,<br />

the licensee/licensees shall appoint person who shall be rested at all times whenever any<br />

labour is engaged on the said plot to take all precautions to prevent accidents to life &<br />

property & more especially to see that all children are kept at a safe distance from the<br />

lines of the Administration.<br />

16. (i) The Administration shall not be responsible for any loss or damage of any<br />

sort which may happen to the property of the licensee or to which the licensee/licensees<br />

may be put from any cause whatsoever.<br />

(16). (ii) The Licensee/Licensees hereby declare /declares that the name<br />

________________________________ is the Name in or under which he/they carry on<br />

business by himself /themselves & that it is not the name of any other firm in which<br />

he/they carries /carry on business in partnership & that he/they does/do not carry on<br />

business in partnership with any other person or persons & that in case it shall at any time<br />

hereafter appear that the said declaration herein contained or any part thereof is not true<br />

in fact the Administration shall not be bound to recognize any person or persons other<br />

than the licensee/licensees as being in any way interest or concerned in this license or in<br />

any benefit to accrue there under & that the administration shall in addition be at liberty<br />

by a notice in writing under the hand of Divisional <strong>Railway</strong> Manager N. E. <strong>Railway</strong><br />

Lucknow addressed to the licensee/licensees or to either or any of his/their heirs,<br />

executors or assignees in insolvency as the case may be immediately to put an end to this<br />

license or that the licensee/licensees & any person or persons who may allege that they<br />

have any interest in this license shall have no claim on the Administration by reason of<br />

this license being remained in pursuance of the provisions herein contained.<br />

(17). The Licensee/Licensees jointly & each of them severally shall at all times<br />

keep the administration their officers & servants harmless indemnified against & shall<br />

reimburse to the Administration their officers & servants or any of them all claims<br />

demands suits, losses, damages, costs charges & expenses whatsoever including any<br />

claims under the Workmen’s Compensation Act 1923 & any amendments thereof which<br />

the Administration their officers or servant may sustain or incur or become liable to pay<br />

by reason or in consequence of any injury or accident to any person or to any property<br />

whatsoever whether owing to the neglect ,carelessness or any other conduct whatsoever<br />

of the licensee/licensees his/their or either of his/their agents servants & others in his /<br />

their employ during the use by him/them of the license of the said premises or by any<br />

part thereof.<br />

(18). If the Licensee/Licensees or either or any of them shall die or be adjudicate<br />

an insolvent during the continuance of the license hereby, granted this license shall<br />

absolutely cease & determine so far as it concerns the estate of the party/parties so dying<br />

& the heirs, executors or administration or other legal personal representatives of the<br />

party or parties so dying or assignees in insolvency as the case may be shall have no<br />

interest whatsoever under this license. And provided also that nothing therein this clause<br />

contained shall be deemed to prejudice or to affect any claim which the Administration<br />

may have against such heirs executors or Administrators or other legal personal


epresentatives or assignees insolvency as the case may be for or in respect of any breach<br />

of any of the terms & condition herein contained by the party or parties so dying as<br />

aforesaid during his/their life time or life times or any right of indemnity the<br />

Administration may have under any by virtue of the provisions of clause 14 hereof . And<br />

provided also that this clause shall not be deemed to prevent a surviving licensee /<br />

licensees from enjoying the privileges of the license in the same manner as he/they would<br />

have been entitled to do if none of the licensee/licensees had died during the continuances<br />

of this license.<br />

(19). Following sub-sections of section 108 of the Transfer of Property Act 1882<br />

save in so far as the same may be reproduced by these presents shall not apply to the<br />

rights & liabilities of the parties hereto respectively under this Agreement namely subsections<br />

(a) to ( j ),(m) to (o) ,(p) to (q).<br />

(20). The Licensee/Licensees shall be liable to pay such penalty as the <strong>Railway</strong><br />

Administration may inflict for complaints against the licensee/licensees manager’s etc.<br />

which in the opinion of the <strong>Railway</strong> Administration are bonafide & substantiated.<br />

Without prejudice to the other remedial which may be available under the agreement the<br />

Licensee/Licensees shall be liable to pay at the sole discretion of the <strong>Railway</strong><br />

Administration also penalty not exceeding a sum of Rs. 5,000/- for any action in<br />

contravention of any of the clauses of this agreement.<br />

20. (i) The penalty so levied shall be paid by the Licensee/Licensees within a<br />

week of the date of the demand for payment & filing the same this agreement may be<br />

terminated.<br />

(21). If the Licensee/Licensees or either or any of the shall commit any breach of<br />

any of the provisions of this license of in the event of the failure of the<br />

Licensee/Licensees to pay sum due from them under this license the Administration shall<br />

be entitled to determine this license at once by a notice in writing under the hand of<br />

Divisional <strong>Railway</strong> Manager of the N. E. <strong>Railway</strong> addressed to the Licensee/Licensees<br />

whereupon this license shall absolutely cease & determine & the Administration shall<br />

thereupon be entitled to pull down & to remove structure or structures which may have<br />

been erected by the Licensee/Licensees upon the said land in pursuance of clauses-3 here<br />

of & to seal any material & things so removed & to apply the proceeds of sale in or<br />

towards the expenses of restoring the said piece of land or ground upon which they are<br />

effected to its former conditions & towards all others expenses incurred by the<br />

Administration in this behalf as increased by the usual supervision charges & towards<br />

any loss or damages caused to the Administration in consequence of the breach of this<br />

license by the Licensee/Licensees & to recover any deficiency from the licensee/licensees<br />

on demand being made therefore.<br />

(22). Any money recoverable from the contractor either under this contract or any<br />

other contract can be recovered from any money payable to the contractor under this<br />

contract or any other contract.<br />

(23). The Licensee/Licensees shall pay all legal expenses stamp duty, registration<br />

& translation charges & all other costs, charges & expenses incurred in connection with<br />

these presents.


(24). Any notice to be given to the Licensee/Licensees under the provision of this<br />

present shall be addressed to _________________________ S/O Sri.<br />

(25). Subject to otherwise provided in this agreement all notice to be given on<br />

behalf of the president of the Union of India & all other actions to be taken on his behalf<br />

by the Divisional Commercial Manager N. E. <strong>Railway</strong> Lucknow.<br />

(26). All disputes, question or difference arising out of or in any way touching or<br />

concerning this agreement (except those the decision whereof is otherwise there in force<br />

specifically provided for) shall be referred to the sole arbitration of any person appointed<br />

by the Chief Commercial Manager N. E. <strong>Railway</strong> at the time of such appointment. There<br />

will be no objection to any such appointment that the person appointed is a Govt. Servant<br />

that he has to deal with the matters to which the agreement relates & that in the course of<br />

his duties as such govt. servant he had expressed the views on all or any of the matters in<br />

dispute or difference .The award of such arbitrator shall be final & binding on the parties<br />

to the agreement. It is a term of this agreement that in the event of such Arbitrator to<br />

whom the matter is originally referred being transferred or vacating his office or being<br />

unable to act for any reason. Such Chief Commercial Manager, N. E. <strong>Railway</strong> as<br />

aforesaid at the time of such transfer vacation of office or inability to act shall appoint<br />

another person to act as Arbitrator in accordance with terms of his Agreement, such<br />

person shall be entitled to proceed with the reference from the stage at which it was left<br />

by his predecessor it is also a term of this agreement that no person other than a person<br />

appointed by the Chief Commercial Manager N.E.<strong>Railway</strong> as aforesaid should act as<br />

Arbitrator & if for any reason that it is not possible the matter is not to be referred to<br />

arbitration at all. Subject as aforesaid the provision of the Arbitration Act 1940 or any<br />

statutory modification or re-enactment there of & the rules made their under from time to<br />

time shall apply to such arbitration the Arbitrator may with the consent of the parties<br />

extend from time to time the tenure for making & publishing the award .The venue of<br />

Arbitration shall be on discretion of Administration.<br />

INSTRUCTION TO TENDERERS<br />

Sealed tenders on the enclosed tender form addressed to the Divisional <strong>Railway</strong><br />

Manager, N.E.<strong>Railway</strong>, Lucknow should be submitted in a cover marked "Tender for<br />

Paraking at Cab Road contract at --------------Rly. Station and Divisional Office,<br />

N.E.<strong>Railway</strong> and shall be deposited in the tender box in the Divisional <strong>Railway</strong><br />

Manager's office, Lucknow up to 14:00 hrs on dated 16.08.11 to 25.08.11. Tender will be<br />

open on dated 25.08.11 at 15:00 hrs in the presence of such tenderers or their<br />

representative who wish to be present. The name of the tenderers and rates quoted by<br />

each tenderer will be read out at the time of opening of the tenders.<br />

2. Tenders received after the date and time specified above shall not be accepted. The<br />

tenders shall held the offer for period of 90 days from the date fixed for opening the<br />

same with in which period the tenderer consult with for his offer subject to the period<br />

being further extended if required by mutual agreement from time to time. Any<br />

contravention of the above conditions will make the tenderer liable for forfeiture of the<br />

earnest money.<br />

3. The rates should be filled legibly in ink, in figure as well as in words. The tenders<br />

containing any erasures or alteration in the tender documents any over writing are liable<br />

to be declared invalid.<br />

4. Tenderers are required to deposit a sum of Rs……………./-(……………….) with the<br />

Divisional Cashier and Pay Master, N.E.<strong>Railway</strong>, Lucknow or by Bank draft/Demand<br />

draft in favour of F.A. & C.A.O., N. E. Rly./ Gorakhpur as earnest money for the due<br />

fulfilment of contract, they should attach original receipt thereof with the tender form,<br />

without which no tender will be considered. Earnest money will be refunded in full<br />

without any interest to all unsuccessful tenderers by crossed cheque. There will be no<br />

liability of Rly. Administration in case of any delay in their refund.<br />

5. The earnest money of the successful tenderers will be retained and adjusted towards<br />

the security deposit amount, which will be prescribed by as per extant rules. In the event<br />

of any tenderer failing to turn up with in stipulated time period after acceptance of their<br />

tender the earnest money deposited by him will be forfeited by the administration.<br />

6. Security money: This amount is held up by the Rly administration for the due and<br />

proper fulfilment of the contract. The sum of Rs……………………... will have to be<br />

deposited in cash or other form as prescribed by the extant rules and will be subject to<br />

these rules or orders.<br />

7. No railway passes will be issued to contractor by the administration.<br />

8. If the tendering party is a partnership firm, an attested copy of the registered<br />

partnership deed must also accompany with the tender form. The <strong>Railway</strong> Administration<br />

reserves the right to call for the original partnership deed for inspection.<br />

The tendering party must submit along with the tender:<br />

] Financial status certificate issued by competent authority (DM), which should not be<br />

more than Two years old. & issued for contract work.<br />

2) Desirable Document:-<br />

a] Certificate for previous work experience if any.<br />

b] Original copy of Character Certificate issued by concerning (DM), which<br />

should not be more than Two years old. & issued for contract work.<br />

c] A copy of the Bank statement of the A/C held by the tenderer in a<br />

scheduled/Nationalized Bank showing last six months transaction and duly<br />

authenticated by the Branch Manager of the Bank. Tenders which are not<br />

accompanied by any/all of essential documents will be summarily rejected.<br />

9. The tenderer will have to execute an agreement whose copy is attached. He is also<br />

liable to pay License fee as per agreement Para 8 including 2% income tax of<br />

License Fee.<br />

10. The cost of the stamp duty for the execution of the agreement will be borne by the<br />

contractor.<br />

11. The Divisional <strong>Railway</strong> Manager, N.E.<strong>Railway</strong>, Lucknow reserves the right to reject<br />

any or all the tenderers though it may not be necessarily the highest.<br />

12. Duration of the contract will be three year from the commencement of the contract,<br />

but the competent authority can reduce the tenure while accepting the tender without<br />

assigning any reason.<br />

13. The site plan of the Parking at Cab Road is in the office and seen any time.<br />

14. The railway administration reserves the right to call the tenderers for negotiation if<br />

needed. But the tenderers cannot reduce the amount once tendered.<br />

15. Addendum or the corrigendum to the agreement form may however be issued as<br />

and when necessary.<br />

16. If the tenderer deliberately gives wrong information in the tender or creates<br />

circumstances for the acceptance of their tender, the railway reserves the<br />

right to reject such tender at any stage.<br />

LICENCE TO OCCUPY LAND FOR THE PURPOSE OF PARKING AT<br />

Cab Road AT Gorakhpur Jn RAILWAY STATION.<br />

An agreement made this ........ day of ------ Two Thousand Eleven [2011] between<br />

The President of the Union of India as the Executive Authority of Administration of the<br />

N. E. <strong>Railway</strong> Division Commercial Manager, (hereinafter called preamble ``The<br />

Administrator``) of the one part & ------------------------------ Business at -------------<br />

Station under the name & style of ___________________________________<br />

(hereinafter called Licensee / Licensees) which expression shall where the context so<br />

requires or admits, be deemed to includes his/their or either of his/their heirs, executors &<br />

administrators of the other party. Whereas the land hereinafter describe forms a portion of<br />

the N.E. <strong>Railway</strong> & has been for some time as in the occupation of the Administration &<br />

whereas the administration for a license or permission to erect a Paraking at Cab Road<br />

& for said purpose to have the temporary use & occupation of the said land which license<br />

or permission the Administration have agreed to grant upon the terms conditions<br />

hereafter contained.<br />

Now it is hereby agreed & between the said party/parties hereto as follows: -<br />

(1). The Licensee/Licensees shall have the use of all that piece of land on the<br />

<strong>Railway</strong> Station for the said purpose bearing Survey No. _________ Authority within<br />

the Registration Sub District ____________________ Station of District<br />

_______________ & measuring about ________ Square Meter in the length &<br />

___________ Square Meter in to run the breadth & convening by measurement<br />

contract square meter or there abouts be the same little more or less & bounded as<br />

For the purpose of erecting a temporary Paraking at Cab Road & for no other<br />

purpose what so ever & subject to the conditions herein after contained.<br />

(2). The Licensee/Licensees shall not erect or cause to be erected on the said land<br />

or on any part thereof any buildings or structures of a permanent or a quasi-permanent<br />

nature.<br />

(3). The Licensee/Licensees may lay erect & retain upon the said land structures<br />

of purely temporary character only subject to such rules, regulations & by laws as may<br />

from time to time to made by or on behalf of the Administration or on behalf of any local<br />

authority in relating hereto & subject to the conditions hereinafter mentioned & shall<br />

have to provide at his/their own expenses all the facilities like stand , shelter enclosures<br />

fencing facilities on the said land & premises,& shall keep properly enclosed, sheltered &<br />

fenced during the continuance of license hereby granted .


(4). The Licensee/Licensees shall before proceeding to erect any structure or in<br />

pursuance of clause 3 here of give a notice in writing thereof to the Divisional<br />

Engineer of the Lucknow N. E. <strong>Railway</strong> of the Division concerned specifying the<br />

purposes site of the temporary structure(s) intended to be erected & shall furnish him<br />

with the detailed plan, elevation & specification of such structure or Structures & the<br />

Licensee/Licensees shall erect such structures save on such site & in accordance with<br />

such plan, elevation & specification thereof as shall be first approved by the Divisional<br />

Engineer concerned of the N. E. <strong>Railway</strong>, Lucknow.<br />

(5). The said temporary structure or structures shall vest in & shall become the<br />

property or properties of the Administration & shall be under their sole control & the<br />

Licensee/Licensees shall have no right or interest in or claim to the said land or structures<br />

(hereinafter called collectively the said premises) whatsoever subject to the provisions of<br />

clause –II hereof.<br />

5. (i ).The Licensee/Licensees shall use the said premises solely & only for the<br />

purpose as aforesaid for which it is licensed & shall not occupy land beyond what is<br />

described above except with express permission in writing of the Divisional <strong>Railway</strong><br />

Manager concerned.<br />

(ii).The Administration shall at all times be at liberty to carry out any changes,<br />

repairs ,renewals additions ,or alterations to any of their structure of structures .In case of<br />

above purpose it becomes necessary to dismantle either the whole or any part of the<br />

temporary structure / structures erected by the Licensee/Licensees on the said land ,the<br />

Licensee /Licensees shall bear the entire cost. If any work is done by the administration<br />

to the temporary structure/structures as aforesaid, the cost thereof shall be increased by<br />

the usual supervision charges & shall be paid by the Licensee/Licensees to the<br />

administration immediately on demand. The Licensee/Licensees shall also reimburse the<br />

Administration for any losses or damages caused to the property of the Administration by<br />

the erection and/or presence of the temporary structure or structures referred to above.<br />

(6). The Licensee/Licensees shall also be liable to the Divisional Engineer which<br />

expression shall be deemed to include any person for the time being holding the<br />

appointment of Divisional Engineer or any acting Divisional Engineer of any other<br />

person so appointed of the N. E. <strong>Railway</strong> within the <strong>Railway</strong> Division in which the said<br />

premises are situated /free access at all times to the said premises & the<br />

Licensee/Licensees shall whenever so required by the Divisional Engineer forthwith, pull<br />

down rebuild or repair any part or parts of such structure or structures which the<br />

Divisional Engineer may consider to be improperly situated or of defective design<br />

constructions or material or in want of repairs.<br />

(7). The Licensee/Licensees shall have an insuranced Vehicle etc. against loss,<br />

theft or damages etc. due to theft, fire & other accidents, Licensee / Licensees shall pay<br />

the premium thereon regularly to insurance company & submit receipt to the <strong>Railway</strong><br />

Administration along with the Xerox copy of such insurance policy premium receipt for<br />

verification. Licensee/Licensees will make good the losses due to theft, fires, damages<br />

etc. to the owners of the vehicle. Licensee/Licensees will get the insurance policy<br />

renewed from time to time during the contract period.


(8). The Licensee/Licensees shall during the continuance of this license pay to the<br />

Administration for the use of said premises under the conditions of this license as an<br />

annual license fee of Rs.____________________. The Licensee/Licensees shall also duly<br />

pay during the continuance of this license all cesses, rates water, charges, taxes & other<br />

charges or taxes in respect of the said premises or proportion of all cesses, rates water<br />

charges & other charges of taxes of the said premises if they are not separately assessed<br />

in respect thereof & any neglect of commission on the part of the servants of the<br />

Administration in giving such intimation to recover such charges of taxes shall not<br />

prejudice the right to the Administration to recover the correct amount of such charges or<br />

taxes due from the Licensee/Licensees from the date of occupation by him/them of the<br />

said premises .The cess & other charges will be payable annually with Ist installment<br />

while the license fee will be payable in quarterly installment every year. The quarterly<br />

license fee so worked out will be rounded off to the nearest rupees & will be payable as<br />

per following program/plan.<br />

The Licensees will, if so permitted by the administration pay the license fee<br />

including 2% income tax of license fee, recoverable in quarterly installments payable as<br />

under: -<br />

1 st installment by the 1 st [month]<br />

2 nd installment by the 1 st [month] of each year during the currency of the contract<br />

3 rd installment by the 1 st [month]<br />

4 th installment by the 1 st [month]<br />

8. (i ) The Licensee/Licensees shall produce an Income tax clearance certificate<br />

at the end of each year ending the currency of the license .<br />

(ii) Subject to the terms and conditions contained in this Indenture the license<br />

shall be for a period of three years commencing from __________ 2011 & terminating on<br />

____________________ renewable thereafter at the option of the Administration.<br />

(iii) The Licensee/Licensees shall always keep the plot of land in clean &<br />

sanitary condition & shall remove all waste or unsaleable properties or whatsoever other<br />

materials or reuse there may be from the said plot of land & Parking of cab road & on<br />

his/their failing to do so the Administration may after giving Twenty Four hours notice<br />

forthwith remove the same at the expense of the Licensee/Licensees & disposes of the<br />

same in such manner as the Administration may in their absolute discretion think fit &<br />

such expenses shall be paid on demand by the Licensee/Licensees to the Administration.<br />

(9). In case the Licensee/Licensees delay (s) the payment of amount shown in<br />

clause 8 above the Administration shall be at liberty to recover at 10% on the annual<br />

license fee for the period for which the payment has been delayed.<br />

(10). Licensee/Licensees shall also details with the Financial Advisor & Chief<br />

Account Officer of N. E. <strong>Railway</strong> as a security deposit of a sum equivalent to 10% of the<br />

offered amount & other charges such as cess, water charges, Municipal tax etc. subject to<br />

a maximum of Rs._________________ for due fulfillment of this agreement & the said<br />

deposit or such portion thereof as may be available shall be refunded to the<br />

Licensee/Licensees on the termination of this License provided that the time of refunding<br />

such deposit the Licensee/Licensees shall surrender the original receipt granted by the<br />

Administration together with a receipt of the refund duly stamped & signed by him/them<br />

.In case the Licensee/Licensees is/are unable to return the original receipt he/they shall


e required to furnish an Indemnity Bond stamped & executed by him/them . No interest<br />

will be paid on the said deposit.<br />

10. (i ) In case the Licensee/Licensees makes /make any default in the payment of<br />

the rent tax or any other charges that may be due to the Administration the<br />

Administration shall be at liberty to recover such rent or other dues from the said amount<br />

of security deposit forfeit the balance if any as liquidated damage forth with determine<br />

the Licensee/Licensees & proceed to resume possession in a manner stipulated herein.<br />

(11). The Administration reserve their right to enhance the license fee or the cess<br />

rates & water charges as & when necessary to do & such enhanced charges shall be<br />

applicable & recoverable from the Licensee/Licensees from the date of the notice of<br />

enhancement in writing served on the Licensee/Licensees unless the Licensee/Licensees<br />

vacate the premises within one month of the said notice.<br />

(12). The Licensee/Licensees shall at his/their own expenses & on his/their sole<br />

responsibility obtain all other license or licenses (if any) necessary for carrying on<br />

his/their business for the subject of this license on the said premises.<br />

12. (i) Parking Rates<br />

for four wheeler for three wheeler for two wheeler<br />

(a). For period of up to 30 Minutes Rs. - 30.00 -<br />

(b) For period of up to 2 hrs 50.00 - 20.00<br />

To ensure charging prescribed rates for parking in Cab Road . Licensee/Licensees<br />

should give printed coupon to the person offering to keep his vehicle in cab road to avoid<br />

public complaint for charging more rates.<br />

12 (ii) Entry vehicle inside the Cab Road at Gorakhpur Jn Station free of<br />

Charge.<br />

(A) The following vehicles of dignitaries have been permitted to enter inside the Cab<br />

road at …………….. Station free of Charge.<br />

1. President of India.<br />

2. Vice President of India.<br />

3. Governors & Lieutenant Governors.<br />

4. Prime Minister & other Cabinet Minister. Minister of state an eputy Minister<br />

of Union, Chief Minister an other Cabinet Ministers (Ministers of States an<br />

request of their Hd. Offices & specific approval of <strong>Railway</strong> Administration.<br />

(D) Permission has also been accorded for free entry of the vehicles of the<br />

following Govt. Officials. The nominated vehicles will display an approved<br />

sticker on its body:<br />

i District Magistrate.<br />

ii Supdt. of Police.<br />

iii. Supdt., Govt. <strong>Railway</strong> Police.<br />

iv. R.M.S. Van. BSNL<br />

v. Vehicles of Town. Telephones<br />

Performing repairing work inside the<br />

station area – 2 vehicles.<br />

vi. Home Secretary Government of Uttar Pradesh.<br />

(E) IRCTC staff of licensee/sub licensee. They will be permitted by commercial<br />

deptt. for free entry on grtting request from IRCTC/N.Zone<br />

(D) MLA/MPs<br />

which can permit under the<br />

height bar provided on the<br />

Cab Road.<br />

(F) The Officers other than those as indicated above of Government /Government<br />

undertaking organization may also enter their cars/vehicles through the cab<br />

road at ------------------. Station on payment of requisite charges fixed by the<br />

competent authority on half yearly and yearly basis. Necessary permit will be<br />

issued by DRM LJN.<br />

Besides the above list of permitted vehicles for free entry, special free entry<br />

permit may be allowed by DRM in exceptional cases.<br />

12. (iii) The Licensee/Licensees shall appoint reliable & honest staff in adequate<br />

number & only such as are able to control the traffic & one of the good moral character &<br />

shall furnish their names to the Administration.<br />

12. (iv) The Licensee/Licensees shall be solely responsible for safe custody of<br />

vehicle or parked with him/them & for any loss or damage caused to/of any vehicle of in<br />

his/their custody & shall indemnify the administration against all claims/demands/action<br />

in respect of any loss or surcharge caused of/to any vehicle(s) in his/their custody.<br />

12 (v) The Licensee/Licensees shall at all time maintain good behaviour & shall<br />

not allow the doing of any such act on the premises as might cause injury or annoyance to<br />

others or as might tend to cause of breach of peace.<br />

12. (vi ) The Licensee/Licensees shall pay not less then the fair wages to the<br />

workers engaged by him/them the fair wages being the wages paid for a similar works in


the neighbourhood & shall otherwise comply with the provisions of the payment under ‘<br />

Payment of Wages Act 1936 `or any statutory modification or re-enactment thereof or<br />

rules framed there under.<br />

12.(vii) The Licensee/Licensees shall keep a proper record of such payments etc.<br />

& submit a certificate every month to the Administration of his having done so. The<br />

records shall be open to inspection by the <strong>Railway</strong> Administration or any person<br />

authorised by them.<br />

12.(viii) The Licensee/Licensees shall display a board duly painted at conspicuous<br />

places at & inside the vehicle stand exhibiting the daily & monthly parking charges for<br />

vehicle as laid down in this agreement.<br />

13(a). The privileges in clause –I hereof mentioned are granted on the express<br />

understanding that the Licensee/Licensees shall be at liberty to determine & to put an end<br />

to the license any time after the expiry of the period of 12 months from its coming into<br />

force without being liable for loss or damage which the <strong>Railway</strong> Administration may<br />

suffer by reason of such determination, by giving the <strong>Railway</strong> Administration three<br />

month prior notice in writing of his intention to terminate the agreement.<br />

(b). It shall be lawful for the <strong>Railway</strong> Administration to determine the agreement<br />

& to put an end at any time without assigning any reason & without being liable for loss<br />

or damage which the Licensee/Licensees may suffer by reason of such determination by<br />

giving the licensees three months prior notice in writing of its intention to terminate the<br />

agreement.<br />

(c). Anyone hereunder shall be deemed duly served on the Licensee/Licensees if<br />

delivered or sent by Registered post acknowledgement due to his/their address mentioned<br />

below.<br />

(d). If the license is determined before the expiry of the license period by the<br />

Licensee in pursuance of clause 12 or by the Administration due to default of the license<br />

in pursuance of clause 20 or any other clause the licensee will not be entitled to any<br />

refund of license fee of the un-expired period. However, if the licensee is terminated<br />

before the expiry of license period by the Administration without any default on the part<br />

of the Licensee, the Administration may its sole discretion refund such portion of license<br />

fee as may be considered reasonable & the decision of the Administration in this regard<br />

shall be final an binding on the licensee.<br />

(14). Upon such a notice of determination being given as aforesaid<br />

licensee/licensees shall put down & remove from the said land at their own expenses on<br />

the determination of this license all structures erected as or above & restore to its former<br />

condition the land forming the site thereof & if default shall be made herein the<br />

Administration may after<br />

the expiry of the said period carry out so much pulling down removal & restoration as the<br />

licensee/licensees may fail to complete & all expenses incurred herein as increased by the<br />

usual supervision charges shall be paid by the licensee/licensees to the Administration on<br />

demand being made thereof.<br />

(15). Nothing herein contained shall be construed to create a tenancy or any claim<br />

or any right or interest or easement in favour of licensee/licensees or in or over the said


premises or to permit the licensee/licensees to transfer or to sublet the benefit under this<br />

license.<br />

16 In all cases where the said plot of land is adjacent to <strong>Railway</strong> lines or sidings<br />

of the Administration over which trains are worked or shunting operation are conducted,<br />

the licensee/licensees shall appoint person who shall be rested at all times whenever any<br />

labour is engaged on the said plot to take all precautions to prevent accidents to life &<br />

property & more especially to see that all children are kept at a safe distance from the<br />

lines of the Administration.<br />

16. (i) The Administration shall not be responsible for any loss or damage of any<br />

sort which may happen to the property of the licensee or to which the licensee/licensees<br />

may be put from any cause whatsoever.<br />

(16). (ii) The Licensee/Licensees hereby declare /declares that the name<br />

________________________________ is the Name in or under which he/they carry on<br />

business by himself /themselves & that it is not the name of any other firm in which<br />

he/they carries /carry on business in partnership & that he/they does/do not carry on<br />

business in partnership with any other person or persons & that in case it shall at any time<br />

hereafter appear that the said declaration herein contained or any part thereof is not true<br />

in fact the Administration shall not be bound to recognize any person or persons other<br />

than the licensee/licensees as being in any way interest or concerned in this license or in<br />

any benefit to accrue there under & that the administration shall in addition be at liberty<br />

by a notice in writing under the hand of Divisional <strong>Railway</strong> Manager N. E. <strong>Railway</strong><br />

Lucknow addressed to the licensee/licensees or to either or any of his/their heirs,<br />

executors or assignees in insolvency as the case may be immediately to put an end to this<br />

license or that the licensee/licensees & any person or persons who may allege that they<br />

have any interest in this license shall have no claim on the Administration by reason of<br />

this license being remained in pursuance of the provisions herein contained.<br />

(17). The Licensee/Licensees jointly & each of them severally shall at all times<br />

keep the administration their officers & servants harmless indemnified against & shall<br />

reimburse to the Administration their officers & servants or any of them all claims<br />

demands suits, losses, damages, costs charges & expenses whatsoever including any<br />

claims under the Workmen’s Compensation Act 1923 & any amendments thereof which<br />

the Administration their officers or servant may sustain or incur or become liable to pay<br />

by reason or in consequence of any injury or accident to any person or to any property<br />

whatsoever whether owing to the neglect ,carelessness or any other conduct whatsoever<br />

of the licensee/licensees his/their or either of his/their agents servants & others in his /<br />

their employ during the use by him/them of the license of the said premises or by any<br />

part thereof.<br />

(18). If the Licensee/Licensees or either or any of them shall die or be adjudicate<br />

an insolvent during the continuance of the license hereby, granted this license shall<br />

absolutely cease & determine so far as it concerns the estate of the party/parties so dying<br />

& the heirs, executors or administration or other legal personal representatives of the<br />

party or parties so dying or assignees in insolvency as the case may be shall have no<br />

interest whatsoever under this license. And provided also that nothing therein this clause<br />

contained shall be deemed to prejudice or to affect any claim which the Administration<br />

may have against such heirs executors or Administrators or other legal personal


epresentatives or assignees insolvency as the case may be for or in respect of any breach<br />

of any of the terms & condition herein contained by the party or parties so dying as<br />

aforesaid during his/their life time or life times or any right of indemnity the<br />

Administration may have under any by virtue of the provisions of clause 14 hereof . And<br />

provided also that this clause shall not be deemed to prevent a surviving licensee /<br />

licensees from enjoying the privileges of the license in the same manner as he/they would<br />

have been entitled to do if none of the licensee/licensees had died during the continuances<br />

of this license.<br />

(19). Following sub-sections of section 108 of the Transfer of Property Act 1882<br />

save in so far as the same may be reproduced by these presents shall not apply to the<br />

rights & liabilities of the parties hereto respectively under this Agreement namely subsections<br />

(a) to ( j ),(m) to (o) ,(p) to (q).<br />

(20). The Licensee/Licensees shall be liable to pay such penalty as the <strong>Railway</strong><br />

Administration may inflict for complaints against the licensee/licensees manager’s etc.<br />

which in the opinion of the <strong>Railway</strong> Administration are bonafide & substantiated.<br />

Without prejudice to the other remedial which may be available under the agreement the<br />

Licensee/Licensees shall be liable to pay at the sole discretion of the <strong>Railway</strong><br />

Administration also penalty not exceeding a sum of Rs. 5,000/- for any action in<br />

contravention of any of the clauses of this agreement.<br />

20. (i) The penalty so levied shall be paid by the Licensee/Licensees within a<br />

week of the date of the demand for payment & filing the same this agreement may be<br />

terminated.<br />

(21). If the Licensee/Licensees or either or any of the shall commit any breach of<br />

any of the provisions of this license of in the event of the failure of the<br />

Licensee/Licensees to pay sum due from them under this license the Administration shall<br />

be entitled to determine this license at once by a notice in writing under the hand of<br />

Divisional <strong>Railway</strong> Manager of the N. E. <strong>Railway</strong> addressed to the Licensee/Licensees<br />

whereupon this license shall absolutely cease & determine & the Administration shall<br />

thereupon be entitled to pull down & to remove structure or structures which may have<br />

been erected by the Licensee/Licensees upon the said land in pursuance of clauses-3 here<br />

of & to seal any material & things so removed & to apply the proceeds of sale in or<br />

towards the expenses of restoring the said piece of land or ground upon which they are<br />

effected to its former conditions & towards all others expenses incurred by the<br />

Administration in this behalf as increased by the usual supervision charges & towards<br />

any loss or damages caused to the Administration in consequence of the breach of this<br />

license by the Licensee/Licensees & to recover any deficiency from the licensee/licensees<br />

on demand being made therefore.<br />

(22). Any money recoverable from the contractor either under this contract or any<br />

other contract can be recovered from any money payable to the contractor under this<br />

contract or any other contract.<br />

(23). The Licensee/Licensees shall pay all legal expenses stamp duty, registration<br />

& translation charges & all other costs, charges & expenses incurred in connection with<br />

these presents.


(24). Any notice to be given to the Licensee/Licensees under the provision of this<br />

present shall be addressed to _________________________ S/O Sri.<br />

(25). Subject to otherwise provided in this agreement all notice to be given on<br />

behalf of the president of the Union of India & all other actions to be taken on his behalf<br />

by the Divisional Commercial Manager N. E. <strong>Railway</strong> Lucknow.<br />

(26). All disputes, question or difference arising out of or in any way touching or<br />

concerning this agreement (except those the decision whereof is otherwise there in force<br />

specifically provided for) shall be referred to the sole arbitration of any person appointed<br />

by the Chief Commercial Manager N. E. <strong>Railway</strong> at the time of such appointment. There<br />

will be no objection to any such appointment that the person appointed is a Govt. Servant<br />

that he has to deal with the matters to which the agreement relates & that in the course of<br />

his duties as such govt. servant he had expressed the views on all or any of the matters in<br />

dispute or difference .The award of such arbitrator shall be final & binding on the parties<br />

to the agreement. It is a term of this agreement that in the event of such Arbitrator to<br />

whom the matter is originally referred being transferred or vacating his office or being<br />

unable to act for any reason. Such Chief Commercial Manager, N. E. <strong>Railway</strong> as<br />

aforesaid at the time of such transfer vacation of office or inability to act shall appoint<br />

another person to act as Arbitrator in accordance with terms of his Agreement, such<br />

person shall be entitled to proceed with the reference from the stage at which it was left<br />

by his predecessor it is also a term of this agreement that no person other than a person<br />

appointed by the Chief Commercial Manager N.E.<strong>Railway</strong> as aforesaid should act as<br />

Arbitrator & if for any reason that it is not possible the matter is not to be referred to<br />

arbitration at all. Subject as aforesaid the provision of the Arbitration Act 1940 or any<br />

statutory modification or re-enactment there of & the rules made their under from time to<br />

time shall apply to such arbitration the Arbitrator may with the consent of the parties<br />

extend from time to time the tenure for making & publishing the award .The venue of<br />

Arbitration shall be on discretion of Administration.<br />

(27). In witness whereof Divisional Commercial Manager of the <strong>North</strong> <strong>Eastern</strong><br />

<strong>Railway</strong> for & on behalf of Union of India & _____________________________<br />
