a felony shall have their membership,
and all rights and privileges thereof,
automatically suspended pending
resolution. a member formally charged
as described above shall immediately
notify the association.
section 3. Transfer of Membership.
membership in this association is not
transferable.
section 4. Termination of
Membership. the board of directors
may suspend or expel a member for
cause upon 2/3 vote of the total board.
articLe 5 — dues
section 1. Establishment. the board
of directors shall establish membership
fees.
section 2. Payment Date. all
members shall pay annual membership
dues the first day of each calendar
year. the dues for the second year of
membership shall be prorated based on
the month of application in year one.
articLe 6 — BudGet and Finance
section 1. the fiscal year of the
association shall extend from January 1
to december 31.
section 2. no member, officer or
director shall receive compensation
for his/her services on behalf of the
association.
section 3. officers, directors, and
committee persons may be reimbursed
for reasonable expenses incurred
in carrying out the business of the
association in accordance with the
policies established by the board.
section 4. the board shall adopt
an annual budget for the association
on the recommendation of the finance
committee and shall have overall
responsibility for the financial affairs of
the association.
section 5. the association may
receive income from other sources
including contributions and grants
for special purposes to the extent
permitted by law.
articLe 7 — Board oF directors
section 1. General Powers. the
board of directors shall have general
power to control and manage the
affairs and property of the association
in accordance with the purposes and
limitations set forth in the bylaws.
section 2. Composition. the
board shall be composed of the
elected officers (president, presidentelect,
secretary, treasurer, and past
president) and no more than 10
directors. the board shall reflect
both the geographic distribution and
practice setting of the association to
the extent possible. no more than
three advisors may be appointed by the
president to serve ex-officio.
section 3. Tenure. directors will
hold offices for a two year term and will
be arranged in such a way that no more
than one half of the terms expire at
any one time. a director shall serve no
more than three (3) consecutive terms.
section 4. Conduct of Board
Meetings and Board Voting. the
conduct of meetings and voting at
board meetings shall be governed
by Robert’s Rules of Order. meetings
may be called and set by telephone
conference call or in writing, in
person or by conference call, shall
be held at least three times a year at
such time and places as the board
shall determine. the majority of the
board will constitute a quorum. the
president or a majority of the board
members with a minimum of seven
days written notice may call a meeting
of the board.
section 5. Executive Committee.
the executive committee shall consist
of the elected officers and up to two
(2) directors selected by the board.
directors selected by the board shall
serve a one-year term on the executive
committee. the executive committee
shall act on behalf of the board during
the intervals between board meetings
within the limitations established by
the board. a majority of the executive
committee must participate in order to
conduct business.
section 6. Resignation. any director
may resign from office at any time by
delivering a letter of resignation to the
president.
section 7. Vacancies. a vacancy
in any office may be filled by
recommendation of the nominating
committee and by majority vote of the

portion of the term.
section 8. Disciplinary Measures. any
director may be disciplined or removed
for cause as defined by the napgcm
policies and procedures by a vote of the
majority of the directors provided the
members of the board shall be given
30 days notice that such matter is to
be presented. a director who misses
two (2) consecutive meetings may be
removed at the discretion of the board.
a director who is no longer a member
in good standing shall be automatically
removed. that person may be
reinstated by a vote of a majority of the
directors for good cause shown.
section 9. Nominations and
Elections. nomination for office shall
be made in the following manner:
the nominating committee shall,
at least ninety (90) days prior to the
annual election, submit in writing its
selection of nominees for officers and
directors to the full membership for
their information. at the time the slate
is announced, the following process
for petition nominations will also be
distributed:
the nominating committee is required
to publish the proposed slate of officers
and directors at least 90 days prior to
the annual election. members may in
writing, submit a petition signed by at
least 5% of the voting membership to
place additional name(s) on the ballot
for directors’ positions. petitions must
be received at the napgcm office
at least 60 days prior to the annual
election. nominations made by petition
will be so noted on the ballot.
the nominating committee shall mail
a complete ballot of all nominees to
all voting members 45 days prior to
the annual election with a return date
of at least 21 days from the postmark
on the ballot. a simple majority of
voting members will elect directors and
officers.
articLe 8 — oFFicers
section 1. Officers. the officers of
the association will be a president,
president-elect, secretary, treasurer
and past president.
