a felony shall have their membership,<br />
and all rights and privileges there<strong>of</strong>,<br />
automatically suspended pending<br />
resolution. a member formally charged<br />
as described above shall immediately<br />
notify the association.<br />
section 3. Transfer <strong>of</strong> <strong>Member</strong>ship.<br />
membership in this association is not<br />
transferable.<br />
section 4. Termination <strong>of</strong><br />
<strong>Member</strong>ship. the board <strong>of</strong> directors<br />
may suspend or expel a member for<br />
cause upon 2/3 vote <strong>of</strong> the total board.<br />
articLe 5 — dues<br />
section 1. Establishment. the board<br />
<strong>of</strong> directors shall establish membership<br />
fees.<br />
section 2. Payment Date. all<br />
members shall pay annual membership<br />
dues the first day <strong>of</strong> each calendar<br />
year. the dues for the second year <strong>of</strong><br />
membership shall be prorated based on<br />
the month <strong>of</strong> application in year one.<br />
articLe 6 — BudGet and Finance<br />
section 1. the fiscal year <strong>of</strong> the<br />
association shall extend from January 1<br />
to december 31.<br />
section 2. no member, <strong>of</strong>ficer or<br />
director shall receive compensation<br />
for his/her services on behalf <strong>of</strong> the<br />
association.<br />
section 3. <strong>of</strong>ficers, directors, and<br />
committee persons may be reimbursed<br />
for reasonable expenses incurred<br />
in carrying out the business <strong>of</strong> the<br />
association in accordance with the<br />
policies established by the board.<br />
section 4. the board shall adopt<br />
an annual budget for the association<br />
on the recommendation <strong>of</strong> the finance<br />
committee and shall have overall<br />
responsibility for the financial affairs <strong>of</strong><br />
the association.<br />
section 5. the association may<br />
receive income from other sources<br />
including contributions and grants<br />
for special purposes to the extent<br />
permitted by law.<br />
articLe 7 — Board oF directors<br />
section 1. General Powers. the<br />
board <strong>of</strong> directors shall have general<br />
power to control and manage the<br />
affairs and property <strong>of</strong> the association<br />
in accordance with the purposes and<br />
limitations set forth in the bylaws.<br />
section 2. Composition. the<br />
board shall be composed <strong>of</strong> the<br />
elected <strong>of</strong>ficers (president, presidentelect,<br />
secretary, treasurer, and past<br />
president) and no more than 10<br />
directors. the board shall reflect<br />
both the geographic distribution and<br />
practice setting <strong>of</strong> the association to<br />
the extent possible. no more than<br />
three advisors may be appointed by the<br />
president to serve ex-<strong>of</strong>ficio.<br />
section 3. Tenure. directors will<br />
hold <strong>of</strong>fices for a two year term and will<br />
be arranged in such a way that no more<br />
than one half <strong>of</strong> the terms expire at<br />
any one time. a director shall serve no<br />
more than three (3) consecutive terms.<br />
section 4. Conduct <strong>of</strong> Board<br />
Meetings and Board Voting. the<br />
conduct <strong>of</strong> meetings and voting at<br />
board meetings shall be governed<br />
by Robert’s Rules <strong>of</strong> Order. meetings<br />
may be called and set by telephone<br />
conference call or in writing, in<br />
person or by conference call, shall<br />
be held at least three times a year at<br />
such time and places as the board<br />
shall determine. the majority <strong>of</strong> the<br />
board will constitute a quorum. the<br />
president or a majority <strong>of</strong> the board<br />
members with a minimum <strong>of</strong> seven<br />
days written notice may call a meeting<br />
<strong>of</strong> the board.<br />
section 5. Executive Committee.<br />
the executive committee shall consist<br />
<strong>of</strong> the elected <strong>of</strong>ficers and up to two<br />
(2) directors selected by the board.<br />
directors selected by the board shall<br />
serve a one-year term on the executive<br />
committee. the executive committee<br />
shall act on behalf <strong>of</strong> the board during<br />
the intervals between board meetings<br />
within the limitations established by<br />
the board. a majority <strong>of</strong> the executive<br />
committee must participate in order to<br />
conduct business.<br />
section 6. Resignation. any director<br />
may resign from <strong>of</strong>fice at any time by<br />
delivering a letter <strong>of</strong> resignation to the<br />
president.<br />
section 7. Vacancies. a vacancy<br />
in any <strong>of</strong>fice may be filled by<br />
recommendation <strong>of</strong> the nominating<br />
committee and by majority vote <strong>of</strong> the<br />

portion <strong>of</strong> the term.<br />
section 8. Disciplinary Measures. any<br />
director may be disciplined or removed<br />
for cause as defined by the napgcm<br />
policies and procedures by a vote <strong>of</strong> the<br />
majority <strong>of</strong> the directors provided the<br />
members <strong>of</strong> the board shall be given<br />
30 days notice that such matter is to<br />
be presented. a director who misses<br />
two (2) consecutive meetings may be<br />
removed at the discretion <strong>of</strong> the board.<br />
a director who is no longer a member<br />
in good standing shall be automatically<br />
removed. that person may be<br />
reinstated by a vote <strong>of</strong> a majority <strong>of</strong> the<br />
directors for good cause shown.<br />
section 9. Nominations and<br />
Elections. nomination for <strong>of</strong>fice shall<br />
be made in the following manner:<br />
the nominating committee shall,<br />
at least ninety (90) days prior to the<br />
annual election, submit in writing its<br />
selection <strong>of</strong> nominees for <strong>of</strong>ficers and<br />
directors to the full membership for<br />
their information. at the time the slate<br />
is announced, the following process<br />
for petition nominations will also be<br />
distributed:<br />
the nominating committee is required<br />
to publish the proposed slate <strong>of</strong> <strong>of</strong>ficers<br />
and directors at least 90 days prior to<br />
the annual election. members may in<br />
writing, submit a petition signed by at<br />
least 5% <strong>of</strong> the voting membership to<br />
place additional name(s) on the ballot<br />
for directors’ positions. petitions must<br />
be received at the napgcm <strong>of</strong>fice<br />
at least 60 days prior to the annual<br />
election. nominations made by petition<br />
will be so noted on the ballot.<br />
the nominating committee shall mail<br />
a complete ballot <strong>of</strong> all nominees to<br />
all voting members 45 days prior to<br />
the annual election with a return date<br />
<strong>of</strong> at least 21 days from the postmark<br />
on the ballot. a simple majority <strong>of</strong><br />
voting members will elect directors and<br />
<strong>of</strong>ficers.<br />
articLe 8 — oFFicers<br />
section 1. Officers. the <strong>of</strong>ficers <strong>of</strong><br />
the association will be a president,<br />
president-elect, secretary, treasurer<br />
and past president.
