Bylaws<br />
napgcm 2011-2012 directory <strong>of</strong> members<br />
section 2. Tenure. <strong>of</strong>ficers will be<br />
elected for tenure <strong>of</strong> one (1) year and<br />
can be elected to the same <strong>of</strong>fice for<br />
two full consecutive terms.<br />
section 3. Vacancies. a vacancy<br />
in any <strong>of</strong>fice may be filled by<br />
recommendation <strong>of</strong> the nominating<br />
committee and by majority vote <strong>of</strong> the<br />
board <strong>of</strong> directors for the unexpired<br />
portion <strong>of</strong> the term.<br />
section 4. President. the president<br />
shall be the presiding <strong>of</strong>ficer <strong>of</strong><br />
the association and the <strong>of</strong>ficial<br />
spokesperson for the board and the<br />
association. the president or an<br />
<strong>of</strong>ficer designated by the president<br />
shall be empowered to sign all<br />
contracts, checks, agreements or legal<br />
documents, and has the authority to<br />
sign all correspondence written in the<br />
name <strong>of</strong> the association.<br />
the president has the authority to<br />
appoint and remove all committee<br />
chairpersons, with the approval <strong>of</strong> the<br />
board.<br />
the president shall be an ex-<strong>of</strong>ficio<br />
member <strong>of</strong> all committees except the<br />
nominating committee.<br />
the president, with the approval <strong>of</strong> the<br />
board, may appoint as many as three<br />
advisors to serve at the pleasure <strong>of</strong> the<br />
board, ex-<strong>of</strong>ficio.<br />
section 5. President-Elect. the<br />
president-elect shall ascend to the<br />
position <strong>of</strong> president at the end <strong>of</strong><br />
his/her term. in the event that the<br />
president cannot fulfill her/his term, the<br />
president-elect shall assume the duties<br />
<strong>of</strong> president. the president-elect shall<br />
carry out assignments designated by<br />
the president and/or the board.<br />
section 6. Secretary. the secretary<br />
shall keep a written record <strong>of</strong> the<br />
meetings <strong>of</strong> the board, the executive<br />
committee, and meetings <strong>of</strong> the<br />
association and shall perform all<br />
other duties incident to the <strong>of</strong>fice or<br />
designated by the president or board.<br />
section 7. Treasurer. the treasurer<br />
shall serve as the <strong>of</strong>ficial custodian<br />
<strong>of</strong> the funds <strong>of</strong> the association and as<br />
such shall place the funds in financial<br />
institutions designated by the board.<br />
the treasurer shall maintain an accurate<br />
and current account <strong>of</strong> association<br />
moneys and shall make regular written<br />
reports to the board. the treasurer<br />
shall be the chairperson <strong>of</strong> the finance<br />
committee and shall assume any<br />
other duties designated by the board<br />
<strong>of</strong> directors.<br />
articLe 9 — coMMittees<br />
section 1. Standing Committees.<br />
finance, executive, and nominating.<br />
the president, with approval <strong>of</strong> the<br />
board shall appoint chairpersons <strong>of</strong> all<br />
standing committees.<br />
section 2. Nominating Committee.<br />
the nominating committee <strong>of</strong> not<br />
less than five or more than nine<br />
members, who reflect the geographic<br />
and pr<strong>of</strong>essional distribution <strong>of</strong> the<br />
association, to the extent possible,<br />
shall be appointed by the president<br />
with the approval <strong>of</strong> the board. the<br />
term <strong>of</strong> <strong>of</strong>fice <strong>of</strong> the nominating<br />
committee members shall be one year<br />
with a maximum <strong>of</strong> three consecutive<br />
terms; one-half <strong>of</strong> the committee<br />
members elected each year. no<br />
member <strong>of</strong> the nominating committee<br />
may be a candidate for any <strong>of</strong>ficer or<br />
director during the year he/she serves<br />
on the nominating committee.<br />
articLe 10 — association<br />
MeetinGs<br />
section 1. Annual Meeting. there<br />
shall be an annual meeting <strong>of</strong> the<br />
association at a time and location<br />
designated by the board, for the<br />
purpose <strong>of</strong>: addressing the business<br />
<strong>of</strong> the association; installing <strong>of</strong>ficers<br />
and board members; determining and<br />
furthering the goals and objectives<br />
<strong>of</strong> the association. robert’s rules<br />
<strong>of</strong> order shall govern the meeting.<br />
a majority <strong>of</strong> the members voting in<br />
good standing, in person or by proxy,<br />
shall constitute a quorum.<br />
section 2. Special Meetings. the<br />
president or the board <strong>of</strong> directors<br />
may call special meetings.<br />
section 3. Notice. thirty (30) days<br />
advance written notice shall be given<br />
to all members prior to the annual or<br />
special meetings.<br />
articLe 11 — Positions on<br />
LeGisLative issues<br />
a philosophical, ethical policy or<br />
advocacy position on legislative issues<br />

in the name <strong>of</strong> the association can be<br />
taken only with the approval <strong>of</strong> the<br />
board <strong>of</strong> directors.<br />
articLe 12 — aMendMents<br />
these bylaws may be amended by a<br />
majority vote <strong>of</strong> ballots cast by active<br />
members for that express purpose.<br />
any amendment to these bylaws<br />
requires notice to the members in<br />
writing, containing the text <strong>of</strong> the<br />
proposed amendment. amendments,<br />
to be adopted, must be approved by a<br />
majority <strong>of</strong> the members voting.<br />
articLe 13 — reFerenduM to<br />
MeMBersHiP<br />
Whenever the board shall order a<br />
question to a vote <strong>of</strong> the membership<br />
<strong>of</strong> the association, the secretary shall<br />
prepare a ballot containing the matters<br />
upon which a vote is to be taken, and<br />
such ballot, shall, on approval by the<br />
president or the board, be submitted<br />
by the secretary to each active member<br />
in such form that each member may<br />
vote thereon and return the ballot<br />
to the secretary. the results <strong>of</strong> the<br />
referendum shall be determined by a<br />
majority <strong>of</strong> members voting. Whenever<br />
any such referendum shall have been<br />
taken, the question to be referred<br />
shall not again be referred to the<br />
membership prior to the next annual<br />
meeting <strong>of</strong> the association.<br />
