section 2. Tenure. officers will be
elected for tenure of one (1) year and
can be elected to the same office for
two full consecutive terms.
section 3. Vacancies. a vacancy
in any office may be filled by
recommendation of the nominating
committee and by majority vote of the
board of directors for the unexpired
portion of the term.
section 4. President. the president
shall be the presiding officer of
the association and the official
spokesperson for the board and the
association. the president or an
officer designated by the president
shall be empowered to sign all
contracts, checks, agreements or legal
documents, and has the authority to
sign all correspondence written in the
name of the association.
the president has the authority to
appoint and remove all committee
chairpersons, with the approval of the
board.
the president shall be an ex-officio
member of all committees except the
nominating committee.
the president, with the approval of the
board, may appoint as many as three
advisors to serve at the pleasure of the
board, ex-officio.
section 5. President-Elect. the
president-elect shall ascend to the
position of president at the end of
his/her term. in the event that the
president cannot fulfill her/his term, the
president-elect shall assume the duties
of president. the president-elect shall
carry out assignments designated by
the president and/or the board.
section 6. Secretary. the secretary
shall keep a written record of the
meetings of the board, the executive
committee, and meetings of the
association and shall perform all
other duties incident to the office or
designated by the president or board.
section 7. Treasurer. the treasurer
shall serve as the official custodian
of the funds of the association and as
such shall place the funds in financial
institutions designated by the board.
the treasurer shall maintain an accurate
and current account of association
moneys and shall make regular written
reports to the board. the treasurer
shall be the chairperson of the finance
committee and shall assume any
other duties designated by the board
of directors.
articLe 9 — coMMittees
section 1. Standing Committees.
finance, executive, and nominating.
the president, with approval of the
board shall appoint chairpersons of all
standing committees.
section 2. Nominating Committee.
the nominating committee of not
less than five or more than nine
members, who reflect the geographic
and professional distribution of the
association, to the extent possible,
shall be appointed by the president
with the approval of the board. the
term of office of the nominating
committee members shall be one year
with a maximum of three consecutive
terms; one-half of the committee
members elected each year. no
member of the nominating committee
may be a candidate for any officer or
director during the year he/she serves
on the nominating committee.
articLe 10 — association
MeetinGs
section 1. Annual Meeting. there
shall be an annual meeting of the
association at a time and location
designated by the board, for the
purpose of: addressing the business
of the association; installing officers
and board members; determining and
furthering the goals and objectives
of the association. robert’s rules
of order shall govern the meeting.
a majority of the members voting in
good standing, in person or by proxy,
shall constitute a quorum.
section 2. Special Meetings. the
president or the board of directors
may call special meetings.
section 3. Notice. thirty (30) days
advance written notice shall be given
to all members prior to the annual or
special meetings.
articLe 11 — Positions on
LeGisLative issues
a philosophical, ethical policy or
advocacy position on legislative issues

in the name of the association can be
taken only with the approval of the
board of directors.
articLe 12 — aMendMents
these bylaws may be amended by a
majority vote of ballots cast by active
members for that express purpose.
any amendment to these bylaws
requires notice to the members in
writing, containing the text of the
proposed amendment. amendments,
to be adopted, must be approved by a
majority of the members voting.
articLe 13 — reFerenduM to
MeMBersHiP
Whenever the board shall order a
question to a vote of the membership
of the association, the secretary shall
prepare a ballot containing the matters
upon which a vote is to be taken, and
such ballot, shall, on approval by the
president or the board, be submitted
by the secretary to each active member
in such form that each member may
vote thereon and return the ballot
to the secretary. the results of the
referendum shall be determined by a
majority of members voting. Whenever
any such referendum shall have been
taken, the question to be referred
shall not again be referred to the
membership prior to the next annual
meeting of the association.
