DEWAN KOMISARIS<br />
Tugas Dewan Komisaris, sesuai dengan Anggaran Dasar<br />
terutama adalah pengawasan terhadap kebijaksanaan<br />
pengurus Perseroan yang dilakukan Direksi serta memberi<br />
nasihat kepada Direksi termasuk mengenai rencana<br />
pengembangan Perusahaan, Rencana Kerja dan Anggaran<br />
Perusahaan, pelaksanaan ketentuan-ketentuan Anggaran<br />
Dasar dan keputusan Rapat Umum Pemegang Saham<br />
dan peraturan perundang-undangan yang berlaku. Agar<br />
tugas pengawasan ini berjalan efektif, Dewan Komisaris<br />
memiliki wewenang tertentu, di antaranya memeriksa<br />
buku-buku, surat-surat dan catatan-catatan operasional<br />
Perseroan yang relevan, termasuk mengusulkan dan<br />
menonaktifkan anggota Direksi dengan alasan yang jelas.<br />
Dewan Komisaris melaporkan pelaksanaan tugas<br />
pengawasan dalam RUPS. Mengingat besarnya beban<br />
pengawasan <strong>PLN</strong>, Dewan Komisaris Perseroan kini terdiri<br />
atas 7 orang Komisaris, termasuk Komisaris Utama,<br />
dengan 2 di antaranya adalah Komisaris Independen.<br />
Board of Commissioners<br />
The duties of the Board of Commissioners, in accordance<br />
with the Articles of Association, are primarily the<br />
supervision of company management policies carried out<br />
by the Board of Directors, and to give advice to the Board<br />
of Directors, including about Company development plans,<br />
Company budget and operations plans, implementation of<br />
the provisions of the Articles of Association and General<br />
Meeting of Shareholders decisions and presiding regulations.<br />
To ensure effective monitoring, the Board of Commissioners<br />
has certain authorities, including inspecting books, letters<br />
and notes relevant to the company’s operations, including<br />
firing and deactivating members of the Board of Directors<br />
for a clear reason.<br />
The Board of Commissioners reports its supervisory activities<br />
during the GMS. Due to the scope of <strong>PLN</strong>’s monitoring<br />
obligations, the Board of Commissioners currently consists of<br />
seven Commissioners, including the President Commissioner,<br />
and two Independent Commissioners.
