GENERAL SALES CONDITIONS
The orders will be exclusively assumed in conformity with the following terms that are meant to be accepted by the Buyer. Possible derogations or modifications should
be agreed upon in writing. Modifications to the orders can cause changes of the agreed delivery terms. The orders can be cancelled only within 48 hours from their transmission.
Special proposals made by our representatives are meant to be mandatory only after our written confirmation.
1. PRICES: the prices reported in this list can be modified at any time. As regards the already commissioned goods, at the time of price modifications the Buyer has the
right to recede from the order, on condition that it is made in writing. 2. DELIVERIES: delivery terms are approximate, they concern working days and are however without
engagement. Dalpex doesn’t assume personal responsibility and the Customer could claim neither the cancellation, partially or totally, of the order or contract nor the
reimbursement of supplies due to acts of God, strikes, difficulties in raw material supply or other similar causes.
3. SHIPMENT: the goods travel at the Buyer’s risk. Damages or losses are acknowledged only if they are reported in writing in every copy of the shipping document at the
time of delivery. Following disputes that are not reported at the time of discharge won’t be acknowledged at all. Therefore, please check the goods carefully at the time of
delivery.
4. WARRANTY: Dalpex guarantees its own products for a
period of time of 10 years from the date of delivery. The warranty only concerns manufacturing defects and it only establishes the refund of defective parts. Dalpex supplies
an ALLRISK insurance cover both for defective part replacement charges and for possible damages caused to people or things by own products having clear manufacturing
defects. The warranty doesn’t however cover failure or breakage due or anomalous efforts, insufficient care, unsuitable manipulations or modifications and repairs
carried out by unauthorized people.
5. RETURN OR REPLACEMENT OF GOODS: according to the Law in force, we will not accept the return of defective goods or goods that do not comply with the order,
unless they are accompanied by a delivery note. The returned goods should be authorized by a Dalpex commercial officer and, if approved, they should be free delivered
to Dalpex warehouse, unless differently agreed upon.
6. PAYMENTS: each order should clearly report the agreed payment terms, that are meant to be accepted when the
order confirmation is issued. Overdue bank interests and pertinent extra charges will be added to delayed payments. The non-payment of any part of the invoice or the
delay of over 30 days from the date of expiry should result in the contract cancellation. Dalpex could hold the paid price and claim back the supplied material, at the Buyer’s
expense, damage compensation excepted. Any dispute doesn’t give the right to suspend or change the agreed payment terms. 7. COMPETENT COURT: any litigation
and the resolution of every objection fall within the exclusive cognizance of the COURT OF LEGHORN.
8. Clause valid only for Italian territory: the Buyer, for what concerns Brand items, must permit the access of I.I.P. Srl officers to check and verify that the goods are exactly
alike the ones requested by the running laws.
