SALES CONDITIONS<br />

S.G.A., in its capacity as principal without authority to represent, shall show and sell at public auction thoroughbred<br />

horses upon the conditions set forth below. In these Regulations “Principal” means the breeder who<br />

has authorized S.G.A. to sell the horse and “purchaser” or “buyer” means the person to whom the lot has been<br />

adjudicated.<br />

The principal, in entrusting the horse to S.G.A., has declared that he is aware of these Regulations, and accepts<br />

them.<br />

The principle according to which simply participating involves full acceptance of all the terms and conditions<br />

of these Regulations shall apply to all those persons taking part in the public auction, personally or through<br />

agents.<br />

These Regulations are printed in all catalogues for all auctions.<br />

Art. 1 – SALES BY PUBLIC AUCTION<br />

Any person who signs the purchase confirmation form takes on, as hereinafter defined, on his own behalf, all<br />

the obligations of the winning bidder other than in the case where he has pre-emptively deposited the appropriate<br />

delegation of authority form duly filled in and signed, at S.G.A.’s Office, and accepted by S.G.A.. Also<br />

in this case the person who sign the purchasing form is responsable of the validity and potency of the delegation<br />

of authority form used for purchase. The person who does the bid at the sale is in any case considered<br />

personally force to purchase and, whether supply with the delegation of authority form, in accordance with<br />

the previous paragraph, the fulfil of all obligation, following the purchase relaps on both.<br />

S.G.A.’s liability vis-à-vis the parties is contained within the limits established in these Regulations.<br />

Art. 2 – CONDUCT OF SALE<br />

S.G.A. reserves the right to refuse to sell to notoriously unreliable buyers.<br />

These shall include, inter alia, any bidder who has not fully settled a previous purchase in the ways established<br />

by the conditions in force at the time of purchase.<br />

Lots are knock down at the highest bidder.<br />

The auctioneer can bid in the interest of the vendor untill reaching the reverse price.<br />

Should it be ascertained, at the sole discretion of the Auction Director, that two or more buyers have made the<br />

same bid, at the same time, for the same horse (whether by voice or by sign), and that both of them claim such<br />

horse after the hammer has fallen, the horse which is subject to the dispute will be immediately put back into<br />

the ring for bidding at the last price which it reached in such auction, and the entire public present shall be<br />

allowed to bid for the horse again.<br />

The horse will then be sold to the highest bidder. Bids made after the hammer has fallen and the horse has been<br />

sold are null and void.<br />

The decision of the Director of the Sales, relative to the 2 paragraphs above, is binding upon the parties and<br />

is not subject to appeal.<br />

The auctioneer, in general terms, shall conduct the auction by accepting advancing bids in an amount of not<br />

less than:<br />

Euro 500 to Euro 25.000,<br />

Euro 1.000 from Euro 25.000 to Euro 50.000,<br />

Euro 2.500 from Euro 50.000 upwards.<br />

Art. 3 – INFORMATION TO BE PROVIDED BY THE PRINCIPAL<br />

The principal shall provide the indication of the owner of the horse, which shall be inserted in the catalogue<br />

at the head of the page.<br />

The principal shall provide to S.G.A. all the information relating to the horse to be put up for auction to be<br />

made public, both through the catalogue and by the auctioneer by voice.<br />

The princioal is the only responsible for the reliability of the information supplied and made public. In the<br />

absence of the information supplied by the principal, S.G.A. is authorised to publish the information in its<br />

possession in the catalogue. Before the sale the principal shall report in writing to S.G.A. any errors or omissions<br />

contained in the catalogue so that they may be disclosed to the public at the time of the sales by the<br />

auctioneer. S.G.A. cannot be held liable regarding qualification for races (EBF, FIA, BC, etc.) and the nationality<br />

of the subjects sold at auction (under art. 123 of the Rules of Racing); the information contained in the catalogue<br />

is indicative only. Anyway any liability of SGA on the matter i s not admitted.
