Vorwort<br />
Das Jahr <strong>2010</strong> stellt für die Gazprombank (Schweiz) AG ein Jahr des Neubeginns und des Neuaufbaus dar.<br />
Herausragendes Ereignis im abgelaufenen Geschäftsjahr war die Umfirmierung der <strong>Bank</strong> am 15. November<br />
<strong>2010</strong> von <strong>Russische</strong> <strong>Kommerzial</strong> <strong>Bank</strong> AG in Gazprombank (Schweiz) AG. Mit der Umfirmierung bekräftigt<br />
die Gazprombank (OJSC) ihr Bekenntnis zum Finanzplatz Schweiz und ihr Bestreben zur Weiterentwicklung<br />
der <strong>Bank</strong>.<br />
Die fortgesetzten Anstrengungen zum Abbau des risikobehafteten Altgeschäfts der <strong>Bank</strong> haben <strong>2010</strong> zu einer<br />
deutlichen Reduzierung der Risikovorsorge und zu einer Stärkung der Kapitalbasis der <strong>Bank</strong> beigetragen.<br />
Der personelle Ausbau der <strong>Bank</strong> wurde konsequent fortgesetzt und zusätzliche Investitionen in die Weiterentwicklung<br />
der <strong>Bank</strong>prozess und -abläufe getätigt.<br />
bilanZ<br />
Die Forderungen gegenüber <strong>Bank</strong>en reduzierten sich um 12 % auf CHF 304,7 Mio., davon sind CHF 304,7<br />
Mio. innert 90 Tagen zur Rückzahlung fällig.<br />
Die Forderungen gegenüber Kunden sind im Berichtsjahr auf CHF 1786,7 Mio. gesunken und stellen damit<br />
76,6 % der Aktivseite dar. Davon entfallen CHF 1,653 Mio., oder 92,5 % auf Ausleihungen mit Deckung.<br />
CHF 1754,9 Mio. betreffen Forderungen gegenüber Kunden mit ausländischem Domizil.<br />
Der gesamte Wertschriftenbestand wurde von CHF 9,4 Mio. auf CHF 84,8 Mio. (davon CHF 7,8 Mio. Finanzanlagen)<br />
erhöht. Hierbei wurden insbesondere die Handelsbestände in Wertschriften und Edelmetallen<br />
um CHF 76,3 Mio. aufgestockt, während die Finanzanlagen nahezu konstant blieben. Börsenkotierte Werte<br />
betragen zum Bilanzstichtag CHF 77 Mio.<br />
Mit CHF 2176,8 Mio. beträgt der Anteil der Auslandsaktiva 93,4 % an den Total Aktiven. Der Anteil der<br />
Schuldner mit Domizil in der <strong>Russische</strong>n Föderation an den Total Aktiven beträgt CHF 828,3 Mio. oder 35,5 %,<br />
nahezu unverändert gegenüber dem Vorjahr.<br />
Die Forderungen gegenüber Konzerngesellschaften und qualifiziert Beteiligten betragen CHF 13,6 Mio. zum<br />
Bilanzstichtag und haben sich damit um CHF 24,9 Mio. gegenüber dem Vorjahr reduziert.<br />
Die Verpflichtungen gegenüber <strong>Bank</strong>en sind im Berichtszeitraum von CHF 2296,4 Mio. auf CHF 1653,2 Mio.<br />
zurückgegangen, was einer Abnahme um 28 % entspricht.<br />
Demgegenüber sind die Kundeneinlagen um CHF 75,6 Mio. auf CHF 459,8 Mio. angestiegen.<br />
Als Ergebnis einer konsequenten Risikopolitik konnte das Total der Wertberichtigungen und Rückstellungen<br />
von CHF 129,5 Mio. im Vorjahr auf CHF 64,9 Mio. reduziert werden. Hiervon entfallen CHF 62,3 Mio. auf<br />
Delkredere und CHF 0,6 Mio. auf Pauschale Wertberichtigungen.<br />
Die Eigenkapitalbasis der <strong>Bank</strong> hat sich aufgrund des Jahresgewinns von CHF 61,3 Mio. von CHF 84,7 Mio.<br />
auf CHF 146,1 Mio. erhöht.<br />
Zur Stärkung der anrechenbaren Eigenmittel der <strong>Bank</strong> hat die Gazprombank (OJSC), Moskau, im Geschäftsjahr<br />
2009 ein nachrangiges Darlehen über USD 35 Mio. (CHF 32,7 Mio.) gewährt, das als ergänzendes<br />
Kapital (tier2) den Eigenmitteln angerechnet werden konnte. Die BIZ-Quote für das Total anrechenbare<br />
Eigenkapital beträgt 49,5 %.<br />
Das Total der Verpflichtungen gegenüber Konzerngesellschaften und qualifiziert Beteiligten reduzierte sich<br />
auf CHF 1160 Mio. (Vorjahr CHF 1242,9 Mio.).<br />

Die Eventualverpflichtungen in Form von Garantieabgaben haben sich im Berichtszeitraum um CHF 26,4 Mio.<br />
auf CHF 43,8 Mio. reduziert. Das Volumen der Unwiderruflichen Zusagen beträgt CHF 0,2 Mio. gegenüber<br />
CHF 15,7 Mio. im Vorjahr.<br />
Das Kontraktvolumen an derivativen Finanzinstrumenten beträgt zum Bilanzstichtag CHF 16,2 Mio.<br />
Die Treuhandgeschäfte haben sich signifikant um 80,8 % auf CHF 137,4 Mio. reduziert.<br />
erfolGsrechnunG<br />
Der Erfolg aus dem Zinsgeschäft hat sich im abgelaufenen Berichtszeitraum um 29,2 % auf CHF 16,5 Mio.<br />
reduziert. Die Zurückhaltung bei neuen Kreditgeschäften sowie der weitere Abbau im bestehenden Kreditport<br />
folio der <strong>Bank</strong> haben diesen Effekt verursacht.<br />
Der Erfolg aus dem Kommissions- und Dienstleistungsgeschäft zeigt im Berichtszeitraum ebenfalls eine<br />
rück läufige Tendenz auf und erreicht CHF 6,6 Mio. gegenüber CHF 10,1 Mio. im Vorjahr. Während der<br />
Kommissions aufwand um 95 % anstieg, verzeichneten insbesondere die Kommissionen aus dem Kreditgeschäft<br />
einen markanten Rückgang um CHF 2,6 Mio.<br />
Das Handelsgeschäft der <strong>Bank</strong> trug mit einem Ergebnis von CHF 1,1 Mio. (Vorjahr: CHF 3,4 Mio.) positiv zum<br />
Gesamtergebnis bei.<br />
Das Subtotal übriger ordentlicher Erträge erreicht im abgelaufenen Berichtsjahr CHF 1,4 Mio., nach<br />
CHF –2,4 Mio. im Vorjahr.<br />
Der Geschäftsaufwand, bestehend aus dem Personal- und dem Sachaufwand, hat sich um CHF 6,2 Mio. auf<br />
CHF 22 Mio. erhöht. Der Anstieg resultiert in erster Linie aus dem personellen Ausbau der <strong>Bank</strong> sowie den<br />
Aufwänden im Zusammenhang mit der Modernisierung der <strong>Bank</strong>prozesse und der internen Abläufe.<br />
Die stark rückläufige Nettobildung von Wertberichtigungen und Rückstellungen für Ausfallrisiken im Betrag<br />
von CHF 4,4 Mio. (Vorjahr: CHF 86,9 Mio.) dokumentiert die Erfolge im Management der Risikopositionen im<br />
Kreditportfolio. Aufgrund von Abtretungen bzw. des Verkaufs von Forderungen aus dem Kreditgeschäft an die<br />
Gazprombank (OJSC) bzw. ein verbundenes Unternehmen wurden im Berichtszeitraum Wert berichtigungen<br />
und Rückstellungen für Ausfallrisiken in Höhe von CHF 63,6 Mio. zweckkonform verwendet.<br />
Gleichzeitig wurden CHF 63.8 Mio. als Ausserordentlicher Ertrag (davon CHF 3,6 Mio. periodenfremde<br />
Erträge) vereinnahmt.<br />
Das Geschäftsjahr <strong>2010</strong> endet mit einem Bilanzgewinn in Höhe von CHF 61,3 Mio.<br />
Der Verwaltungsrat dankt allen Kunden für das entgegengebrachte Vertrauen und spricht der Geschäftsleitung<br />
sowie allen Mitarbeiterinnen und Mitarbeitern der <strong>Bank</strong> für ihren engagierten Einsatz und die geleistete<br />

Die Gazprombank (offene Aktiengesellschaft) wurde 1990 zunächst als Handelsbank des staatlichen Gasunternehmens<br />
Gazprom gegründet. Am 31. Juli 1990 wurde sie bei der Zentralbank der <strong>Russische</strong>n Föderation<br />
registriert und mit der Allgemeinen Lizenz Nr. 354 ausgestattet, hinzu kamen Zusatzlizenzen für den Handel<br />
mit Wertpapieren, Edelmetallen und -steinen. Orientiert am Bedarf der Gazprom-Gruppe, erweiterte die<br />
Gazprombank konsequent ihre Infrastruktur und ihr Produktangebot. Bis zum Jahr 1997 war sie eine von<br />
vielen russischen <strong>Bank</strong>en, die im Auftrag der Gazprom und ihrer Tochterunternehmen tätig waren. Doch die<br />
<strong>Bank</strong>enkrise von 1998 machte deutlich, dass die Finanzströme des Gasgeschäfts stabilisiert und geordnet<br />
werden mussten, sodass hochwertige <strong>Bank</strong>dienstleistungen für die entsprechenden Unter nehmen und ihre<br />
Mitarbeitenden an Bedeutung gewannen. Vor diesem Hintergrund beauftragte Gazprom die Gazprombank im<br />
September 1998 mit der Ausführung aller wichtigen <strong>Bank</strong>- und Finanzdienstleistungen. Mit der Unterzeichnung<br />
eines Kooperationsabkommens bis 2015 leiteten die Gazprombank und Gazprom zum beiderseitigen<br />
Nutzen eine neue Phase ihrer Beziehungen ein.<br />
Gegenwärtig ist Gazprom mit 41,73 % nach Non-state Pension Fund «Gazfond» der zweitgrösste Aktionär<br />
der Gazprombank (OJSC).<br />
Eine breit angelegte Diversifizierungsstrategie zum Auftakt des neuen Jahrhunderts versetzte die Gazprombank<br />
in die Lage, auch für andere Unternehmen tätig zu werden. Über die letzten zehn Jahre hinweg hat<br />
sich die Gazprombank zu einer Universalbank entwickelt, die im Firmengeschäft, im Grosshandel und im<br />
Investmentgeschäft gleichermassen eine führende Stellung einnimmt. Zurzeit hat die Gazprombank etwa<br />
45 000 Firmen- und drei Millionen Privatkunden. Nicht nur in der Gasbranche, sondern auch in anderen<br />
strategisch wichtigen Bereichen der russischen Wirtschaft – Ölförderung, Energieversorgung, Petrochemie,<br />
Metallurgie und Bergbau, Schwermaschinenbau, Nuklearindustrie und anderes mehr – hat sich die <strong>Bank</strong><br />
mittlerweile an vorderster Stelle etabliert.<br />
Die Gazprombank ist die Muttergesellschaft der Gazprombank-Gruppe. Ihre Geschäftstätigkeit umfasst<br />
neben der <strong>Bank</strong>ensparte, ihrem Kerngeschäft, auch die Sparten Petrochemie und Reifen, Schwermaschinen,<br />
medienbezogene Branchen und andere Sektoren.<br />
Die Gazprombank hat seit ihrer Gründung ein regionales Netz aufgebaut, das neben ihren eigenen Niederlassungen<br />
(44) und Geschäftsstellen (230) auch eine Gruppe von Tochter- und Partnerbanken (8) umfasst.<br />
Insgesamt besteht das Netzwerk der Gruppe aus mehr als 460 <strong>Bank</strong>filialen in den wichtigsten Regionen von<br />
Russland, Weissrussland, Armenien und der Schweiz. Die Gazprombank (OJSC) verfügt mittlerweile über<br />
eines der grössten Depotnetze in Russland, in dem sie Wertschriften und andere Finanzinstrumente verwaltet.<br />
Mit Aktiva in Höhe von insgesamt mehr als USD 60 Mrd. und USD 8 Mrd. Eigenkapital ist die Gazprombank<br />
die drittgrösste <strong>Bank</strong> der <strong>Russische</strong>n Föderation. Zu den drei grössten russischen <strong>Bank</strong>en zählt sie auch im<br />
Hinblick auf andere Schlüsselindikatoren, beispielsweise:<br />

Die Corporate-Governance-Grundsätze der Gazprombank (Schweiz) AG sind darauf ausgerichtet,<br />
nachhaltiges Wachstum zu erreichen, Mehrwert für den Aktionär zu schaffen und die Interessen des<br />
Aktionärs zu wahren.<br />
Zu Politik und Reglement der Corporate Governance hat der Verwaltungsrat eine Reihe von Dokumenten<br />
über Organisation und Leitung der <strong>Bank</strong> verabschiedet:<br />
— die Statuten, in denen der Zweck der Geschäftstätigkeit und die allgemeine Unternehmens struktur<br />
beschrieben sind;<br />
— das Organisations- und Geschäftsreglement (OGR), das die Aufgaben und Befugnisse der Organe der<br />
<strong>Bank</strong> sowie die Reporting-Verfahren beschreibt;<br />
— das Statut des Audit Committee, in dem dessen Aufgaben und Zuständigkeiten niedergelegt sind.<br />
aktionäre und kaPitalstruktur<br />
Alleinaktionärin ist die Gazprombank (OJSC), welche die <strong>Bank</strong> im Juni 2009 von der in St. Petersburg ansässigen<br />
JSC VTB <strong>Bank</strong> übernommen hat.<br />
Per 31. Dezember <strong>2010</strong> betrug der Wert der ausgegebenen Aktien CHF 101 000 000. Das vollständig<br />
ein gezahlte Gesellschaftskapital ist aufgeteilt in 101 000 Stammaktien mit einem Nennwert von jeweils<br />
CHF 1 000. Im ersten Quartal 2011 ergaben sich keine Änderungen.<br />
VerwaltunGsrat (Vr)<br />
Wie von der schweizerischen <strong>Bank</strong>engesetzgebung vorgeschrieben, verfügt der <strong>Bank</strong> über zwei streng<br />
getrennte Führungsgremien, nämlich den Verwaltungsrat und die Geschäftsleitung. Der Verwaltungsrat<br />
trägt als höchstes Gremium die oberste Verantwortung für die strategische Entwicklung der <strong>Bank</strong> und überwacht<br />
die Tätigkeit der Geschäftsleitung. Ferner genehmigt er die Finanzpläne, legt Risikogrundsätze und<br />
-kapazitäten fest und genehmigt die zur Veröffentlichung vorgesehenen Geschäftsberichte. Die Mitglieder<br />
des Verwaltungsrats werden durch die jährliche ordentliche Generalversammlung gewählt. Die Mitglieder<br />
des Verwaltungsrats gehören nicht der Geschäftsleitung an und verfügen über gute Kenntnisse im Finanz-<br />
und Rechnungswesen.<br />
Im Interesse der Gewaltenteilung werden die Positionen des Verwaltungsratsvorsitzenden und des Vorsitzenden<br />
der Geschäftsleitung nicht mit derselben Person besetzt. Dies gewährleistet die Unabhängigkeit<br />
des Verwaltungsrats von der Geschäftsleitung, die mit der Führung des Tagesgeschäfts betraut ist. Doppelmitgliedschaften<br />
im Verwaltungsrat und in der Geschäftsleitung sind ausgeschlossen.<br />
Die Aufgaben und Befugnisse der Leitungsorgane sind im Organisations- und Geschäftsreglement niedergelegt.<br />
Im Jahr <strong>2010</strong> hielt der Verwaltungsrat fünf Sitzungen ab. Der Verwaltungsrat ist befugt, dringende Beschlüsse<br />

Der Verwaltungsrat erhält auf jeder ordentlichen Sitzung einen Bericht über die aktuellen Geschäftsergebnisse<br />

der Geschäftsleitung mit genauen Angaben über die finanzielle Entwicklung der <strong>Bank</strong>. Ferner<br />

Kam am 1. November 2008 als stellvertretender Generaldirektor zur Gazprombank (Schweiz) AG. Zuständig<br />
für die Bewirtschaftung der finanziellen Ressourcen und für das Kreditgeschäft. War von 2002 an als Vizepräsident<br />
der Gazprombank Moskau für die Abteilung Finanzen und Wirtschaft zuständig. In den vergangenen<br />
Jahren war er bei der Gazprombank Mitglied des Asset and Liability Management Committee, des Credit<br />
Committee und des Corporate Governance Committee. 1996 trat er eine Assistenzstelle bei der <strong>Bank</strong>enprüfung<br />
von Arthur Andersen an, wurde im Jahr 2000 zum Manager ernannt und übernahm anschliessend<br />
die Leitung des Büros für <strong>Bank</strong>enprüfung in St. Petersburg. 2002 schied er aus dem Unternehmen aus.<br />
1996 schloss er einen Bachelor-Studiengang der Wirtschaftswissenschaften an der staatlichen Universität<br />
Moskau ab. 1998 Abschluss der staatlichen Universität für Management. Roman R. Abdulin wurde 1974 in<br />
Moskau geboren.<br />
Vladimir Ryskin wurde am 1. März <strong>2010</strong> als Nachfolger von Nikolai Anoschko zum Generaldirektor und<br />
Geschäftsführer der <strong>Bank</strong>. Thomas Kiefer kam am 1. Mai <strong>2010</strong> als Generaldirektor und Mitglied der<br />
Geschäftsleitung zur <strong>Bank</strong>. Im ersten Quartal des Jahres 2011 genehmigte die Eidgenössische Finanzmarkt aufsicht<br />
FINMA die Aufnahme dreier weiterer Geschäftsleitungsmitglieder: Werner Geel (Leiter der Abteilung Treasury)<br />
kam am 13. September <strong>2010</strong> zur Gazprombank (Schweiz) AG; Urs Grossmann (Chief Operating Officer) am<br />
1. März 2011 und Dmitri Smirnov (Chief Financial Officer) im April 2011. Diese Neuzugänge stehen für eine<br />
deutliche Verstärkung des Führungsteams.<br />

Der VR beruft aus seiner Mitte das dreiköpfige Audit Committee. Den Vorsitz führt Holger Bahl, Mitglieder sind<br />
Albert Schönenberger und Hans Wille, die über umfassende Kenntnisse auf dem Gebiet des Rechnungs- und<br />
Finanzwesens verfügen. Ständige Gastmitglieder sind Andrej Korolev und Anton Chekalin, die in leitender<br />
Funktion in der internen Revisionsabteilung der Gazprombank (OJSC) tätig sind. Das Audit Committee hat<br />
ein eigenes Statut, das vom Verwaltungsrat genehmigt wurde. An seinen Sitzungen nehmen je nach Bedarf<br />
auch Vertreter der Geschäftsleitung und führende Vertreter externer und interner Wirtschaftsprüfer teil.<br />
Die Hauptaufgabe des Audit Committee besteht darin, den Verwaltungsrat bei seiner Aufsichtstätigkeit zu<br />
unterstützen, indem es:<br />
— die Finanzberichte sowie die Offenlegungen von Finanzlage, Geschäftsergebnissen und Cashflow überwacht<br />
und auf ihre Richtigkeit überprüft;<br />
— die Prozesse zur Gewährleistung eines angemessenen internen Kontrollsystems sowie zur Einhaltung<br />
der rechtlichen Vorschriften überwacht;<br />
— die Qualifikation, Unabhängigkeit und Leistung externer und interner Revisoren prüft;<br />
— die Angemessenheit der Finanzberichtsprozesse und der internen Bilanzierungs- und Finanzkontrollen<br />
überwacht.<br />
Das Committee führt selbst keine Prüfungen durch.<br />
Im Jahr <strong>2010</strong> fanden sieben Sitzungen des Audit Committee statt.<br />
Aufgrund ihrer geringen Grösse hat die Gazprombank (Schweiz) AG keine weiteren Committees, doch der VR<br />
übernimmt alle Funktionen gängiger Ausschüsse wie des Strategy Committee, Human Resources and Compensation<br />
Committee, Risk Committee sowie des Governance and Nominating Committee.
PrÜfer<br />
Sowohl externe als auch interne Prüfer sorgen für eine unabhängige Bewertung der Geschäftstätigkeit und<br />
der internen Kontrollen.<br />
externe PrÜfunG<br />
Für das Geschäftsjahr <strong>2010</strong> wurde die KPMG AG (Zürich) zur aktienrechtlichen und bankengesetzlichen<br />
Revisionsstelle ernannt. Das Team der Prüfer wird von Andreas Herbst (Director) und Micha Bitterli (Senior<br />
Manager) geleitet. Sie führen die finanzielle und aufsichtsrechtliche Prüfung sowie weitere Massnahmen<br />
zur Qualitätssicherung durch.<br />
Die KPMG nimmt an allen Sitzungen des Audit Committee teil und berichtet dort über ihre End- oder Zwischenergebnisse.<br />
Einmal im Jahr überprüft das Audit Committee den Prüfungsplan der KPMG und bewertet deren<br />
Arbeit sowie die Tätigkeit der führenden Mitarbeitenden. Ausserdem legt die KPMG dem Audit Committee<br />
min destens einmal pro Jahr einen Bericht vor, in dem sie ihre Unabhängigkeit nachweist. Das Audit Committee<br />
überwacht und genehmigt vorab die Gebühren, die die KPMG für ihre Dienstleistungen in Rechnung stellt.<br />
interne PrÜfunG<br />
Die interne Prüfung sorgt für eine unabhängige und objektive Qualitätssicherung und Beratung, die den<br />
Mehrwert unserer Geschäftstätigkeit steigern soll. Im Interesse einer maximalen Unabhängigkeit von<br />
der Geschäftsleitung wird die interne Prüfung von Ernst & Young vorgenommen; dieses Unternehmen<br />
bewertet die Effektivität der internen Kontrollsysteme unserer <strong>Bank</strong> sowie die Einhaltung der Statuten und<br />
der gesetzlichen Vorschriften. Auf der Grundlage seiner Ergebnisse entwickelt Ernst & Young detaillierte<br />
interne Revisionsziele, definiert Bereiche, die besonders gründlich zu überprüfen sind, und ermittelt<br />
den Ressourcenbedarf, der dem Audit Committee zur Genehmigung unterbreitet wird. Alle Ergebnisse<br />
und Probleme werden der Geschäftsleitung und dem VR übermittelt. Ernst & Young erstattet dem Audit<br />
Committee mindestens einmal pro Quartal, gegebenenfalls auch häufiger, Bericht. Im Interesse einer möglichst<br />
hohen Wirksamkeit stimmen die internen Prüfer ihre Arbeit mit der Tätigkeit der externen Revisoren ab.<br />

Risiken sind ein wesentlicher Bestandteil des <strong>Bank</strong>engeschäfts. Der Erfolg der <strong>Bank</strong> hängt entscheidend<br />
davon ab, die im Rahmen der Geschäftstätigkeit bewusst eingegangenen bankgeschäftsspezifischen Kredit-,<br />
Markt- und Liquiditätsrisiken systematisch zu identifizieren, zu quantifizieren und wirksam zu steuern.<br />
Darüber hinaus erfordert ein effizientes und integriertes Risikomanagement und Risikocontrolling die<br />
Einbeziehung sämt licher auch nicht bankspezifischer Unternehmensrisiken. Darunter fallen die mit der<br />
kurz- und langfristigen Geschäftsplanung und der Geschäftsstruktur verbundenen strategischen Risiken<br />
sowie die operationellen Risiken und Reputationsrisiken.<br />
Der Verwaltungsrat hat sich mit den wesentlichen Risiken, denen die <strong>Bank</strong> ausgesetzt ist, befasst. Hierbei<br />
handelt es sich vor allem um Kredit-, Markt- und operationelle Risiken, die nachfolgend detailliert beschrieben<br />
werden. Grundsätzlich verfolgt die <strong>Bank</strong> bezüglich des Eingehens von Risiken eine konservative und sehr<br />
selektive Risikostrategie.<br />
Mit dem Ziel einer eindeutigen Funktionstrennung berichten die Marktbereiche der <strong>Bank</strong> an ein Geschäftsleitungsmitglied,<br />
während einem weiteren Geschäftsleitungsmitglied die Risikoüberwachungs- und<br />
Controlling funktionen zugeordnet sind. Das hierdurch gestaltete Risikomanagement der <strong>Bank</strong> ist vom Verwaltungsrat<br />
mittels entsprechenden Richtlinien definiert worden. Der Risikosteuerungsprozess beinhaltet<br />
die Identifikation, Analyse, Messung, Überwachung, Berichterstattung und Steuerung der Risiken. Das<br />
Management der <strong>Bank</strong> sowie weitere Adressaten in der Gazprombank (OJSC), Moskau, werden regelmässig<br />
über die Risikosituation informiert.<br />
kreditrisiken<br />
rISIkomanaGement und Interne kontrolle | 21<br />
Unter dem Kredit- oder Adressausfallrisiko versteht man die Gefahr von Forderungsverlusten aus unerwarte<br />
ten Ausfällen bzw. Wertminderungen aufgrund nicht vorhersehbarer Verschlechterungen der Bonität der<br />
Kreditnehmer bzw. der Emittenten. Die Steuerung der Kreditrisiken erfolgt einzelfallbezogen durch die<br />
Einräumung von Limiten für einzelne Kreditnehmer/Kreditnehmereinheiten sowie Limiten für Länderrisiken<br />
und gegebenenfalls auch Limiten für einzelne Produktgruppen.<br />
Die Kreditbewilligung setzt ausreichende und gesicherte Informationen über den Kreditnehmer, über Struktur<br />
und wirtschaftlichen Zweck der Kredittransaktion sowie die Werthaltigkeit der haftenden Sicherheiten<br />
voraus, um auf dieser Basis eine umfassende Kreditanalyse durchzuführen. Dabei besteht für die <strong>Bank</strong> die<br />
Möglichkeit, über ihre Alleinaktionärin, die Gazprombank (OJSC), Moskau, Auskünfte betreffend Einschätzungen,<br />
Ereignisse, Entwicklungen etc. im russischen Markt aus erster Hand zu erhalten.<br />
Für die Kreditbewilligung bestehen ausführliche bankeigene Richtlinien und Weisungen; die Kompetenzen<br />
für die Kreditgewährung sind in der Geschäftsordnung der <strong>Bank</strong> festgelegt. Alle Kreditengagements werden<br />
anhand eines im Jahr 2008 eingeführten Ratingsystems in sechs Ratingklassen unterteilt und unterliegen<br />
einer laufenden Überwachung sowie einer zumindest jährlichen Neubeurteilung.<br />
Der überwiegende Teil der Kreditvergaben wird durch die Hereinnahme adäquater Sicherheiten unterlegt.<br />
Beleihungsansätze und Massgaben zur Wertermittlung von Sicherheiten sind im internen Geschäfts reglement<br />
festgelegt. Die Werthaltigkeit der Sicherheiten unterliegt ebenfalls einer laufenden Überwachung.<br />
Bei der Überwachung der Risiken aus Handelsgeschäften stützt sich die <strong>Bank</strong> auf ihr internes Regelwerk. Im<br />

marktrisiken<br />
Unter Marktrisiken werden mögliche Wertschwankungen eines Portfolios in Folge von Veränderungen von<br />
Marktpreisen wie beispielsweise Zinsen, Aktienkursen oder Wechselkursen verstanden. Die Marktrisiken<br />
der <strong>Bank</strong>, die vor allem Positionsrisiken aus dem Wertschriften-Handelsgeschäft sowie Wechselkursrisiken<br />
aus dem Devisen geschäft beinhaltet, werden mittels Limitensystemen begrenzt und laufend überwacht.<br />
Die Berechnung und Limitierung des Risikos erfolgt unter anderem mit Hilfe der Value-at-Risk-Methode<br />
(VaR). Ergänzend zur VaR-Berechnung werden im Rahmen von Stresstestings die Auswirkungen extremer<br />
Marktentwicklungen auf den Wert des Portfolios betrachtet. Die Zinsänderungsrisiken werden periodisch<br />
ermittelt und dem Verwaltungsrat mitgeteilt. Eine allfällige Absicherung erfolgt über derivative Finanzinstrumente<br />
mit erstklassigen Gegenparteien.<br />
liQuiditätsrisiken<br />

Das Liquiditätsrisiko ist das Risiko, dass gegenwärtigen und zukünftigen Zahlungsverpflichtungen nicht<br />
vollständig oder zeitgerecht nachgekommen werden kann oder dass im Fall einer Liquiditätskrise Refinanzierungsmittel<br />
nur zu erhöhten Marktsätzen aufgenommen (Refinanzierungsrisiko) bzw. Aktiva nur mit<br />
Abschlägen zu den Marktsätzen liquidiert werden können (Marktliquiditätsrisiko).<br />
Grundlage der Liquiditätsrisikoüberwachung und -bewirtschaftung bilden die allgemeinen bankgesetzlichen<br />
Bestimmungen. In entsprechenden Analysen werden künftige Zahlungsströme abgebildet und gemäss ihrer<br />
Laufzeit kategorisiert. Regelmässige Stresstestings zeigen die liquiditätsmässigen Auswirkungen unter verschiedenen<br />
Extremszenarien. Einen Grossteil der Finanzanlagen unterhält die <strong>Bank</strong> als strategische Liquiditäts-<br />
reserve in Form von notenbankfähigen Wertschriften für die Sicherung der Liquiditätslage im Krisenfall.<br />
oPerationelle risiken<br />
Das operationelle Risiko wird als Risiko eines direkten oder indirekten Verlusts durch Unzulänglichkeiten<br />
oder Versäumnisse bei Projekten, Prozessen oder Kontrollen aufgrund von technischen, personellen, organisa<br />
torischen oder externen Faktoren definiert. Operationelle Risiken schliessen Rechtsrisiken mit ein, jedoch<br />
nicht strategische Risiken oder Reputationsrisiken.<br />
Die Steuerung der operationellen Risiken erfolgt eigenverantwortlich in den einzelnen Bereichen der <strong>Bank</strong>,<br />
wobei das Management der operationellen Risiken primär Aufgabe der Führungskräfte aller Stufen ist.<br />
Die Sensibilisierung der Mitarbeitenden und Führungskräfte bezüglich Erkennung von operationellen<br />
Risiken sowie periodische Verfahrensprüfungen der internen Revision spielen dabei eine wichtige Rolle.<br />
Zudem unterstützen Notfallpläne, Regelwerke und Arbeitsanweisungen die Reduzierung des operationellen<br />
Risikos. In erster Linie erfolgt das Management der operationellen Risiken über qualitative Massnahmen.<br />
Das implementierte Business Continuity Management (BCM) sichert die Funktionsfähigkeit der für die <strong>Bank</strong><br />
wesentlichen Kernprozesse im Katastrophenfall.

Über die Einhaltung zwingender gesetzlicher und aufsichtsrechtlicher Normen zur Geldwäschebekämpfung,<br />
Verhinderung der Terrorismusfinanzierung und sonstiger krimineller Aktivitäten hinaus kommt dem Bereich<br />
AML /Compliance die Verantwortung zu, die Reputation der <strong>Bank</strong>, der Kunden und der Mitarbeitenden durch<br />
Vorgabe hoher ethischer Standards zu schützen. Dies wird durch verpflichtende Regeln zur Behandlung<br />
von Interessenkonflikten, zur Verhinderung des Marktmissbrauchs und der Marktmanipulation sowie durch<br />
entsprechende Kontrollen sichergestellt.<br />
Der Bereich Compliance ist integraler Bestandteil der Kundenbetreuung der Gazprom <strong>Bank</strong>. Im Rahmen<br />
verschiedener Massnahmen, wie z.B. «Know your Customer», wird eine risiko-reduzierende und damit<br />
geschäfts fördernde Geschäftspolitik der <strong>Bank</strong> massgeblich mitgeprägt. Damit stützt die <strong>Bank</strong> gleichfalls die<br />

Der Geschäftszweck der <strong>Bank</strong> umfasst alle Arten von Dienstleistungen einer <strong>Bank</strong> im In- und Ausland.<br />
Ausgeschlossen ist jedoch die Annahme von Spargeldern.<br />
bilanZGeschäft<br />
Der Schwerpunkt der Geschäftstätigkeit liegt in der Gewährung von Krediten an Kunden, welche Geschäftsbeziehungen<br />
mit Russland und anderen Ländern Osteuropas unterhalten.<br />
Das Interbankengeschäft wird hauptsächlich im kurzfristigen Bereich betrieben. Den langfristigen Finanzbedarf<br />
deckt die <strong>Bank</strong> hauptsächlich über das Mutterhaus.<br />
Die <strong>Bank</strong> hält in den Finanzanlagen ein Portefeuille von Wertschriften mit mittel- bis langfristigem<br />
Anlage horizont.<br />
Im Bilanzstrukturmanagement können derivative Finanzinstrumente zur Bewirtschaftung der Zinsrisiken<br />
zum Einsatz kommen.<br />
handel<br />
Der Kundschaft bietet die <strong>Bank</strong> die Ausführung und Abwicklung sämtlicher banküblichen Handelsgeschäfte<br />
an. Zudem betreibt die <strong>Bank</strong> einen Handel auf eigene Rechnung in Schuldtiteln (Obligationen) und Beteiligungstiteln<br />
(Aktien und Fonds).<br />
kommissions- und dienstleistunGsGeschäft<br />
Der Hauptanteil des Kommissions- und Dienstleistungsgeschäfts entfällt auf das Kreditgeschäft, auf das<br />
Wertschriften- und Anlagegeschäft und auf den Zahlungsverkehr für die Kundschaft.<br />

Per 31. Dezember <strong>2010</strong> beschäftigte die <strong>Bank</strong> 49 Mitarbeitende. (Vorjahr: 37).<br />

Die Kredit-, Markt-, Liquiditäts- und operationellen Risiken werden wie nachstehend beschrieben laufend<br />
überwacht und bewirtschaftet.<br />
kreditrisiken<br />
Für die Kreditbewilligungen bestehen ausführliche bankeigene Richtlinien und Weisungen, welche die Voraussetzungen,<br />
die auch umfassende Kreditanalysen beinhalten, für allfällige Kreditauszahlungen beschreiben.<br />
Diese Weisungen umfassen auch die Überwachung der laufenden Kreditausstände. Zudem bedient sich die<br />
<strong>Bank</strong> auch des Systems der Länderlimiten, welche vom Verwaltungsrat periodisch festgelegt resp. überwacht<br />
werden. Im Jahr 2008 hat die <strong>Bank</strong> ein Ratingsystem eingeführt und klassiert alle Forderungen in sechs Ratingklassen.<br />
Eine Übersicht der Ratings über alle Forderungen wird dem Verwaltungsrat periodisch zugestellt.<br />

Zur Begrenzung des Kreditrisikos in den Ausleihungen hat die <strong>Bank</strong> in ihrem Geschäftsreglement Belehnungsnormen<br />
festgelegt. Für die Gewährung von Krediten besteht eine Kompetenzordnung, welche die in vier<br />
Kreditkategorien eingeteilten Kreditbegriffe auch betreffend Betrag regelt und begrenzt. Zusätzlich besteht für<br />
die <strong>Bank</strong> die Möglichkeit, über ihre Alleinaktionärin, die Gazprombank (OJSC), Moskau, Auskünfte betreffend<br />
Einschätzungen, Ereignisse und Entwicklungen etc. im russischen Markt aus erster Hand zu erhalten.<br />

Überwachung des Kreditportfolios wurde im Verlauf des Jahres 2008 ein Ratingsystem eingeführt, auf<br />
dessen Basis die Überwachung nunmehr kontinuierlich durchgeführt wird und Kredite zumindest jährlich<br />
beurteilt werden.<br />
Das hierdurch gestaltete Risikomanagement der <strong>Bank</strong> ist vom Verwaltungsrat mittels Weisungen definiert<br />
worden. Durch den vorgegebenen Ablauf ist eine systematisierte Erkennung, Beurteilung und Steuerung<br />
durch das Management sichergestellt.
2. bIlanzIerunGS- und bewertunGS-<br />
GrundSätze<br />
allGemeine GrundsätZe<br />
Die Buchführungs-, Bilanzierungs- und Bewertungsgrundsätze richten sich nach den Vorschriften des Obligationenrechts,<br />
des <strong>Bank</strong>engesetzes und dessen Verordnung, den statutarischen Bestimmungen und den<br />
Richtlinien der Eidgenössischen Finanzmarktaufsicht.<br />
allGemeine bewertunGsGrundsätZe<br />
Die in einer Bilanzposition ausgewiesenen einzelnen Detailposition werden grundsätzlich einzeln bewertet<br />
(Einzelbewertung).<br />
erfassunG und bilanZierunG<br />
Am Abschlusstag werden sämtliche Geschäfte in den Büchern der <strong>Bank</strong> erfasst. Die abgeschlossenen<br />
Geschäfte werden bis zum Erfüllungs- bzw. Valutatag als Ausserbilanzgeschäfte erfasst. Am Erfüllungs- bzw.<br />
Valutatag werden die Geschäfte bilanzwirksam.<br />

Die Bilanzierung erfolgt zum Nominalwert abzüglich allfälliger betriebsnotwendiger Einzelbewertungen<br />

Bilanzierung von Forfaitierungen erfolgt zum Barwert zum Bilanzstichtag.<br />
forderunGen GeGenÜber kunden (ausleihunGen)<br />
Die Bilanzierung erfolgt zum Nominalwert.<br />
Gefährdetete Forderungen, d.h. Forderungen, bei welchen es unwahrscheinlich ist, dass der Schuldner<br />
seinen zukünftigen Verpflichtungen nachkommen kann, werden auf Einzelbasis bewertet und die Wertverminderung<br />
durch Einzelwertberichtigungen abgedeckt. Ausserbilanzgeschäfte werden in diese Bewertung<br />
ebenfalls einbezogen. Für erkennbare Risiken werden Einzelwertberichtigungen unter Beachtung des Vorsichtsprinzips<br />
gebildet.<br />
Forderungen werden spätestens dann als gefährdet eingestuft, wenn die vertraglich vereinbarten Zahlungen<br />
für Kapital und/oder Zinsen mehr als 90 Tage ausstehend sind. Zinsen, die mehr als 90 Tage ausstehend<br />
sind, gelten als überfällig. Überfällige Zinsen und Zinsen, deren Eingang gefährdet ist, werden nicht mehr<br />
vereinnahmt, sondern direkt den Wertberichtigungen und Rückstellungen zugewiesen. Forderungen werden<br />
zinslos gestellt, wenn die Einbringlichkeit der Zinsen derart zweifelhaft ist, dass die Abgrenzung nicht mehr<br />
als sinnvoll erachtet wird.<br />
Die Wertminderung bemisst sich nach der Differenz zwischen dem Buchwert der Forderung und dem voraussichtlich<br />
einbringlichen Betrag unter Berücksichtigung des Gegenparteirisikos und des Nettoerlöses aus<br />
der Verwertung allfälliger Sicherheiten (nach Abzug von Halte-, Refinanzierungs- und Liquiditätskosten).<br />
Wenn eine Forderung als ganz oder teilweise uneinbringlich eingestuft oder ein Forderungsverzicht gewährt<br />
wird, erfolgt die Ausbuchung der Forderung zulasten der entprechenden Wertberichtigung. Gefährdete<br />
Forderungen werden wiederum als vollwertig eingestuft, wenn die ausstehenden Kapitalbeträge und Zinsen<br />
wieder fristgerecht gemäss den vertraglichen Vereinbarungen und weiteren Bonitätskriterien erfüllt werden.<br />

Die <strong>Bank</strong> hat 2008 ein Ratingsystem eingeführt und klassiert alle Forderungen in einer der sechs Ratingsklassen.<br />
Bei den Forderungen der Klassen sechs bis zwei wird der Schuldendienst geleistet, die Belehnung<br />
der Sicherheiten ist angemessen und die Rückzahlung des Kredits erscheint nicht wesentlich gefährdet. Für<br />
diese Forderungen werden keine Einzelwertberichtigungen gebildet. Für die Forderungen der Klassen drei<br />
und zwei werden pauschale Wertberichtigungen anhand festgelegter Erfahrungswerte je Klassen gebildet.<br />
Die Kredite der Klasse eins sind stark gefährdet und werden einzeln wertberichtigt.<br />
handelsbestände in wertschriften<br />
Die Handelsbestände in Wertschriften und Edelmetallen werden grundsätzlich zum Fair Value bewertet<br />
und bilanziert. Als Fair Value wird der auf einem preiseffizienten und liquiden Markt gestellte Preis oder ein<br />
aufgrund eines Bewertungsmodells ermittelter Preis eingesetzt. Ist ausnahmsweise kein Fair Value verfügbar,<br />
erfolgen die Bewertung und Bilanzierung zum Niederstwertprinzip. Die aus der Bewertung resultierenden<br />
Kursgewinne und -verluste werden im Erfolg aus dem Handelsgeschäft verbucht. Zins und Dividendenerträge<br />
aus Handelsbeständen in Wertschriften werden dem Zins- und Dividendenertrag aus Handelsbeständen<br />
gutgeschrieben.<br />
finanZanlaGen (wertschriften)<br />
Festverzinsliche Schuldtitel sowie Wandel- und Optionsanleihen ausserhalb des Handelsbestandes werden<br />
nach dem Niederstwertprinzip bewertet, sofern keine Absicht zum Halten bis zur Endfälligkeit besteht.<br />
Wertanpassungen erfolgen pro Saldo über Anderer ordentlicher Aufwand resp. Anderer ordentlicher Ertrag.<br />
Eine Zuschreibung bis höchstens zu den Anschaffungskosten erfolgt, sofern der unter die Anschaffungskosten<br />
gefallene Markwert in der Folge wieder steigt. Diese Wertanpassung wird wie vorstehend beschrieben<br />
ausgewiesen.<br />
Die mit der Absicht zur Haltung bis zur Endfälligkeit erworbenen Schuldtitel werden nach der Accrual-<br />
Methode bewertet. Dabei wird das Agio bzw. Disagio über die Laufzeit bis zum Endverfall abgegrenzt.<br />
Zinsenbezogene realisierte Gewinne oder Verluste aus vorzeitiger Veräusserung oder Rückzahlung werden<br />
über die Restlaufzeit, d.h. bis zur ursprünglichen Endfälligkeit, abgegrenzt.<br />
Bonitätsbedingte Wertminderungen bzw. nachfolgende Wertaufholungen werden in der Erfolgsrechnung<br />
wie unter «Halten bis Endverfall» behandelt.<br />
Positionen in Beteiligungstiteln und Edelmetallen werden nach dem Niederstwertprinzip bewertet.<br />
Positionen in Edelmetallen und Liegenschaften werden zurzeit keine geführt.<br />
sachanlaGen und immaterielle werte<br />
Investitionen in neue Sachanlagen inkl. Software werden aktiviert und gemäss Anschaffungswertprinzip<br />
bewertet, wenn sie während mehr als einer Rechnungsperiode genutzt werden und die Aktivierungsuntergrenze<br />
übersteigen. Investitionen in bestehende Sachanlagen werden aktiviert, wenn dadurch der Markt- oder<br />
Nutzwert nachhaltig erhöht oder die Lebensdauer wesentlich verlängert wird.<br />
Bei der Folgebewertung werden die Sachanlagen zum Anschaffungswert abzüglich der kumulierten Abschreibungen<br />
bilanziert. Die Abschreibungen (degressiv) erfolgen planmässig über die geschätzte Nutzungsdauer<br />
der Anlage. Die Werthaltigkeit wird jährlich überprüft. Ergibt sich bei der Überprüfung der Werthaltigkeit<br />
eine veränderte Nutzungsdauer oder eine Wertverminderung, wird der Restbuchwert planmässig über die
estliche Nutzungsdauer abgeschrieben oder eine ausserplanmässige Abschreibung getätigt. Planmässige und<br />
allfällige zusätzliche ausserplanmässige Abschreibungen werden über die Erfolgsrechnung in der Position<br />
Abschreibungen auf dem Anlagevermögen verbucht. Fällt der Grund für die ausserplanmässige Abschreibung<br />
weg, erfolgt eine entsprechende Zuschreibung. Es kommen folgende Abschreibungssätze zur Anwendung:<br />
— Einrichtungen, Maschinen und Mobiliar: 25 % vom Buchwert<br />
— Fahrzeuge, EDV: 40 % vom Buchwert<br />
Realisierte Gewinne aus der Veräusserung von Sachanlagen werden über den ausserordentlichen Ertrag<br />
verbucht, realisierte Verluste über die Position ausserordentlicher Aufwand.<br />
Immaterielle Werte bestehen zurzeit keine.<br />
wertberichtiGunGen und rÜckstellunGen<br />
Für alle am Bilanzstichtag erkennbaren Risiken werden nach dem Vorsichtsprinzip Einzelwertberichtigungen<br />
und Rückstellungen gebildet. Die in einer Rechnungslegungsperiode betriebswirtschaftlich nicht mehr<br />
benötigten Wertberichtigungen und Rückstellungen werden erfolgswirksam aufgelöst.<br />
Einzelwertberichtigungen werden nicht direkt von der entsprechenden Aktivposition abgezogen. Die Pauschal-<br />
wertberichtigungen für Ausfallrisiken sowie die Rückstellungen für die übrigen Risiken werden unter dieser<br />
Bilanzrubrik ausgewiesen.<br />
Die Wertberichtigungen und Rückstellungen können stille Reserven enthalten.<br />
reserVen fÜr allGemeine bankrisiken<br />
Die Reserven für allgemeine <strong>Bank</strong>risiken werden im Sinn von Art. 18 lit. b ERV als Eigenmittel angerechnet<br />
und sind versteuert.<br />
fremdwährunGen<br />
Transaktionen in Fremdwährungen werden zu den jeweiligen Tageskursen verbucht. Monetäre Vermögenswerte<br />
werden am Bilanzstichtag zum jeweiligen Tageskurs umgerechnet und erfolgswirksam verbucht.<br />
Wechselkursdifferenzen zwischen dem Abschluss des Geschäfts und seiner Erfüllung werden über die<br />
Erfolgsrechnung verbucht.<br />

handelsGeschäfte<br />
Die Bewertung aller derivativen Finanzinstrumente erfolgt zum Fair Value. Sie werden als positive oder negative<br />
Wiederbeschaffungswerte unter den Sonstigen Aktiven resp. Sonstigen Passiven bilanziert. Der Fair Value<br />
basiert auf Marktkursen, Preisnotierungen von Händlern, Discounted-Cashflow- und Optionspreis-Modellen.<br />
Bei den Transaktionen mit derivativen Finanzinstrumenten, welche zu Handelszwecken eingegangen werden,<br />
wird der realisierte und unrealisierte Erfolg über die Position Erfolg aus dem Handelsgeschäft verbucht.<br />
absicherunGsGeschäfte<br />
Die <strong>Bank</strong> kann ausserdem derivative Finanzinstrumente im Rahmen des Asset-and-Liability-Managements<br />
zur Steuerung von Zinsänderungs-, Währungs- und Ausfallrisiken einsetzen. Die Absicherungsgeschäfte<br />
werden analog dem abgesicherten Grundgeschäft bewertet. Der Erfolg aus der Absicherung wird der gleichen<br />
Erfolgsposition zugewiesen wie der entsprechende Erfolg aus dem abgesicherten Geschäft.<br />
Bei der Absicherung von Zinsänderungsrisiken können auch Makro-Hedges eingesetzt werden. Der Erfolg<br />
aus dem Absicherungsgeschäft wird in der Regel über den Zinsaufwand verbucht. Der Erfolg aus den für<br />
das Bilanzstrukturmanagement zur Bewirtschaftung der Zinsänderungsrisiken eingesetzten Derivaten wird<br />
nach der Accrual-Methode ermittelt. Dabei wird die Zinskomponente nach der Zinseszinsmethode über die<br />
Laufzeit bis zur Endfälligkeit abgegrenzt.<br />
Sicherungsbeziehungen, Ziele und Strategien des Absicherungsgeschäfts werden durch die <strong>Bank</strong> beim<br />
Abschluss des derivativen Absicherungsgeschäfts dokumentiert. Die Effektivität der Sicherungsbeziehung<br />
wird periodisch überprüft. Absicherungsgeschäfte, bei denen die Absicherungsbeziehung ganz oder teilweise<br />
nicht mehr wirksam ist, werden bezüglich des nicht wirksamen Teils wie Handelsgeschäfte behandelt.<br />
VorsorGeVerPflichtunGen<br />
Die Mitarbeitenden der Gazprombank (Schweiz) AG sind in der Vorsorgestiftung der Gazprombank<br />
(Schweiz) AG gemäss den Bestimmungen des BVG, der Stiftungsurkunde und des Reglements gegen die<br />
Folgen von Alter, Tod und Invalidität versichert. Die Vorsorgestiftung ist eine nach dem Beitragsprimat<br />
organisierte teilautonome Kasse, welche die Altersleistungen und -risiken selber trägt, während die Risiken<br />
Tod und Invalidität bei einer Versicherungsgesellschaft versichert sind.<br />
Die Finanzierung des Vorsorgeplans erfolgt zu einem Viertel durch Beiträge der Arbeitnehmenden und zu drei<br />
Vierteln durch solche des Arbeitgebers. Die Beiträge des Arbeitgebers sind im Personalaufwand enthalten.<br />
Die <strong>Bank</strong> wendet die Grundsätze von FER 16 an. Es wird jährlich beurteilt, ob die Vorsorgestiftung aus Sicht<br />
der <strong>Bank</strong> einen wirtschaftlichen Nutzen oder eine wirtschaftliche Verpflichtung darstellt. Als Basis dienen<br />
die Verträge und die Jahresrechnung der Vorsorgestiftung, welche in der Schweiz nach FER 26 erstellt wird,<br />
und andere Berechnungen, welche die finanzielle Situation sowie die bestehende Über- und Unterdeckung<br />
und die tatsächlichen Verhältnisse darstellen. Für die Beurteilung, ob ein Nutzen oder eine Verpflichtung<br />
besteht, zieht die <strong>Bank</strong> einen Experten für die berufliche Vorsorge bei.<br />
Basierend auf dem vorläufigen Abschluss der Vorsorgestiftung der Gazprombank (Schweiz) AG per<br />
31. Dezember <strong>2010</strong> besteht eine Unterdeckung (0,33 %), welche allerdings zu keiner Verbuchung in der vor -<br />
liegenden Jahresrechnung führt. Es bestehen keine Arbeitgeberbeitragsreserven.

Laufende Steuern sind wiederkehrende, in der Regel jährliche Gewinnsteuern. Einmalige oder transaktionsbezogene<br />

Bericht der Revisionsstelle zur Jahresrechnung an die Generalversammlung der<br />
Gazprombank (Schweiz) AG, Zürich<br />
Als Revisionsstelle haben wir die beiliegende Jahresrechnung der Gazprombank (Schweiz) AG, bestehend aus<br />
Bilanz, Erfolgsrechnung, Mittelflussrechung und Anhang (Seiten 26 bis 59) für das am 31. Dezember <strong>2010</strong><br />
abgeschlossene Geschäftsjahr geprüft. Die Vorjahresrechnung wurde von einer anderen Revisionsstelle<br />
geprüft. Am 15. Juni <strong>2010</strong> ist ein uneingeschränktes Prüfungsurteil abgegeben worden.<br />
VerantwortunG des VerwaltunGsrates<br />
Der Verwaltungsrat ist für die Aufstellung der Jahresrechnung in Übereinstimmung mit den gesetzlichen<br />
Vorschriften und den Statuten verantwortlich. Diese Verantwortung beinhaltet die Ausgestaltung, Implementierung<br />
und Aufrechterhaltung eines internen Kontrollsystems mit Bezug auf die Aufstellung einer Jahresrechnung,<br />
die frei von wesentlichen falschen Angaben als Folge von Verstössen oder Irrtümern ist. Darüber<br />
hinaus ist der Verwaltungsrat für die Auswahl und die Anwendung sachgemässer Rechnungslegungsmethoden<br />
sowie die Vornahme angemessener Schätzungen verantwortlich.<br />
VerantwortunG der reVisionsstelle<br />
Unsere Verantwortung ist es, aufgrund unserer Prüfung ein Prüfungsurteil über die Jahresrechnung abzugeben.<br />
Wir haben unsere Prüfung in Übereinstimmung mit dem schweizerischen Gesetz und den Schweizer<br />
Prüfungsstandards vorgenommen. Nach diesen Standards haben wir die Prüfung so zu planen und durchzuführen,<br />
dass wir hinreichende Sicherheit gewinnen, ob die Jahresrechnung frei von wesentlichen falschen<br />
Angaben ist.<br />
Eine Prüfung beinhaltet die Durchführung von Prüfungshandlungen zur Erlangung von Prüfungsnachweisen<br />
für die in der Jahresrechnung enthaltenen Wertansätze und sonstigen Angaben. Die Auswahl der Prüfungshandlungen<br />
liegt im pflichtgemässen Ermessen des Prüfers. Dies schliesst eine Beurteilung der Risiken<br />
wesentlicher falscher Angaben in der Jahresrechnung als Folge von Verstössen oder Irrtümern ein. Bei der<br />
Beurteilung dieser Risiken berücksichtigt der Prüfer das interne Kontrollsystem, soweit es für die Aufstellung<br />
der Jahresrechnung von Bedeutung ist, um die den Umständen entsprechenden Prüfungshandlungen festzulegen,<br />
nicht aber um ein Prüfungsurteil über die Wirksamkeit des internen Kontrollsystems abzugeben.<br />
Die Prüfung umfasst zudem die Beurteilung der Angemessenheit der angewandten Rechnungslegungs-<br />
methoden, der Plausibilität der vorgenommenen Schätzungen sowie eine Würdigung der Gesamtdarstellung<br />
der Jahresrechnung. Wir sind der Auffassung, dass die von uns erlangten Prüfungsnachweise eine ausreichende<br />
und angemessene Grundlage für unser Prüfungsurteil bilden.<br />

Geschäftsjahr dem schweizerischen Gesetz und den Statuten.

Wir bestätigen, dass wir die gesetzlichen Anforderungen an die Zulassung gemäss Revisionsaufsichtsgesetz<br />
(RAG) und die Unabhängigkeit (Art. 728 OR und Art. 11 RAG) erfüllen und keine mit unserer Unabhängigkeit<br />
nicht vereinbaren Sachverhalte vorliegen.<br />
In Übereinstimmung mit Art. 728a Abs. 1 Ziff. 3 OR und dem Schweizer Prüfungsstandard 890 bestätigen<br />
wir, dass ein gemäss den Vorgaben des Verwaltungsrates ausgestaltetes internes Kontrollsystem für die<br />
Aufstellung der Jahresrechnung existiert.<br />

foreword<br />
<strong>2010</strong> was a year of new beginnings and rebuilding for Gazprombank (Switzerland) Ltd.<br />
The stand-out event in the past financial year was the renaming of the <strong>Bank</strong>, with Russian Commercial<br />
<strong>Bank</strong> Ltd. becoming Gazprombank (Switzerland) Ltd on November 15, <strong>2010</strong>. With this move, Gazprombank<br />
(OJSC) underscored its commitment to the Swiss financial sector and to the bank’s continued development.<br />
The ongoing efforts to reduce the <strong>Bank</strong>’s risk-fraught former business contributed to a clear reduction in<br />
risk provisioning and a strengthening of the capital base in <strong>2010</strong>.<br />
The growth in the <strong>Bank</strong>’s headcount was continued consistently, and additional investments were made in<br />
the further development of banking processes and procedures.<br />

Receivables due from banks fell by 12 % to CHF 304.7 million, of which CHF 304.7 million are repayable<br />
within 90 days.<br />
Receivables due from customers fell to CHF 1,786.7 million in <strong>2010</strong> and thus represent 76.6 % of total assets.<br />
Of this amount, CHF 1,653 million or 92.5 % are loans backed by collateral. CHF 1,754.9 million are<br />
receivables due from customers domiciled abroad.<br />
Total securities holdings rose from CHF 9.4 million to CHF 84.8 million (financial investments comprising<br />
CHF 7.8 million of this amount). The securities and precious metal trading portfolios in particular showed<br />
an increase of CHF 76.3 million, while financial investments remained virtually constant. As at the balancesheet<br />
date, exchange-listed assets totaled CHF 77 million.<br />
Foreign assets amounted to CHF 2,176.8 million, i.e. 93.4 % of the total assets. Borrowers domiciled in the<br />
Russian Federation accounted for CHF 828.3 million or 35.5 % of the total assets, practically unchanged<br />
year-on-year.<br />
Receivables due from group entities and significant shareholders totaled CHF 13.6 million on the balancesheet<br />
date, down CHF 24.9 million on 2009.<br />
Liabilities due to banks fell from CHF 2,296.4 million to CHF 1,653.2 million in the period under review,<br />
a drop of 28 %.<br />
In the same period, liabilities due to customers rose by CHF 75.6 million to CHF 459.8 million.<br />
Thanks to a consistent risk policy, total value adjustments and provisions were reduced from CHF 129.5 million<br />
in 2009 to CHF 64.9 million. Reserves for credit risks make up CHF 62.3 million of this amount, with<br />
CHF 0.6 million being attributable to overall value adjustments.<br />
Owing to the net income of CHF 61.3 million, the <strong>Bank</strong>’s total shareholders’ equity increased from CHF 84.7<br />
million to CHF 146.1 million.<br />
To strengthen the <strong>Bank</strong>’s eligible own funds, Gazprombank (OJSC), Moscow, granted a subordinated loan<br />
of USD 35 million (CHF 32.7 million) in the 2009 financial year, which was eligible for inclusion under own<br />
funds as supplementary capital (Tier 2). The BIS ratio for the total eligible own funds is 49.5 %.<br />
Total liabilities due to group entities and significant shareholders fell to CHF 1,160 million (2009: CHF<br />
1,242.9 million).
off-balance-sheet business<br />
Contingent liabilities in the form of guarantees fell by CHF 26.4 million in the period under review to<br />
CHF 43.8 million. The volume of irrevocable commitments stood at CHF 0.2 million, compared with<br />
CHF 15.7 million in 2009.<br />
As at the balance-sheet date, the contract volume of derivative financial instruments amounted to<br />
CHF 16.2 million.<br />
Fiduciary transactions showed a significant drop of 80.8% to CHF 137.4 million.<br />
income statement<br />
During the period under review, results from interest activities fell by 29.2 % to CHF 16.5 million, this being<br />
attributable to the cautious stance on new lending activities and the further reduction of the <strong>Bank</strong>’s existing<br />
credit portfolio.<br />
Results from commission and service fee activities also showed a downward trend, falling to CHF 6.6 million<br />
from CHF 10.1 million in 2009. While commission expenses were up 95 %, commission income on lending<br />
activities in particular fell back sharply by CHF 2.6 million.<br />
The <strong>Bank</strong>’s trading operations made a positive contribution of CHF 1.1 million to the overall result (2009:<br />
CHF 3.4 million).<br />
The “Subtotal other ordinary results” stood at CHF 1.4 million in <strong>2010</strong>, up from minus CHF 2.4 million the<br />
year before.<br />
Operating expenses, comprising personnel expenses and other operating expenses, rose by CHF 6.2 million<br />
to CHF 22 million. This increase stems primarily from the rise in the <strong>Bank</strong>’s headcount and expenses relating<br />
to the modernization of banking processes and internal procedures.<br />
The sharp decline in the net creation of value adjustments and provisions for default risks of CHF 4.4 million<br />
(2009: CHF 86.9 million) is testament to the successes in managing the risk positions in the credit portfolio.<br />
Due to the assignment and sale of claims from lending activities to Gazprombank (OJSC) and an associated<br />
company, value adjustments and provisions for default risks of CHF 63.6 million were applied in accordance<br />
with their purpose.<br />
At the same time, CHF 63.8 million were recognized as extraordinary income (of which CHF 3.6 million<br />
stemmed from out-of-period income).<br />
The <strong>Bank</strong> closed the <strong>2010</strong> financial year with a net income of CHF 61.3 million.<br />

Initially Gazprombank (Open Joint-Stock Company) was founded as a sector-based commercial bank of<br />
the state-owned gas concern GAZPROM in 1990. The <strong>Bank</strong> was registered with the Central <strong>Bank</strong> of the<br />
Russian Federation on July 31, 1990, and it holds General License No. 354, issued by the <strong>Bank</strong> of Russia as<br />
well as additional licensees authorizing transactions in securities, precious metals and stones. Since that<br />
time, Gazprombank was consistently developing the banking infrastructure and product line for the needs of<br />
Gazprom Group. Until 1997, the <strong>Bank</strong> remained one of the many Russian banks providing banking services to<br />
Gazprom and its subsidiaries. The banking crisis of 1998 elevated the priority for ensuring the stability and<br />
manageability of the gas sector’s financial flows, developing high-quality banking services for both industry<br />
enterprises and their employees. Along these lines, Gazprombank obtained the status of Gazprom’s authorized<br />
bank for all principal types of banking and financial services, in September 1998. Gazprombank and Gazprom<br />
executed a Cooperation Agreement covering a period through 2015 which became documented evidence<br />
for a new phase in their relations on a mutually profitable basis.<br />
With a 41.73% stake, Gazprom is currently the second-largest shareholder of Gazprombank (OJSC) after<br />
the non-state pension fund Gazfond.<br />
A strategy of broad business diversification that started in the first half of the new century enabled Gazprombank<br />
to go beyond the boundaries of a captive bank. Over the past decade, Gazprombank has become a<br />
universal bank simultaneously holding leading positions in the corporate, retail and investment areas of the<br />
banking market. Currently, Gazprombank’s clientele includes about 45,000 corporate and 3 million private<br />
clients. Besides the gas industry, the <strong>Bank</strong> holds leading positions in such strategic Russian industries as oil,<br />
energy, petrochemicals, metallurgy and mining, heavy machinery, nuclear and other.<br />
The <strong>Bank</strong> is the parent entity of Gazprombank Group. Apart from the banking segment which is the Group’s<br />

conducting custodian operations in securities and other financial instruments.<br />
With more than USD 60 bln of total assets and USD 8 bln of equity, Gazprombank is the third largest bank<br />
within the Russian Federation. The <strong>Bank</strong> also ranks among the top three Russian banks in terms of other<br />

The <strong>Bank</strong>’s corporate governance policies and procedures are defined in a series of documents governing<br />
the organization and management of the <strong>Bank</strong> adopted by the Board of Directors. These documents include:<br />

The sole shareholder of the <strong>Bank</strong> is Gazprombank (OJSC) which acquired the <strong>Bank</strong> in June 2009 from JSC<br />

The share capital of the <strong>Bank</strong> is CHF 101,000,000 as of December 31, <strong>2010</strong>. It is fully paid-in and divided<br />

As mandated by the Swiss banking law, the <strong>Bank</strong> operates under a strict dual board structure comprising the<br />
Board of Directors (BoD) and the Executive Management Board (EMB). The BoD is the <strong>Bank</strong>’s most senior<br />
body and is ultimately responsible for the <strong>Bank</strong>’s strategic development and the supervision of its executive<br />
management. It also approves the <strong>Bank</strong>’s financial plans, defines its risk principles and risk capacity, as<br />
well as approves the financial statements for issues. The members of the BoD are elected on an individual<br />
basis by the Ordinary Annual General Meeting. The members of the BoD are non-executives and financially<br />
literate people.<br />
The functions of the Chairman of the BoD and the <strong>Bank</strong>’s CEO are assigned to two different people, thus<br />
ensuring the separation of powers. Such a structure preserves the independence of the BoD from day-to-day<br />
management of the <strong>Bank</strong>, for which responsibility is given to the EMB. No member of one board may be a<br />

The Audit Committee has its own charter, which has been approved by the Board. The meetings are attended<br />
by management representatives, as appropriate and senior representatives of the external and internal auditors.<br />
The primary function of the Audit Committee is to assist the Board in fulfilling its oversight role by:<br />

and internal controls.<br />
external audit<br />
KPMG AG, Zurich was mandated as a statutory auditor for the financial year <strong>2010</strong>. The audit group is led by<br />
Andreas Herbst (Director) and Micha Bitterli (Senior Manager). Audit work includes financial and regulatory<br />
audits, as well as other assurance services that can be provided by the principal auditor.<br />
KPMG attends all meetings of the Audit Committee where it <strong>report</strong>s on the findings of its audit or interim<br />
review work. The Audit Committee reviews on an <strong>annual</strong> basis KPMG’s audit plan and evaluates the performance<br />
of KPMG and its senior representatives in fulfilling its responsibilities. KPMG provides a <strong>report</strong> as to its<br />
independence to the Audit Committee at least once a year. The Audit Committee monitors and pre-approves<br />
the fees to be paid to KPMG forB its services.<br />
internal audit<br />
Internal Audit performs an independent and objective assurance and consulting function that is designed<br />
to add value to our operations. To maximize its independence from the management, internal audit is<br />
done by Ernst & Young, which assesses the effectiveness of the <strong>Bank</strong>’s internal controls system, the <strong>Bank</strong>’s<br />
compliance with statutory, legal and regulatory requirements. Based on the results of its assessment, Ernst &<br />
Young develops detailed <strong>annual</strong> audit objectives, defining areas of audit concentration and specifying<br />
resource requirements for approval by the Audit Committee. All findings and issues are communicated to<br />
the management and to the BoD. Ernst & Young <strong>report</strong>s to the Audit Committee at least quarterly and more<br />
frequently as appropriate. Internal auditor coordinates its operations with the activities of the external<br />
auditor for maximum effect.<br />

Risks are an integral part of the banking business. The <strong>Bank</strong>’s success critically depends on systematically<br />
identifying, quantifying and efficiently managing the credit risks, market risks and liquidity risks that are<br />
specific to the banking business and that were accepted as part of the business activity.<br />
Furthermore, an efficient and integrated risk management and risk control requires the inclusion of various<br />
business risks that are not specific to the banking business. These include strategic risks that are associated<br />
with the short- and long-term business planning and with the business structure as well as operational risks<br />
and reputational risks.<br />
The Board of Directors has considered the material risks that the <strong>Bank</strong> is exposed to. These are mainly credit,<br />
market and operational risks, which will be described in detail below. As a general rule, the <strong>Bank</strong> is pursuing<br />
a conservative and very selective risk strategy with regard to risk-taking.<br />
In order to facilitate the clear segregation of functions, the <strong>Bank</strong>’s market areas <strong>report</strong> to one board member,<br />
while the monitoring of risks and controlling function are assigned to another board member. This<br />
arrangement of the <strong>Bank</strong>’s risk management was defined by the Board of Directors by means of appropriate<br />
guidelines. The risk management process includes the identification, analysis, measurement, monitoring,<br />
<strong>report</strong>ing and management of risks. The <strong>Bank</strong>’s management as well as the BoD members are regularly<br />
briefed on the risk situation.<br />
credit risks<br />
Credit risk and counterparty risk comprises the risk of loss of claims arising from unexpected defaults or<br />
reduction in value due to an unexpected deterioration of the credit rating of borrowers or issuers. Credit<br />
risks are managed on a case-by-case basis by granting limits to individual borrowers/borrower units as well<br />
as limits for country risks and limits for individual product groups, if necessary.<br />
The granting of loans requires sufficient and verified information on the structure and economic purpose<br />
of the credit transaction as well as the value of the liable collateral, in order to carry out a comprehensive<br />
credit analysis on that basis. In doing so, the <strong>Bank</strong> can, via its sole shareholder, receive first-hand information<br />
regarding evaluations, events, development etc. in the Russian market.<br />
There exist detailed bank-internal directives and guidelines for the granting of credit; the competencies for<br />
the granting of credit are set down in the <strong>Bank</strong>’s rules of procedures. All credit exposures are classified into<br />
six rating categories, based on a rating system that was introduced in 2008, and are subject to continuous<br />
monitoring and a reassessment at least once a year.<br />
The majority of credits extended are secured by taking adequate collateral. Approaches to lending and<br />
guidelines for the valuation of securities are set down in the internal business regulations. The value of the<br />
collateral is also subject to continuous monitoring.<br />
The <strong>Bank</strong> bases its monitoring of risk that arises from trades on its internal set of rules and regulations.<br />
Within the framework of monitoring, the current limit utilization is measured and all trading activities and<br />
performance of collateral are subject to continuous valuation.<br />

market risks<br />
Market risk is the possible fluctuation in value of a portfolio due to changes in market prices, for example,<br />
such as interest rates, share prices or exchange rates. The <strong>Bank</strong>’s market risk, which mainly includes position<br />
risks from securities trading activities as well as exchange rate risks in currency trading, are limited and<br />
monitored by means of a limit system.<br />
Risk is calculated and limited using, amongst others, the Value at Risk (VaR) method. In addition to calculating<br />
the VaR, the effects of extreme market developments on the portfolio value are assessed, in the framework<br />
of stress testing. The risk of interest-rate changes are periodically calculated and submitted to the Board of<br />
Directors. Necessary protection takes place by derivative financial instruments with first-rate counterparties.<br />
liQuidity risks<br />
Liquidity risk is the risk that current or future payment obligations cannot be fully met or met on time or that<br />
in the event of a liquidity crisis refinancing funds can only be acquired at increased market rates (refinancing<br />
risk) or that the assets can only be liquidated at a reduced market rate.<br />
General banking regulations form the basis of the monitoring and management of liquidity risk. In appropriate<br />
analyses, future cash flows are described and categorized according to their maturity. Regular stress<br />
testing shows the effects on liquidity under different extreme scenarios. The <strong>Bank</strong> keeps the majority of the<br />
financial assets as strategic liquidity reserve in the form of securities that are eligible for refinancing with<br />
central banks for securing the liquidity situation in the event of a crisis.<br />

Operational risk is defined as risk arising from a direct or indirect loss from shortcomings or omissions in<br />
projects, processes or controls that are due to technical, personnel-related, organizational or extreme factors.<br />
Operational risk includes legal risk, but not strategic risk or reputational risk.<br />
Operational risk is managed with the individual areas of the <strong>Bank</strong> having sole responsibility, whereby the<br />
management of operational risk is primarily the task of management on all levels. Raising awareness of<br />
staff and managers to detect operational risks as well as periodic auditing of procedures by the internal<br />
auditors, play an important part in this process. Furthermore, emergency plans, regulations and working<br />
instructions support the reduction in operational risk. Operational risks are mainly managed by qualitative<br />
measures. The implemented Business Continuity Management (BCM) secures the viability of the <strong>Bank</strong>’s vital<br />
core processes in the event of a catastrophe.
comPliance<br />
In addition to complying with mandatory statutory and regulatory norms for combating money laundering,<br />
preventing the financing of terrorism and other criminal activities, the AML/Compliance is responsible for<br />
protecting the reputation of the <strong>Bank</strong>, its customers and its staff through guidelines of high ethical standards.<br />
This is guaranteed through binding rules on the treatment of conflicts of interest, the prevention of abuse<br />
and manipulation of the market as well as through appropriate control measures.<br />
Compliance is an integral part of our customer advisory concept. Within the framework of various measures,<br />
as for instance “Know your Customer”, a business policy of the <strong>Bank</strong> which is risk-reducing, the <strong>Bank</strong> helps<br />

1. noteS on buSIneSS actIVIty,<br />
perSonnel<br />
main actiVities<br />
The <strong>Bank</strong>’s business purpose encompasses the provision of all kinds of banking services at home and abroad,<br />
with the exception of accepting savings deposits.<br />
on-balance-sheet business<br />
The main focus of business activity is the granting of loans to clients who have business relationships in<br />
Russia and other countries in Eastern Europe.<br />
Interbank business is conducted primarily in the short-term segment.<br />
The <strong>Bank</strong>’s long-term financing requirements are primarily covered via its parent company.<br />
In its financial investments, the <strong>Bank</strong> holds a securities portfolio with a medium- to long-term investment<br />
horizon.<br />
As part of its asset and liability management, the <strong>Bank</strong> may use derivative financial instruments to manage<br />
interest-rate risks.<br />
tradinG<br />
The <strong>Bank</strong>’s offering to clients includes the execution and settlement of the full range of standard trading<br />
activities. The <strong>Bank</strong> also engages in proprietary trading in debt securities (bonds) and equity securities<br />
(shares and funds).<br />
commission and serVice fee actiVities<br />
Lending activities, the securities and investment transactions business, and payment transactions for clients<br />
comprise the bulk of the commission and service fee activities.<br />

risk manaGement<br />
Credit, market, liquidity and operational risks are constantly managed and monitored as described below.<br />
credit risks<br />
As regards the authorization of loans, the <strong>Bank</strong> has its own detailed guidelines and directives stating the<br />
conditions, including comprehensive credit analyses, for any loans to be made. These directives also cover<br />
the monitoring of current outstanding loans. The <strong>Bank</strong> also uses a system of country limits that are regularly<br />
set and monitored by the Board of Directors. The <strong>Bank</strong> introduced a rating system in 2008 and classifies<br />
all receivables into six rating categories. The Board of Directors receives a regular overview of the ratings<br />
for all receivables.<br />
To limit the credit risks in respect of loans, the <strong>Bank</strong> has defined lending norms in its business regulations.<br />
The granting of loans is covered by authorization regulations. These cover the credit items, which are<br />
allocated to four credit categories, and also govern and limit amounts. The <strong>Bank</strong> can also obtain first-hand<br />
information on assessments, events and developments, etc. on the Russian market via its sole shareholder,<br />
Gazprombank (OJSC), Moscow.<br />

market risks<br />
Market risks, which consist mainly of position risks from securities trading and exchange-rate risks in forex<br />
trading, are limited and constantly monitored using a system of limits. The interest-rate risks are calculated<br />
regularly and this information is submitted to the Board of Directors. Any hedging takes place via derivative<br />
financial instruments with first-class counterparties.<br />
liQuidity risks<br />
Liquidity risks are monitored and managed in accordance with the statutory provisions. The <strong>Bank</strong> holds<br />
a large part of its financial investments as a strategic liquidity reserve in the form of securities eligible as<br />
collateral at the central bank.<br />
oPerational risks<br />
Operational risks are primarily managed using qualitative measures. The management of such risks is first<br />
and foremost the responsibility of bank executives at all levels. Regular procedural audits by the internal<br />
audit department support executive management in setting up processes and procedures. Operational risks<br />
include legal risks, but not strategic or reputational risks.<br />

The Board of Directors has assessed the principal risks to which the <strong>Bank</strong> is exposed, these being above<br />
all credit risks, market risks and operational risks. This risk assessment was based on evaluations of credit<br />
risks drawn up by the credit department. A rating system was introduced in 2008 as a further instrument<br />
for monitoring the credit portfolio. Using this system, risks are constantly monitored and loans are assessed<br />
at least once a year.<br />
The <strong>Bank</strong>’s risk management regime as described above is set down by the Board of Directors in directives.<br />
This defined process ensures systematic identification, assessment and control by management.
2. accountInG and<br />
ValuatIon prIncIpleS<br />
General PrinciPles<br />
The bookkeeping, accounting and valuation principles applied conform to the provisions of the Swiss Code<br />
of Obligations, the Swiss Federal Law on <strong>Bank</strong>s and Savings <strong>Bank</strong>s and its related ordinance, the statutory<br />
provisions, and the guidelines of the Swiss Financial Market Supervisory Authority.<br />
General Valuation PrinciPles<br />
Items stated under a balance-sheet position are in principle valued individually (individual valuation).<br />
recoGnition and accountinG<br />
All transactions are recorded in the <strong>Bank</strong>’s books on a trade-date basis. The concluded transactions are<br />
recorded as off-balance-sheet transactions until their settlement or value date, at which point they are<br />
recognized on the balance sheet.<br />
cash, money market instruments, due from banks, liabilities<br />
These items are recognized in the balance sheet at their nominal value minus any operationally necessary<br />
individual value adjustments for endangered dues. For money market transactions, discount income is<br />
recognized on an accrual basis. Nonrecourse financing is recognized in the balance sheet at cash value on<br />
the balance-sheet date.<br />
due from customers (loans)<br />
These items are recognized in the balance sheet at their nominal value.<br />
Endangered dues, i.e. those where the borrower is unlikely to be able to fulfill their future obligations, are<br />
valued on an individual basis, and individual value adjustments are made to cover the reduction in the carrying<br />
value. Off-balance-sheet transactions are also included in this valuation. Individual value adjustments<br />
are made for identifiable risks in accordance with the principle of prudent accounting.<br />
Receivables are classified as endangered at the latest when the contractually agreed payments of principal<br />
and/or interest are overdue by more than 90 days. Interest which has been outstanding for more than 90<br />
days is classified as overdue. Overdue interest and interest whose collection is endangered are no longer<br />
recognized on the income statement and are allocated directly to the value adjustments and provisions.<br />
Receivables are placed on a non-interest accruing basis if the recoverability of the interest is so doubtful that<br />
accrual is no longer considered appropriate.<br />
The impairment is measured on the basis of the difference between the book value of the receivable and the<br />
probable recoverable amount, taking into consideration the counterparty risk and the net proceeds from the<br />
realization of any collateral (after deduction of carrying, refinancing and liquidity costs).<br />
If a receivable is considered wholly or partially uncollectible or the claim is waived, the receivable is written<br />
off and charged against the corresponding value adjustment. Dues are reclassified as no longer endangered<br />
when principal and interest are being paid again on time in accordance with the contractual terms and<br />
further creditworthiness criteria are being met.<br />

The <strong>Bank</strong> introduced a rating system in 2008 and classifies all receivables into one of six rating categories.<br />
Receivables in the rating categories 6 to 2 are paying interest, the loan-to-value ratio of the collateral provided<br />
is appropriate, and the repayment of the loan is not considered significantly endangered. No individual<br />
value adjustments are made for receivables in these categories. In the case of receivables in categories 3<br />
and 2, overall value adjustments are made per category on the basis of empirical values. Category 1 loans<br />
are seriously endangered and are subject to individual value adjustments.<br />
securities and Precious metal tradinG Portfolios<br />
Securities and precious metal trading portfolios are in principle valued and shown in the balance sheet at<br />
their fair value. The price that can be obtained on a price-efficient and liquid market or the price established<br />
on the basis of a valuation model is taken as the fair value. If, by way of exception, no fair value is available,<br />
valuation and recording in the balance sheet takes place at the lower of cost or market. Any gains or losses<br />
resulting from the valuation are recorded under “Results from trading operations”. Interest and dividend<br />
income on trading portfolios in securities are credited to “Interest and dividend income on trading portfolios”.<br />
financial inVestments (securities)<br />
Fixed-income debt securities, convertible bonds and bonds with warrants which are not part of the trading<br />
portfolio are valued at the lower of cost or market, provided there is no intention of hoding them to maturity.<br />
The balance of any value adjustments is recorded under “Other ordinary expenses” or “Other ordinary income”.<br />
Upward revision to the maximum of acquisition cost is recorded if the market value had previously fallen<br />
below acquisition cost and thereafter recovers. This value adjustment is recorded as described above.<br />
Debt securities acquired with the intention of holding them to maturity are valued using the accrual method.<br />
During the entire term of these investments until maturity, the premium and discount are recorded on the<br />
balance sheet using the accrual method. Any interest-related profit or loss realized on premature sale or<br />
repayment is accrued over the residual term, i.e. to the original maturity.<br />
Value adjustments made due to creditworthiness issues and subsequent recoveries are recorded in the income<br />
statement under “with a hold deadline till final maturity”.<br />
Positions in participation issues and precious metals are valued in accordance with the lower of cost or<br />
market principle.<br />
The <strong>Bank</strong> currently holds no positions in precious metals or real estate.<br />
fixed assets and intanGible assets<br />
Investments in new fixed assets including software are capitalized and valued at cost if they are used for<br />
more than one accounting period and their value exceeds the lower threshold for capitalization. Investments<br />
in existing fixed assets are capitalized if they result in a lasting increase in the market or utility value of the<br />
said assets or significantly extend their useful life.<br />
In subsequent valuations, the fixed assets are recorded in the balance sheet at cost less the accumulated<br />
depreciation. Depreciation (degressive) normally takes place over the estimated useful life of the asset. The<br />
value of assets is reviewed on an <strong>annual</strong> basis. If this review reveals a change in the useful life or a diminution<br />
in value, the residual carrying value is normally depreciated over the asset’s remaining useful life or<br />
an exceptional depreciation is made. Regular depreciation and any additional exceptional write-offs are
charged to “Depreciation and write-offs on noncurrent assets” in the income statement. If the reason for the<br />
exceptional depreciation ceases to apply, a corresponding upward revaluation is made.<br />
The following depreciation rates are used:<br />
— Equipment, machinery and furniture 25 % of the book value<br />
— Motor vehicles, EDP 40 % of the book value<br />
Gains realized on the disposal of fixed assets are recognized under “Extraordinary income”, while realized<br />
losses are recognized under “Extraordinary expenses”.<br />
There are currently no intangible assets.<br />
Value adJustments and ProVisions<br />
Individual value adjustments and provisions are made in accordance with the principle of prudent accounting<br />
for all risks identifiable on the balance-sheet date. Value adjustments and provisions no longer required<br />
operationally in an accounting period are reversed and recognized in the income statement.<br />
Individual value adjustments are not deducted directly from the asset concerned. Overall value adjustments<br />
for default risks as well as provisions for other risks are shown under this balance-sheet item.<br />
The value adjustments and provisions may contain undisclosed reserves.<br />
reserVes for General bankinG risks<br />
The reserves for general banking risks are eligible as Tier 1 capital pursuant to Art. 18b of the Capital<br />
Adequacy Ordinance (CAO) and are taxed.<br />
foreiGn exchanGe<br />
Transactions in foreign currencies are recorded at the rate of exchange on the date of the transaction.<br />
Monetary assets are translated at the exchange rate on the balance-sheet date and recognized as income.<br />
Differences between the exchange rate on the trade date and that on the settlement date are recognized in<br />
the income statement.<br />

deriVatiVe financial instruments<br />
tradinG actiVities<br />
All derivative financial instruments are valued at fair value. They are recorded in the balance sheet as positive<br />
or negative replacement values under “Other assets” or “Other liabilities”. The fair value is based on market<br />
rates, price quotes from dealers, discounted cash flow and option pricing models.<br />
In the case of transactions with derivative financial instruments entered into for trading purposes, the realized<br />
and unrealized results are recognized under “Results from trading operations”.<br />
hedGinG transactions<br />
The <strong>Bank</strong> may also use derivative financial instruments as part of its asset and liability management to<br />
manage interest-rate, currency and default risks. The hedging transactions are valued in the same manner<br />
as the hedged underlying transaction. The result from the hedging transaction is allocated to the same item<br />
as the corresponding result from the hedged transaction.<br />
Macro hedges may also be used to hedge interest-rate risks. Results from the hedging transaction are as a rule<br />
booked under “Interest expense”. Results from derivatives used to control interest-rate risks as part of asset<br />
and liability management are determined using the accrual method. In such cases, the interest component<br />
is accrued using the compound interest method over the term to maturity.<br />
Hedging relationships and the objectives and strategies of a hedging transaction are documented by the <strong>Bank</strong><br />
on the conclusion of derivative hedging transactions. The effectiveness of the hedge is checked regularly.<br />
Hedging transactions where the hedge is no longer effective or only partially effective are treated as trading<br />
transactions in respect of the non-effective component.<br />
Pension liabilities<br />
Gazprombank (SwItzerland) ltd<br />
Pursuant to the provisions of the BVG, the deed of foundation and the regulations, the employees of Gazprombank<br />
(Switzerland) Ltd are insured in the pension fund “Vorsorgestiftung der Gazprombank (Schweiz) AG”<br />
against the consequences of old age, death and disability. The pension fund is a semi-autonomous definedcontribution<br />
plan, which takes responsibility for the old-age benefits and risks itself and insures the risks<br />
relating to death and disability with an insurance company.<br />
Contributions from the employees account for one quarter of the financing of the pension plan, and contributions<br />
from the employer account for the remaining three quarters. The employer’s contributions are<br />
<strong>report</strong>ed under “Personnel expenses”.<br />
The <strong>Bank</strong> applies the principles of FER 16. An assessment is <strong>annual</strong>ly made to determine whether the<br />
pension fund represents an economic benefit or an economic liability from the <strong>Bank</strong>’s perspective. This is<br />
based on the contracts and the <strong>annual</strong> financial statements of the pension fund, which are drawn up in<br />
Switzerland pursuant to FER 26, and other calculations which present the financial situation and the actual<br />
level of overfunding/underfunding. The <strong>Bank</strong> involves an expert in occupational pensions to assist it in<br />
assessing whether the fund represents a benefit or liability.<br />
Based on the preliminary financial statements of Vorsorgestiftung der Gazprombank (Schweiz) AG as at<br />
December 31, <strong>2010</strong>, the plan is underfunded (0,33%), although this will not lead to any booking in the<br />
present <strong>annual</strong> financial statements.<br />
There are no employer contribution reserves.
taxes<br />
Current taxes consist of recurring – as a rule, <strong>annual</strong> – taxes on income. One-time or transaction-related<br />
taxes are not included in current taxes. Current taxes on profits for the period are determined in accordance<br />
with the local fiscal provisions on the determination of profits and recognized as an expense in the accounting<br />
period in which the profit arises. Direct taxes payable on current profits are recognized under “Accrued<br />
expenses and deferred income”.<br />
non-consolidated ParticiPatinG interests<br />
The participating interest is not consolidated due to its insignificance in respect of the <strong>Bank</strong>.<br />
continGent liabilities, irreVocable commitments, liabilities for calls on<br />
shares and other eQuities<br />
These are recorded at nominal value under “Off-balance-sheet transactions”. Provisions for foreseeable risks<br />

Report of the Statutory Auditor on the Financial Statements to the General Meeting of<br />
Gazprombank (Switzerland) Ltd, Zurich<br />
As statutory auditor, we have audited the accompanying financial statements of Gazprombank (Switzerland) Ltd,<br />
which comprise the balance sheet, income statement, statement of cash flows and notes (pages 88 to 121)<br />
for the year ended 31 December <strong>2010</strong>. The audit of the prior year financial statements was performed by<br />
another auditor. An unqualified <strong>report</strong> has been issued as of 15 June <strong>2010</strong>.<br />

The Board of Directors is responsible for the preparation of the financial statements in accordance with the<br />
requirements of Swiss law and the company’s articles of incorporation. This responsibility includes designing,<br />
implementing and maintaining an internal control system relevant to the preparation of financial statements<br />
that are free from material misstatement, whether due to fraud or error. The Board of Directors is further<br />
responsible for selecting and applying appropriate accounting policies and making accounting estimates<br />
that are reasonable in the circumstances.<br />

Our responsibility is to express an opinion on these financial statements based on our audit. We conducted<br />
our audit in accordance with Swiss law and Swiss Auditing Standards. Those standards require that we<br />
plan and perform the audit to obtain reasonable assurance whether the financial statements are free from<br />
material misstatement.<br />
An audit involves performing procedures to obtain audit evidence about the amounts and disclosures in the<br />
financial statements. The procedures selected depend on the auditor’s judgment, including the assessment<br />
of the risks of material misstatement of the financial statements, whether due to fraud or error. In making<br />
those risk assessments, the auditor considers the internal control system relevant to the entity’s preparation<br />
of the financial statements in order to design audit procedures that are appropriate in the circumstances,<br />
but not for the purpose of expressing an opinion on the effectiveness of the entity’s internal control system.<br />
An audit also includes evaluating the appropriateness of the accounting policies used and the reasonableness<br />
of accounting estimates made, as well as evaluating the overall presentation of the financial statements.<br />
We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our<br />
audit opinion.<br />

In our opinion, the financial statements for the year ended 31 December <strong>2010</strong> comply with Swiss law and<br />
the company’s articles of incorporation.

We confirm that we meet the legal requirements on licensing according to the Auditor Oversight Act (AOA)<br />
and independence (article 728 CO and article 11 AOA) and that there are no circumstances incompatible<br />
with our independence.<br />
In accordance with article 728a paragraph 1 item 3 CO and Swiss Auditing Standard 890, we confirm that an<br />
internal control system exists, which has been designed for the preparation of financial statements according<br />
to the instructions of the Board of Directors.<br />
We further confirm that the proposed appropriation of available earnings complies with Swiss law and<br />
the company’s articles of incorporation. We recommend that the financial statements submitted to you be<br />
